This First Amendment to GL"ADWELL GOVERNMENTAL SERVICES, INC. (`First Amendment"), which is dated for reference as indicated on the cover page, is hereby entered into by -,aid between the CITY OF TEMPLE CITY, a California charter city ("City"), and Gladwell Governmental Service, luc a ("Consultant'), as follows: RECITALS A. City and Consultant entered in an consultant services agreement on October 1. 2011 ("Agreement"). The Agreement provides that Consultant will improve City Clerk Department. Efficiency; update city-wide records retention schedule; provide records destruction policies and procedures; facilitate to develop an ECMS Master Plan; ECMS RFP, vendor selection and contract negotiation; develop e-mail policies and best practice training. Scope of Services as provided in Exhibit A of original agreement. B. Section 2 of the Agreement provides the Scope of Services to be performed by Consultant. C. Section 4 of the Agreement provide that the maximum compensation under the Agreement shall not exceed $24,800.00 D. This First Amendment amends the Agreement to expand the Scope of Services performed by Consultant to include Document Imaging/ECMS Implementation; Council Training of E-mail, Records, Protocol; ,Agenda Staff Report Policies; Procedures, Standards and Employee Training and increase the maximum total compensation to $34,800.00 OPEItiTIVE PROVISIONS NOW, THEREFORE, in consideration of the promises made and recited herein, the parties do hereby enter into this First Amendment which modifies and amends the Agreement as follows; 1. AMENDMENT. The Agreement is hereby modified and amended as follows: 1.1 SCOPE OF SERVICES. Exhibit "A" to the Agreement is hereby amended to include new phases 7, 8 and 9. The new phases shall read as shown in Exhibit "A" to this First Amendment. 1.2 COMPENSATION. 1.2.1 Section 4 of the Agreement is hereby amended as follows: The second sentence of Section 4, subparagraph (a) of the Agreement is amended to read as follows: "The total compensation, including reimbursement for actual expenses, shall not exceed THIRTY FOUR THOUSAND EIGHT HUNDRED DOLLARS ($34,800.00), unless ltiv #,48404328-2511 , 1 -2- additional compensation is approved in writing by the City Council or City iManager." 2. GENERAL PROVISIONS. 2.1 Remainder Unchanged. Except as specifically modified and amended in this First Amendment, the Agreement remains in full force and effect and binding upon the parties. 2.2 Integration. This First Amendment consists of pages I through inclusive, which constitute the entire understanding and agreement of the parties and supersedes all negotiations or previous agreements between the parties with respect to all or any part of the transaction discussed in this First Amendment, 2.3 Effective Date, This First Amendment shall not become effective until the date it has been formally approved by the City Council and executed by the appropriate authorities of the City and Consultant. 2.4 Applicable Law. The laws of the State of California shall govern the interpretation and enforcement of this First Amendment, 2.5 References. All references to the Agreement include all their respective terms and provisions_ All defined terms utilized in this First Amendment have the same meaning as provided in the Agreement, unless expressly stated to the contrary in this First Amendment. GGS will provide hands-on on-site training for employees as required. Services include one full day on site, and three Y days on site, and all policies, procedures and "Quickstarts." Total, including all travel expenses: $3,000 Consultant shall meet with Council Members (either one-on-one, or two -by -two) to update them on the e-mail and records policy, and to review the Council Protocols and answer any information. Services include on site meetings and all preparation and follow-through. The consultant will develop written policies and procedures, then provide employee training for department heads and all employees who write Agenda Staff Reports. Services include four %z days on site, and all policies, procedures and standards, and training sessions for Department Heads and Employees.
