Term of Agreement
The term of this agreement, commencing on September 1, 2012, is for the duration running from
September 1, 2012 through June 30, 2013 and is not to exceed $3,000.00 for this term. The term
of the agreement may be subject to renewal for subsequent fiscal years.
Non -Discrimination Clause
CAEAP shall not discriminate on the grounds of race, color, religion, national origin, sex, sexual
orientation or disability, including the medical condition of Acquired Immune Deficiency
Syndrome (AIDS) or any conditions related thereto, in the selection or retention of employees
and subconsultants and the procurement of materials and equipment.
Program Cost
The program cost is a flat administrative fee per month which is based on the City of Temple
City's selection of one of the two models provided below—refer to the program Cost Proposal
which itemizes service inclusion regarding the two options. If workplace -related crisis
intervention occurs during a particular month, the charge for that service would be included on
the next month's statement. Designation of the City of Temple City's selection is to be marked
on the Acceptance of Agreement Signature page (refer to Attachment 1).
OPTION (1-3) Visit/Session Model is an administrative fee of $300.00 per
month—program cost includes all EAP services herein, except for the cost of
workplace -related crisis intervention which is $250.00 per response/incident.
OPTION (1-5) Visit/Session Model is an administrative fee of $500.00 per
month—program cost includes all EAP services herein, except for the cost of
workplace -related crisis intervention which is $250.00 per response/incident.
For the duration of the contract, the statement date is the first of each month with payment to
Community Action EAP being due on the.15th of each month—providing for a ten (10) day
net—such that payment received by CAEAP after the 25th of each month is subject to a late fee
to be charged against the particular account on the next monthly statement. Please note there are
no associated minimum or start-up costs for program implementation.
ALYreement Termination Provision
This agreement may be terminated by either primary party upon thirty (30) days prior written
notice to the other party for any reason whatsoever, and once such notice has been given,
CAEAP shall not begin any assessment services for any employee's new problem or for any
employee who had not previously been assessed pursuant to this agreement. Upon reception of
such notification, program costs shall cease to accrue, and the payment for the month in which

the termination occurs shall be prorated appropriately. EAP services which had begun before
notice of termination shall be continued on a case-by-case basis until completed or referred to
outside health care professionals. In regard to nonpayment, if for any reason City of Temple City
should not pay the monthly fee as specified herein, the agreement between CAEAP and City of
Temple City is subject to immediate suspension of all services with immediate full payment of
any outstanding balance to CAEAP.
Force Maieure Clause
Neither party shall be responsible for any delays, errors or failures to perform caused by or
resulting from any act, omission or condition beyond its reasonable control, whether or not
foreseeable or identified, including, without limitation, acts of any governmental body, war,
terrorist attacks, insurrection, sabotage, embargo, natural disaster, etc. If a Force Majeure Event
that adversely and substantially impacts on the performance of the obligations hereunder persists
for more than thirty (30) days, either parry may terminate this agreement on written notice to the
other party.

ACCEPTANCE OF AGREEMENT
The intent of this agreement is to work mutually and cooperatively to help employees who are
troubled by personal issues and as such to help allay the development of related problems. The
special terms of the agreement are subject to modification by mutual agreement to accommodate
City of Temple City's policy, unusual contingencies and unforeseen circumstances. We agree to
work vigorously and prudently to assist City of Temple City in improving the overall wellness
and well-being of the employees, and by doing so, contribute to employee productivity and
effectiveness.
