entered into as of this,A%y of x , 2014, by and between the CITY OF TEMPLE CITY,
a California charier city ("City"), and GRETCHEN STERLING, an individual ("Consultant"), as
follows:
RECITELLS
A. City and Consultant entered in a Consultant Services Agreement on or about February 1,
2011 ("Agreement"). The Agreement provides that Consultant will operate a certified
farmer's market within the City on the terms and conditions contained in the Agreement.
B. Section I of the Agreement provides that Consultant shall provide the services identified
in Exhibit A to the Agreement beginning on March 1, 2011 and ending March 1, 2012,
but the parties may agree in writing to extend the term for up to three additional one-year
terns.
C. This Second Amendment amends Section 1 to effectuate the first of the three additional
one-year terms and recognize that two additional one-year exclusions remain possible.
OPERATIVE PROVISIONS
NOW, THEREFORE, in consideration of the promises rade and recited herein, the
parties do hereby enter into this First Amendment which modifies and amends the Agreement as
follows:
1. AMENDMENT OF_ SECTION 1. Section I of the Agreement is hereby modified and
amended to read as follows:

Consultant shall commence the serv
ices identified hi Exhibit "A" on March I, 2011, and
shall cease to provide those services on March 1, 2015. Upon the mutual consent of the
parties, this Agreement may be extended by written amendment for two (2) additional one-
year terns."
2. OENEItAL PROVISIONS.
2.1 Remainder Unchanged. Except as specifically modified and amended in
this First Amendment, the Agreement remains in full force and effect and binding upon the
parties.
2.2 Integration. This First Amendment consists of pages I through 2
inclusive, which constitute the entire understanding and agreement of the parties and supersedes
all negotiations or previous agreements between the parties with respect to all or any part of the
transaction discussed in this First Amendment.

2.3 Effective Date. This First Amendment shall not become effective until
the date it has been formally approved by the City Council and executed by the appropriate
authorities of the City and Consultant.
2.4 Applicable Law. The laws of the State of California shall govern the
interpretation and enforcement of this First Amendment.
2.5 References. All references to the Agreement include all their respective
terns and provisions. All defined terms utilized in this First Amendment have the same meaning
as provided in the Agreement, unless expressly stated to the contrary in this First Amendment.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
the Agreement on the date and year first written above.
