interests to bring this project to a positive completion. The following outlines the agreements reached
during our discussion earlier today:
t. Arazoza Brothers will replace exist dead or damaged plant materials as indicated on the attached
two-page table, at nn charge to the Town. In summary, there are 27 replacement u,= and some minor
replacement ground cover and shrub materials.

Arazoza will provide a 90 -day nutir*amane period to inciude sufficient watering during the
establishment period. The Town will supply the water and Arazoza will submit a rr$svt$bk unit cosc
to cover the watering labor costs./{/
4. A final wails through will be conducted by the landscape architect and the Town at the end of the ` ry
90 -day establishment period. Arazoza agrees to immediately lace ar no charge, /�+

Our records reflect that watering of the newly planted trees has not occurred since
Tuesday August 3". My understanding is that during the ninety -day watering period,
the trees were to be watered as follows:
151 two weeks once per day
following four weeks three times per week
following four weeks two times per week
Our records indicate that the plants were watered only once during the week following
their planting, and twice the following week. For last week, we show only one
watering by Arazoza (on Tuesday August 3").
We are very concerned that these newly planted trees are not receiving sufficient water.
Please provide a copy of your watering log and advise on your intended watering
schedule.

CONTRACT
BETWEEN THE
TOWN OF GULF STREAM
AND
ARAZOZA BROTHERS, INC.
STATE ROAD AIA LANDSCAPE
ENHANCEMENT PROJECT
THIS CONTRACT, made this — day of 119, by and
between the Town of Gulf Stream, a public corporation of the State of Florida, hereinafter
designated as "the TOWN", and (CONTRACTOR NAME), (STREET ADDRESS, CITY, STATE
AND ZIP), a (STATE OF INCORPORATION) Corporation, FEIN Number (FEIN NUMBER)
hereinafter designated as "the CONTRACTOR".
WITNESSETH THAT:
WHEREAS, the TOWN is a municipality and given those powers and responsibilities
enumerated by Chapter 166 Florida Statutes and the Florida Constitution; and
WHEREAS, the TOWN is empowered to enter into contractual arrangements with
public agencies, private corporations or other persons, pursuant to Florida Statutes; and
WHEREAS, the TOWN desires the services of a qualified and experienced contractor
to provide construction services; and
WHEREAS, the TOWN solicited and received bids on (BID OPENING DATE) for the
Construction of (TITLE), (COUNTY) County, Florida; and
WHEREAS, the CONTRACTOR has responded to the TOWN'S solicitation and the
CONTRACTOR is qualified and willing to provide said services; and
WHEREAS, the TOWN has found the CONTRACTOR'S response to be acceptable
and wishes to enter into a CONTRACT; and
WHEREAS, the TOWN has budgeted funds in its current fiscal year budget which are
available for the funding of this CONTRACT;
be approved and paid by the TOWN. All pay requests shall reference the TOWN'S Contract
Number.
6. INDEMNIFICATION
For $100.00 and other good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged as part of the first payment for service, the CONTRACTOR
shall pay, indemnify and save harmless the TOWN, its agents, guests, invitees and
employees, from all suits, actions, claims, demands, damages, losses, expenses, including
attorney's fees, costs and judgments of every kind and description to which the TOWN, its
agents, guests, invitees, or employees may be subjected by reason of personal injury, bodily
injury including death or property damage, resulting from or growing out of any intentional
negligent, or careless act or commission, omission, or consequential damage connected with
the CONTRACTOR, it Subcontractor, its agents, or employees, and committed in connection
with this CONTRACT, CONTRACTOR'S performance hereof, or any work performed
hereunder.
CONTRACTOR shall indemnify and save harmless the TOWN, its agent, or employees, from
and against all claims, demands, actions, suits, damages, losses, expenses, costs, including
attorney's fees and judgements of every kind and description arising from, based upon, or
grown out of the violation of any federal, state, county or city law, by-law, ordinance or
regulation by the CONTRACTOR, its agents, trainees, invitees, servants or employees. The
CONTRACTOR further acknowledges that it is solely responsible for ensuring the safety of the
premises to protect its employees, subcontractors, invitees, licensees and all other persons
during the course of the work, and agrees to hold and save the TOWN harmless against all
claims involving alleged negligence by the TOWN in failing to adequately ensure the safety of
the premises or otherwise ensure compliance with the CONTRACT.
7. GRATUITIES
The CONTRACTOR hereby warrants that he has not, during the bidding process, nor
shall he, during the term of this CONTRACT, offer to pay any officer, employee or agent of the
TOWN, anything of value including, but not limited to gifts, loans, rewards, promises of future
employment, favors or services, based on the understanding that the actions, decision or
judgments of such officer, employee, or agent would be influenced thereby. In the event of a
breach of this provision, the TOWN may terminate this CONTRACT without liability and, at its
sole discretion, deduct or otherwise recover the full amount of such fee, commission,
percentage, gift, or other consideration.
8. LAW VENUE
The laws of the State of Florida shall govern all aspects of this CONTRACT. In the
event it is necessary for either party to initiate legal action regarding this CONTRACT, venue
shall be in the Fifteenth Judicial Circuit for claims under state law and in the Southern District
of Florida for any claims which are justifiable in federal court.
9. CONTRACT AMENDMENTS
This contract may be amended only with the prior written approval of the parties.
