ASSIGNMENT OF RIGHTS, PRIVILEGES AND OPTIONS
KNOW ALL MEN BY THESE PRESENTS:
WHEREAS, PLACE AU SOLEIL, INC., (formerly R.C.R. CORPORATION),
and PLACE AU SOLEIL DEVELOPMENT CORPORATION, (formerly B.B.R. COR-
PORATION), both Florida corporations, hereinafter called "Developers",
did, jointly and severally on December 13, 1961, make and enter
into a certain Agreement with the CITY OF BOYNTON BEACH, a municipal
corporation under the laws of the State of Florida, hereinafter called
"City", wherein and whereby provision was made for the City to furnish
water service to certain lands located within the Town of Gulfstream,
which property is platted and known as Subdivision of PLACE AU SOLEIL,
according to the Plat thereof recorded in Plat Book 27, page 69, of
the Public Records of Palm Beach County, Florida; and
WHEREAS, "Developers" did, on April 5, 1973,
privileges, powers, duties and options belonging to
Agreement dated December 13, 1961, with said City,
to the duties and obligations therein contained, to

NOW, THEREFORE, in consideration of the premises, and other
good and valuable considerations paid undersigned by THE TOWN OF
GULFSTREAM, a municipal corporation in Palm Beach County, Florida,
the receipt whereof is hereby acknowledged, the undersigned do hereby,
on this z u day of September, 1977, assign, sell, transfer and set
over unto the said THE TOWN OF GULFSTREAM, a municipal corporation
in Palm Beach County, Florida, all rights, privileges, powers, duties
and options belonging to them under said Agreement dated December
13, 1961, with said City, as assigned, subject, however to the duties
and obligations therein contained, all without recourse.
IN WITNESS WHEREOF, be undersigned have hereunto set their

ASSIGNMENT OF RIGHTS, PRIVILEGES AND OPTIONS
KNOW ALL MEN BY THESE PRESENTS:
WHEREAS, PLACE AU SOLEIL, INC., a Florida corporation, and
PLACE AU BOLETI, DIiVi•I1,OPMENT CORI1011ATI:ON, did, -jointly and severally,
on January 10, 1962, make and execute that certain Declaration of
Conditions, Restrictions, Limitations, Covenants, Reservations and
Easements, which was recorded January 23, 1962 in Official Record
Book 729, page 117, of Public Records of Palm Beach County, Florida,
imposing divers covenants, restrictions and servitudes upon all of

the subdivision known as PLACE AU SOLEIL, a subdivision according
to that certain Plat recorded in the office of the Clerk of the
Circuit Court in and for Palm Beach County, Florida, in..Uat Book 27,
page 69, which Restrictions and Covenants were amended by that
instrument recorded in Official Record Book 959, page 111; and
WHEREAS, among the covenants, restrictions and servitudes
imposed and reserved by PLACE AU SOLEIL, INC. and PLACE AU SOLEIL
DEVELOPMENT CORPORATION, in said Declaration, as amended, were
included the following: (i) the right of architectural control
to approve building plans of residences to be constructed in said
subdivision, and (ii) an assignable option to purchase any real
property in said subdivision, all as is more specifically set
forth in said Declaration recorded in Official Record Book 729,
page 117 aforesaid; and

WHEREAS, the undersigned PLACE AU SOLEIL, INC. and PLACE AU
SOLEIL DEVELOPMENT CORPORATION, have heretofore adopted a Plan of
Liquidation, and pursuant to that Plan of Liquidation have provided
for the assignment of all privileges, rights, powers, duties and
authority of the Subdividers contained and reserved to undersigned
by said Declaration recorded in Official Record Book 729, page 117,
as amended, of public records of Palm Beach County, Florida, to
ROBERT C. REED, the "Assignee" herein,

"Developer -Assignors", did, jointly and severally on December 13,
1961, make and enter into a certain Agreement with the CITY OF

State of Florida, hereinafter called "City," wherein and whereby
provision was made for the City to furnish water service to
certain lands located within the Town of Gulfstream, which
property is platted and known as Subdivision of PLACE AU SOLEIL,
according to the plat thereof recorded in Plat Book 27, page 69,
of the Public Records of Palm Beach County, Florida; and
WHEREAS, "Developer -Assignors" have each heretofore adopted
a Plan of Liquidation, and pursuant to that Plan have provided for
the assignment of all rights, privileges and options belonging to
said corporations, jointly and severally, to their respective
stockholders who are, ROBERT C. REED and BESSIE B. REED, his wife,
the "Assignees" herein,
NOW, THEREFORE, in consideration of the premises, and other
good and valuable considerations paid undersigned by ROBERT C. REED
and BESSIE B. REED, his wife, the receipt whereof is hereby acknow-
ledged, the undersigned "Developer -Assignors" do hereby, on this
5th day of April 1973, assign, sell, transfer and set over unto
the said ROBERT C. PEED and BESSIE B. REED, his wife, all rights,
privileges, powers, duties and options belonging to them under
said Agreement dated December 13, 1961 with said City, subject, how-
ever to the duties and obligations therein contained.
IN WITNESS WHEREOF, the undersigned Developer -Assignors have
caused this Assignment to be executed in their corporate names by
their duly authorized officers, and their respective corporate seals
affixed, attested by their respective secretary.

NOW, THEREFORE, in consideration of the premises, and other
good and valuable considerations paid undersigned by ROBERT C. REED,
the receipt wiiereof is hereby acknowledged, the undersigned do here-
by, on this 5th day of April, 1973, assign, sell, transfer and set
over unto the said ROBERT C. REED, whose address is 960 Indigo Point,
Delray Beach, FL 33444, all privileges, rights, powers, duties and
authority reserved by undersigned in said Declaration, including,
but not limited to, (i) the right of architectural control, and '(ii)
the option to repurchase as are more specifically set forth in said
Declaration.
IN WITNESS WHEREOF, the undersigned corporations have caused
this Assignment to be executed in their corporate names by their
duly authorized officers, and, -their respective corporate seals
affixed, attested by their respective secretary.

I HEREBY CERTIFY, that on this day, before me, an officer
duly authorized in the State and County aforesaid to take acknow-
ledgments, personally appeared ROBERT C. REED and HARRY T. NET,7ETT,
well known to.me to b6.,the President and Secretary of PLACE AU
-SOLEIL, INC., one of the corporations in whose name the foregoing
Assignment was executed, and personally appeared BESSIE B. REED
and HARRY T. NEWETT, well known to me to be the President and
Secretary of PLACE AU SOLEIL DEVELOPMENT CORPORATION, the other
corporation in whose name the foregoing Assignment was executed,
and that they severally acknowledged executing the same as such
officers of such corporations freely and voluntarily under auth-
ority duly vested in them by said corporations, and that the seals
affixed thereto are the true corporate seals of said corporations.
