Member Martin introduced the following resolution and moved its adoption:
CITY OF MEDINA
RESOLUTION NO. 2023-109
RESOLUTION APPROVING PURCHASE AGREEMENT AND AUTHORIZING CITY’S
PURCHASE AND ACQUISITION OF HENNEPIN COUNTY PID 0411823140004
WHEREAS, the city of Medina (the “City”) is a municipal corporation organized under
the laws of the State of Minnesota; and
WHEREAS, Jeffrey S. Cates and Christine T. Cici-Cates (“Sellers”) are fee owners of
approximately 30.18 acres of real property located in the City and identified as Hennepin County
PID 0411823140004, which is legally described as follows:
Lot 1, Block 1, Cates Ranch Second Addition, Hennepin County, Minnesota
(the “Property”); and
WHEREAS, the City desires to purchase the Property from Sellers for $1,725,000.00 and
there has been presented before the City Council a form of purchase agreement (the “Purchase
Agreement”) between the City and Sellers setting forth all terms and conditions of the sale; and
WHEREAS, on November 14, 2023, pursuant to Minnesota Statutes, section 462.356,
subd. 2, the Medina Planning Commission considered the City’s potential acquisition of the
Property and thereafter informed the City Council in writing that said acquisition would be
consistent with the City’s comprehensive plan.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Medina,
Minnesota, as follows:
1. The purchase and acquisition of the Property from Sellers for $1,725,000.00, pursuant to
all terms and conditions contained in the Purchase Agreement, is hereby approved.
2. The mayor and the city administrator are authorized and directed to execute the Purchase
Agreement in substantially the form presented to the City Council on the date of this
resolution, subject to any additional modifications approved by the city attorney that do
not alter the substance of the transaction, provided that execution of the Purchase
Agreement will be conclusive evidence of approval.
3. The mayor and the city administrator are authorized to execute any other documents or
instruments deemed necessary to carry out the transaction described in the Purchase
Agreement. City officials, staff, and consultants are directed to take any additional steps
deemed necessary or convenient to carry out the transaction contemplated by this
resolution.

The motion for the adoption of the foregoing resolution was duly seconded by member
Albers upon vote being taken thereon, the following voted in favor thereof:
Albers, Cavanaugh, DesLauriers, Martin, Reid
And the following voted against same:
None
Whereupon said resolution was declared duly passed and adopted.
