Upon Completion of the work, any unpaid balance for the installation is due and payable.

THE MONITORING/SERVICE CHARGE IS SUBJECT TO CHANGE AS SET FORTH IN PARAGRAPH 4. IN ADDITION, TOGETHER WITH THE FIRST
PAYMENT, YOU WILL PAY THE PRO RATA SHARE OF THE MONITORING OR SERVICE CHARGE FOR THE MONTH IN WHICH MONITORING OR
SERVICE BEGINS.
THE MONITORING TERM OF THIS CONTRACT IS FIVE YEARS. The term is automatically renewable. See pamgmph 1.
You acknowledge selecting the System and are aware that a higher level of detection capability is available at an additional cost. You acknowledge that we am
not required to, or responsible for, testing the security system installed, after initial installation, unless you have separately contracted for this service, and that
you are responsible to check the system at regular intervals to insure proper operation.
THIS CONTRACT IS NOT BINDING UNLESS APPROVED IN WRITING BY OUR AUTHORIZED MANAGEMENT REPRESENTATIVE. IN EVENT
OF FAILURE OF SUCH APPROVAL, OUR ONLY LIABILITY SHALL BE TO RETURN TO YOU THE AMOUNT, IF ANY, YOU PAID UPON SIGNING
THIS CONTRACT.
YOU ACKNOWLEDGE RECEIVING A COPY OF THIS CONTRACT, AND UNDERSTAND THAT OUR LIABILITY IS LIMITED AS SET FORTH HEREIN.
See the attached Limited Warranty for a description of your rights to repair or replacement. We make no warranties except as set forth
in the Limited Warranty.

2. Our Services (A). We will monitor the System from the time you give us all
information we need to activate the System until we deactivate the System, as
permitted under this Contract. Upon receipt of a signal indicating an intrusion (or
fire, if applicable) our operator will make every reasonable effort to identify the
signal and, using reasonable judgment, will make every reasonable effort to
transmit notice of such signal to the police, fire department, or other appropriate
party. We shall not be liable if the local authority determines the premises are
secure or no fire exists. If instructed to do so by you in writing, we will also make
every reasonable effort to notify your representative designated in writing by you.
We shall be deemed to have used reasonable efforts to notify your representative
if we have called the telephone number(s) you have provided.
3. Wireless Communications (A). If the subscriber elects to have the System
communicate with central monitoring center via wireless technology (whether
instead of, or in addition to standard telephone line communications), the Subscriber
ackwWedges that tiiere may be times when the System is unable to acquire,
transmit or maintain an alarm signal due to an interruption in wireless service. The
Subscriber acknowledges that wireless communication, whether though cellular,
radio or VOIP (Voice Over Internet Protocol) technology may be unpredictable and
that Devcon may be unaware of the occurrence of any interruption. Devcon
recommends that all Subscribers employ an additional method of communication,
such as standard telephone service, in addition to any wireless farm of
communication.
(B) If this Contract provides for radio alar monitoring service, due to the
nature of radio waves, there may be times when the radio transmitter
network may be unable to maintain radio contact or retransmit a
message. a recommend that a radio alar system be used with
another communication means, such as a digital dialer. Should your radio
transmitter malfunction, it could interfere with the pmper operation of the
entire radio network. Federal Communications Commission regulations
require that we have immediate access to your transmitter in the event of
emergency, which you hereby agree to provide. In the event that you
refuse reasonable access, you agree that we may obtain an ex parte
court order permitting access to fix or remove the transmitter, and you
agree to pay all our expenses.
(Cl As the subscriber, you understand that Devcon Securityy Services is
nott responsible for any failure of the alar systemNOIP service to
transmit an alar signal to our monitoring station, failure to respond to
any unintelligible signal, or an signal which cannot be clearly interpreted
by our automation system and/or central station personnel. Services such
as remote programming, arming, disarming, and code changes may not
be available. Service requests due to alar panel troubles caused by
telephone failures or interterence by the VOIP services are chargeable to
the Subscribers
3. Your Responsibilities. You must check your system regularly (but
not less than monthly) in order to be sure that the System Is properly
functioning, Including an yy motion detection devices, and report any
problem to us promptly. If you have afire alarm, you will also tell us in
writing of any change In your fire rating bureau or agency. You must also
tell us, in writing, of any change in the list of people we are to call in the
event of an activation, and we will not be responsible for any errors,
omissions, or llure to update such list by you.
4. Fee Increase. We shall have the right at anytime during the term of
this Contract, to increase the monilonnglservice charges to reflect any
additional taxes, fees or charges relating to the services we provide
under this Contract which may be imposed on us bany utility or
government agency and you agree to pay same. In addit%n, we may, at
any time after one (1) year rom the date the Systemis activated,
increase the monitoring/service charrgge by giving you a notice in writing.
In the event the increase exceeds 10% of the current annual monitoring
fee and you are unwilling to pay the increased charges, yyou may
terminale this Contract by giving us written notice within thirty (30) days
from the date of notice of the increase. if you fail to notify us witthin IN
(30) days, you will have agreed to the increase.
5. Default. A. EVENT OF DEFAULT. You shall be in default of this
Contract if you: (a) fail to pa anyy installation charge, (b) fail to pa any
monilorino/service charge, fcj` wilttully or negligently cause repeat)dyfalse
alarms, tld noel this Conttrraact before the end of its term, or.(e) fail to
perform any other obligation under this Contract.
B. OUR REMEDIES UPON DEFAULT.
1. Terminate Contract. Ifyou default, we can terminale this Contract ten
(1%(1 ays after written notice of default if you have not cured the default
days
date.
2. Damages, If you default, you will pay us any money due for any
product or services we sold to you or performed foryou before the
default. In addition, you will pay us for breach of this Contmcl an amount
equal to 100% of the remaining monitoring and/or Extended Service
Pr?
ram fees, plus any other damages to which we may be entitled
under applicable law.
3. Cost. If you fall to pay any amount owed when you default, you shall
also pay us all costs and expenses incurred by us in collecting any
money you owe us, including reasonable attorney's fees, costs,
pretu gment interest, and any other reasonable and related expenses of
collection
4. R( ht to Deactivate S stem. in addition to our other rights, we have the
rght o eat Iva e e ys em len (10) days after written notice of
nonpayment or immediately if you will fully or negligentiy cause repeated
false alarms. Upon termination of this Contract for default or otherwise,
you agree that we may enter your premises to de -program or shut off the
communicator or memorryy chip. Whether or not we deactivate the System,
we will have no responsibility to monitor any signals we may receive after
we terminale this Con . We shall also have the right to notify your
insurance company that you do not have an operating System.
6. Additional Charges. You shall promptly reimburse us for any cost we
incur, including fines, penalties or costs of our response service, at our
usual rales, as a result of any false alarm originating from your premises.
Any false alarm charge made directly against you shall be your sole
responsibility.
If any payment due is not paid within twenty (20) days of the first day of
the service period on the face of the invoice, a delinquent charge
calculated at the rate of one and one-half percent (1 -1/2%) per month of
the amount due may be charged, or at such rale as may be permitted by
law.
7. Alarm Devices. If the System includes alocal bell, alarm, or similar
audible device (referred to as "Alarm") and if we become aware that the
Alarm is sounding, we will make every reasonable effort to notify you or
your designated representative at the phone number and address you
have given us In writing and not
local police or fire authorities, if
required In our reasonable judgment. If we cannot reach you or you do
not appear at the premises within thirty (30) minutes from the time we get
confirmation that the Alarm is sounding, or if the local authorities ask us

hold us harmless and indemnity us for any loss, damage, or liability that
may result. You acknowledIa that if an alarm has an automatic shut off

10. Client Consent You- understand that our ceotral station may tape
incoming and outgoing telephone calls and consent to such taping.
11. Damage or Destruction. We can cancel this Contract without
previous notice at our option, if our central station, connection link or
equipment at your premises are destroyed by fire or other catastrophe or
are so substantially damaged that it Is impractical to continue service.
You may likewise cancel it if your premises are similarly destroyed or
damaged. We will refund any advance payments you made for service to
be supplied after the date we terminate, but you must pay for any
services previously rendered.
12. Termination of Connections. We can terminale this Contract at any
time if we cannot either secure or retain the. connections or rights to
transmit radio, telephone, and/or data signals betweenyour premises and
our central station or between our central station and the police or other
authority, and we shall not be liable for anyy damages or subject to any
penalty as a result of such termination. We will refund any advance
Payments you made for service to be supplied after the dale we
ermlnale, but you shall pay for any services previously rendered.
13. Acts of God. We assume no liability for delays in installation of the
equipment, or for interruptions of service due to strikes, dots, floods, fires,
acts of God or any rause beyond our control, including interruption of
alarm transmission, and will not be required to supply you service during
any such interruption of service.
14. Limitation of Damages. A. You understand and agree that we are
not an insurer and that you must obtain Insurance, If any, coverin

injury andpproperly loss or damage on your premises and that
the payments provided for herein are based solely on the value of the
service as set forth herein and are unrelated to the value of your property
or the property of others that may be located on your premises. You
represent that you have adequate insurance to protect your premises and
property.
B. You acknowledge that it is impractical and extremely difficult to fix the
actual damages, If any, which mayproximately result from our
negligence, or our failure to perform any of our obligations, or a failure of
the System to properly operate, because of, among other things: the
uncertain amount or value of your property or the property of others
which may be lost or damaged; the uncertainty of the response time of
the police or other authority; the inability to ascertain what portion, If any,
of any loss would be proximately caused by our failure to perform any of
our obligations or the failure of our equipment to property operate; or the
nature of the services we are to perform.
C. You gagree that if we are found liable for apny loss or damage

FIVE HUNDRED DOLLARS ($500), WHICHEVER IS LESS, and this
liability shall be exclusive and shall apply if loss or damage,
irrespective of cause or origin, results directly or indirectly to
persons or property from a failure of the System or performance or
nonperformance of any of our obligations and shall apply whether
such claim is for negligence, gross negligence, misfeasance
nonfeasance, express or implied warranty, strict or product liability
breach of contract, contribution or indemnification or any other
NOT claim
LIABLEusFOR a ANIYyeGENERAL, or DIRECT, WE SHALL
EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL
DAMAGES.
D. In the event thatyou want to increase our limit of liabilityty, yyou can do
so by paying an additional charge, and a rider shall be alfached hereto
setting forth the terms, conditions, and amounts of the additional limited
liability and the additional annual charge there for, but this additional
obligation shall in no way be interpreted to hold us as an insurer.
15. Third Party Indemnification. When you have property belonging to
others in your custody in the ordinary course of business, or the Sysfem
protects the property of third parties, you agree to and shall indemnify,
defend, and hold us, our employees and agents harmless against all
claims brought by such parties. This provision shall apply to all claims
regardless of cause or theory of liability.
16. Commencement of Action. All actions, legal or equitable, against us
must be commenced in court within one (1 ) year after either the cause of
action has accrued or the act, omission or event occurred from which the
action arises whichever is earlier without judicial extension of time or
such action is barred, time being of the essence of this paragraph.
17. Assignment. This Contract may be assigned by you to any
successor companyy or to a new owner of your premises, upon our prior
written approval.We may assign this Contmcl to any affiliate or new
owner of our business without notice to, or approvbl by, you.
16. Bind and Inure. You agree that this Contract and particularly those
paragraphs relating to disclaimer of warranties, limitation of damages and
third party indemnification, inure to the benefit of the manufacturer of any
equipment Installed by us and to any subcontractors who provide
monitoring, maintenance, installation or service of the System provided
herein.
19. Waiver of Subrogation. In case of damage or destruction to your
premises or property by any cause within the scope of your insurance,
whether such damage was caused by us, or any party for whom we may
be responsible under the Contract, you agree that your Insurer shall not
look for reimbursement to us, or our agents, employees or assigns or to
any third party against whom you may have a claim there for.

INSTALLATION AND REPAIR TERMS AND CONDITIONS
Installation. You hereby authorize us, and our agents or assigns, to install the System in the premises. Errors or omissions in the
construction of the System must be called to our attention, in writing, within five days of the completion of the installation, and at the end
of such period, the installation shall be construed as accepted by you. You agree that we may inspect, test and repair the System, and
further make any changes in or alterations to the System you request or made necessary by any changes in your premises, property or
equipment, after the original installation has been completed, and agree to pay any additional cost. You shall not change the premises
without telling us in writing, and we will not be responsible for any failure of the System due to a change in your premises if you do not
report it and authorize any modifications of the System required in our reasonable judgment to respond to such change. You
acknowledge that we have no way of knowing of the existence of hidden pipes, wires or other obstructions within walls or other concealed
spaces, and you must tell us about them or we will not be responsible for any damages that might be caused.
You must provide phone outlets for the System and pay for any licenses or permits to install the System. You must also furnish and pay
for any necessary electric current and installation of necessary electrical outlets. You must not change your phone service after we have
installed and tested the system without first advising us.
Repairs. Unless the limited Warranty or the Extended Service Program is in effect, you shall pay for all repairs. Normal installation,
inspection, and repair work will be performed between the hours of 9:00 o'clock am. and 5:00 o'clock p.m., except for Saturdays, Sundays
and holidays. Emergency labor fees will be charged for other times.
You understand and agree that we are not responsible to inspect, maintain, repair, service, replace or be sure the System, or any devices
you may have attached to it, is operational unless you have a separate inspection contract in place or have asked us to service the
System. You acknowledge that if sprinkler supervisory or water Flow alarm services or both are provided, that you are solely responsible
to maintain them, including provision of heat where necessary and that we are not responsible for their operation in any way.
Right to Remove. Until the installation of the System is paid in full, you grant us a security interest in the System, and this Contract is
intended as a security agreement under the Uniform Commercial Code. Upon any default in payment for the System, we shall have all
rights as a secured party under the Uniform Commercial Code, including, but not limited to, the right to repossess the System and you
authorize us to remove the System or any part thereof, and/or to disconnect the System. Such removal or disconnection shall not waive
our rights to damages, or any other legal remedy.
Extended Service Program Agreement. You may enter into a separate agreement for service and repair after the Limited Warranty
expires by paying an additional service charge. The Extended Service Program will automatically renew for the same term as this
Contract, so long as you continue to pay the charge therefore, which may be increased under the same terms as apply to the monitoring
fee. See paragraph 4.
LIMITED WARRANTY
We hereby warrant to you that in the event that any part of the equipment installed shall become defective or
inoperative under normal use within 90 day from the date of the original invoice for this installation, and we decide the
equipment is defective or inoperative, we shall either replace or repair, at our option, such defective part without
charge to you except for our applicable labor charge if labor is performed at limes other than 9 am to 5 pm Monday
through Friday excepting holidays. We agree that our Limitation of Damages In paragraph 14 herein will not limit the
cost of equipment or labor expended under this Limited Warranty IN NO EVENT SHALL WE BE LIABLE FOR MORE
THAN, AND YOUR EXCLUSIVE REMEDY FOR BREACH OF THIS LIMITED WARRANTY SHALL BE LIMITED TO,
THE REPAIR OR REPLACEMENT OF DEFECTIVE EQUIPMENT INSTALLED UNDER THIS AGREEMENT, AND
WE SHALL NOT BE LIABLE FOR INJURIES TO PERSONS OR PROPERTY, INCLUDING, BUT NOT LIMITED TO
ALL.GENERAL, DIRECT, SPECIAL, EXEMPLARY PUNITIVE INCIDENTAL OR CONSEQUENTIAL DAMAGES THIS
WARRANTY IS NOT ASSIGNABLE.
If you shall discover a defect in the System supplied under this Contract, you must immediately contact us in writing
or by telephone, at the address and telephone number set forth, and fully describe the nature of the defect so we can
repair it.
Except as set forth herein, WE MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, WITH RESPECT TO THE SYSTEM, AND DISCLAIM ANY AND ALL WARRANTIES OF
MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, OR ANY OTHER WARRANTY. YOU
ACKNOWLEDGE THAT NO OTHER REPRESENTATIONS WERE MADE TO YOU OR RELIED UPON BY YOU
WITH RESPECT TO THE QUALITY AND FUNCTION OF THE SYSTEM.
We shall not be liable for repair or replacement under this Limited Warranty for damage to material or equipment

GLOSSARY OF TERMS
1. Alarm System- A device or series of devices, including, but not limited to, hardwired systems and systems
interconnected with a radio frequency method such as cellular or private radio signals, which emit or transmit a
remote or local audible, visual or electronic signal indicating an alarm condition and intended to summon law
enforcement response, including Local Alarm Systems.
2. Full Perimeter Protection -All moveable openings and glass windows/doors are protected by a security device.
3. Interior Motion Detection -A device designed to detect motion during a period when the alarm is activated and
the premise are unoccupied.
4. Glass Break Detection -A type of device used to detect the breaking of glass.
5. Emergency Panic Devices- A device designed to signal the monitoring station that the alarm user is in trouble
and requires law enforcement response.
6. Backup Radio or Internet Communication -Various methods of reporting an alarm signal to the central
monitoring station in addition to, or as a backup to digital monitoring.
7. Service Plan -Various levels of service agreements that are offered to continue the proper operation of the
alarm system.
8. Fire and Smoke Protection -Additional smoke or heat detection devices that are added to the system offering
early warning in the event of a fire.
9. Security Screens -A type of perimeter security device that is designed to detect an intruder forcing entry into a
protected premise.
10. UL Listed System -Relates to a third party verification of installation quality and meeting a predetermined
standard. Usually refers to commercial burglar alarms, although fire alarms may be UL listed in certain
jurisdictions.
11. Open and Closing Signals/Reports-Weekly, biweekly, or monthly reports of the arming (close) and disarming
(open) of the security sytem,
12. Supervised Open and Close Service- Supervision by the central monitoring station of the arming and
disarming of a system. Usually used on commercial systems.
13. Closed Circuit Television (CCTV) -A system of components designed to view and/or record images of certain
areas of a premise. Usually used in commercial applications.

relays an Alarm Dispatch Request to the municipality for the purpose of summoning law enforcement to the
Alarm Site.
