WEBSITE REDEVELOPMENT AGREEMENT
This Contract for Services (this "Contract") is made effective as of May 14th, 2015,
by and between the Town of Gulf Stream, with a Town Hall located at 100 Sea
Rd, Gulf Stream, FL, and Green Group Studio, Inc. of 8461 Lake Worth Road, Lake
Worth, Florida, 33467. In this Contract, the party who is contracting to receive
services will be referred to as'The Client," and the party who will be providing the
services will be referred to as'The Consultant."
1. DESCRIPTION OF SERVICES. The Consultant will provide to The Client the
completed services described in Exhibit A (collectively, the "Work Product").
2. PAYMENT FOR SERVICES & DELIVERABLES. In exchange for the Services,
The Client will pay The Consultant according to the following schedule:
Website Development Fees are as follows:
$5,250 for a user -editable, Wordpress content management system (CMS)
Website — to include Design Programming & Testing. Text and images to be
reused from the previous website whenever possible. Additional content
creation, design and photography is available as an Additional Service.
Delivery/Payment Schedule:
The development will take approximately 6-8 weeks.
Payments:
50% deposit;
25% due upon approval of the homepage design mock-up. Once the
homepage design is delivered, we will include up to 2 rounds of revisions.
Any material revisions to the previously approved design may be additional;
25% due upon acceptance of final changes, and we will set the website
'give".
Web hosting to continue Q $25/month, prepaid quarterly (or annually at a
10% discount).
3. TERM. This Contract will terminate automatically upon completion by The
Consultant of the Services required by this Contract.
4. WORK PRODUCT OWNERSHIP. Upon request, The Consultant will execute all
documents necessary to confirm or perfect the exclusive ownership of The Client
to the Work Product. It is also understood that the Consultant may use the Work
Product in any marketing materials.
5. WARRANTY. The Consultant shall provide its services and meet its obligations
under this Contract in a timely and workmanlike manner, using knowledge and
recommendations for performing the services which meet generally acceptable
standards in The Consultant's community and region, and will provide a standard
of care equal to, or superior to, care used by service providers similar to The
Consultant on similar projects.
6. REMEDIES. In addition to any and all other rights a party may have available
according to law, if a party defaults by failing to substantially perform any
provision, term or condition of this Contract (including without limitation the
failure to make a monetary payment when due), the other party may terminate
the Contract by providing written notice to the defaulting party. This notice shall
describe with sufficient detail the nature of the default. The party receiving such
notice shall have 30 days from the effective date of such notice to cure the
default(s). Unless waived by a party providing notice, the failure to cure the
default(s) within such time period shall result in the automatic termination of this
Contract. The Consultant is also entitled to collections/attomey fees relating to
collections of unpaid bills.
7. ENTIRE AGREEMENT. This Contract contains the entire agreement of the
parties, and there are no other promises or conditions in any other agreement
whether oral or written concerning the subject matter of this Contract. This
Contract supersedes any prior written or oral agreements between the parties.
B. SEVERABILITY. If any provision of this Contract will be held to be invalid or
unenforceable for any reason, the remaining provisions will continue to be valid
and enforceable. If a court finds that any provision of this Contract is invalid or
unenforceable, but that by limiting such provision it would become valid and
enforceable, then such provision will be deemed to be written, construed, and
enforced as so limited.
9. AMENDMENT. This Contract may be modified or amended in writing, if the
writing is signed by the party obligated under the amendment.
10. GOVERNING LAW. This Contract shall be construed in accordance with
the laws of the State of FL.
11. NOTICE. Any notice or communication required or permitted under this
Contract shall be sufficiently given if delivered in person or by certified mail,
return receipt requested, to the address set forth in the opening paragraph or to
such other address as one party may have furnished to the other in writing.
12. ASSIGNMENT. Neither party may assign or transfer this Contract without the
prior written consent of the non -assigning party, which approval shall not be
unreasonably withheld.

Exhibit A
Services:
Redevelop existing website with a new Wordpress Content Management System
(CMS) website.
Design and develop a Wordpress Content Management System (CMS) website for The
Client. Website will feature a new design and will be responsive so that it will scale to fit
multiple devices (including tablets and mobile phones). This revamping of the existing
Gulfstream (Joomla) website will be using the latest Wordpress content management
system (CMS). This framework will allow the Client to more easily edit his/her own
content. This will also make the website more secure, as it will be a currently supported
version (whereas the Joomla is running on a deprecated/unsupported version).
Website includes:
User -editable Content- Log in and edit your page content using a web browser -
no special software required. Website includes up to 10 pages, including a
Contact Form. Additional pages available as an additional service.
Responsive Design - Content will automatically re -orient to fit mobile devices and
tablets.
Auto-scrolling/Rotating Homepage Banner- Design may include up to 3 slide
images and/or text to "feature" aspects of the City (depending on approved
template).
Cross -Browser Compatibility - We test in all current browsers (Chrome, Firefox,
Safari and Internet Explorer- from current version to Internet Explorer 8.0).
Previous IE version compatibility is available as an additional service.
Personalized Training - Includes one (1) hour-long training session, recorded for
your future reference. Client may choose from online training, or training at the
Consultant's office (near Lake Worth Road and the Turnpike).
The Website Development Process will begin with the selection and client
approval of our recommended Wordpress template for framework, which we will
customize and modify the design to fit the project goals. A new design is
included (with up to 2 rounds of revisions prior to coding). We anticipate the
website development to take approximately 7-9 weeks.
Website Maintenance (after completion of initial development) to be billed as an
additional service per the rate schedule below.
NOTES:
• Additional Client -approved stock photography will be billed as a reimbursable.
REGARDING MEETINGS:
1 meeting is included in this agreement, which may be an instructional demo on
how to use the website features and edit website content (Client may elect an
online meeting in lieu of face-to-face meeting as well).
For additional client -requested face-to-face meetings, Travel billed as a
reimbursable (mileage and reduced travel hourly rate). NOTE:
videoconferencing can eliminate the need for travel in most cases.
ADDITIONAL SERVICES:
Any extra services not included in this proposal's scope of Services, are available for an
additional fee. At any time if The Consultant is asked to do something outside of the
original scope of services, he will let The Client know what any additional charges will be
and add a change order that will be an addendum of this contract before such services
are rendered. Additional Services include but are not limited to: modification or
manipulation of any submitted copy or images prior to website posting on the website,
any redesigning or modifications to any previously approved designs, any edits or
additions to the website, including additional pages.
RATE SCHEDULE FOR ADDITIONAL SERVICES:
$115/hr Principal; $85/hr Designer;
$100/hr Prof. Translation (Eng <->Sp.); $75/hr Professional Copywriter;
$90/hr Programmer; $45/hr Jr. Copywriter
