Home My Public Portal AboutWebsite Development Agmt 2012gree roup T iDiO WEBSITE DEVELOPMENT AGREEMENT This Contract for Services (this "Contract') is made effective as of August 29th, 2012, by and between the Town of Gulf Stream, with a Town Hall located at 100 Sea Rd, Gulf Stream, FL, and Green Group Studio, Inc. of 8461 Lake Worth Road, Lake Worth, Florida, 33467. In this Contract, the party who is contracting to receive services will be referred to as "The Client," and the party who will be providing the services will be referred to as "The Consultant." 1. DESCRIPTION OF SERVICES. The Consultant will provide to The Client the completed services described in Exhibit A (collectively, the "Work Product'). 2. PAYMENT FOR SERVICES & DELIVERABLES. In exchange for the Services, The Client will pay The Consultant according to the following schedule: Website Development Fees are as follows: $3,000 for a user -editable, content management system (CMS) Website — to include Design & Programming (plus any optional extras per Proposal #113, including Stock Photography). Text and images for the website to be provided by the Client. Content creation and photography is available as an Additional Service. Delivery/Payment Schedule: Please note that for the delivery timeframe(s) to be maintained, the Client must exercise reasonable follow-up with delivery of any pertinent reviews and content that is needed for the website. The development will take approximately 4 weeks. Payments: $1,500 deposit; design to be presented within 10 business days; up to 2 rounds of revisions to the design are included. Once design is confirmed, we will begin programming the approved design. $750 due upon delivery of beta release of website. Once the beta website is delivered, we will include up to 2 rounds of revisions. Any material revisions to the previously approved design may be additional; $750 due upon acceptance of final changes, and we will set the website 'live". NOTE: Optional items (marked with a quantity of "0" in the Proposal #113) to be billed in addition to the above fee, if requested by The Client. After Launch — Optional Web hosting @ $25/month, prepaid quarterly (or annually at a 10% discount). 3. TERM. This Contract will terminate automatically upon completion by The Consultant of the Services required by this Contract. 4. WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively the "Work Product') developed in whole or in part by The Consultant in connection with the Work Product will be the exclusive property of The Client. Upon request, The Consultant will execute all documents necessary to confirm or perfect the exclusive ownership of The Client to the Work Product. It is also understood that the Consultant may use the Work Product in any marketing materials. The Consultant may also have the text (in a subtle manner) "Website by Green Group Studio" in the footer of the website with a link to the Consultant's website. 5. WARRANTY. The Consultant shall provide its services and meet its obligations under this Contract in a timely and workmanlike manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in The Consultant's community and region, and will provide a standard of care equal to, or superior to, care used by service providers similar to The Consultant on similar projects. 6. REMEDIES. In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term or condition of this Contract (including without limitation the failure to make a monetary payment when due), the other party may terminate the Contract by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 30 days from the effective date of such notice to cure the default(s). Unless waived by a party providing notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this Contract. 7. ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties. 8. SEVERABILITY. If any provision of this Contract will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited. 9. AMENDMENT. This Contract may be modified or amended in writing, if the writing is signed by the party obligated under the amendment. 10. GOVERNING LAW. This Contract shall be construed in accordance with the laws of the State of FL. 11. NOTICE. Any notice or communication required or permitted under this Contract shall be sufficiently given if delivered in person or by certified mail, return receipt requested, to the address set forth in the opening paragraph or to such other address as one party may have furnished to the other in writing. 12. ASSIGNMENT. Neither party may assignor transfer this Contract without the prior written consent of the non -assigning party, which approval shall not be unreasonably withheld. REGARDING MEETINGS: 2 meetings are included in this agreement. 1 to review the design prior to beginning programming (if required by the Client), and another meeting near launch time for an instructional demo on how to use the website features and edit website content (Client may elect an online GoToMeeting in lieu of face-to-face meeting as well). For additional client -requested face-to-face meetings, Travel billed as a reimbursable (mileage and reduced travel hourly rate). NOTE: videoconferencing can eliminate the need for travel in most cases. ADDITIONAL SERVICES: Any extra services not included in this proposal's scope of Services, are available for an additional fee. At any time if The Consultant is asked to do something outside of the original scope of services, he will let The Client know what any additional charges will be and add a change order that will be an addendum of this contract before such services are rendered. Additional Services include but are not limited to: modification or manipulation of any submitted copy or images prior to website posting on the website, any redesigning or modifications to any previously approved designs.
