Re: Consulting Design Services Agreement for Preparation of an Asset Management and Enhancement Master
Plan of the 27 hole municipal McCall Golf Club golf course for use in long range course improvement
planning.
David Druzisky,hereinafter referred to as the GOLF COURSE ARCHITECT,hereby offers his professional services as
the GOLF COURSE ARCHITECT for the purpose of developing plans and supporting documentation and supporting
related services described in this Agreement.
In the planning and development of this project,the GOLF COI TRSE ARCI-III'ECT will perform professional services
as hereinafter set forth with the City of McCall, Idaho and McCall Golf Club, McCall, Idaho hereinafter referred to as
the CLIENT.
The GOLF COURSE ARCHITECT and the CLIENT, by affixing their signatures hereto, hereby agree to the terms
and conditions set forth herein.
Article I-GOLF COURSE ARCHITECT'S Master Planning Services
1-it General Responsibilities of the GOLF COURSE ARCHITECT
T1,, GOLF COURSE ARCHITECT shall:
• Become acquainted with,and develop recommendations based on approved project objectives.
• Perform services under this agreement expeditiously, consistent with professional skill. Work under this
Agreement shall be complete by July 15,2020,providing there are no unforeseen delays beyond the control of
the GOLF COURSE ARCHITECT.
• Periodically consult, communicate with, and submit documents or make presentations to the CLIENT during
the project. The GOLF COURSE ARCI-HTECT shall coordinate its services with services and information

• Maintain confidentiality in all activities except as released in writing by the CLIENT, unless this would violate
the law,create public risk or limit the GOLF COURSE ARCHITEC T's lawful lights.
• Abide by the American Society of GOLF COURSE ARCHITECT's Professional Code of Conduct,which is
attached as a binding part of this agreement.
I-B PHASE I-Program Development and Course Evaluation
In this phase the GOLF COURSE ARCI-ITI'ECT shall:
• Conduct an initial review and evaluation of the CLIEN 's entire existing facilities and 27 hole golf course.
Confirm accuracy of provided and or available course mapping. Time shall be spent on the golf course property
and with CI LENT staff in review of the existing course and facilities.
• Determine Master Plan Programming and establish specific goals and objectives of the Master Plan
recommendations. Meet with appointed CLIENT representatives to discuss the Master Plan effort. Establish a
Master Plan mission statement.
• Master Plan Scope will include but is not limited to the following areas:
- 27 I-Iole golf course
- Practice Facilities and Amenities
- Parking,Entry and Arrival
- Clubhouse interface area including all outside golfer services areas,uses and facilities
• Consult with the CI JF,,NT regarding specific areas of concern or interest on the golf course for inclusion in the
Master Plan.
• Areas of Study Areas of the golf course to be addressed include but may not be limited to the following.
- Greens and Greens Complexes
- Bunkers
- Tees
Grassing lines,CTrass limits and types
- Cart and player paths(course and clubhouse).
- Irrigation system
- Golf course drainage systems
- Par and Yardage
- Safety
- Ponds,lakes and other water features
- Trees and design related vegetation
- Practice facilities
- Misc Elements

• Visits GOLF COURSE ARCHITECT will conduct multiple visits to the course in this phase to meet with the
designated CLIENT"representatives and facility staff,gather information about the course facilities and to study
the existing course. A.total of approximately 4 days will he spent at the course.
I—C PHASE II-Preliminary Master Plan
In this phase the GOLF COURSE ARCHITECT shall:
• Asset Analysis Develop and provide a report that identifies the current age and condition of the existing course
infrastructure and features. Industry standard lifecycles will he used to illustrate the status of each identified area
and to project time frames for replacement,upgrade or restoration as aging assets of the golf facility.
• Preliminary Recommendation Plan Develop and provide a draft plan depicting an identified initial scope of
recommended design oriented improvements and enhancements for the golf holes and or it's features. Design
recommendations will he illustrated superimposed over the existing conditions for reference.
• Present Preliminary Documents and associated documentation to the designated CLIENT representatives for
their consideration and discussion. One visit to the CLIENT is included.
I—D PHASE III-Final Master Plan and Supporting Documents
In this phase the GOLF COURSE ARCHITECT shall:
• Prepare a Final Master Plan, depicting approved elements of the Master Plan for the golf course and other
CLIENT facilities based on the previous review and discussions of the preliminary Master Plan
recommendations. The plan will include a brief summary on a hole-by-hole and facility-by-facility basis, a
scorecard representing any resulting yardage and par changes, and a listing of other general recommendations
not suited for graphic illustration and needed commentary about CLIENT facilities.
• Prepare a Written Report of the final scope of recommendations including the reasoning used in determining
each and their benefits.
• Prepare a Potential Cost Estimate for the improvements contained in the final scope of Master Plan
recommendations for the golf course. The estimate will be based on the proposed methods of construction,
utilizing area and/or volume estimates,unit pricing, or similar conceptual estimating techniques. However,the
GOLF COURSE ARCHITECT does not warrant that construction costs will not vary from this estimate. No
estimate will be developed for non-golf related CI IFNT facilities.
• Provide all Final Documents GOI,F COURSE ARCHI I'LCT will provide CLIENT with copies of all final
Master Plan and associated documentation including digital files for use in reproduction or distribution.

• Presentation Meeting GOLF COURSE ARCHITECT will be available as requested to attend a final
presentation to City/Client representatives of the final plan.
I—E SUPPLEMENTAL SERVICES
The GOLF COURSE ARCHITECT shall provide only the basic services specifically enumerated in Article 1,
sections A — D for the lump sum fees shown on page 5. However, as requested by the CLIENT, the GOLF
COURSE ARCHITECT may provide supplemental services to the CLIENT after execution of this
Agreement or as might be requested and approved in addition to the scope of the agreement, without
invalidating the Agreement.
Supplemental Services required by changes in scope of services requested by the CLIENT and not the fault of the
GOLF COURSE ARCHITECT, shall entitle the GOLF COURSE ARCHITECT to an adjustment in
compensation on a mutually agreeable basis in accordance with the hourly rates and per diem rates on page 6. The
GOLF COURSE ARCHITECT shall not provide any Supplemental Service without prior consent and approval
of the CLIENT regarding scope of work and fees.
Included Supplemental Services
The following services requiring the use of an outside consultant are included within this agreement:
1. Basic Irrigation System Audit—An Audit of the existing irrigation system,it's design and condition will he
conducted by the Golf Course Irrigation consulting firm Baer Design Group, Boise, ID. Fees and expenses
for all services rendered by Baer design Group are included within this agreement and are the responsibility
of the GOLF COURSE ARCHITECT. Areas included in the audit include the following:
- Baer design Group will make a two day site visit to thoroughly inspect the condition and operation
of all irrigation components on the golf course including pump station, central control system
(software, programming, database entry and flow tree), weather stations, irrigation
controllers/pedestals, electrical systems, grounding, valves, sprinklers,sprinkler spacing and review
the irrigation as-built. Findings will be summarized with multiple recommendations for
improvement to irrigation usage, course playability and maintainability accompanied with phasing
solutions and estimated costs for suggested improvements.
Supplemental Services Available upon Request and Approval by Client Requiring Additional Fees
1. Graphic Presentation Pieces
- Any artistically rendered artwork for presentation purposes including perspective renderings and
colored illustrative plans desired and requested for use in public presentations or meetings.
2. Production of digital web based versions of the master plan or associated rendered graphics.
3. Attendance at and preparation for public outreach or council meetings as might be requested.

Supplemental Services Outside the Scope of this Agreement Requiring Outside Consultants
1. Pre-Design Studies
Providing services or consultants for the development of special studies often required,including,but not limited
to:
• Financial or market analysis,pro formas or other feasibility studies.
• I listorical or environmental studies including wetlands delineation, Phase I EAW, EIS reports, and IPM
Plans,etc.
• Landscape Architecture and Civil Engineering
• Pre-Design Engineering studies including Soil Testing, Ilydrology Studies, Geo-Technical Services, or
Traffic Studies or reports.
• Surveying existing conditions and preparation of base mapping for use in planning and design.
• Providing promotional material including scale models,videos or brochures.
• Obtaining permits for the project of any kind.
2. Providing Consultants
The GOLD COURSE ARCHITECT shall not provide services of any consultants not stipulated in this
Agreement unless approved by the CI,IFNIT.
3. Services not Provided Under this Agreement
• Revising previously approved documents to accomplish changes not initiated by the GOLF COURSE
ARCHITECT.
• Providing services as a witness in connection with any public hearing, arbitration proceeding, or the
proceedings of a court of record.
• Providing Project Administration Services for other CLIENT"designated consultants.
• Providing any service not specifically provided in Article I.
Article II-GOLF COURSE ARCHITECTS Compensation
II—A Pees for Services
Payments shall he made monthly upon presentation of GOLF COURSE ARCHITECT's invoices,which shall
be in proportion to services performed,increasing total payments for Basic Services to the following amounts at
the completion of each phase of the project:
Phase I—Program Development and Course Evaluation S5,000.00

It is anticipated that this phase of the project can be completed in four (4) weeks, assuming no difficulties
scheduling meetings with the CLTENI"s representatives. During this phase the GOLF COURSE
ARCHITECT will make up to three(3)trips to the CLIENT"for study and meetings.
Phase II—Preliminary Master Plan $6,500.00
It is anticipated that this phase of the project can he completed in four (4) weeks, assuming no difficulties
scheduling meetings with the CLIENI's representatives. During this phase the GOLF COURSE
ARCHITECT will make one(1)trip to the CLIENT"for presentation and review of the plan and participate in
other scheduled meetings.
Phase III-Final Master Plan $5,000.00
Upon completion of Phase II services,it is anticipated that this phase of the project can be completed in two(2)
weeks, assuming no difficulties scheduling meetings with the CLIENT'S representatives. No visits are
anticipated or included in this phase.
Total Fee $16,500.00
II—B Hourly and Per Diem Rates
Where the method of compensation for any services is an Hourly or Per Diem basis, the fee shall be based on
the GOLF COURSE ARCHITECT's time record and rates listed below:
• I)esign and Consultation at a fixed rate of one hundred twenty dollars ($120.00) per hour, not-to-exceed
one thousand two hundred dollars($1,200.00)per day.
• Additional requested presentations at a rate of$500 each plus travel and production related expenses.
• Drafting and production at a fixed rate of sixty dollars ($60.00) per hour, or not-to-exceed six hundred
dollars(8600.00)per day.
• Secretarial/Clerical time at a fixed rate of thirty-five dollars ($35.00) per hour, or not-to-exceed three
hundred fifty dollars($350.00)per day.
II—C Additional Visits and Time
GOLF COURSE ARCHITECT may at his sole discretion visit the CLIENT" and spend additional time on
the property throughout the master planning effort. GOLF COURSE ARCHITECT will notify CI,FFNT"in
advance whether a scheduled visit to the property is a "no additional fee' visit and related expenses. GOLF
COURSE ARCTII'T'ECT will receive no additional fees for such efforts,but all related expenses will qualify as
reimbursable expenses. All extra expenses including reimbursable expenses require CI.TFNT"approval.

Reimbursable expenses are in addition to compensation for Basic Services and any Supplemental Services. ''
Reimbursable Expenses include actual expenditures made by the GOLF COURSE ARCHITECT, their
employees, or sub-consultant's retained (if any), or their sub-consultants in the interest of the project for the
following:
Travel Expense, as applicable GOLF COURSE ARCHITECT will be reimbursed for over-night lodging in
McCall only. These expenses are applicable to the basic services in phases I, II and III as well as other
supplemental services approved by the CI.IE.NT. GOLF COARSE ARCHITECT will receive no
compensation for reimbursement of expenses for travel to and from McCall including mileage or fuel expenses, ,
nor for meals.
Reproduction Costs, including contracted blueprints or computer plots, and other copies or reproductions in
connection with the project and will be invoiced at cost monthly.
Postage and Delivery Expenses, including postage and courier costs and other handling and delivery or
Instruments of Service.
Other Project Related Expenses, including expendable surveying supplies, and any project related equipment
rentals,special renderings or display materials,models and mock-ups,if requested by the CLIENT.

Compensation for Special Taxes, if the project is in a state, city or county that requires sales or other specific
taxes on professional services. If, during the course of the project, any government authority enacts new or

additional sales or specific taxes, surcharges or fees on professional services, the CLIENT shall also compensate
the GOLF COURSE ARCHITECT.
II—E Payment Terms
All amounts due the GOLF COURSE ARCHITECT under this Agreement are due thirty(30) days from the
invoice date. Late payments shall be subject to interest charges. The interest rate shall be 11/z%per month.

Whenever interest charges are due the GOLF COURSE ARCHI'T'ECT under this Agreement, and current
payment does not fully cover the total invoice amount,these partial payments shall be credited first to interest in
full,then to expenses and lastly,to professional fees.

Fees and other applicable charges in this Agreement, including hourly rates and any fees for incomplete phases
of work (not the fault of the GOLF COURSE ARCHITECT) shall increase automatically by ten percent
(10%)on August 1,2020,and a maximum of ten percent(10%)per annum thereafter.
Article III-CLIENT s Responsibilities
• The CLIENT will provide all necessary accurately scaled base maps depicting all boundary line data and legal
description applicable,topography(1'or 2'contour intervals), existing vegetative cover,rock formations,existing
structures, and site features including streams, wetlands and water bodies,to the designated site so that accurate
construction documents can be produced for the construction phase and used by other project team members.
These base maps are to be provided to the GOLF COITRSE ARCHITECT(in a timely basis) and are to be of

an approved format for use including scaled AutoCAD DWG files, Orthorectified aerial photography, and
JPEG.
• The CLIENT will provide the GOLF COURSE ARCHITECT with construction budget figures as an aid in
setting practical limits on the design.
• The CLIENT will make available the information it has as to rock formation, soil type, water supply, utilities,
etc.
• Preliminary estimates of construction cost and detailed estimates of construction cost, if any, prepared by the
GOLF COURSE ARCIIITECT,represent the GOLF COURSE ARCI-TIT ECT'S best judgment as a design
professional familiar with the construction industry. Precision of these estimates shall be to reasonable and
acceptable conceptual cost golf industry standards.It is recognized,however,that neither the GOLF COURSE
ARCHITECT nor the CLIENT has control over the cost of labor, materials or equipment, over the
contractor's methods of determining bid prices, or over competitive bidding, market or negotiating conditions.
Accordingly, the GOLF COURSE ARCHITECT cannot and does not warrant or represent that bids or
negotiated prices will not vary from any estimate of construction cost or evaluation prepared or agreed to by the
GOLF COURSE ARCHITECT.
• The CLIENT will pay all fees when due as provided in this Agreement.
Article IV-Agreement Terms and Provisions
• This Agreement may be terminated by either party upon seven(7)days written notice should the other party fail
substantially to perform in accordance with the terms of this Agreement through no fault of the party initiating
the termination. The CLIENT may terminate or suspend the Agreement for convenience and without cause.
If such termination or suspension is not the fault of the GOLF COURSE ARCHITECT, the GOLF
COURSE ARCHITECT shall he compensated for Services and Reimbursable Expenses earned or accrued
before termination based on his calculation and submittal of percent complete as invoiced..
• The CLIENT shall notify GOLF COURSE ARCHITECT of, and provide reasonable opportunity to remedy
any faults in performance. If GOLF COURSE ARCHITECT fails to provide satisfactory remedy, then the
Cl,TFNT and the GOLF COURSE ARCHITECT shall endeavor to settle unresolved claims and disputes
between them by mediation as a condition precedent to arbitration or the institution of legal or equitable
proceedings by either party.
• This Agreement represents the entire and integrated Agreement between the Cl.IENT and the GOLF
COURSE ARCHITECT and supersedes all prior negotiations,representations, or agreements either written or
oral. The CLIENT and the GOLF COURSE ARCHITECT only in writing may amend this Agreement. If
any provision of this Agreement is found to be void, invalid or unenforceable for any reason, that term or
provision shall be stricken from this agreement and the balance of the Agreement shall remain enforceable.
Nothing in this agreement is intended to create a contractual relationship for the benefit of any third party.
There are no intended beneficiaries of this Agreement except the GOLF COURSE ARCHITECT and the
CLIENT. Neither the CLIENT nor the GOLF COURSE ARCHITECT shall assign or transfer their interest
in this Agreement without the written consent of the other.

• Cf.TENT must accept and sign this Agreement, with one executed copy and the initial payment returned to the
GOLF COURSE ARCHITECT within 60 days of signature by the GOT.F COURSE ARCHITECT. After
this time,this offer is invalid and a new Agreement will be offered,if desired.
• Unless otherwise specified, this Agreement shall be governed by the law of the state in which the project is
located. Any legal action arising from this contract must be brought in Boise,Idaho.
