SUBJECT: APPROVAL OF DESIGN PROFESSIONAL SERVICES AGREEMENT WITH DAVID VOLZ DESIGN FOR THE DEVELOPMENT OF DESIGN PLANS AND CONSTRUCTION DOCUMENTS FOR THE FUTURE PARK ON PRIMROSE AVENUE RECOMMENDATION: The City Council is requested to : 1. Approve a Design Professional Serv ices Agree m ent with David Vo lz Des ign to deve lop des ign plans and construction documents fo r the future park on Primrose Avenue (Attachment "A ") in an amount not to exceed $139 ,279 ; 2 . Authorize the City Manager to fin ali ze and execute the Design Profess io nal Serv ices Agreement with David Volz Design ; and 3. Approve a budget amendment in the amount of $46 ,250 from the General Fund Reserve (undesig na ted fund ba lan ce ). BACKGROUND: 1. In January 2019 , the City Council authorized pre-development activit ies for a new park and parking lot at the City owned properties located at 5922 and 5934 Pri m rose Avenue (Primro se properties). 2 . On February 5 , 2019, the City Council d irected the City Manager to sol icit proposals for the preparation of design plans and construction documents for a new park and repos it ioned public parki ng lot at the Pri m rose properties . 3 . On March 1, 2019 , the City issued a Request for Proposals (RFP ) for the development of design plans and construction documents for the future park on Primrose Avenue . A total of nine proposals were rece ived by the Apri l 1, 2019 , City Council May 7 , 2019 Page 2 of 3 deadline. Staff reviewed the proposals and selected three firms (i .e ., David Vo lz Design , Verde Design , and R HA Landscape Architects) for interviews based on the scope of work , understanding of the project, past experience on similar projects , and proposed fees . 4 . On March 5 , 2019 , the C ity Counci l directed staff to pursue a competitive grant under Propos ition 68 , a statew ide bond measure that provides funding for new parks and park improvement s . The City's grant application will seek funding for the new park on Primrose and request monies for pre-development and construction costs . Applications are due by August 5 , 2019. 5 . On April 23, 2019 , City staff (i.e., Cathy Burroughs, Parks and Recreation Director; M ich ael Forbes , Commun ity Development Director; Brian Haworth , Assistant to the City Manager; Steve Lawson , Parks and Recreation Manager; and Ali Cayir, City Engineer) interviewed the selected firms and unan imou sly recommended the City enter i nto an agreement with David Volz Design to develop design p lans and construction documents for the future park on Primrose Avenue. ANALYSIS: In an effort to address the critical lack of park and open space i n the City , the City Council made a decision in January 2019 to develop the Primrose properties into a small neighborhood park. The park would encompass approximately one-half a cre with the remaining acreage being used for downtown parking . To begin the process, Council directed staff to solicit proposals from qualified landscape architectural firms to develop design plans and construction documents for the new park . An RFP was developed to solicit proposals for professional design services for the future park on Prim rose Avenue . The RFP was posted on the City's website and in various plan rooms . A total of nine proposals were received by the published deadline of April1 , 2019 . Following is a summary of the proposa ls received : Name Location Pro posed Fee BMLA, Inc . David Volz Des ign has designed hundreds of neighborhood and commun ity parks in southern California . They are very familiar with Proposition 68 and the competitive grant requirements . They are LEED accredited and are a Qual ified Stormwater Designer (QSD) company . CITY STRATEGIC GOALS: Approval of th is item will further the City's Strategic Goals of Good Governance , Quality of Life and Sustainable Infrastructure . FISCAL IMPACT: On March 19, 2019 , the C ity Council approved a recommendati on from staff to allocate $43,800 in unspent funds from CIP-12 (Primrose Properties Demolition ) to CIP-42 (Primrose Park & Parking Lot). At that time , the Council also appropriated $56,200 from the General Fund Reserve to CIP-42 for design development services bri ng i ng the total for design of the new park and parking lot to $100 ,000 . An add itional $46 ,250 is requ ired which includes a 5% contingency. If the C ity is successful in securing a grant through Proposition 68 , pre-development costs are eligible for reimbursement. (a) ubject to an y limitati ons se t forth in this Agree ment, City agrees to pay Design Profess ional th e amounts s pecified in Exhibit "B" "Co mp ensation" and made a part o f this Ag reement by this reference. The total compensati on , including reimbursement for actual expenses, shall not exceed o ne-hundred and thirty-nine thou sa nd , tw o -hundred a nd seve nty-nine dolla rs ($139,279), unle ss additiona l co mpensation is approved in writin g in acco rd ance with Section 26 "A dmini st rat ion and Impl e men tation " or Sectio n 28 "Amendment" of this Agreeme nt. (b) Eac h mo nth Design Profes s io nal sha ll furnish to C ity a n o ri g inal in voice fo r all wo rk performed and expenses incurred during the pr ecedin g mo nt h. T he in voice sha ll de tai I c ha rges by the followi ng ca tego ries: labor (by s ub-ca tegory), trave l, mate rial s, e quipment, s uppli es, a nd s ubcontractor contrac ts. Sub-con sultant c ha rges shall be detai led by th e following categories: labo r , travel, mate ri als, e quipm e nt a nd s upplies. If the co mpen sation set forth in s ub section (a) an d Exhibit "B" in c lud e payment of labor on an hourl y basis (as o pposed to lab o r and materials being paid as a lump s um), the labor category in each invoice s hall include deta il ed de sc ription s of task perfo rmed and the amount of time incurred for or a ll oca ted to that ta s k. City sha ll independently revi ew eac h invo ice s ubmitt ed by the Design Professional to determine v heth e r the work performed a nd expenses incurred are in com pi iance with the provisio ns of thi s Agreement. In th e event that no c harges o r expenses are disputed, the invoice s ha ll be approved and paid according to the terms set forth in subsection (c). In th e event any cha rges or expenses are disputed by City, the or igina l inv oice s hall be re turn ed by C it y to Design Pr ofessiona l for co rrecti o n and resubmi ss io n. 3 (c) Except a s to a n y c harges fo r wo rk p e rfo rm e d o r expen ses inc urre d by D esign Professio na l w hi ch a re dis pute d b y C ity, C it y w ill use its best effo rt s to cau se Des ign Profess io na l to b e pa id wi thin fo rty -fi ve (4 5) days o f receipt o f Des ig n Pro fessio n al 's correct a nd undi s puted in vo ice. SECTION 5 . INSPECTION AND FINAL ACCEPTANCE . Access to such documents a nd reco rd s s hall be grant ed to C it y, as well as to it s s uccessors in inte res t a nd aut hori ze d representat ives. SECTION 8. INDEPENDENT CONTRACTOR. (a) Design Profess ional is and sha ll at a ll times remain a w ho ll y independent contractor and no t an offi cer, e mpl oyee or agent o f C ity. Desig n Pr o fess ional sha ll have no aut ho rit y to bind City in a ny manner , no r to inc ur any o bli gat io n, debt or li ab ility of any kind o n be half of o r aga in s t City, whethe r by co nt ract o r otherwise, unless such authority is expressly conferred under thi s Ag ree ment or is oth e rwi se exp ressly co nferr ed in writing by C it y. (b) The person nel performing t he Services under this Agreeme nt o n behalf of Desig n Profe ss io na l sha ll at al l time s be und e r Des ign Pr ofess io nal 's exc lu s ive di rect ion and co ntro l. Ne ith e r C it y, nor any e lected or a pp o inted boards , officers, officials, em pl oyees or agents of C it y, s hal l hav e co ntr o l over t he co ndu ct of Des ign Profe ss iona l o r any of Des ign Professiona l's o ffi cers, e mpl oyees, or agent s except as set forth in thi s Agreeme nt. Des ig n Profess iona l shall not at any time o r in a ny manner re present th at Des ign Professional or any of Des ign Professional 's office rs, emp loyees, o r agents are in any mann er offic ials, officers, e mployees or agents of C it y. (c) Nei ther De s ign Profess ional , nor a ny of Design Profes s ional 's offi cers, emplo yees or agents, shall ob tain any rig ht s to retirement , hea lth care o r an y other be nefi ts wh ich may oth erw ise acc ru e to C it y's empl oyees. Des ign Profess iona l express ly waives any c laim Design Pr ofessiona l may hav e to any s uc h right s. 5 -----·---- SECTION 9. STANDARD OF PERFORMANCE. Des ign Pro fessional repre sent s and warrants that it ha s the qualificati o ns, expe rience a nd facilitie s necessa ry to pr o pe rl y perform th e Se r v ices required under thi s Agreement in a th o rough, co mp eten t and pr o fe ss io na l mann e r. Des ig n Pr ofess ional sha ll at a ll tim es faithfull y, co mp ete ntl y and to the best of it s ab ilit y, ex pe ri e nce a nd talent, perform all Services . In mee tin g it s o bli ga ti o ns und e r this Agreement, Des ign Pr ofessio nal s hall employ , at a minimum , ge neral ly acce pt ed standard s and pr ac ti ces utili zed by person s e ngage d in prov iding se rvice s s im ilar to th e e rvi ces re quired o f De s ign Pr ofess io na l under thi s Agree ment , and shal l use such s kill , pruden ce, a nd diligence as o th e r memb e rs of De s ign Professi onal's profe ss ion com monl y posse ss and exe rc ise. In addition to the ge neral s tandard s of pe rfo rman ce se t forth thi s sectio n, a dditi o nal spec ifi c sta nd ards of performa nce a nd performance criteria ma y be se t forth in Ex hibit ··A" ·· co pe of Work " th at s hall a lso be applic a ble t o Design Pr ofe ss io na ls wo rk under thi s Ag reement. Where ther e is a co nfli c t between a ge ne ra l an d a specific standard of perfo rman ce or perfo rm a nce crite ria , th e specific s tandard o r c rit e ri a shall prevail ove r th e ge ne ral. SECTION 10. LICENSES. COMPLIANCE WITH APPLICABLE LAWS; PERMITS AND Des ig n Pr o fe ss ional s hall kee p it se lf info rm e d of a nd co mply with all applicable federal , stat e and loca l laws . statute s, co de s, o rdinances , re g ul at ions and rul es in effec t during th e ter m of this Ag ree ment. Des ig n Profess io nal shall o bt a in a ny and a ll li ce nses, permit s a nd authori za ti o ns neces sa ry to pe rfo rm the Services set forth in thi s Ag ree ment. Neither City, no r any e lected o r app oi nted boards, o fficer s, offic ial s, e mplo yees or age nt s of City, shall be liable, at law o r in eq u ity, as a res ult of any failure of Desig n Pro fe ss ional to co mpl y with thi s secti on. SECTION 11. PREY AILING WAGE LAWS. It is th e und ers tanding o f C it y and Des ign Pr o fes s io nal that Ca lifo rni a prevailing wage laws do not appl y to thi s Agree ment becau se th e Agreement does not inv o lve any o f the fo ll ow ing services s ub ject to prevailin g wage ra tes purs uant t o the Ca lifo rni a La bor Code o r reg ulati ons promulgated th e reunder : Co ns tr uction, a lt eratio n, dem o liti o n, installati o n, o r repai r wo rk performed on publi c buildin gs, facilities , streets or sewers done under contract a nd pa id for in who le o r in part o ut of publi c fund s. In thi s co nt ex t , "cons tructi o n" includes work perform ed during th e des ign and preco nstru cti o n ph ases o f co ns truction in c ludin g, but not limited to , in spe ct io n and la nd surve yi ng wo rk . SECTION 12. NONDISCRIMINATION. De s ign Pr ofess ional s hall not di sc riminate , in any way, aga in st an y per so n on th e ba s is of ra ce, co lo r, re li gio us creed , nati o nal ori gi n, ancestry, sex , age, ph ys ical handi ca p, medical co nditi on or marital sta tu s in con ne ct ion wi th or re lated to th e perfo rmance o f thi s Agreement. ECTION 13 . UNAUTHORIZED ALIENS. Des ig n Pr ofessio nal hereb y pro mi ses and agrees to comply with a ll of th e provi s ions of the Fede ral Immi g ra tion a nd Nationa lit y Ac t, 8 U.S.C .A. §§ II 0 I , et se q., as amended , and m 6 co nn ecti on th e rew ith , s ha ll not e m ploy un a uth o ri ze d a li e ns as d efin ed th e re in . Should Des ign Professional so e mpl oy s uc h un author ized a li ens for t he pe rfo rm a nce of th e Se rvices, and should the a ny liabi li ty o r sa ncti o ns be im pose d again st C ity for s uc h use of unau th ori ze d a l ie ns, Design Professiona l he reby agrees to and s hall re imbur se C ity fo r th e cost of a ll s uc h li abilit ies or sa ncti ons im pose d, toge th e r w ith a ny a nd a ll cos ts, in c lud ing att o rn eys' fees, incurr ed by C it y. SECTION 14 . CONFLICTS OF INTERES T. The expertise and experience of Design Profess io na l are mate ri al co ns iderati ons fo r thi s Ag reement. C it y ha s an int e res t in the qualificati o ns and ca pa bili ty of the persons and entiti es w ho wi ll fulfill th e duti es a nd o bligation s imp osed upon Des ign Pr o fe ss io na l und er thi s Agreement. In recognit ion of that interest, Design Pr o fes s io nal sha ll not ass ign o r transfer thi s Agreement o r any po rtion of thi s Agreeme nt or the perfo rm ance of a ny of Des ig n Pro fe ss ional 's dut ies o r o bligat io ns under thi s Agree men t with out th e pri o r writte n co nsent of th e City. SECTION 20. TERMINATION OF AGREE MENT. (a) City may terminate thi s Ag reeme nt , w ith o r w ith o ut cause, at a ny tim e by g iv ing th irty (3 0) da ys wr itten notice of term in ati on t o Design Profess ional. In the eve nt s uch noti ce is g iven, Des ign Pr ofess iona l sha ll cease imm ediately a ll work in progress. Des ign Professio nal s ha ll furnish to City a final inv oice for work performed a nd expenses in curr ed by De s ig n Profess io na l, pre pared as set forth in Section 4 "Compen satio n and Meth od of Payment" of thi s Agreement. Thi s fi nal inv o ice s hall be rev iewed and paid in th e same mann e r as se t forth in Sect io n 4 ·'Co mp e nsa ti on and Me th od of Paym e nt " of thi s Agreement. SECTION 21. DEFA ULT. In th e event that Des ign Pr ofess io nal is in default und e r th e term s of thi s Agreement, th e C it y shall not have any obli ga ti on o r duty t o co ntinue co mpen sa tin g De s ig n Pr ofessio nal for an y wo rk performed after the date of default. In stead , th e C ity may give noti ce to Desig n Professio na l of the default an d th e reasons fo r the de fault. T he not ice shall in clude the timeframe in whi c h Des ign Professiona l ma y c ure th e default. This tim eframe is pres umpti ve ly thirty (30) da ys, but may be ex tended , th o ugh not redu ce d, if c ircumstances warrant. During the period of tim e that Design Professio na l is in default , the C ity s hall ho ld a ll inv o ice s and shall, when th e defa ult is c ur ed , proceed wi th pa y ment on the invoices. In the al ternati ve, th e C ity ma y, in it s so le d isc ret ion, e lect to pay some o r a l l of th e o ut st andin g invoices durin g th e pe ri od of defa ul t. If Des ign Pr o fe ss io na l does no t c ur e th e defa ult, th e C it y may ta ke necessa ry step s to terminate thi s Ag reeme nt under Secti on 20 "Termination of Ag reement." Such ca uses in c lud e, but are no t limited to, ac t s of God, acts ofthe publi c e ne my, acts o f federal , s tate or lo ca l gove rnm e nt s, acts o f C it y, court o rder s, fire s, fl oo ds, e pid e mi cs, strike s, embargoes, a nd unu s uall y severe weather .
