BYLAWS
ARTICLE I - THE COMMITTEE
Section 1. Name of Committee
The name of the Committee shall be the Lynwood Project
Area "A" Committee" (hereinafter referred to as the "PAC").
Section 2. Puroose
The PAC shall provide a means for private citizen advice to
the Lynwood Redevelopment Agency (the "Agency") on matters
relating to the development and conduct of the Redevelopment
Project "A" (the "Project") in the City of Lynwood (the "City").
In order to accomplish the purpose, the PAC shall:
(1) Consult with and advise the Agency on policy matters which
affect owners, residents, businesses, and community organi-
zations in the Project Area and which deal with the planning
and provision of residential facilities or replacement
housing for those residents to be displaced by project
activities.
(2) Gather'information and serve as a communication link between I '
the Agency and Project Area owners, residents, businessper-
sons, and community orqanizations to keep them informed of
the various elements included or to be included in the
Redevelopment Plan for the Project Area; and relay the �
owners', residents', and/or businesspersons' problems, con-
cerns and suggestions to the Agency. �
(3) Participate in the Project decision-making process by ,
reviewing and evaluating Project activities and making �
advisory recommendations as necessary and appropriate. '
Section 3. Membershin I

A. Proiect Area Boundaries and Geocxraphical Subareas
The area within the boundaries of the Project (the "Project
Area") includes.three geographical subareas. The Project Area j
boundaries are those which have been selected pursuant to law as i
the boundaries of the Lynwood Redevelopment Project Area "A".
The Project Area boundaries and the identification and location I
of the three geographical subareas are as shown on the map
attached as Exhibit "A". If the Project Area boundaries are �

amended, then the PAC may need to be reconstituted by procedures
established by the Lynwood City Council. „
B. Composition
, The PAC shall consist of fifteen (15) members and, as
established by Resolution No. 88-14 of the City Council of the
" City of Lynwood, shall be composed of the numbers of representa-
tives selected and elected from.the following membership cate-
gories residing, established and doing business, or located
within the Project Area:

� All initial PAC members as well as new members replacing
members whose terms of inembership have expired, as set forth in
Article I, Section 4, shall be selected or elected.
` C. Geoaraphical Reoresentation
Except for community organizations members, who shall be I
deemed to have Project-wide representation status, members shall I
represent geographical subareas within the Project Area.
Representation shall be distributed as follows among the member- I
ship,categories (other than community organizations) and geo-
graphical subareas: I

D. Qualifications
only those persons who are at least 18 years of age, and are
° residential owner-occupants and/or tenants, businesspersons

(including owners or operators of business and owners of real
property who do not occupy such real property), and/or members of
existing community organizations residing, established and doing
business, or located within the Project Area, shall be eligible
to be members of the PAC and only during the time they are . �
residing, established, and doing business, or located within the
Project Area, sha1T be eligible to be members of the PAC and only
during the time they are residing, established and doing busi-
ness, or located within the Project Area and the geographical
' subarea they represent. Any PAC member who is not or is no '
longer a inember of that group of residential owner-occupants
and/or teriants, businesspersons, or members of existing community
organizations or the geographical subarea within the Project Area
from which he or she was elected or selected shall resign or be
. subject to remo�al from the PAC as provided in Article I, Section
6, of these Bylaws. ;
However, nothing in this subsection D or in these Bylaws
shall prevent a person who is a member of two or more such groups
or geographical subareas from being eligible to be elected and to '
serve on this PAC, provided that he or she is and remains a mem-
ber of that group or geographical subarea from which he or she
was elected.
Section 4. Terms of Membership ;
Initially, fifteen (15) members of the PAC (of which three
(3) are representatives of residential owner-occupants, three (3)
are representatives of residential tenants, five (5) are repre-
,sentatives of businesspersons, and four (4) are representatives
of exisfing community organizations) shall be selected and/or
elected for terms which shall expire at the second annual meeting
of the.PAC. Nothing shall prohibit a PAC member for succeeding
, him/herself. I

Section 5. Termination of Membershin '
� Membership in the PAC shall automatically terminate in the �
event that:
1} The member shall not be, or shall no longer be, a I
residential owner-occupant, a residential tenant, a �
businessperson, or a member of an existing community
• organization residing, established and doing business,
�_� or located within the Project Area or the geographical
,
subarea he.or she was elected to represent; or

2) The member shall have been absent from the number of
PAC meetings specified in Article III, Section 7; or
3) The member shall have acted in violation of Article IV
of these Bylaws.
Section 6. Removal of Members
A member may be removed by a least a vote of two-thirds
(2/3) of the total membership of the PAC, if, after a hearing, it
is found and determined that any one of the grounds for termina-
tion specified in Article I, Section 5, exists.
Section 7. Resignation
Any PAC member may resign at any time by giving written
notice to the Chairperson. Any such resignation will take effect
upon receipt or upon any date specified therein. The acceptance
of such resignation shall not be necessary to make it effective. �
Section 8. Fillina of Vacancies
In the event a vacancy occurs on the PAC by reason of death,
resignation, or removal, or lack of nominees, such vacancy shall
be filled by election of the remaining PAC members, with new
members so elected having to meet the qualifications set forth in
Article I, Section 3D. Vacancies resulting from e�cpiration of
membership term shall be filled in the manner set forth in
Article III, Section 1 Vacancies shall be filled"in the fol- I
lowing manner:
COMMUNITY ORGANIZATIONS �
The Community Organizations shall submit a nominee to the I
PAC which the membership of the PAC may confirm.. I

REMAINING CATEGORIES
An advertisement announcing the vacancy shall be printed in I
a newspaper of general circulation at least ten (10) days prior
to the election. The PAC membership shall review the "Statement �
of Qualification" of the candidate(s) and elect a representa- �
tive(s). �
Section 9. Approval of PAC Membership bv Citv Council I
As proinptly as possible after the membership of the PAC has I
been elected and/or appointed, the membership of the PAC shall be
submitted to the City Council to verify that the composition of
the PAC is in compliance with Resolution No. 88-14. Thereafter,
the membership of the PAC shall be submitted to the City Council

for consideration of the representative character of the PAC at
the first City Council meeting following eac?�.change in member-
ship of the PAC, but not more often than once in any year.
ARTICLE II - OFFICERS
Section 1. Officers
The officers of the PAC shall consist of a Chairperson, a �
Vice Chairperson, and a Secretary/Treasurer, and shall be elected
in the manner set forth in this Article II.
Section 2. Chairperson
The Chairperson shall preside at all meetings of the PAC,
and shall submit such agenda, recommendations, and information at
such meetings that are reasonable and proper for the conduct of
the business affairs and policies of the PAC. the Chairperson
shall sign all resolutions, approved minutes, and other legal
documents of the PAC. Annually, the Chairperson shall prepare a
report on the PAC's activities and shall file the same with the
Agency after it has been approved by the PAC.
Section 3. Vice Chairperson .
The Vice Chairperson shall perform the duties of the .
Chairperson in the absence or incapacity of the Chairperson. In
the event of the resignation, death, or removal of the
Chairperson, the Vice Chairperson shall assume the Chairperson's I
duties until such time as the PAC shall elect a new Chairperson. '
Section 4. Secretarv/Treasurer
The Secretary/Treasurer shall keep the records of the PAC,
shall act as secretary of the meetings of the PAC, shall record
all votes,.and shall keep a record of the meetings in a journal
of proceedings. The Secretary/Treasurer shall attest to and/or
„ countersign all resolutions, approved minutes, and other legal
documents of the PAC. The Secretary/Treasurer shall be respon-
sible for the management of any monies allocated to the PAC.
Section 5, Additional Duties
The officers of the PAC shall perform such other duties and
functions as may from time to time be required by the PAC, these
Bylaws,.or other rules and regulations, which duties and func-
tions are incidehtal to the office held by such officers.
Section 6. Election '
. The Chairperson, Vice Chairperson and Secretary/Treasurer
shall be elected by the PAC when its membership is elected, and

at each annual meeting thereafter, from among the members of the
PAC. Such officers of the PAC shall hold office for one year or __.,
until their successors are elected and qualified. An officer
shall not be prohibited from succeeding himself or herself in
office.
Section 7. Vacancies
Should the offices of the Chairperson, Vice Chairperson, or
Secretary/Treasurer become vacant, the PAC shall elect a succes-
sor from among the PAC members at the next regular or special
meeting, and such office shall be held for the unexpired term of
said office.
ARTICLE III - MEETINGS
Section 1. Annual Meetinas
Annual meetings shall be held on the third (3rd) Thursday in
March of each year at the hour of 7:00 p.m.; provided, however,
that should said date be a legal holiday, then any such annual
meeting shall be held on the next business day thereafter ensuinq '
which is not a legal holiday. At annual meetings elections shall
be held for elected members whose terms have expired; newly
elected community organizations members shall seated; PAC offi-
cers shall be elected; reports of the affairs of the PAC shall be
considered; and any other business may be transacted which is
within the purposes of the PAC. Notice of annual meetings shall �
be published in a newspaper of general circulation'in the city at �
least once a week for three weeks prior to the date of the annual
meeting.

All persons attending an annual meeting who posses the �
qualifications set forth in Article I, Section 3D, are eligible �
to vote for or be elected to PAC membership. ,
Section 2. Reaular Meetinas '
The PAC shall meet regularly on the third Thursday of each �
month, at the hour of 7:00 p.m.. In the event that the regular
meeting date shall be a legal holiday, then any such regular
meeting shall be held on the next business day thereafter ensuing
that is not a legal holiday. Notice of all regular meetings i
shall be dispensed with, except as may be determined by the
members of the PAC. '
Section 3. Special Meetinas
Special meetings may be held upon call of the Chairperson, �
or of the majority of the membership of the PAC, for the purpose I
of transacting any business designated in the call, after notifi-
cation of all members of the PAC by written notice personally �

delivered or by mail at least five (5) days before the time
" specified in.the notice for a special meeting. Additionally, the
Secretary shall be responsible for the posting of said notice
publicly in the City Hall at least five days prior to the time
specified in the notice for the meeting. At such special meet-
ing, no business other than that designated in the call shall be
considered.
Section 4. Adjourned Meetinqs
Any meeting of the PAC may be adjourned to an adjourned
meeting without the need for notice requirements of a special
= meeting'providing the adjournment indicates the date time and
place of the adjourned meeting. PAC members absent from the
meeting at which the adjournment decision is made shall be noti-
fied by the Secretary of the adjourned meeting.
Section 5. All Meetinas to be Ooen and Public
All meetings of the PAC shall be open and public to the
extent required by law. All persons shall be permitted to attend
any such meetings except as otherwise provided by law.
Section 6. Quorum and Motions �
The powers of the PAC shall be vested in the members thereof
in office.from time to time. A majority of the PAC membership �
shall constitute a quorum for the purpose of conducting the PAC's �
business, exercising its powers and for all other purposes, but '
less than a majority of the PAC membership may adjourn the meet-
ing from time to time until a quorum is obtained. An affirmative
vote by a majority of the total membership present of the PAC
shall be required for approval of any question brought before the
PAC.
Section 7. Unexcused Absences
, If a member shall be absent without the consent of the PAC
from two (2) consecutive meetings, whether regular or special,
or from two (2) meetings within six (6p calendar months consecu-
tively, such absence shall effect the termination of the member-
ship of.the absenting member. A member's absence shall be
excused if, prior to the meeting from which said member will be
absent, said member notifies the Chairperson or other officer of
his or her intent to be absent and the reasons therefor. At each ,
,, meeting after the roll has been called, the Chairperson or other
officer shall report to the PAC the name of any member who has so
notified him or her of his or her intent to be absent and the
reason of such absence.

Section 8. Order of Business
� The following shall be the order of business at regular
meetings of the PAC:
1) Call to Order and Roll Call
2) Approval of minutes of previous meeting
3) Community Questions and Answers (15 minute total time
limit; 3 minutes per speaker. The Chairperson shall
have the authority to extend the total time limit.)
4) Communications
5) Reports
6) Intermission
7) Old business
8) New business
9) PAC member comments
l0) Adjournment (The meeting shall adjourn not later
10 p.m., unless extended by a 2/3 vote of inembers
present.)
Section 9. Resolutions I�
Resolutions of the PAC shall be in writing and shall be �
designated by number, reference to which shall be inscribed in �
the minutes of the meetings at which they are approved. Approved i
resolutions shall be filed in the official book of resolutions of
the PAC, which shall be kept by the Staff of the PAC. �
Section 10. Minutes �
Minutes of the PAC shall be in writing. Copies of the min-
utes of each PAC meeting shall be made available to each member �
of the PAC and the Agency five working days prior to the next
scheduled meetiing. Approved minutes shall be filed in the
official book of minutes of the PAC.
Section 11. Rules of Order
Except as provided in these Bylaws, all business and matters
before the PAC shall be transacted in conformance with Robert's
Rules of Order (_ Edition).

Section 12. Committee Reports
Oral and written reports of the YAC, including resolutions
adopted by the PAC, shall include a report of the position of the
minority of the PAC as well as the majority. When applicable, an
indication of the relative size of the majority and the minority
for each such report shall be included within the report.
ARTICLE IV - REPRESENTATION BEFORE PUBLIC BODIES
Any official representations on behalf of the PAC before the
Agency, the City Council, or any other public body shall be made
by the Chairperson, the Vice-Chairperson in the Chairperson's
absence, or a member of the PAC specifically so designated by the
PAC.
ARTICLE V - SUBCOMMITTEES
Section 1. Establishment
The PAC may establish subcommittees as necessary to accom-
plish the purposes set forth in Article I, Section 2, of these
Bylaws.
Section 2. Membershio i
Each subcommittee shall be composed of at least one (1), but I
not more than four (4), members of the PAC, and may include per- �
sons from the community. !

shall establish the date, time, and place for meetings to conduct �

Section 5. Subcommittee Reoorts
From time to time, subcommittees shall submit written
reports to the PAC, which reports summarize the subcommittee�s
activities, findings, and/or recommendations on matters for which
the subcommittee was established.

ARTICLE VI - AMENDMENTS
The Bylaws of the PAC may be amended upon the affirmative
vote of at least two-thirds (2/3) of the total membership of the
PAC at a regular or special meeting, but no such amendment shall
be adopted which is contrary to the provisions of Resolution No.
88-14 of the Lynwood City Council, or successor resolutions, and
unless at least seven days' written notice thereof has previously
been given to all members of the PAC. Notice of amendment shall
identify the section of sections or the Bylaws proposed to be
amended.

BYLAWS
ARTICLE I - THE COMMITTEE
Section 1. Name of Committee
The name of the Committee shall be the Lynwood Project
Area "A" Committee" (hereinafter referred to as the "PAC").
Section 2. Purnose
The PAC shall provide a means for private citizen advice to
the Lynwood Redevelopment Agency (the "Agency") on matters
relating to the development and conduct of the Redevelopment
Project "A" (the "Project") in the City of Lynwood (the "City").
In order to accomplish the purpose, the PAC shall: .
(1) Consult with and advise the Agency on policy matters which
affect owners, residents, businesses, and community organi-
zations in the Project Area and which deal with the planning
and provision of residential facilities or replacement
housing for those residents to be displaced by project
activities.
(2) Gather information and serve as a communication link between
the Agency and Project Area owners, residents, businessper-
sons, and community organizations to keep them informed of
the various elements included or to be included in the
Redevelopment Plan for the Project Area; and relay the
owners', residents', and/or businesspersons' problems, con- �
cerns and suggestions to the Agency.
(3) Participate in the Project decision-making process by I
reviewing and evaluating Project activities and making
advisory recommendations as necessary and appropriate. ;
Section 3. Membershio I

A. Proiect Area Boundaries and Geoaraohical Subareas
The area within the boundaries of the Project (the "Project
Area") includes three geographical subareas. The Project Area
boundaries are those which have been selected pursuant to law as
the boundaries of the Lynwood Redevelopment Project Area "A". �
The Project Area boundaries and the identification and location i
of the three qeographical subareas are as shown on the map I
attached as Exhibit "A". If the Project Area boundaries are

amended, then the PAC may need to be reconstituted by procedures ,
established by the Lynwood City Council. -
B. Comnosition
The PAC shall consist of fifteen (15) members and, as '
established by Resolution No. 88-14 of the City Council of the
City of Lynwood, shall be composed of the numbers of representa-
tives selected and elected from the following membership cate-
gories residing, established and doing business, or located
within the Project Area:

represent geographical subareas within the Project Area.

(including owners or operators of business and owners of real
property who do not occupy such real property), and/or members of
existing community organizations residing, established and doing
' business, or located within the Project Area, shall be eligible
to be members of the PAC and only during the time they are
residing, established, and doing business, or located within the
Project Area, shall be eligible to be members of the PAC and only •
during the time they are residing, established and doing busi-
ness, or located within the Project Area and the geographical
subarea they-represent. Any PAC member who is not or is no
longer a member of that group of residential owner-occupants
and/or tenants, businesspersons, or members of existing community
organizations or the geographical subarea within the Project Area
from which he or she was elected or selected shall resign or be
subject to removal from the PAC as provided in Article I, Section
6, of these Bylaws.
- However, nothing in this subsection D or in these Bylaws
shall prevent a person who is a member of two or more such groups
, or geographical subareas from being eligible to be elected and to `
serve on this PAC, provided that he or she is and remains a mem-
ber of that group or geographical subarea from which he or she �
was elected.
Section 4. Terms of Membershin
Iriitially, fifteen (15) members of the PAC (of which three
(3) are representatives of residential owner-occupants, three (3)
are representatives of residential tenants, five (5) are repre- '
sentatives of businesspersons, and four (4) are representatives
of existing community organizations) shall be selected and/or
elected for terms which shall expire at the second annual meeting
of the PAC. Nothing shall prohibit a PAC member for succeeding
him/herself.
The terms of any selected or elected members of the PAC
shall continue until successors are selected or elected an in
office. '

Section 5. Termination of Membershio
. Membership in the PAC shall automatically terminate in the I
event that:
1) The member shall not be, or shall no longer be, a
. residential owner-occupant, a residential tenant, a
' businessperson, or a member of an existing community
organization residing, established and doing business,
or located within the Project Area or the geographical ;
' subarea he or she was elected to represent; or

2) The member shall have been absent from the number of
PAC meetings specified in Article IIi, Section 7; or
3) The member shall have acted in violation of Article IV
of these Bylaws.
Section 6. Removal of Members
A member may be removed by a least a vote of two-thirds
(2/3) of the total membership of the PAC, if, after a hearing, it
is found and determined that any one of the grounds for termina-
tion specified in Article I, Section 5, exists.
Section 7. Resiqnation
Any PAC member may resign at any time by giving written
notice to the Chairperson. Any such resignation will take effect
upon receipt or upon any date specified therein. The acceptance
of such resignation shall not be necessary to make it effective.
Section 8. Filling of Vacancies
� In the event a vacancy occurs on the PAC by reason of death,
resignation, or removal, or lack of nominees, such vacancy shall
be filled by election of the remaining PAC members, with new
members so elected having to meet the qualifications set forth in
Article I, Section 3D. Vacancies resulting from expiration of I
membership term shall be filled in the manner set forth in �
Article III, Section 1. Vacancies shall be filled in the fol-
lowing manner:
COMMUNITY ORGANIZATIONS I
The Community Organizations shall submit a nominee to the
PAC which the membership of the PAC may confirm.
REMAINING CATEGORIES I

An advertisement announcing the vacancy shall be printed in i
a newspaper of general circulation at least ten (10) days prior
to the election. The PAC membership shall review the "Statement �
of Qualification" of the candidate(s) and elect a representa- �
tive(s). i
Section 9. Approval of PAC Membershio bv Citv Council �
As promptly as possible after the membership of the PAC has I
been elected and/or appointed, the membership of the PAC shall be I
submitted to the City Council to verify that the composition of
the PAC is in compliance with Resolution No. 88-14. Thereafter, I

for consideration of the representative character of the PAC at
the first City Council meeting following ea;�.change in member-
ship of the PAC, but not more often than once in any year.
ARTICLE II - OFFICERS
Section 1. Officers
The officers of the PAC shall consist of a Chairperson, a
Vice Chairperson, and a Secretary/Treasurer, and shall be elected
in the manner set forth in this Article II.
Section 2. Chairperson
The Chairperson shall preside at all meetings of the PAC,
and shall submit such agenda, recommendations, and information at
such meetings that are reasonable and proper for the conduct of
the business affairs and policies of the PAC. the Chairperson
shall sign all resolutions, approved minutes, and other legal
documents of the PAC. Annually, the Chairperson shall prepare a
report on the PAC's activities and shall file the same with the
Agency after it has been approved by the PAC.
Section 3. Vice Chairoerson
The Vice Chairperson shall perform the duties of the i
Chairperson in the absence or incapacity of the Chairperson. In I
the event of the resignation, death, or removal of�the
Chairperson, the Vice Chairperson shall assume the Chairperson's '
duties until such time as the PAC shall elect a new Chairperson. i
Section 4. Secretarv/Treasurer
I
The Secretary/Treasurer shall keep the records of the PAC,
shall act as secretary of the meetings of the PAC, shall record
all votes, and shall keep a record of the meetings in a journal
of proceedings.• The Secretary/Treasurer shall attest to and/or
countersign all resolutions, approved minutes, and other legal I
documents of the PAC. The Secretary/Treasurer shall be respon-
sible for the management of any monies allocated to the PAC. i
Section 5. Additional Duties �

The oPficers of the PAC shall perform such other duties and I
functions as may from time to time be required by the PAC, these
Bylaws, or other rules and regulations, which duties and func-
tions are incidental to the office held by such officers.
Section 6. Election �
The Chairperson, Vice Chairperson and Secretary/Treasurer I
shall be elected by the PAC when its membership is elected, and i

at each annual meeting thereafter, from among the members of the
! PAC. Such officers of the PAC shall hold office for one year or _,..,
� until their successors are elected and qualified. An officer
i shall not be prohibited from succeeding himself or herself in
i office.
Section 7. Vacancies
Should the offices of the Chairperson, Vice Chairperson, or
Secretary/Treasurer become vacant, the PAC shall elect a succes-
sor from among the PAC members at the next regular or special
meeting, and such office shall be held for the unexpired term of
said office.
ARTICLE III - MEETINGS
Section 1. Annual Meetinas
Annual meetings shall be held on the third (3rd) Thursday in
March of each year at the hour of 7:00 p.m.; provided, however,
that should said date be a legal holiday, then any such annual
meeting shall be held on the next business day thereafter ensuing
which is not a legal holiday. At annual meetings elections shall
be held for elected members whose terms have expired; newly
elected community organizations members shall seated; PAC offi-
cers shall be elected; reports of the affairs of the PAC shall be
considered; and any other business may be transacted which is
within the purposes of the PAC. Notice of annual meetings shall
be published in a newspaper of general circulation'in the city at
least once a week for three weeks prior to the date of the annual
meeting.
All persons attending an annual meeting who posses the �
qualifications set forth in Article I, Section 3D, are eligible
to vote for or be elected to PAC membership.
Section 2. ReQUlar Meetinas
The PAC shall meet regularly on the third Thursday of each
month, at the hour of 7:00 p.m.. in the event that the regular
meeting date shall be a legal holiday, then any such regular
meeting shall be held on the next business day thereafter ensuing
that is not a legal holiday. Notice of all regular meetings
shall be dispensed with, except as may be determined by the
members of the PAC.
Section 3. Special Meetinas I
Special meetings may be held upon call of the Chairperson, I
or of the majority of the membersHip of the PAC, for the purpose I
of transacting any business designated in the call, after notifi-
cation of all members of the PAC by written notice personally �

delivered or by mail at least five (5) days before the time
specified in the notice for a special meeting. Additionally, the
Secretary shall be responsible for the posting of said notice
publicly in the City Hall at least five days prior to the time
specified in the notice for the meeting. At such special meet-
ing, no business.other than that designated in the call shall be
considered.
Section 4. Adjourned Meetinas
Any meeting of the PAC may be adjourned to an adjourned
' meeting without the need for notice requirements of a special
meeting providing the adjournment indicates the date, time and
place of the adjourned meeting. PAC members absent from the
meeting at which the adjournment decision is made shall be noti-
fied by the Secretary of the adjourned meeting.
Section 5. Al1 Meetinas to be Onen and Public
All meetings of the PAC shall be open and public to the
extent required by law. All persons shall be permitted to attend
any such meetings except as otherwise provided by law. �
Section 6. Quorum and Motions
The powers of the PAC shall be vested in the members thereof I
in office from time to time. A majority of the PAC membership
shall constitute a quorum for the purpose of conducting the PAC's '
business, exercising its powers and for all other purposes, but i
less than a majority of the PAC membership may adjourn the meet-
ing from time to time until a quorum is obtained: An affirmative
vote by a majority of the total membership present of the PAC
shall be required for approval of any question brought before the i
PAC.
Section 7. Unexcused Absences I
If a member shall be absent without the consent of the PAC I
from two (2) consecutive meetings, whether regular or special, '
or from two (2) meetings within six (6) calendar months consecu- �
tively, such absence shall effect the termination of the member- i
ship of the absenting member. A member's absence shall be
excused if, prior to the meeting from which said member will be I
absent, said member notifies the Chairperson or other officer of
his or her intent to be absent and the reasons therefor. At each �
meeting, after the roll has been called, the Chairperson or other
officer shall report to the PAC the name of any member who has so �
notified him or her of his or her intent to be absent and the
reason of such absence.

Section 8. Order of Business
The following shall be the order of business at zeqular
meetings of the PAC:

have the authority to extend the total time limit.)

Section 9. Resolutions
Resolutions of the PAC shall be in writing and shall be
designated by number, reference to which shall be inscribe@ in
the minutes of the meetings at which they are approved. Approved
resolutions shall be £iled in the official book of resolutions of
_ the PAC, which shall be kept by the Staff of the PAC.
Section 10. Minutes
Minutes of the PAC shall be in writing. Copies of the min-
utes of each PAC meeting shall be made available to each member '
of the PAC and the Agency five working days prior to the next
scheduled meetiing. Approved minutes shall be filed in the
official book of minutes of the PAC. �
Section 11. Rules of Order I
Except as provided in these Bylaws, all business and matters
before the PAC shall be transacted in conformance with Robert's
Rules o£ Order (_ Edition).

Section 12. Committee Reoorts
Oral and written reports of the YAC, including resolutions
adopted by the PAC, shall include a report of the position o£ the
minority of the PAC as well as the majority. When applicable, an
indication of the relative size of the majority and the minority
for each such report shall be included within the report.
