AGREEMENT FOR PROFESSIONAL SERVICES
Toothman-Orton Project No. 93051
THIS AGREEMENT between the City of McCaIL hereinafter referred to as the "CLIENT" and TOOTHMAN-ORTON ENGINEERING COMPANY, an
Idaho Corporation, hereinafter referred to as "T-0" is made and entered into this 4th day of August, 1993. The CLIENT and T-0
in consideration of their mutual covenants herein agree as set forth below.
The Client intends to prepare a Record of Survey for the purpose of annexation of property East and West of Highway 55,
immediately South of current City Limits extending to Krahn Lane (see attached map and description), hereinafter referred to as
the PROJECT.
CLIENT INFORMATION AND RESPONSIBILITIES
The CLIENT will provide to T-0 a full and complete description of the PROJECT including; all design criteria, information
as to CLIENT's requirements for the PROJECT, design objectives and constraints, capacity and performance requirements,
flexibility and expandability needs, any budgetary limitations, and copies of all design and construction standards which CLIENT
will require to be incorporated in the Drawings and Specifications.
The CLIENT will also provide to T-0 all associated project information including data prepared by others; soil borings,
probings and subsurface explorations; hydrographic surveys; laboratory tests and inspection reports of samples, materials and
equipment; studies and interpretations of all environmental assessment and impact statements; surveys of record; property
descriptions; zoning, deed and other land use restrictions; other special data or consultations as may be available; all of which
T-0 may use and rely upon in performing services under this Agreement.
The CLIENT will obtain permission for T-0 to enter upon public and private property as required for T-0 to perform
services under this Agreement.
SERVICES TO BE PERFORMED BY T-O
T-0 will provide the following generally described services under this Agreement: Preparation of Record of Survey for
the area indicated and described on the attached sheets.
BASIS OF FEE AND BILLING SCHEDULE
The Client will pay T-0 for services provided under this Agreement as follows:
An estimated fee of $5,000.00 for services based on the attached Prevailing Fee Schedule.
Notice to Proceed, either verbal or written, shall constitute acceptance of this Agreement by the CLIENT. THE TERMS AND
CONDITIONS, INCLUDING RISK ALLOCATION (T-0 EWO 2 OF 2), ARE PART OF THIS AGREEMENT. THE CLIENT AGREES TO SAID TERMS AND
CONDITIONS. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first above written.

TERMS AND CONDITIONS
GENERAL
T-0 shall provide for CLIENT professional engineering and/or land surveying services for the Project described in this
Agreement. These services will be Derformed in accordance with generally accepted professional practices for the intended use
of the pro ect. T-0 makes no other warranty either expressed or implied.
T-0 V all not be responsible for acts or omissions of any party involved in the Project other than their own. T-0 shall
not be responsible for failure of any contractor or subcontractor to construct any item in accordance with recommendations issued
by T-0.
T-0 has not been retained to supervise, direct or have control over Contractor's work. T-0 specifically does not have
authority over or responsibility for the means, methods, techniques, sequences or procedures of construction selected by
Contractor(s), for safety precautions and programs incident to the work of Contractor(s) or for any failure of Contractor(s) to
comply with laws, rules, regulations, ordinances, codes or orders applicable to Contractors) furnishing and performing their
work. Accordingly, T-0 can neither guarantee the performance of the construction contracts by Contractor(s) nor assume
responsibility for Contractor(s) failure to furnish and perform their work in accordance with the Contract Documents.
The CLIENT understands and agrees that subsurface and soils characteristics may vary greatly between successive test points
and sample intervals. T-0 will coordinate this work in accordance with generally accepted practice of the professional services
being provided and makes no other warranties expressed or implied or as to the professional advice furnished by professionals
providing soils testing or geotechnical advice.
Resetting of survey and/or construction stakes shall constitute extra work and shall be paid for on a time and material
basis in addition to any other payment provided in this Agreement.
OPINIONS OF COST
T-0 may be asked to provide opinions of construction or PROJECT costs as part of the professional services under this
Agreement. The CLIENT understands and agrees that T-0 has no control over the cost of labor, materials, equipment or services
furnished by others, or over the Contractor(s)' methods of determining prices, or over competitive bidding or market conditions.
The CLIENT understands that T-0 opinions of cost are based on T-0 experience and represents T-O's judgement based on that
experience, but T-0 does not guarantee or warranty that either quotes, bids or estimates prepared by contractors, subcontractors
or other will not deviate from opinions prepared by T-0. The CLIENT agrees to employ an independent cost estimator if the CLIENT
desires additional assurance, warranty or guarantee of PROJECT costs.
Should the CLIENT request that T-0 modify. any PROJECT aspect to reduce construction costs, then those services shall be
considered additional and beyond the scope of this Agreement unless specifically stated otherwise in this Agreement.
REUSE OF DOCUMENTS
T-0 shall retain an ownership interest of all PProfessional products prepared by T-0. The CLIENT agrees that no product will
be reused without specific written permission of T O. The CLIENT agrees to indemnify and hold T-0 harmless from any claims,
damages, losses and expenses arising from unauthorized reuse of all work products prepared by T-0 for the PROJECT.
GOVERNING LAW
Unless otherwise provided in an addendum the law of the State of Idaho will govern the validity of this Agreement, its
interpretation and performance, and remedies for contract breach or any other claims related to this Agreement.
SUCCESSORS AND ASSIGNS
CLIENT and T-0 each is hereby bound and the partners, successors, executors, administrators and legal representatives of
CLIENT and T-0 are likewise bound to the other party to this Agreement, in respect of all covenants, agreements and obligations
of this Agreement.
Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to anyone other than CLIENT
and T-0, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit
of CLIENT and T-0 and not for the benefit of any other party.
TIMES OF PAYMENTS
T-0 shall submit monthly statements for services rendered and for Reimbursable Expenses incurred. CLIENT shall make prompt
monthly payments. If CLIENT fails to make any Payment due T-0 for services and expenses within thirty (30) days after receipt
of T-0's statement therefor, the amounts due T-0 will be increased at the rate of 1% per month from said tenth day, and in
addition, T-0 may, after giving ten days' written notice to CLIENT, suspend services under this Agreement until T-0 has been paid
in full all amounts due for services, expenses and charges.
TERMINATION
The obligation to provide further services under this Agreement may be terminated by either party upon thirty days' written
notice. Such termination shall be based upon substantial lack of performance by the other party under the terms and conditions
of this Agreement when said substantial lack of performance is through no fault of the terminating party. If this Agreement is
terminated by either party, T-0 shall be paid for services rendered and for reimbursable expenses incurred to the date of such
termination plus an allowance for demobilization costs as determined by T-0-
RISK ALLOCATION
The CLIENT and T-0 have discussed their risks, rewards and benefits of the project and T-0's total fee for services. We
have allocated the risks such that the CLIENT agrees that to the fullest extent permitted by law, T.O's total liability to CLIENT
for any and all injuries, claims, losses, expenses, damages, or claim expenses arising out of this Agreement from any cause or
causes shall not exceed the PROFESSIONAL SERVICES FEE. Such causes include but are not limited to T-O's negligence, errors,
omissions, strict liability, breach of contract or breach of warranty.
HAZARDOUS WASTE AND ASBESTOS
The CLIENT and T-0 agree that the work covered in this Agreement does not anticipate either the presence or remediation of
hazardous waste and/or asbestos.
Hazardous materials may exist where there is not reason to believe they should be present. T-0 and the CLIENT agree that the
discovery of unanticipated hazardous materials constitutes a changed condition mandating a renegotiation of the scope of work
or termination of services. T-0 and the CLIENT also agree that the discovery of unanticipated hazardous materials may make it
necessary for T-0 to take immediate measures to protect human health and safety, and/or the environment. T-0 agrees to notify
the CLIENT as soon as practically possible should unanticipated hazardous materials or suspected hazardous materials be
encountered. The CLIENT encourages T-0 to take any and all measures that in T-0's professional opinion are justified to preserve
and protect the health and safety of T-0's personnel and the public, and/or the environment, and the CLIENT agrees to compensate
T-0 for the additional cost of such work. In addition, the CLIENT waives any claim against T-0, and agrees to indemnify, defend
and hold T-0 harmless from any claim or liability for in'ury or loss arising from T-0's encountering unanticipated hazardous
materials or suspected hazardous materials. The CLIENT a�so or
to compensate T-0 for any time spent and expenses incurred
by T-0 in defense of any such claim, with such compensation to be based upon T-0's prevailing fee schedule and expense
reimbursement policy.
DISPUTE RESOLUTION
All claims, disputes or controversies arising out of, or in relation to the interpretation, ayplication or enforcement of
this Agreement shall be decided through non-binding mediation or other mutually agreed alternative dispute resolution technique.
The CLIENT and T-0 agree non-binding mediation or other mutually acceptable alternative dispute resolution technique shall
precede litigation or recourse to other judicial forums.
RECOVERY OF DISPUTE RESOLUTION COSTS
In the event that legal action is brought by either party against the other, the prevailing party shall be reimbursed by
the other for the prevailing party's legal costs, in addition to whatever other judgements or settlement sums, if any, may be
due. Such legal costs shall include, but not be limited to, reasonable attorney's fees, court costs, expert witness fees and
other documented expenses, as well as the value of time spent by the prevailing party and those in his or her employ in
researching the issues in questions, discussing matters with attorneys and others, preparing for depositions, responding to
interrogatories, and so on. The value of time spent and the expenses incurred shall, on T-0's part, be computed based upon T-O's
prevailing fee schedule and expense reimbursement policy relative to the recovery of direct project costs.
EXTENT OF AGREEMENT
This Agreement represents the entire and integrated agreement between the CLIENT and T-0 and supersedes all prior
negotiations, representations or agreements, written or oral. The Agreement may be amended only by written instrument signed

being in the city limits . The city would like to run the water and
sewer across our property to their existing lines .
I have contacted all of the property owners to the north of our
property and none of them are opposed to being annexed into the

Schmidt read a staff report (attached) and reviewed the
conditions of approval from the special use permit. He noted the
complaints from the neighbors and read the names of those who had
written. He also noted that Mr Laidlaw had review the tape of
the public hearing and had written a letter for the file.
The following persons appeared in opposition of the continuation
of the special use permit:
Julie Eddins, 1004 W. Lake St.
Pat and Cheryl Knowles
Brian and Katie Charles
All those who spoke testified that the traffic volume had
increased in the past year, the road is a dead-end and not
suitable for the large trucks and high traffic flow, and that
there was too mush traffic for the young children living on the
block. They all had originally felt assured that the special use
permit was for a warehouse type facility, not a retail outlet.
Now that the business has increased and is now retail, they are
opposed.
Eddins submitted a new article. Mrs . Charles submitted a letter
from her physician warning against blocking the road from
emergency vehicles .
Staff failed to contact the Laidlaws regarding the postponed
hearing so Marshal moved to continue the hearing until the
Laidlaws are contacted and can be present for the continuation of
the hearing. Fitch seconded and the motion carried unanimously.
ANNEXATION EAST OF AIRPORT, TO KRAHN LANE: ********
The hearing opened at 9 :50 p.m. There were no declarations made
by any of the Commission members .
Schmidt gave a verbal staff report explaining that some property
owners had requested the annexation . and the City Council had
suggested expanding that request to the present proposed
configuration. He further explained the sewer concerns, airport
sewer concerns, that the area is developing which increases these
concerns, that the State takes care of the Highway so there is no
increase in cost to the city for snow removal except for another
1/2 of Jacob Street. Burton mentioned that Jacob Street has
some problems that, if annexed, could be fixed. Burton
identified the surrounding zone designations .
No one wished to be heard
After discussion, Lovitt moved to recommend . approval of the
annexation as presented with the zone designation to be D -
General Commercial . Eckhardt seconded and the motion carried
unanimously.
The hearing was closed at 10 : 15 p.m. It was noted that a second
hearing is required for any zoning map amendments .
OLD BUSINESS:
D & D AND THE CITY OF MC CALL, TIMBERLOST VI REPLAT: *******
Schmidt reviewed the action taken in January 1993, which included
a cul-de-sac at the end of Divot Lane, installation of cable TV,
a pavement contract and a drainage plan.
Joel Droulard, representing the applicant, submitted the drainage
plan, explaining all the aspect of the new ditches and cleaning
the old ones .
Schmidt explained that the Golf Course driveway is not built to
normal road standards and cannot handle the traffic volumes of a
street.
After discussion, Lovitt moved to recommend approval of the final
plat contingent upon building a hammer head cul-de-sac at the
north end of Divot Lane. Eckhardt seconded and the motion
carried unanimously.
BEAR BASIN ESTATES, FINAL PLAT: ********
The Commission reviewed the Findings and Conclusions from the
preliminary plat.
After discussion, Lovitt moved to recommend approval of the final
plat extending contingencies A, B, C, D, F, and J of the Findings
and Conclusions of the preliminary plat approval . Fitch seconded
and the motion carried unanimously.
NEW BUSINESS :
MURPHY REPLAT, PRELIMINARY AND FINAL PLAT APPROVAL: ********
John Russell, representing the applicant, reviewed and discussed
the re-plat, which combines the east 1/2 of lots 17, 18, 19,
and 20, Block 18 in McCall ' s First Addition. Discussion included
map legalities, the possibility of land locking the west 1/2 of
the remaining lots,. and building over lot lines.
After discussion, Fitch moved to recommend approval of the
re-plat. Lovitt seconded and the motion carried unanimously.
ELECTION OF OFFICERS:
The Commission wished to elect new officers since the Chairman
had resigned.

PLANNING AND ZONING COMMISSION
FINDINGS AND CONCLUSIONS IN SUPPORT
OF RECOMMENDATION IN FAVOR OF ANNEXATION AND
RESPECTING ZONING UPON ANNEXATION
The Commission finds that:
1. A request of the City Council and of affected landowners that the Commission
review a possible annexation and the zoning which would be appropriate upon
annexation was presented for public hearing on July 6, 1993, by staff with respect
to the area bounded
a. on the east by the west property line of Jacob's Manor Mobile Home Park
(and the present City Limits) and by the west property line of the McCall
Campground;
b. on the north and west by the existing City limits at Jacob Street and the
McCall Municipal Airport; and
C. on the south:
(1) to the west of Highway 55 and crossing Highway 55, by an
easterly extension of the present City Limits to the east right of
way line of Highway 55; and
(2) to the east of Highway 55, by the North right-of-way line of Krahn
Lane,
all as more particularly described on Exhibit A.
2. The area meets the standards for annexation, and is presently zoned Impact Area
Zone C and E.
3. The necessary notice was given.
4. The annexation may be approved, subject to conditions that protect the public
interest.
5. The area has no present public water service and no present public sewer service,
and needs both, and the south half of Jacob Street(included in this action) is a
substandard road.
6. There was no testimony at the hearing, and no correspondence was received other
than the applications for annexation. Reasons given for annexation included the
possibility of acquiring public water and sewer.
The Commission concludes that:
7. The proposed annexation meets standards as a matter of law.
8. The existing development pattern and the pattern of special uses, as well as the
long-term planning thoughts of the Commission as evidenced by the draft new
zoning map accompanying draft Ordinance 615, can be continued by placing the
property on the City Zoning Map as Zone "D," General Commercial. There
would be no significant change in applicable strictions as a result.

Dear Council Members,
The undersigned owners of the property in the attached "Exhibit A"
would like to be annexed into the City of McCall .
It is our understanding the property adjacent to ours to the east
is in the city limits. The City Master Plan shows our property
being in the city limits. The city would like to run the water and
sewer across our property to their existing lines.
I have contacted all of the property owners to the north of our
property and none of them are opposed to being annexed into the
city. This ties in with the Geibel request for being annexed .
