RESOLUTION OF THE BOARD OF DIRECTORS OF
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING ACCEPTANCE OF THE QUITCLAIM TO
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT OF
EASEMENT, AUTHORIZING OFFICER OR GENERAL MANAGER
TO EXECUTE A CERTIFICATE OF ACCEPTANCE OF QUITCLAIM
TO DISTRICT, AND AUTHORIZING GENERAL MANAGER TO
EXECUTE ANY AND ALL OTHER DOCUMENTS NECESSARY OR
APPROPRIATE TO CLOSING OF THE TRANSACTION (COAL
CREEK OPEN SPACE PRESERVE-POST CONSERVATION
EASEMENT)
The Board of Directors of Midpeninsula Regional Open Space District does resolve as follows:
Section One, The Board of Directors of Midpeninsula Regional Open Space District does hereby accept
the Quitclaim Deed of Grant of Conservation Easement between Lynda Lee Rose and Judith Diane Basich,
and the Peninsula Open Space Trust, a copy of which is attached hereto and by reference made a part
hereof.
Section Two. The General Manager, President of the Board of Directors or other appropriate officer is
authorized to execute a Certificate of Acceptance for the Quitclaim Deed for Grant of Conservation
Easement on behalf of the District.

Section Three. The General Manager of the Districts S
acceptance to the grantor. The General Manager is further authorized to execute any and all other
documents necessary or appropriate to the closing of the transaction.
Section Five. The General Manager and General Counsel are further authorized to approve any technical
revisions to the attached Quitclaim Deed and documents which do not involve any material change to any
term of the Quitclaim Deed or documents, which are necessary or appropriate to the closing or
implementation of this transaction.

District on October 13, 2004, at a Regular Meeting thereof, by the following vote:
