A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT APPROVING
2004-2005 SALARY ADJUSTMENT FOR THE CONTROLLER AND
APPROVING THE CONTROLLER EMPLOYMENT AGREEMENT
WHEREAS, the Board of Directors of the Mid Regional Open Space District entered into
an Agreement, dated August 23, 1995, with Michael L. Foster, employing him as the District Controller;
and
WHEREAS, the Agreement provides for an annual review of Controller's performance and an
annual compensation review, which the Board has completed; and
WHEREAS, the Board desires to adjust Controller's annual compensation to include a three point
salary adjustment, increasing his salary to $17,000 per year retroactive to April 1, 2004;
WHEREAS, The Board and the Controller desire to update, modernize and incorporate previous
amendments into the original District Controller Employment Agreement by entering into a new
Employment Agreement.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Midpeninsula
Regional Open Space District does authorize the President of the Board of Directors to execute the
attached District Controller Employment Agreement which incorporates an increase in the Controller's
salary to $17,000 per annum,based on a three percent cost of living salary adjustment, retroactive to April
1, 2004.

District on October 13, 2004, at a Regular Meeting thereof, by the following vote:
