regarding the proposed construction project located at Moab, Utah. As we have discussed, the
City, the County, and USU intend to move forward with the proposed campus project based on

construction of the facility. It is understood that a significant portion of the USU
commitment of $5 million will come from the sale of the existing USU Moab Center
buildings and property;
2. That USU supports the exploration of reasonable growth pertaining to programming and
curriculum in accordance with their rural education mission and in alignment with
County and City economic development goals;
3. That the City and the County agree to invest in the reasonable road and utility
infrastructure necessary to allow USU to fulfill their obligations in Section 1.
4. Expiration. This letter of intent will expire on December 3 I ", 2018.
It is understood and agreed that this letter of intent is a preliminary expression of our general
intentions. The parties intend that no party shall have any contractual obligations to the others
