A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A SETTLEMENT
AGREEMENT AS IT RELATES TO GRAND COUNTY DISTRICT COURT, CIVIL
ACTION NO. 2017CV30078, TOWN OF WINTER PARK VS. CORNERSTONE
WINTER PARK HOLDINGS, LLC, ET AL.
BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF FRASER,
COLORADO, THAT:
1. The Town of Fraser is a party to Grand County District Court Civil Action No.
2017CV30078, in which a proposed settlement agreement (designated "Second
Amendment to Annexation Agreement") has been negotiated by the parties' legal
counsel and other representatives.
2. The Fraser Board of Trustees has reviewed such settlement agreement, and the
exhibits to be made a part thereof, has conferred with staff and the Town Attorney,
and determines that such settlement agreement is in the best interests of the Town
of Fraser.
3. The Town Manager and Town Attorney are hereby authorized to negotiate any
remaining issues relating to such settlement and to approve further minor changes
to the settlement agreement and related documents, and the Mayor is authorized to
execute such settlement agreement on behalf of the Town of Fraser.
4. If such settlement agreement is not fully executed by all parties within 30 days from
the date hereof, this Resolution shall be rescinded and the authorization for
execution of said settlement agreement shall become null and void.
