I, the District Clerk of the Midpeninsula Regional Open Space District, hereby certify that
the above is a true and correct copy of a resolution duly adopted by the Board of Directors of
the Midpeninsula Regional Open Space District by the above vote at a meeting thereof duly
held and called on the above day.

RESOLUTION
OF THE BOARD OF DIRECTORS
OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
HONORING CARLO S. FOWLER, ESQ.
ON THE OCCASION OF HIS RETIREMENT
WHEREAS, the Midpeninsula Regional Open Space District has been an active
issuer of tax-exempt land contracts, notes, bonds and certificates of participation over the
past three decades and over that period has enjoyed the able counsel of Carlo Fowler in
making sure that the District's financings are issued according to Federal and State law and
that the interest earned by investors is tax exempt, and
WHEREAS, Carlo Fowler has assisted the District with raising more than $100
million in public capital, which has helped the District preserve more than 50,000 acres of
open space, and
WHEREAS, Carlo Fowler contributed to the District's reputation as an innovator in
the financial markets by assisting the District with zero coupon bond structures, leases and
other "cutting edge" typ
es
s of financing, and
WHEREAS, Carlo Fowler unfailingly provided valued advice in handling the
Districts financings and demonstrated a commitment to excellence and dedication tothe
District's goals; and
WHEREAS, Carlo Fowler was instrumental in the development of the Midpeninsula i
Regional Open Space District Financing Authority, which has allowed the District to save
tens of thousands of dollars in issuance costs and provided the District with a flexible
financing vehicle in conjunction with its joint Powers Authority partner, the County of
Santa Clara, and
WHEREAS, Carlo Fowler assisted the District in obtaining a cost-saving "A" rating
from Standard 8T Poor's in addition to assisting the District in obtaining cost-saving
municipal bond insurance,
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the
Midpeninsula Regional Open Space District does hereby offer its sincere gratitude and
appreciation to Carlo Fowler for his commitment toward our common goal of open space
preservation, and for his hard work in providing legal bond services over the years and
wishes him well as he retires to pursue other pleasures in life.
