I, the District Clerk of the Midpeninsula Regional Open Space District, hereby certify that
the above is a true and correct copy of a resolution duly adopted by the Board of Directors of
the Midpeninsula Regional Open Space District by the above vote at a meeting thereof duly
held and called on the above day.

RESOLUTION NO. 06-54
RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
APPROVING AMENDMENTS TO THE DISTRICT'S PERSONNEL
POLICIES AND PROCEDURES MANUAL
WHEREAS, the District adopted a Personnel Policies and Procedures Manual in 1986;
and
WHEREAS, the Board of Directors has amended the Personnel Policies and Procedures
Manual periodically; and
WHEREAS, there have been changes in the options available to the District for sick
leave conversion; and
WHEREAS, staff has made such amendments to the Personnel Policies and Procedures
Manual.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Midpeninsula
Regional Open Space District does hereby approve the attached amendments effective
December 1, 2006, to the District's Personnel Policies and Procedures Manual, this 291h day of
November, 2006.
