• Deputy Assistant Secretary lUarren announced the Agenda had been

` Senior Planner Karefa-Johnson stated staff is requesting an Sr.Planner:
extension of the current Exclusive Negotation Agreement i}-i.th extension
Mr. James Oh on a non-exclusive basis which would allow Agency .I. Oh's a�m�t
consideration of proposal from o���ner of property.
Mr. ;�1orris requested information as to i,�hy it was necessary at
this time to make the agreement non-exclusive.
Senior Planner harefa-Johnson stated Atr. Oh ti,�as in the process of
purchasing property on the development site and that if b1r. Oh
" was unsuccessful in his efforts and the agreement expired, the
Agency's agreement iaas to purchase property. Redevelopment Lai�
requires that property owners be allowed to participate in the
redevelopment project. Under exclusive ne�otiations, it taould be
in violation of agreement with A7r. Oh to negotiate 14�ith Dir. Babav.

slides of the proposed shopping center. Ex��lained in detail the present�
market location, loading and unloading area, and major and minor
shops. Stated shopping center t,�ould bring sales tax and added
revenues to the city.
�1r. McDermitt, Councel representative for Air. and Tirs. Babay, �1r.TicDet7nit
stated Tir. Babay iaas under the impression he could not develop developmnt�
the property as Mr. Oh's lease would not expire until 1991. property
Executive Director Gomez stated Community Development Director
A1as had tried on a number of occasions to talk with Mr. Babav
regarding development of the property but T1r. Babay stated he
was not interested at that time.
D1r. Henning stated he does not feel that any of the residents
in the proposed market area would agree to havi.ng a market, as
delivery is altiaavs done in the early morning hours. Does not
understand why P1r. Babay is not willing to work with �ir. Oh
on a joint venture of sorts. Stated Air. Babay is asking the
Agency to buy out Mr. Oh's lease which would amount to a lar�e
sum of monev. Feels �1r. Oh has a successful market at the

location and has built a substantial cli.entel. Stated he would
not vote to Put a markct next .to the homes as presentcd.
Mr. Heine questioned Chairman I2ichards if there had been a
noise }�roblem associated with the market that was located
at the rear of his home.
C/Richards: Chairmam Richards stated the biggest problem had been not so
trash and much with noise, but with the dehris and trash that was thro`�n
debris aUout. Stated staff would report back to the Agency with the
best possible proposal for the community.
- Mr. Ridenhauer stated if something could be worked outh with i
Mr. Babay and Mr. Oh, he would be more than willing to work I
with them. Feels his company is qualified to handle the pro-
ject.
D1rs.iVells: Mrs. N�ells stated D1r. BaUay had not done a good job in keeping
upkeep of the:property clean in the past and has reservations about the
property entire project. Stated the layout of the r�arket would cause
, problems for the residents in the immediate area.

On Februazy 25, 1986 the Pgency and Lynwood.Associates (Developer) entered
into a Disposition and Developcnent Pgreer�nt'(DDA) for the development
of the Lynwood.'ibwne Center. On October 20, 1987 the Pgency and Developer
executed a second amenc§nent to the DDA establ3shing deadlines for �
ccmpletion of the project. The Developer is reqiiesting an extension of
the deadlines due to incl�t weather and other'factors beyond his control.
The new deadlines extend the project c��letion date fran July 1 to July
16, 1988.
Recarniendation •
It is recarmended that the Agency adopt the attached resolution approving
the attached amenchnent to the At�reement extending the canpletion dates
and authorizing the Chaixman to execute.

made the original amount of the agreement insufficient to continue

Subject: Resolution Approving an Amendment to the Disposition
and Development Agreement with Lynwood Associates
Amending the Completion Dates in the Schedule of
Performance
PURPOSE
To request that the Redevelopment Agency approve an extension of
the completion dates set forth in the amended Schedule of
Performance, and to authorize the Chairman to execute the
amendment.
FACTS
1. On February 25, 1986, the Agency entered into a Disposition �
and Development Agreement (the "DDA") with Lynwood
Associates, providing for the development of a shopping
center to be called the Lynwood Towne Center, which
provided, among other matters, for the completion of the
development within a certain time frame as set forth in the
Schedule of Performance (Attachment No. 4). The Agency I
approved and adopted a First Amendment to Disposition and
Development Agreement, dated April 7, 1987, on matters I
unrelated to this action.
2. The Agency approved and adopted a Second Amendment to i
Disposition.and Development Agreement dated October 20, I
1987, which set forth new dates in the Schedule of
Per£ormance and provided that Lynwood Associates would pay
liquidated damages of a certain amount for each day of )
failure to complete the improvements by the dates set forth I
in the Schedule of Performance. Damages for delay were set
at $200.0o per day for Shop Buildings and Site I
Improvements, $300.00 per day for the Thrifty Shell, and
$500.00 per day for the Boys Market improvements, including �
Pad D and the Additional Retail. �
3. The DDA as amended provides, in Section 503, that the times I
set for performance may be extended where certain factors,
including unusually severe weather, have caused delays, or I
where the times of performance are extended in writing by �
mutual agreement of Agency and Lynwood Associates. �

4. Lynwood Associates sent written notice to tkie Agency of a
storm that began Wednesday, December 16, 1987, and
continued through December 17, 1987, causing construction I
delays of four days on Shop Buildings 1, 2 and 3 and Site �
Improvements, the Thrifty Shell, Pad D and Additional I
Retail. Further, certain delays in the plan check process ;
for the Boys Market have caused construction delays of 15 �
days for the Market. i
5. Lynwood Associates is proceeding diligently with I
construction of the Lynwood Towne Center, and extensions of �
the completion dates for the periods of time requested are �
warranted by the facts and are in accordance with the terms j
of the DDA as previously amended. �

ANALYSIS
This proposed Third Amendment to the Agreement merely
carries out the terms of the existing DDA as amended, which
provides for extensions under circumstances such as these. The
proposed Third Amendment states that the Agency agrees that
certain extensions of completion dates, provided for under the
DDA as previously amended, are warranted by the facts.
RECOMMENDATION
Staff respectfully requests that the Redevelopment Agency,
after consideration of the facts provided, approve and adopt
the attached resolution entitled: A RESOLUTION OF THE
LYNWOOD REDEVELOPMENT AGENCY APPROVING THE THIRD AMENDNIENT
TO THE DISPOSITION AND DEVELOPMENT AGREEMENT WITH LYNWOOD
ASSOCIATES WHICH AMENDS THE COMPLETION DATES IN THE SCHEDULE
OF PERFORMANCE, AND AUTHORIZING THE CHAIRMAN TO EXECUTE THE
AMENDMENT.

AGENCY APPROVING THE THIRD AMENDMENT TO THE

LYNWOOD ASSOCIATES WHICH AMENDS THE COMPLE-
' TION DATES IN THE SCHEDULE OF PERFORMANCE,
• AND AUTHORIZING THE CAAIRMAN TO EXECUTE THE
AMENDMENT
WHEREAS, the Redevelopment Plan for Redevelopment Project
Area "A" (the "Redevelopment Plan") has heretofore been adopted
and approved and all requirements of law for, and precedent to
the adoption and approval of the Redevelopment Plan have been
duly complied with; and
WHEREAS, the Lynwood Redevelopment Agency (the "Agency") is
engaged in activities necessary to execute and implement the
Redevelopment Plan and in order to do so the Agency and Lynwood
Associates (the "Developer") have entered into a Disposition and
�Development Agreement dated February 25, 1986, as amended by a
: First Amendment to Disposition and Development Agreement dated
April 7, 1987 and a Second Amendment to Disposition and .
Development Agreement dated October 20, 1987 (collectively, the
"Amended DDA") which contains all the provisions, terms,
' conditions and obligations required by state and local law; and
WHEREAS, Section 614 of the Amended DDA provides for the
� payment by Developer of liquidated damages for each day for each
£ailure to complete the described improvements within the time ,
set forth therefor in the Schedule of Performance.; and
WHEREAS, Section 503 of the Amended DDA provides in part
that the times set forth in the Schedule of Performance may be
extended for the period of enforced delay where delays are due to
unusually severe weather if notice by the party claiming such
extension is sent to the other party within thirty days of the
commencement of the cause; and �
WHEREAS, Section 503 of the Amended DDA further provides
that times of performance under the Amended DDA may be extended �
in writing by the mutual agreement of Agency and Developer; and
WHEREAS, the Agency and the Developer deem it appropriate
at this time to amend the Amended DDA to state these agreed upon
modifications; I
NOW, THEREFORE, THE LYNWOOD REDEVELOPMENT AGENCY DOES HEREBY
RESOLVE AS FOLLOWS:
Section 1. The Agency hereby finds and determines that I
Lynwood Associates sent notice to the Agency of a storm that
began Wednesday, December 16, 1987 and continued through Thursday
afternoon, December 17, 1987 causing a delay of four days; and
that such notice was sent eithin thirty days of the commencement
of the storm.
Section 2. The Agency hereby finds and determines that
Lynwood Associates has proceeded diligently and in good faith
toward completion of performance under the Amended DDA, and that
requested extensions are reasonable.
- Section 2. Tiie Agency has considered the proposed Third,
Amendment, and hereby finds that the amendment of the Amended
DDA is in the best interests of the community and the health,
, safety, morals, and welfare of its residents, and in accord with
the public purposes and provisions of applicable state and local
law.
. Section 3. The Agency approves the Third Amendment to
Disposition and Development Agreement between the Agency and

THIS THIRD AMENDMENT TO DISPOSITION AND DEVELOPMENT
AGREEMENT ("Third Amendment") is entered into as of this
day of Mazch , 1988, by and between the LYNWOOD REDEVELOPMENT
AGENCY (the "Agency") and LYNWOOD ASSOCIATES, a California
partnership (the "Developer").
RECITALS
WHEREAS, the Agency and Developer have previously entered
into a Disposition and Development Agreement dated February 25,
1986 (the "DDA") providing for the redevelopment of certain
property situated within Project Area "A"; and
WHEREAS, the Agency and Developer entered into a First
Amendment to Disposition and Development Agreement dated April 7,
1987 (the "First Amendment"); and
WHEREAS, the Agency and Developer entered'into a Second
Amendment to Disposition and Development Agreement dated
October 20, 1987 (the "Second Amendment"). The DDA, the First
Amendment and the Second Amendment are referred to herein
collectively as the "Amended DDA"; and
WHEREAS, Section 503 of the Amended DDA provides in part

SUBJECT: INVESTMENT POLICY
OBJECTIVE �
To have the Lynwood Redevelopment Agency review, receive and file
the attached investment policy.
FACTS
The statement is intended to provide guidelines for the prudent
investment of the agency's temporary idle cash, and is submitted
annually for Agency review. The policy contains information on:
1. The types of investments;
2. The criteria for selecting investments;
3. The strategies used in making investments;
4. The maturities of investments.
The following is a brief description of the various securities
and other investments referred to in the policy:
1. Securities of the U.S. Government, or its aaencies: These
include Treasury Bills, Notes and Bonds It also includes
securities of agencies of the government, such as Ginnie
Maes, SBA's and farm credits. We avoid securities of a
long-term (10 years or more) nature, and invest in
securities with short and medium maturities (6 months to 3
years);
2. Certificate of Deposit: A portion of our investments
are in insured certificates with various banks and
savings and loans. The yield on C/D's has been higher than
on otner securities;
3. Bankers Acceptances: These are typically created from a
letter of credit issued in a foreign trade transaction.
The City does not currently have any investments in Bankers
Acceptances.
4. Neaotiable Certificates of Deposit: These are Certificates
of Deposit that can be sold in the secondary market prior
to maturity.
5. Repurchase Aareements: These are short-term investments
(2-5 days typically) in which the City purchases securities
from a bank and the bank agrees to repurchase the
securities at the same price (plus interest) on a mutually
agreed date).

6. Local Agency Investment Fund: This is the state pool
in which investments are made by the State of California..
The funds are highly liquid and can be withdrawn on one
- day's notice. The yield from this fund has been higher
than or comparable to the yield on CDS this past year.
7. Los Angeles Co unty Treasur Pool: This is a Pooled
Investment Fund established by the County in which cities
and other public agencies may participate. It is similar
, to the State Pool..

STATEMENT OF INVESTMENT POLICY
The Lynwood Redevelopment Agency places its idle cash investments
in those which are prudent and allowable under current
legislation of the State of California. The Redevelopment Agency
strives to,maintain the level of investment of all idle funds,
less required reserve, through projected cash flow
determinations. Idle cash management and investment transactions
ar the responsibility of the agency Treasurer and investments
ma�be made in the following media:
Securities of the U.S. Government, or its agencies;
Certificates of Deposit (or Time Deposits) placed
with commercial banks and savings and loans;
Bankers Acceptances;
Negotiable Certifioates of Deposit;
� Repurchase Agreements;
Passbook Savinqs Account demand deposits;
Local Agency Investment Fund (State Pool)
Los Angeles County Treasury Pool
Criteria for selecting investments, and the order or priority
are:
1. Safety;
2. Liquidity;
3. Yield.
Government and agency paper, and repurchase agreements are the
highest quality investments available, in terms of safety and
liquidity. Only certificates of deposit, savings accounts and
bankers acceptances that are insured or collateralized are
purchased.
Most investments are highly liquid, with the exception of
collateralized certificates of deposit held by banks and savings
and loans. Maturities are selected to anticipate cash needs,
� thereby obviating the need for forced liquidation.
The Agency attempts to obtain the hiqhest yield when selecting
investments, provided that criteria for safety and liquidity are
met. Ordinarily, because investments carry a positive yield
curve, (i.e., longer term rates are higher than shorter
maturities), the Agency attempts to ladder its maturities to meet
anticipated cash needs in such a way that new investment money
can be placed in maturities that carry a higher rate than is
available in the extremely short market of 30 days or under.
The Agency operates its investment pool with many state and self-
imposed constraints. It does not buy stocks; it does not
speculate; it does not deal in futures nor options; it does not
deal in commercial paper or reverse repurchase agreements. The
portfolio is carefully monitored to assure the prudent management
of the portfolio.
The basic premise underlying the Agency's investment philosophy
is to ensure the safety of the funds and to assure that money is
always available when needed.
