Virtually: Deborah Buhayer, Casey Malone, McKenna Harford, Paula Stuart, Lewis Gregory. Mayor Vandernail called the meeting to order at 6:00 p.m. 1. RolIcall: Mayor Philip Vandernail; Mayor Pro-Tern Eileen Waldow; Trustees; Andy Miller, Brian Cerkvenik, Katie Soles, Parnell Quinn and Ryan Barwick 2. Approval of Agenda: Trustee Barwick moved, and Trustee Waldow seconded the motion to approve the agenda with the following changes: a) The addition of an Executive Session, For a conference with the Town Attorney for the purpose of receiving legal advice on specific legal questions under C.R.S. Section 24-6-402(4)(b).For the purpose of determining positions relative to matters that may be subject to negotiations, developing strategy for negotiations, and/or instructing negotiators, under C.R.S. Section 24-6-402(4)(e). Regarding Development Matters. b) Remove Consent Item c) Resolution 2020-11-01 Approving Partial Reduction For The Meadows At Grand Park Filing NO. 1 to Discussion and Possible Action Regarding Item A c) Moving Town Manager Employment Agreement to item B in Discussion and Possible Action. Motion carried: 7-0. 3. Executive Session: For a conference with the Town Attorney for the purpose of receiving legal advice on specific legal questions under C.R.S. Section 24-6-402(4)(b). For discussion of a personnel matter under C.R.S. Section 24-6-402(4)(f)(I) and not involving any specific employees who have requested discussion of the matter in open session. Regarding the Town Manager Evaluation Including Town Attorney Rod McGowan Page 2 of 3 Trustee Cerkvenik moved, and Trustee Soles seconded the motion to open the Executive Session at 6:05 p.m. Motion carried: 7-0. Trustee Soles moved, and Trustee Waldow seconded the motion to close the Executive Session at 6:25p.m. Motion carried: 7-0. Attorney's Opinion Required by C.R.S. 24-6-402(2)(d.5)(II)(B). Consent Agenda: a) Minutes September 16, 2020 b) Minutes October 21, 2020 Trustee Barwick moved, and Trustee Quinn seconded the motion to approve the consent agenda. Motion carried: 7-0. 6. Discussion and Possible Action Regarding: a) Resolution 2020-11-01 Approving Partial Reduction for The Meadows At Grand Park Filing NO. 1 Trustee Barwick moved, and Trustee Quinn seconded the motion to approve Resolution 2020-11-01 Approving Partial Reduction for The Meadows At Grand Park Filing NO. 1 Motion carried: 7-0. Page 3 of 3 b) Town Manager Employment Agreement Trustee Barwick moved, and Trustee Soles seconded the motion to approve Resolution 2020-11-02 Town Manager Separation Agreement. Motion carried: 7-0. 7. Public Hearing And Possible Action: a) Budget Hearing The Finance Manager, Beth Williams and Town Manager Jeff Durbin presented the preliminary budget to the Board. The budget hearing will be continued to the November 18, 2020. 8. Open Forum: a) Paula Stuart suggested outside council look at the Grand Park Conservation Easement. She also asked who is responsible for the trail maintenance in Rendezvous? Once the Rendezvous Trails are dedicated to the Town of Fraser, the town will work with Headwaters Trail Alliance for maintenance. 9. Updates: Durbin: COVID 19 numbers are spiking in Grand County. The Town will continue to communicate with the residents and collaborate with Grand County Public Health. Barwick: The State of Colorado announced money is available to the restaurants. Soles: The new holiday lights look great. The beavers have been taking out trees on the Fraser River Trail just past Snowy Owl Park. Can we replace/repair the fencing to prevent this from continuing to happen? The town will look into the fence. Miller: What's happening with the cross-walk lights? The town had to hire a new contractor to complete the work after the original contractor declined to complete the work due to safety concerns. Look at planning for future fire resiliency, fire resistant construction materials and residential wood chipping program. 10.
