HomeMy Public PortalAboutAmendment - Contract No. 53-2015 - Commonwealth Engineers - Services for NW 13th Interceptor Basin Project - Phase 1AMENDMENT TO CONTRACT NO.53-2015 THIS AMENDMENT is adopted this Ja day of April, 2016, by and between the City of Richmond, Indiana, a municipal corporation acting by and through its Board of Sanitary Commissioners (referred to as the "City"), and Commonwealth Engineers, Inc., 7256 Company Drive, Indianapolis, Indiana 46237 (hereinafter referred to as the "Contractor"). WHEREAS, on or about April 29, 2015, the City and Contractor entered into an Agreement for services to be rendered by Contractor to City for good and valuable consideration with said Agreement bearing Contract No. 53-2015. WHEREAS, Contract No. 53-2015, to which this Amendment is attached, requires Contractor to perform certain professional engineering services, to include the Phase I Final Design and Phase I Geotechnical Services, with regard to N.W. 13th Street Interceptor Basin Improvements Project, as more specifically set forth in the Agreement. WHEREAS, in consideration for the services described above, and more particularly described in Contract No. 53-2015, the City agreed to pay to Contractor a total sum not to exceed Six Hundred Ninety-eight Thousand Four Hundred Eighty-one Dollars and 00/100 ($698,481.00). WHEREAS, Contact No. 53-2015 is to continue in effect until completion of the project described in the same; however, the Contract may be terminated, for cause, at any time, by giving at least five (5) working days written notice specifying the effective date and the reasons for termination. WHEREAS, the City no longer employs a licensed surveyor; and as such, the City has identified that it has become necessary for it to utilize the services of a licensed surveyor to facilitate the terms of the Contract as the work contemplated therein will require the preparation of both permanent and temporary construction easements, which includes, but is not limited to, the creation of legal descriptions. WHEREAS, the City has agreed to amend the original Contract so as to permit Contractor to conduct easement surveying and the reasonable and necessary documentation preparation associated therewith, as well as to render assistance related to the SRF Preliminary Engineering Report with the services for the foregoing being consistent with the hourly rates set forth in Contract 53-2015. NOW, THEREFORE, for valuable consideration and passage by majority vote of City, the parties hereto now amend Contract No. 53-2015, to wit: Section I. Statement and Subject of Work. Contract No. 53-2015 provides that Contractor shall abide by the terms and conditions set forth in a Proposal submitted by the Contractor on or about March 11, 2015, which is attached to the Contract and incorporated by reference therein as Exhibit "A." The parties now agree that Contract No. 53-2015 should be amended so that Contractor is required to generally prepare both permanent and temporary construction easements, which includes, but is not limited to, the creation of legal descriptions. Further, Contractor agrees to conduct easement surveying and the reasonable and necessary documentation preparation associated therewith, as well as to render assistance related to the SRF Preliminary Engineering Report. Contractor submitted a Proposal regarding this Amendment on or about February 19, 2016, with Appendix "A" attached to the same. Said Proposal, with the accompanying Appendix, are attached hereto and incorporated by reference herein as Exhibit "A" and the parties agree to abide by the terms and conditions set forth in said Exhibit. The additional services addressed in this Amendment to Contract No. 53-2015 shall be performed for the increased consideration set forth below. Section III. Compensation. City shall pay Contractor a total sum not to exceed Seven Hundred Fifty-two Thousand Six Hundred Eighty-one Dollars and 00/100 ($752,681.00) for complete and satisfactory performance of the work required in Contract No. 53-2015, with the foregoing sum reflecting a Fifty-four Thousand Two Hundred Dollar and 00/100 ($54,200.00) increase from the originally contracted amount not -to -exceed sum of Six Hundred Ninety-eight Thousand Four Hundred Eighty-one Dollars and 00/100 ($698,481.00). The foregoing increase shall be apportioned as follows: Forty-one Thousand Seven Hundred Dollars and 00/100 ($41,700.00) to Easement Document Services, and Twelve Thousand Five Hundred Dollars and 00/100 ($12,500.00) to SRF PER assistance, both of which are more particularly described on Exhibit "A" attached hereto. The following is breakdown of costs. o Professional Service Agreement 53-2015 dated 4/28/15 Final Design & Geotechnical Services $ 698,481 o Requested Amendment #1 to Contract 53-2015 Easement Document Services $ 41,700 SRF PER Assistance 412,500 Total Project Costs Including this Amendment $ 752,681 The scope associated with Amendment #1 is described in Appendix A to this letter. For purposes of this Amendment, it is assumed that the Contractor will proceed on a standard hourly, reimbursable expense, and sub -consultant +15% administrative basis in accordance with Contract Number 53-2015. Except to the extent modified herein, all terms and conditions of the Professional Services Agreement shall continue in full force and effect. Thank you for your consideration. (hereinafter referred to as the "Contractor") shall assist the Board of Sanitary Commissioners and its Storm Water Management Board (hereinafter referred to as the "City") in the preparation of the information required to complete the permanent and temporary (construction) easements necessary for the Project. These documents (descriptions and plats) shall be prepared by the Contractor in a format approved by the City's Attorney and submitted to the Attorney to review, modify and / or change as necessary to complete and execute. 2) Title Searches and Boundary Services: The Contractor shall perform title searches as needed either (a) directly or (b) through a sub -contractor agenlJcompany qualified to research title history to determine property owner of record, correct document numbers for current deed record and accurate legal description for each unplatted property that will be subject to an easement acquisition. If boundary surveys become necessary for an easement, they shall be performed by the Contractor. 3) Meetings: The Contractor shall be available to attend meetings and assist the City and / or its Attorney in answering any questions pertaining to the easements, right of way issues, meeting with property owners, etc. 4) City Responsibilities: It is assumed that the City will be responsible for the legal review of the documents, shall be responsible for the cost of the easement acquisition, including legal notices, appraisal fees, negotiations and the actual purchase price. SRF PER Assistance (Estimate = $12 500) 1) Update PER: a. Update the PER based on updated phasing and include fiscal sustainability plan (FSP) in accordance with latest SRF guidance documents. 2) PER Public Notice and Execution: a. Assist RSD with the completion of the Wastewater SRF Application. b. Assist the Owner with the execution of the required public notice procedures, which will include the preparation and publishing of a notice of the availability of the PER for review by interested parties and relevant information regarding the IFA SRF mandated public meeting. c. Assist RSD with the execution of the IFA SRF mandated Signatory Authorization Resolution and the PER Acceptance Resolution. d. Prepare and submit copies of the PER to IFA SRF. 3) PER Public Notice and Execution: a. Review comments issued by the IFA SRF on the PER. b. Negotiate reasonable resolution with IFA SRF staff on the PER. c.
