The areas specified in this estimate will be contained: the affected drywall will be removed to expose the studs. All contaminated items will be placed in bags for disposal, including drywall. During the entire process air scrubbers will be used to filter and recycle the air inside the containment area. Once the material are removed, the exposed studs will be sanded, sanitized, and disinfected. The containment area will get an antimicrobial wipe down and HEPA vacuumed to ensure the removal of bacterial and spores. The procedure will require a minimum of 4 days. 911 Restoration does not guarantee that when containment is removed there will not be any damage to the surface underneath. It is the customers responsibility to repair the source of moisture intrusion that may lead to mold growth. if the issue is not addressed, 911 Restoration can not be held responsible for continued or additional mold growth once work has been completed and post remediation verification has been received. All work performed in accordance with the "City of New York Guidelines for Assessment and Remediation of Mold". as of April 2005 (EPA) (CDC) (NYDHS) (ACGIH) (CADOSH) and Institute of Inspection, Cleaning, and Remediation, Standard and Reference Guide for Professional Mold Remediation (IICR520). **Air Handier unit should be detached and cleaned as part of the remediation process. If client would like 911 Restoration to have air handier detached and cleaned, then additional cost of $771.17 per unit will be applied to final invoice. (Cleaning of Air Handler unit to include the following: Detach Unit, Remove coils and acid wash, remove blower and clean, disinfect air handler box, clean condensate line, and reinstall blower and coils. This cost does not include repair of ducting or maintenance to ductwork or air handler unit.) Owner represents that owner owns and/or is authorized to execute this agreement directing Contractor to furnish all materials and render all labor necessary to perform the work (the "scope of work") attached he to and incorporated herein and made a material part of this agreement by this reference. Before commencement of the scope of work, owner shall ensure that electricity, gas and water are connected. Upon commencement of the scope of work, owner shall furnish free work and unobstructed access to the property. Future owner shall provide temporary water service, "Dig alert service", and portable toilets. 2.) Payment: Contractor shall be paid in the following manner. Fifty (50%) percent upon commencement and the balance due upon completion of Contractor's portion of work. The contractor shall substantially commence performance of the work within twenty days of the approximate date of commencement. Otherwise, Contractor next succeeding payment will be postponed by the time between when substantial commencement was scheduled to occur and when it did occur. 3.) Upon payment for a portion of the work performed, Contractor shall provide the owner with a conditional release of any claim or mechanics lien under section 3114 of the civil code, as to such progress payment. Owner agrees to pay Contractor interest of 18% per annum (1fi% per month) on any overdue amounts. Owner is aware that Contractor is not related to, connected or affiliated with any insurance company or such companies adjusters or representative, and that the owner agrees to be personally liable and obligated to pay for all services rendered by Contractor pursuant to this agreement. To the extent the underlying damage is an insurance covered loss, owner agrees to promptly execute any and all proofs of loss or other documents required by the owners insurer for the issuance of payments/drafts. Upon receipt of such payment/drafts, owner shall promptly endorse same to Contractor, but only to the extent of the sum due Contractor. TERMS & CONDITIONS FOR MOLD RELATED REPAIRS: 1.) Owner future acknowledges and agrees as follows: a. Surface and/or mold contamination or suspected contamination exists on property. b. Owner has contacted a certified industrial hygienist or consultants, or testing company, who has identified the locations on the property where mold exists. Contractor shall provide its best efforts to remediate the contamination identified by the certified industrial hygienist, independent consultant or testing company. However, contractor shall not be responsible or liable for identifying mold or additional mold infections beyond the locations identified by owner. If mold extends into other areas, or is discovered during the remediation process all work will stop until a change order or supplemental is issued by owner or owners insurer. c. Contractor shall not be responsible for the condition causing contamination on the owner property. These conditions include, but are not limited to, moisture intrusion due to rain, leaking pipes or other sources. As such property conditions are beyond Contractor and does not warrant or imply such a warrant that surface and/or airborne mold or spores will not reappear following the remediation performed by Contractor. Contractor specifically disclaims and implied or expressed warranty thereto. Owner shall be responsible for correcting all conditions on the property causing the contamination. Contractor shall not assume any responsibility for protecting the property or it contents, from water due to rain, leaking pipes, or other moisture source. d. Contractor shall not be responsible for wall coverings, painting or substrate surfaces, such as paint, wallpaper or laminate flooring, drywall or plaster, stained finishes, due to necessary precautions such as applying tape or other adhesives to secure plastic barrier for containment, which may be used by the contractor. Contractor shall not be responsible for damages to cabinetry, countertops, vanities, flooring, appliances, furniture, knick-knacks, etc, during the course of removal or moving during the work process. e. As to walls and ceilings where work is to be performed, owner is responsible for removing all personal belonging from the work area, including but not limited to furniture, clothing, books, papers, dishes, light fixtures, fans, mirrors, any other items which might obstruct the performance of Contractor duties as described elsewhere in this agreement. Contractor will not be responsible for removal or replacement of said items. f. If Contractor good -faith efforts to remediate the mold contamination is unsuccessful, Contractor; after approval from the owner, and upon mutual agreement with the industrial hygienist or consulting company, may remediate the contamination by encapsulating and containing the areas and removing the areas where the contamination exists. It shall be the owner's sole responsibility to provide restoration of the additional areas at their expense. g. When Contractor believes that the contamination remediation is completed, owners' certified industrial hygienist/ consultant or testing company will perform an air quality clearance test, and/or visual inspection of the areas, to ascertain whether remediation has been completed in compliance with the provided remediation guidelines or established protocol. This is a non delegate duty. Owner bares the full financial and physical responsibility for providing additional testing. h. Contractor will not be responsible or liable, if during or following the remediation process, owner or owner certified industrial hygienist/consultant or testing company discovers other areas of airborne or surface contamination. 2.) Owner agrees and understands that all work performed is based on the scope of work, or remediation protocol provided by owners certified industrial hygienist, or consultant. Because Contractor may find additional work that was not discovered during owners' inspection or testing, owner agrees to hold Contractor harmless for any additional work, which may become necessary. In the event additional damage is discovered, a supplemental report or protocol may be required at the expense of the owner. 3.) Owner agrees and understands that there will be a time of non performance while waiting for laboratory results following the re -testing of the contaminated areas. Owner agrees to hold Contractor harmless for any hardship, loss of rental revenue and/or all other losses incurred due to downtime. Should the levels of surface or airborne spores not be acceptable to the owner's certified industrial hygienist/consultant or testing company, additional work may be required to achieve the desired levels. Should additional work be required, a supplemental report or change order will be issued prior to completion such additional work. 4.) Absent gross negligence or willful misconduct, the maximum amount of which Contractor can be held responsible is limited to the actual cost of the work performed. Owner agrees and understands by signing that Contractor will not be responsible for any costs and/or damages which exceed the value of the contract. OTHER TERMS AND CONDITIONS 1.) Change Orders: Changes in the work, contract sum and/or completion date shall be effected after execution of this agreement and without invalidating this agreement, only by written change order, mutually agreed upon and signed by both owner and Contractor. 2.) Delays and extension of time: Notwithstanding anything in this agreement to the contrary, the completion date shall be extended for each day of delay caused by any act or neglect of the owner or employee/agent of the owner, changes ordered in the work pursuant to change order, unusual delays in the deliveries, fire, adverse weather conditions (including but not limited to rainy days, without exception), civil disturbances, unusual casualty earthquake or other forces, as well as owner's failure to pay Contractor in accordance with the terms of this agreement or other causes beyond Contractor control. Such extension of time shall be such reasonable time necessitated by the delaying event. 3.) Right to stop work: Contractor shall have the right to either stop work or keep the job idle, if Contractor is not paid in accordance with the terms of this agreement. Further owners failure to endorse any insurance settlement draft as provided elsewhere herein shall be deemed a material breach of this agreement. 4.) Title to the materials provided by Contractor shall not vest in owner until Contractor has been fully paid under the terms of this agreement. Contractor reserves the right to enter the property and remove installed materials as related to the payment in default, in the event of non payment or a material breach of Contractor, by the owner. No provision of this agreement, however, may be asserted as against any lien holder, whether prior or subsequent to any lien which Contractor hold against the property, whose lien has been granted as a security interest in the property for any purposes of financing it's improvement in any manner or any assigned or successor of such lien holder. Owner hereby assumes all risks granted as a security interest in the property for purpose of f' cing it's improvement in any manner or any assignee or successor of such lien holder.
