The Agreement of Intent for a Direct Sale was executed on June 8, 2009. The basis for value (sale price) of the property is $140,000, as determined by an appraisal that was approved by the Forest Service on October 14, 2009. The USDA Forest Service hereby offers to sell to the City of McCall the 6.396-acres of vacant land along Mission Street, McCall, Idaho, for the sale price of One Hundred Forty Thousand and No/100 Dollars ($140,000). Enclosed with this letter are the following documents for your review: (1) Purchase and Sale Agreement (two copies); (2) A draft copy of the Quitclaim Deed which will be utilized to convey the property; (3) Original Easement Deed to Frontier Telecom; (4) Bill for Collection; and (5) Federal Land Status Report. If you concur with the terms of the enclosed Purchase and Sale Agreement, please sign and date both copies. You may retain one copy of the Agreement for your records. In addition, please execute the Easement Deed to Frontier Telecom and mail it, along with one copy of the Purchase and Sale Agreement in the stamped envelope to the following address: USDA Forest Service, Attn: Lori Blickfeldt, 324 25t' Street, Ogden, UT 84401. After you return the Purchase and Sale Agreement, we will finalize the document and send a copy of the fully executed Agreement to you. Please note that it will be necessary to have a Notary acknowledge your signatures. Under the terms of the Purchase and Sale Agreement you must submit payment within 120 days of the execution of said Agreement unless extended by mutual agreement. In accordance with the instructions on the Bill for Collection, please submit payment of the sales price in the amount of $140,000. Make your cashier's or certified check payable to the "USDA Forest Service" and Caring for the Land and Serving People Printed on Recycled Paper IMF Mr. Bert Kulesza 2 include on the check the "Bill Number" and "Payer Code" as set forth on the Bill for Collection. Once payment has been received, we will contact you in order to make final arrangements for closing the transaction. DEPARTMENT OF AGRICULTURE Forest Service Payette National Forest McCall, Idaho Valley County 5570 Payette National Forest McCall Smokejumper Parcel aka McCall Riverview Parcel Proposed Direct Sale of Land Forest Service Facilities Realignment and Enhancement Act of 2005 (FSFREA) We, the City of McCall of 216 East Park Street, McCall, Idaho, 208-634-7142, hereinafter called the non -Federal party, and the Forest Service, U.S. Department of Agriculture, acting through their authorized representatives, intend to enter into a sale agreement to convey to the non -Federal party the Federal property described in Exhibit A, attached hereto and made a part hereof, and under the terms and conditions described herein and in the Implementation Schedule, attached hereto and made a part hereof as Exhibit B. The basis of this Agreement of Intent is the offer for purchase of the property made by the non -Federal party by letter dated April 25, 2008. GENERAL PROVISIONS: 1. It is understood that the basis for value (sale price) of the property shall be an appraisal which has been approved by the Forest Service. Said appraisal will be based on the assumption that it is free from any "recognized environmental condition" in relation to Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA). 2. This Agreement of Intent authorizes the non -Federal party and its contractors to enter on Federal lands for such purposes as preparing environmental site assessments, historic and cultural investigations, land line surveys, wildlife and wetland inventories and other evaluations deemed necessary by the Forest Service to fully evaluate the affects and merits of the sale proposal. 3. It is understood that upon approval of the sale price, terms and conditions by the appropriate Forest Service official, the parties will enter into a Purchase and Sale Agreement that shall be binding to both parties. It is understood that prior to the Purchase and Sale Agreement, or issuance of a deed by the United States, if no Purchase and Sale Agreement is executed, no action taken shall create or establish OMB No. 0596-0105 (12/31/2017) 1 any contractual or other obligations against the non -Federal party or the United States. Either the non -Federal party or the Forest Service may withdraw from the sale at any time prior to execution of the Purchase and Sale Agreement, or conveyance from the United States. Both parties understand that should funding be unavailable to the city to purchase the property in a timely fashion, the property may be sold competitively. 4. Title will be conveyed by quitclaim deed issued by the USDA Forest Service. 5. The United States does not furnish title insurance for the property it conveys. If title insurance is desired by the non -Federal party, it must be procured at its own expense. 6. A timeline for processing this proposal and the agreement on responsibility for costs on specified items is provided for in Exhibit B, the Implementation Schedule. The Special Provision section at the end of this Agreement of Intent summarizes the major categories of cost responsibilities. 7. The Forest Service is responsible for compliance with Section 120(h) of CERCLA. Prior to entering into the Purchase and Sale Agreement, an environmental investigation of the Property would be completed as appropriate to comply with Section 120(h) of CERCLA, concerning any release or threatened release of hazardous substances or petroleum products on the Property. In the event that the Forest Service determines that any hazardous substance was stored for more than one year or more, known to have been released, or disposed of on the Property, the Purchase and Sale Agreement shall include a notice of the type and quantity of such hazardous substance and the time at which such storage, release, or disposal took place, to the extent such information is available on the basis of a complete search of agency files. 8. Pursuant to Section 120(h)(3) of CERCLA, the City of McCall would be considered a Potentially Responsible Party (PRP) under CERCLA for the past landfill associated with the property. The City of McCall agrees that the property will be purchased in "as -is condition" with language similar to the following in the conveyance deed. Notice is hereby given to the City of McCall, that refuse disposal/landfill operations have occurred on the subject property, which landfill operations were conducted by the City of McCall, and that hazardous substances and petroleum products commonly associated with landfill refuse may have been stored or disposed of on said property. COVENANTS "The City of McCall (Grantee) hereby agrees to hold harmless, defend and indemnify the United States from and against any liability, judgment, OMB No. 0596-0105 (12/31/2017) 2 claim, penalty, fine or other adverse action (whether legal or equitable in nature, and including without limitation, court costs and attorneys' fees) brought against the United States after the date of this agreement by any person or entity under any Federal, State or local law, including but not limited to environmental and tort laws, with respect to any release or other condition at, from or associated with the Property. This obligation to hold harmless, defend and indemnify the United States shall survive the conveyance of the Property. Grantee, its transferees and assigns, or other successors in interest, agree that the above provisions shall be a covenant running with the Property." 9. No member of Congress, or Resident Commissioner, shall be admitted to any share or part of this proposal or to any benefit that may arise therefrom unless it is made with a corporation for its general benefit (18 U.S.C. 431, 433). 10. The undersigned is a citizen of the United States or a corporation or other legal entity subject to the laws of the United States or a State thereof, and is 21 years old or over. 11. Notification Statement: Public Availability of Property -Related Information. Any party who has signed below acknowledges receipt of this notification: All documents pertaining to Federal lands necessary for the evaluation, processing and consummation of a land adjustment transaction, including but not limited to appraisals, timber cruises, specialist reports, geology/mineral reports, title and other property information, are subject to public availability at the discretion of the Federal party. This includes information which may be contained in a system of records exempted from the requirements of the Privacy Act (5 U.S.C. 552a), and information which may qualify for exemption from disclosure under the Freedom of Information Act (5 U.S.C. 552(b)). However, it is the general intent of all parties that land adjustment transaction documents will be considered "pre -decisional working papers not subject to premature availability prior to the point which concludes evaluation of the proposal through the agency's established, required processes and policy. SPECIFIC PROVISIONS: 1. McCall District Hydrologist identified two degraded "non -significant" wetlands on the Parcel. Both parties recognize that any modification of these wetlands would be subject to Army Corps of Engineers and Idaho Department of Water Resources requirements. In accordance with Executive Order 11990 the Forest Service Hydrologist has determined that no additional regulation or use restrictions are recommended for these wetlands. Sec. 16 A parcel of land being a portion of that certain Record of Survey, recorded as Instrument No. 134732 on March 27, 1984, in Book 1, Page 217 of Record of Surveys, Valley County, Idaho, and more particularly described as follows: Commencing at the section corner for sections 16, 17, 20 and 21, T. 18 N., R. 3 E. B. RESERVING TO: The United States of America and its assigns, the right to discharge drainage water from the tanker base airplane apron via a 4-inch pipe passing under Mission Street, together with the right to access the subject property without cost for all purposes deemed necessary or desirable by United States of America and its assigns to reconstruct and maintain said drainage line within the subject property. The location of the pipe will be described prior to closing and added to this reservation language. Public road easement for Mission Street, issued to the City of McCall from the United States of America, on November 3, 2008, for a public road and highway. Said easement recorded as Instrument No. 338103, on January 16, 2009 in the records of Valley County, Idaho. Resolution of other encumbrances: 1. The City of McCall to issue an easement to Frontier Telephone for buried communication lines, as a condition of closing. 2. The City to accept as -is the City facility referred to as the J-Ditch. This facility is currently operating without a Forest Service authorization. The J-Ditch is a buried effluent pipe in the Mission Street right-of-way, that carries treated "clean" affluent from the City's sewer/settling ponds to nearby farmlands for fertilization. 3. The City to accept as -is the storm drainage culvert associated with Mission Street entering the property from the east, near the northeast corner. 4. The City to accept as -is the two unimproved, single-track roads that run through the property. One road accesses the river (through current City property), ending at the Sheep Bridge. The other road creates a north -south loop through the property, starting and ending on Mission Street. 5. The City to accept as -is the piles of asphalt, concrete or other debris that are on the property. 6. The Forest will remove, prior to closing, any equipment or implements that are not City property nor desired to remain by the City. 7. The City to accept as -is the three Environmental Protection Agency (EPA) Test Wells located on the property. EPA placed these well at the request of the City to assess and monitor the water quality during the City's hazardous waste analysis. The wells are not under Special Use Permit.
