Sponsored by: City Manager RESOLUTION NO. 21-9841 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF OPA-LOCKA, FLORIDA, AUTHORIZING THE CITY MANAGER TO ENTER INTO A UTILITY INFRASTRUCTURE CONVEYANCE AND SERVICE AGREEMENT WITH SAILBOAT TH DEVELOPMENT, LLC.; PROVIDING FOR INCORPORATION OF RECITALS; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, Sailboat TH Development, LLC ("Developer") acquired property in the northeast sector of the City of Opa-Locka, Florida, ("City"). The property was and is to be developed as The Mirage at Sailboat Cove ("Property"); and WHEREAS, the water and sewer utilities on the Property were never legally conveyed to the City; and WHEREAS, due to recent construction as well as future anticipated construction, new water meters are needed on the Property; and WHEREAS, Miami -Dade County is required to install meters on the property due to a billing agreement between the City of Opa-Locka and Miami -Dade County; and WHEREAS, Developer has requested that the City authorize potable water and wastewater facilities ("Facilities") to be constructed on the Property by Developer in order to provide potable water and wastewater to the Property, for ownership, operation and maintenance of the Facilities; and WHEREAS, the construction of the potable water and wastewater facilities shall be in accordance with plans, specifications and engineering data prepared by a Florida registered professional engineer and approved by all appropriate regulatory agencies and authorized City representatives; and WHEREAS, Developer shall also convey to the City, through sufficient Warranty Deed, all pumping facilities or other utility facilities deemed necessary by the City as well as a good and sufficient Utility Easement for all other facilities; and WHEREAS, the Facilities shall be connected to the City's existing systems at the points as specified by the City; and WHEREAS, the City Commission finds that it is in the best interest of the City and its residents to enter into an agreement with Sailboat TH Development, LLC., as attached hereto as Exhibit "A", and authorize facilities for sewer services to be constructed on the subject property. Resolution No. 21-9841 NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF OPA LOCKA, FLORIDA: Section 1. RECITALS ADOPTED. The recitals to the preamble herein are incorporated by reference. Section 2. AUTHORIZATION The City Commission of the City of Opa-Locka hereby authorizes the City Manager to enter into a Utility Infrastructure Conveyance and Service Agreement with Sailboat TH Development, LLC., in the form attached hereto as Exhibit "A." SECTION 3. SCRIVENER'S ERRORS. Sections of this Resolution may be renumbered or re -lettered and corrections of typographical errors which do not affect the intent may be authorized by the City Manager, or the City Manager's designee, without need of public hearing, by filing a corrected copy of same with the City Clerk. Section 4. EFFECTIVE DATE. This Resolution shall be effective immediately upon adoption hereof and approval by the Governor of the State of Florida or Governor's designee. Flotech v7.0 Inspections and Scoring Sailboat Cove Conveyance and Service Agreement Page 2 UTILITY INFRASTRUCTURE CONVEYANCE AND SERVICE AGREEMENT THIS AGREEMENT made and entered into this i elday of February, 2020, by and between the Sailboat TH Development, LLC, a Florida Limited Liability Company, whose address is 2121 NW 2"d Avenue, Suite 202 and Miami, FL 33127 (whose manager is Redwood National Properties, LLC) (DEVELOPER) and the City of Opa-Locka, FL, a municipal corporation located in Miami -Dade County (the "CITY OF OPA-LOCKA" or "CITY"). RECITALS WHEREAS, Sailboat TH Development, LLC ("Developer") acquired property in the northeast sector of the ("City"), The property is to be developed as The Mirage at Sailboat Cove (Property"); and WHEREAS, the water and sewer utilities on the Property were never legally conveyed to the City; and WHEREAS, due to recent construction as well as future anticipated construction, new water meters are needed on the Property; and WHEREAS, Miami -Dade County is required to install meters on the property due to a billing agreement between the City of Opa-Locka and Miami -Dade County; and WHEREAS, Developer has requested the City to authorize potable water and wastewater facilities ("Facilities") to be constructed on the Property by Developer in order to provide potable water and wastewater to the Property, for ownership, operation and maintenance of the Facilities; and WHEREAS, the Developer agrees that construction of the potable water and wastewater facilities shall be in accordance with plans, specifications and engineering data prepared by a Florida registered professional engineer and approved by all appropriate regulatory agencies and authorized City representatives and will warranty the property for a period of two (2) years from the execution of this Agreement; and Lift Station is exempt from 2 -year warranty period. Lift Station has been under the custodian of COPL Public Works for over 12 years. This was discussed with Public Works Director Airia Austin and agreed to in verbal communication w/ ownership on 2/10/21. WHEREAS, Developer shall also convey to the City, through sufficient Warranty Deed, all pumping facilities or other utility facilities deemed necessary by the City as well as a good and sufficient Utility Easement for all other facilities; and WHEREAS, the City agrees to accept the conveyance of utility infrastructure from Developer and the City agrees to provide potable water and wastewater to the subject Property. ARTICLE I The Developer as a party to this Agreement hereby covenants and agr as follows: Lift Stations excluded from agreement. To construct all lift statrerts and other pumping facilities in accordance with City of Opa-locka standards, including the provision of telemetry. 2. To construct in accordance with all City of Opa-locka rules and regulations necessary for sewer service to be rendered to the property as described in Exhibit "A" hereto. 3. That the construction of the sewer service facilities shall be in accordance with plans, specifications and engineering data prepared by a Florida registered professional engineer and approved by all appropriate regulatory agencies and The City of Opa-locka authorized representatives. Said sewer service systems shall be connected to the City of Opa-locka's existing systems at the points as specified by the City of Opa- locka authorized representatives. Any deviation from the approved plans and specifications shall require the prior approval in writing of the City of Opa-locka's Director of Public Works & Utilities or his authorized representative. 4. To retain the services of a Florida registered professional engineer for the purpose of providing necessary inspection and supervision of the construction work to insure that construction is at all times in compliance with accepted sanitary engineering practices and approved plans and specifications. 5. To provide shop drawings and catalog information of the materials and equipment installed for City of Opa-locka approval. 6. To turn over to the City of Opa-locka representatives all materials, plans and construction documents. 7. To notify the CITY OF OPA-LOCKA before any additional construction takes place and when inspections will be required. Said notification shall be made in writing and shall be received by CITY OF OPA-LOCKA at least forty-eight (48) hours in advance. 8. At the time when periodic inspections are required, the CITY OF OPA- LOCKA's authorized representative, together with Developer's engineer, will be present to observe and jointly witness tests for determination of conformance to approve plans and specifications. 9. Developer, during a two-year warranty period, shall promptly correct defective work upon notification by the CITY OF OPA-LOCKA. Should Developer fail to do so within seven (7) days after written notice, CITY OF OPA-LOCKA may correct and remedy any such deficiency. All direct and indirect costs of the CITY OF OPA-LOCKA shall be charged to the Developer. 2 10. Developer's obligation to perform and complete the work in accordance with this Agreement shall be absolute. Neither any act of acceptance by the Crl'Y OF OPA-LOCKA nor any failure to do so will constitute a release nor waiver of Developer's obligation to comply with all requirements set forth in this Agreement. 1'. The CITY OF OPA-LOCKA shall not be required to accept the construction except unless utility installation in that area has been completed, tested, certified, approved and accepted by the CITY OF OPA-LOCKA, and Developer has provided as - built drawings and related documentation. Should construction water be required by Developer in the future, Developer shall pay at the current rate charged to commercial customers in the service area. All construction water shall be metered. 12. 10 indemnity and hold harmless the CITY OF OPA-LOCKA from any and all liabilities incurred by the construction and development of the sewer service sySctein(s) to service the Project including all contractors and subcontractors. 13. To pay all CITY OF OPA-LOCKA Capacity Impact Fees, physical connection charges and all other CITY OF OPA-LOCKA fees and charges, after the computation of credits, if any, as required by CITY OF OPA-LOCKA rules, regulations, resolutions, policies and procedures. 14. To acknowledge that the sewer system is subject to the terms, covenants and conditions set forth in court orders, judgments, consent orders and Miami -Dade Ordinances applicable to the City; and any agreements between Miami -Dade County and City. 15. To fully remedy and correct at Developer's sole expense any title defects affecting the CITY OF OPA-LOCKA's rights, incorrect easements, faulty legal descriptions or other such problems. ARTICLE II Upon completion, approval and acceptance of the work required to be done, Developer shall without cost to the CITY OF OPA-LOCKA: 1. Convey to the CITY OF OPA-LOCKA and its successors and assigns by good and sufficient Warranty Deed for all pumping facilities or other utility facilities for which the CITY OF OPA-LOCKA requests a fee conveyance and by a good and sufficient Utility Easement for all other facilities. Said easement shall grant the CITY OF OPA- LOCKA a perpetual right, easement and privilege to own, operate, maintain, repair and replace sewer service, mains, connections, pumps and meters within granted easements. 3 Developer shall also secure from each mortgagee and lienor a release or subordination of mortgagee's and lienor's interest in the deed or easement and fixtures thereon. 2. 'transfer in fee simple to the C'I'TY OF OPA-LOCKA by Bill, of Sale all Developer's right, title and interest in and to all of the service facilities, mains, pumps, connection, pipes, valves, meters and equipment installed within granted easements and rights -of -way as provided for in the plans and specifications to be prepared pursuant to the preceding Paragraph (1) above for the purpose of supplying service within the Property. The Bill of Sale shall .include the contractor's certifications stating the cost of the installations due under this Agreement, 3. Furnish the CITY OF OPA-LOCKA with an Attorney's Affidavit confirming Developer's ability to convey the items outlined in the previous two paragraphs. 4. Furnish the CITY OF OPA-LOCKA with an Owner's Affidavit confirming that all persons, firms or corporations who furnished labor or material used directly or indirectly in the prosecution of the work required to be performed by this Agreement have been paid in full. 5. Furnish the CITY OF OPA-LOCKA with Releases of Lien from all contractors and suppliers of materials and/ or labor who might have acquired an interest in the installations by the supplying of materials and/or labor or otherwise. 6. Furnish the CITY OF OPA-LOCKA with an Owner's Waiver and Release releasing all liens which Developer might have on the works/installations. 7. Furnish the CITY OF OPA-LOQc with all manufacturers' warranties which Developer might have received or is due to receive on any part of the installations. 8. Furnish the (II'Y OF OPA-LOCKA with a satisfactory Contractor's Letter of Warranty, letter of credit or security bond guaranteeing installation pursuant to this Agreement against defects in material, equipment or construction for a period of not less than. one (2) years from the passage of any City resolution accepting the utility infrastructure. g. Furnish all other items outlined in the Developer Utilities Conveyance Checklist as subsequently determined to be required by QTY OF OPA-LOCKA staff. A copy of the Developer Utilities Conveyance Checklist is attached hereto as Exhibit "B." ao. In the event that on -site sewer services facilities are connected to the CITY OF OPA-LOCKA system(s) absent the conveyances mentioned herein, the Developer's requirement to convey said facilities to the QTY OF OPA-LOCKA shall not be waived 4 and shall run with the land. In such event, the CITY OF OPA-LOCKA may thereafter, at any time, request conveyance of such facilities and the Developer or subsequent owner in interest shall promptly comply with said request in the manner prescribed herein. In the event the Developer or subsequent owner in interest is unwilling or unable to convey the facilities for any reason whatsoever, the CITY OF OPA-LOCKA shall have the immediate right to terminate this Agreement and services to be provided by the CITY OF OPA-LOCKA pursuant to this Agreement, without fault or breach. Notwithstanding the foregoing, the CITY OF OPA-LOCKA shall not be obligated to make any connection or service until the CITY OF OPA-LOQ(A has received all items required as outlined on the Developer Conveyance Checklist, including but not limited to the Engineer's Certification of Construction Completion indicating that all construction has been performed in substantial conformance with the approved engineering plans and that all tests required by the Engineer and the CITY OF OPA-LOCKA have been satisfactorily performed. 11. All documents defined in this Article shall be in such form approved by CITY OF OPA-LOCKA. ARTICLE III The CITY OF OPA-LOCKA and Developer hereby covenant and agree as follows: 1. The provisions of this Agreement shall be binding upon and inure to the benefit of successors and assigns in title to the Property, z. Developer, its successors and assigns, and the owners and occupants of buildings on the Property are hereby prohibited from installing or maintaining any water supply wells or septic systems, except for irrigation purposes and as otherwise approved by City. 3. The CITY OF OPA-LOCKA shall not be liable or responsible for maintenance or operation of any pipes, pipelines, valves fixtures or equipment on any of the properties of the customers, consumers or users on. the Property other than the infrastructure within easements granted to the CITY OF OPA-LOCKA in accordance with the CITY OF OPA-LOCKA's rules, regulations, policies and procedures. 4. Each customer of sewer service on the Property shall keep all pipes, service lines, connections and necessary fixtures and equipment on the premises occupied by said customer and within the interior lines of the lot or tract occupied by the customer in good order and condition. The sale of water to the customer shall occur at the customer's side of the meter. 5 5. Any temporary cessation or interruption of the furnishing of sewer service to the Property at any time caused by an act of God, fires, strikes, casualties, accidents, power failures, necessary maintenance work, breakdowns, damage to equipment or mains, civil or military authority, riots or other cause beyond the control of the CITY OF OPA-LOCKA shall not constitute a breach of the provisions contained herein or impose liability upon the C I'1'Y OF OPA-LOCKA by Developer, its successors and assigns. 6, This Agreement shall be recorded by the CITY OF OPA-LOCKA among the public records of Miami -Dade County, Florida after approval by the CITY OF OPA LOCKA's City Commission. When so recorded, owners and occupants of the Property connected to or to be connected to said sewer service systems of the CITY OF OPA- LOCKA shall be on notice of each and every one of the provisions of this Agreement, which shall have the same force and effect as if said owners and occupants had joined with the parties to the Agreement in the execution hereof; and the acquisition or occupancy of any part of the Property connected to or to be connected to said sewer service systems of the QTY OF OPA-LOCKA shall be deemed conclusive evidence of the fact that the owners and occupants have consented to and accepted the Agreement herein contained and have become bound hereby. 7. Whenever either party desires to give notice unto the other, it must be given by written notice, sent by certified United States mail with return receipt requested, or other mail courier service, addressed to the party for whom it is intended, at the place specified as the place for giving of notice; the place for giving of notice shall remain in such until it shall have been changed by written notice in compliance with the provisions of this paragraph. For the present, the parties designate the following as the respective places for the giving of notice, to wit: FOR THE CITY OF OPA-LOCKA: City of Opa-Locka and separate copy to City Manager Director of Public Works 8r Utilities 780 Fisherman Street Opa-locka, Florida 33054 FOR DEVELOPER: Sailboat17-1 Development, LLC 2121 NW 2t'cl Avenue, Suite 202 Miami, FL 33127 6 Redwood National Properties, Inc. 12555 Biscayne Blvd, #767 North Miami, FL 33181 Notice so addressed and sent by certified mail with return receipt requested or other mail service shall be deemed given when it is deposited with the mailing service unless otherwise provided herein. 8. The parties hereto agree that an executed copy of this Agreement and Exhibits attached hereto shall be recorded in the Public Records of Miami -Dade County, Florida, with all recordation expenses, including the CITY OF OPA-LOCKA's costs for recording, to be paid by Developer. g. That the execution of this Agreement by the C li'Y OF OPA-LOCKA shall not be construed as a precedent for the acceptance by the CITY OF OPA-LOCKA of other potable water, reclaimed water and/or wastewater facilities constructed or to be constructed by Developer or others, on otherproperties. 3.0. No substance other than Domestic Wastewater, as such term is defined by the Florida Department of Environmental Protection, or a successor agency with jurisdiction over same (the "FDEP"), shall be placed into the wastewater system and delivered to or through a CITY OF OPA-LOCKA line. Should any discharge to the wastewater system not meet Domestic Wastewater criteria as set forth by the FDEP, Developer, or any subsequent owner in interest, shall become subject to the CITY OF OPA-LOCKA and Miami -Dade County's Industrial Pretreatment Standards as said standards exist at that time, and a separate agreement shall be required for the CITY OF OPA-LOCKA to provide such service. IA. This Agreement is intended to supplement the rules, regulations, policies and procedures of the CITY OF OPA-LOCKA. This Agreement is not intended to replace any provisions of, or relieve Developer of the obligation to comply fully with, all rules, regulations, policies and procedures of the CITY OF OPA-LOCKA. For the consideration of amount of Ten Dollars ($10.00), the Developer hereby waives and releases all liens, lien rights, claims or demands of every kind whatsoever which the Developer now has on the construction of certain donated improvements, situated in Miami -Dade County, Florida, describes as: All water and sewer facilities built, constructed, and installed to serve Mirage at Sailboat Cove, City of Opa-Locka Resolution No. 03-6540, located in PB 166-086 T-22157, Miami -Dade County, Florida, as shown on Exhibit "A" attached hereto and made a part of hereof as more particularly described on Exhibit "B" attached hereto and made a part hereof. 3. Developer understands that this is a waiver and release of lien which the Developer has against the facilities described herein. Developer acknowledges that is has been paid in full for all work related to the water and sewer facilities described above. 4. Payment in full have heretofore been paid by the Developer to all persons, firms and corporations supplying labor, materials, equipment and supplies, used directly or indirectly by the Developer, or any subcontractor in the prosecution of the work provided on water and sewef-facilities described herein. 5. There are no claims, demands, or liens of any kind attributable to any action taken by the Developer in connection with the work described above which would cause, create or constitute a charge or lien against said City of Opa-Locka or the Members of the Board of County Commissioners. 6. The undersigned warrants that no assignment of liens or claims, nor the right to perfect a lien, such as Notice to Owner provision under Section 713.06 (2)(a) of the Florida Statutes, against improvements described or listed herein, has been or will be made, and that no claims are outstanding by subcontractors and/or vendors to the Developer. 7. The Developer hereby agrees to indemnify and hold harmless City of Opa-Locka and its officers, employees, agents, and instrumentalities from any and all liability, losses or damages, including attomeys' fees and costs of defense, which the City of Opa-Locka or its officers, employees, agents, or instrumentalities may incur as a result of claims, demands, suits, causes or actions or proceedings of any kind or nature arising out of, relating to or 'esulting from the performance of work by the Developer or its employees, agents, servants, partners, principals, contractors or subcontractors. Developer hereby agrees to pay all claims and losses in connections therewith and shall investigate and defends all claims, demands, suits, or actions of any kind or nature in the name of City of Opa-Locka, where applicable, including appellate proceedings, and shall pay all costs, judgments, and attorney's fees which issue thereon. 8.
