HomeMy Public PortalAboutAddendum No 1 to Contract No. 7-2016 - Fire - Indiana University Health - LifelineADDENDUM THIS ADDEN UM, (Number 1 to Contract No. 7-2016) is made and entered into this /— day of /" /� , 2016, by and between the City of Richmond, Indiana, a municipal corporation acting ough its Board of Public Works and Safety, with its office at 50 North 51h Street, Richmond, Indiana, 47374 (hereinafter referred to as "City" or "Contractor"), and Indiana University Health, Inc., 51 South New Jersey Street, Indianapolis, Indiana, 46204 (hereinafter referred to as "IU Health"). WHEREAS, City as "Contractor" and IU Health entered into Contract No. 7-2016 on February 11, 2016; and WHEREAS, The parties wish to clarify and amend Paragraph Section 9(c) of said Agreement to allow the Richmond Drug Free Workplace Policy to supersede the provisions of Paragraph Section 9(c) requiring all Fire Department Personnel who provide services on behalf of the Fire Department pursuant to the Agreement (known in the Agreement as "Contractor Personnel") to submit to blanket substance abuse testing. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and IU Health hereby agree as follows: 1. The City and IU Health executed and entered into Contract No. 7-2016, on February 11, 2016. Pursuant to Contract No. 7-2016, Paragraph Section 19 [Modification and/or Assignment] said Agreement may not be modified, amended, or supplemented, nor may any term or condition be waived, except by an agreement in writing signed by both parties. The Parties wish to modify Paragraph Section 9(c) as follows: "Contractor, at its sole cost and expense, shall conduct substance abuse testing and testing pertaining to blood borne pathogens on the Contractor Personnel that provide Services on behalf of the IU Health in accordance with Contractor's Drug Free Workplace Policy. Such substance abuse testing may be conducted by Contractor but non -negative results shall be verified by a laboratory that is certified by the Department of Health and Human Services. Contractor shall not assign to IU Health any Contractor Personnel who are determined, after appropriate testing, to be engaged in substance abuse." 2. Both parties hereby agree that with the exception of the modification of Paragraph Section 9(c), Contract No. 7-2016 shall remain intact and unchanged and in full force and effect. Addendum No. 1 to Contract No. 7-2016 Page 1 of 2 Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
