Mayor Vandernail called the meeting to order at 7:00 p.m.
1. Rollcall: Mayor Philip Vandernail; Mayor Pro-Tem Eileen Waldow; Trustees; Andy
Miller, Brian Cerkvenik, Katie Soles, Parnell Quinn
2. Approval of Agenda:
Trustee Soles moved, and Trustee Quinn seconded the motion to approve the agenda.
Motion carried: 6-0.
3. Consent Agenda:
a) Minutes March 17, 2021
b) Minutes April 7, 2021
c) Resolution 2021-04-07 Wastemanagement Service Extension Agreement
Trustee Cerkvenik moved, and Trustee Quinn seconded the motion to approve the
consent agenda. Motion carried: 6-0.
4. Discussion And Possible Action Regarding:
a) Appointment to Fill the Vacancy from Trustee Ryan Barwick's Resignation
The following people made a comment: Deb Buhayar, Lewis Gregory, Deborah
Shulman, Jay McDade, Jacob Schleinger, Paula Stewart, Laura, Joe Landen, Patty
Marshal, Linda Rogers, Jamie Wolter, Kaydee Fisher, Allen Rogers, Clark Lipscomb and
Peggy Smith

Trustee Quinn moved, and Trustee Cerkvenik seconded the motion to appoint Kaydee
Fisher to fill the vacancy. Motion carried: 6-0.
Town Clerk McVeigh administered the Oath of Office to Kaydee Fisher. The meeting
resumed with Trustee Fisher.
b) Resolution 2021-04-06 Amended Memorandum of Understanding Headwaters
Trail Alliance
Meara McQuain and Maire Sulivan presented to the Board.
Trustee Soles moved to approve Resolution 2021-04-06 Amended Memorandum of
Understanding Headwaters Trail Alliance with the amended changes, Town of Fraser#3
Provide HTA with a contribution of$5,000 for the Trailhead Ambassador Program. #4
needs to be fiscal year 2021,Trustee Waldow seconded, Trustee Cerkvenik amended
the motion to delete HTA#3. Assist the Town of Fraser with funding requests for outdoor
recreation development and town improvements, including attending meetings, writing
letters of support, assisting with trails and recreation development plans, Trustee
Cerkvenik seconded the motion. Motion carried: 7-0
c) Resolution 2021-04-08 Business Relief
Trustee Cerkvenik moved, and Trustee Waldow seconded the motion to approve
Resolution 2021-04-08 Business Relief. Motion carried: 7-0
d) Transit Expansion for The Redline
The Board supports the expansion of the Redline Service in Rendezvous. Trustee
Cerkvenik as a Transit Advisory Committee (TAC) representative for the Town of Fraser
will advise the TAC.

6. Updates:
a) Joint Meeting with The Planning Commission April 28, 2021
b) Grant Updates, Catherine
7. Executive Session:
For a conference with the Town Attorney for the purpose of receiving legal advice on
specific legal questions under C.R.S. Section 24-6-402(4)(b) and For the purpose of
determining positions relative to matters that may be subject to negotiations, developing
strategy for negotiations, and/or instructing negotiators, under C.R.S. Section 24-6-
402(4)(e). Regarding Economic Inducements. Including Town Attorney Rod McGowan,
Interim Town Manager Wesley LaVanchy, Town Clerk Antoinette McVeigh, Finance

Manager Beth Williams, Assistant Town Manager Michael Brack, Town Planner
Catherine Trotter and Public Works Director Russell Pennington
Trustee Cerkvenik moved, and Trustee Waldow seconded the motion to open the
Executive Session. Motion carried: 7-0.
Trustee Soles moved, and Trustee Waldow seconded the motion to close the Executive
Session. Motion carried: 7-0.
Attorney's Opinion Required by C.R.S. 24-6-402(2)(d.5)(II)(B). As the attorney
representing the Town of Fraser, I am of the opinion that the entire executive session,
which was not recorded, constituted a privileged attorney-client communication.

8. Discussion And Possible Action
a. Grand Park Agreement for Certain Economic Inducements and Incentives
Trustee Soles moved, and Trustee Waldow seconded the motion to approve Resolution
2021-04-09 Regarding the Incentive Agreement for the Improvements At 78 Market
Street North And 118 Market Street South and the Conditions for Extending the
Completion Date for Said Improvements. Motion carried: 7-0.
9. Adjourn:
Trustee Cerkvenik moved, and Trustee Quinn seconded the motion to adjourn. Motion
carried: 7-0. Meeting adjourned at 10:20 p.m.
