HomeMy Public PortalAbout83-120 (09-20-83)RESOLUTION NO. 83 -120 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD GIVING CERTAIN APPROVALS AND AUTHORIZING CERTAIN ACTIONS REQUIRED IN SUPPORT OF A HOME SECURITY PROJECT FOR SENIOR CITIZENS. WHEREAS, the,City is the recipient of a grant consisting of 300 sets of deadbolt locks from the League of California Cities, and WHEREAS, said locks have been provided to the City through the League's "Senior Citizens Target Hardening Project" for the pur- pose of reducing the burglary rate for low to moderate income elderly households, and WHEREAS, the City Council of the City of Lynwood approved on July 6, 1982, the implementation of a Senior Citizens Home Security Project in order to further the City's ongoing efforts in providing its low and moderate income residents with healthier, safer and more secure homes; and WHEREAS, the City Council of the City of Lynwood approved on September 22, 1982, the execution of an Agreement with Veterans in Community Service, Inc., Contractor, a private nonprofit corporation, to operate said project, and WHEREAS, the term of said Agreement expires on September 22, 1983, and the City wishes to extend the term for one (1) year. NOW, THEREFORE, the City Council of the City of Lynwood does hereby resolve as follows That the attached AMENDMENT to the MEMORANDUM OF CONTRACT between the City and Contractor, dated September 22, 1982, is approved, subject to such changes as are approved by the City Attorney, and the Mayor is authorized to execute said AMENDMENT. I TO MEMORANDUM OF CONTRACT made this ___ day of .......... 1983, between the CITY OF LYNWOOD, hereinafter referred to as the "CITY" and VETERANS IN COMMUNITY SERVICES, INC., a private nonprofit corporation recognized by the State of California, hereinafter referred to as the "CONTRACTOR." W_I_T N_E_S_S E_T H WHEREAS, the CITY and CONTRACTOR did enter into an agreement for the provision of home security services to qualifying seniors in Lynwood, dated September,22 19821 and 'WHEREAS, the CITY and CONTRACTOR do now wish to amend said MEMORANDUM OF CONTRACT: IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES AS FOLLOWS: 1. That the first paragraph in Article II, "Scope of Work," on page 2 of the aforementioned MEMORANDUM OF CONTRACT, dated September 22. 1982, is hereby amended so as to read as follows: "CONTRACTOR shall perform home security inspections and provide home security services and counseling to qualified elderly households in a number not to exceed ONE HUNDRED NINETY (190) cases." 2. That paragraphs "A" and "B" in Article III, Period of Performance, on page 3'of the aforementioned MEMORANDUM OF CONTRACT are hereby amended so as to read as follows: "A. CONTRACTOR shall continue providing hem* security services in accordance with job descriptions as stated in Article II above upon the execution of this AMENDMENT for a period not 1 to exceed one (1) year from the Aate of execution of thi� Time is of the essence in this Agreement and failure of CONTRACTOR to complete its duties and responsibilities under this Agreement within the time specified above and pursuant to the provisions of Article 2.8. below shall constitute a material breach of this Agreement." "B. CONTRACTOR agrees to provide the home security services described in Article II above to all applicants referred to CONTRACTOR by the CITY. The number of referrals shall not exceed 190 cases for the duration of this Agreement. Said referrals will be made by the CITY to the CONTRACTOR in sets of fifteen (15) cases at time e intervals determined by the flow of applicants." 3. That paragraphs " A " and "B" of Article VII, Payment; on pages 5 and 6 of the aforementioned MEMORANDUM OF CONTRACT are hereby amended so as to read as follows: "A. The compensation paid to CONTRACTOR by the CITY for its performance under -this Agreement shall be SIXTY -FIVE AND 0 /100 DOLLARS ($65.00) per case for all cases referred to CONTRACTOR pursuant to the provisions of Article III.A. above and for a total amount not to exceed TWELVE THOUSAND FOUR HUNDRED FIFTY -SEVEN AND 0 /100 DOLLARS ($12,457.00)." "B. CITY shall disburse progress payments to CONTRACTOR upon satisfactory completion of each set of cases as described in Article II.B. above and pursuant to-the payment schedule referenced in Article III.A. above. The number of progress payments shall not exceed the number of twelve (12) during the term of this Agreement. Each progress payment shall be disbursed upon receipt of an appropriate invoice for work performed and upon verification of approval by the Director. In the event any invoice is not acceptable, the Director shall notify CONTRACTOR within fifteen 2 statin(, reason(s) for such acceptability. Payment of approved invoices shall be made by the CITY within thirty (30) calendar days of receipt of such invoices." 4. That a new paragraph, "C." is added to Article VII, Payment, of the aforementioned MEMORANDUM OF CONTRACT so as to read as follows: "C. CONTRACTOR shall accept the amount of SEVEN THOUSAND AND 0/100 DOLLARS ($7,000.00) disbursed to CONTRACTOR by the CITY in two (2) payments as full payment for home security services rendered as to the date of expiration of the Agreement, September 22, 1983. The "services rendered" as referenced above shall include the completion of all cases referred to CONTRACTOR by the CITY on or before September 15, 1983, regardless of the date of actual completion of said cases." 5. That all other and further provisions of said MEMORANDUM OF CONTRACT dated September 22, 1982, not in conflict with this AMENDMENT shall remain in full force and effect.
