M WHEREAS, the City wishes to lease a vehicle to the Lynwood Redevelopment Agency for staff use in order to carry out Agency business; WHEREAS, a vehicle has been purchased by the City and is available for lease to the Agency. NOW, THEREFORE, the City Council of the City of Lynwood does hereby find, determine, order and resolve as follows: Section 1 . MOTOR VEHICLE LEASE .AGREEMENT The undersigned Lessor and the undersigned Lessee agree: 1. Lease. Lessor will lease to Lessee and Lessee will hire from Lessor the motor vehicle described as a 4 -door sedan identified in the records of the City as no. 602 (the "Vehicle ") upon the terms contained herein. 2. Term The term of the lease of the Vehicle shall commence on September 1, 1983 and shall extend to June 30, 1984 (the "ten month period "). 3. Rental Concurrent with the execution hereof, Lessee will pay to Lessor the sum of $2,074.00 (representing the sum of $207.40 per month for the ten month period) at Lessor's place of business. 4. Surrender On expiration or termination of the lease, Lessee shall surrender the Vehicle to Lessor at Lessor's place of business, free of all damage and in the same condition as it was when received from Lessor, reasonable use and wear excepted. 5. Expenses, Fees and Taxes Lessor shall pay all costs, expenses, fees and charges incurred in connection with the use and operation of the Vehicle, including, without limitation, gasoline, oil, grease, repairs, maintenance, tires, tubes, registration and license fees and tags, and all taxes of every kind and by whomsoever payable on or relating to the Vehicle and the ownership, leasing, purchase, sale, use or operation thereof. If Lessee pays any such costs or expenses, Lessor shall repay the amount thereof to Lessee on demand. 6 Maintenance By accepting delivery thereof, Lessee acknowledges that the Vehicle is in good condition. Lessee shall keep and return the Vehicle in good repair and properly serviced and lubricated in accordance with the recommendations set forth in Manufacturer's Owners' Manual. If any maintenance is done other than by Lessor, Lessee shall forward all bills for such services to Lessor in a timely manner and Lessor shall pay such items when due. All replacement of parts, additions, repairs and accessories for the Vehicle shall become a part thereof and shall be the property of Lessor. 7. Use and Operation Lessee shall not permit the Vehicle to be used except for lawful purposes nor to be loaded, used, operated or stored negligently, improperly or in violation of any law or so as to cause or permit cancellation or suspension of insurance coverage, or for hire, nor to be 09 -14 -83 5811P/1269/00 -2- removed from the continental limits of the United States without the written consent of Lessor. 8 Indemnity Lessee shall indemnify Lessor, its directors, officers, employees, agents and assigns, against and hold them harmless from any and all claims, demands, liabilities, actions, suits and proceedings of every kind, including the costs and expenses thereof, caused by, arising out of, or connected with the Vehicle leased hereunder, including without limitation, the manufacture, selection, delivery, possession, use, operation and return of the Vehicle; and any and all bodily injury, death or property damage. Lessor shall not be liable for any loss, damage or injury to Lessee of any kind and in any manner caused by or connected with the Vehicle or the condition, reconditioning, repair, maintenance, possession or use thereof. 9. Risk of Loss, Damage or Destruction Lessee bears the risk of loss of, damage to, or destruction of the Vehicle whether resulting from fire, theft, governmental action, collision or any cause whatever. 10. Insurance At all times during the lease term Lessor shall provide and maintain in full force with respect to the Vehicle (a) public liability and property damage insurance, 09 -14 -83 5811P/1269/00 -3- bodily injury liability and liability for property damage, naming and insuring Lessee and Lessor, for and against liability and loss for injury or death of any person or persons and for damage to property, resulting from or arising out of the possession or operation of the Vehicle; and (b) a policy of insurance against loss of or damage to the Vehicle resulting from fire, theft, collision and extended coverage perils ordinarily covered and insured by a California standard form of automobile fire, theft, comprehensive and collision insurance policy with loss payable to Lessee and Lessor as their interests may appear 11. Accidents Lessee shall notify Lessor of each accident or other occurrence which causes damage to the Vehicle within twenty four (24) hours thereafter, give all information and cooperation which Lessor may reasonably request in i connection therewith, promptly advise Lessor of all claims and demands relating to the Vehicle or the use, operation or possession thereof, and aid in the investigation and defense of all such claims and in the assertion by Lessor of any claims for its own account arising out of each such accident or occurrence. 12. Assignment by Lessee Neither this Agreement, nor any lease made hereunder, is assignable or transferable by Lessee or by operation of law The consent of Lessor to one 09 -14 -83 5811P/1269/00 -4- such assignment shall not constitute consent to any other or further assignment. 13. Nonwaiver No delay or forbearance of Lessor in the exercise of any remedy or right will constitute a waiver thereof and the exercise or partial exercise of a remedy or right shall not preclude the further exercise of the same or any other right or remedy 14. California Law. This Lease shall be governed by and construed in accordance with the laws of the State of California.
