HomeMy Public PortalAboutBen Holley- Contract for Legal ServicesCONTRACT FOR LEGAL SERVICES THE CITY OF CRESTVIEW, FLORIDA, a municipal corporation, hereafter referred to as "City," and BEN L. HOLLEY, attorney at law, hereafter referred to as "Attorney," desirous of entering into a contract for legal services, agree as follows: Attorney is hereby retained as City Attorney for the City at a monthly retainer of $3,500.00. This retainer shall cover all of Attorney's fees for attending all regular City Council meetings, City Council Workshops, CRA meetings, Planning and Zoning Board meetings and Board of Adjustments meetings when necessary. This retainer shall also cover all consultations with Council Members, the Mayor, the City Clerk and all Department Ileads. 2. Any time the City borrows funds and the Attorney is required to furnish a legal opinion in reference to the loan, the Attorney shall be paid one -tenth (1/10) of one (1) percent of the loan amount as his fee. This fee shall cover the services rendered by Attorney in reviewing the documentation for the loan as well as furnishing the opinion. 3. For all other legal services performed by the Attorney, including but not limited to, legal research, furnishing written legal opinions, reviewing and/or preparing contracts, ordinances and resolutions and representing the City in litigation, the Attorney's fee would be $175.00 per hour, plus any court costs incurred in litigation. 4. Attorney will present his statement for services each month to the City Clerk to be put on the agenda as a Consent Agenda Item and presented to the Council for approval. No bill shall be paid without approval by the City Council. 5. The City Council shall have the unconditional right to terminate this contract with the Attorney, without cause, at any time by a majority vote of the entire council without penalty. Attorney shall have the option to cancel this contract with the City, without cause, by giving 90 days written notice without penalty. 6. If the City becomes involved in litigation that requires an attorney specialized in a certain area, or in litigation in federal court, City agrees upon recommendation of Attorney to retain an outside attorney to represent the City in any such cases.
