TRIAL POLICY
Trials of Cale America Inc ("Cale") pay station equipment and services may be granted
according to the following Trial Policy:
1. Evaluation Period - The City agrees to use and evaluate the Trial Products listed
on the Sales Quote for a maximum trial period of 120 days from date of installation,
unless extended in writing by City and Cale. The initial trial period shall be from June
16, 2014 —August 31, 2014.
2. Start of Trial - The City agrees to start the trial period within 30 days from the
equipment arrival, pending set up and testing of merchant services account for credit
card processing.
3. Back-Office Services - Cale will provide to the City for the duration of the trial all
Cale WebOffice ("CWO") services reasonably required to perform the trial,
including online reporting, PCI-compliant credit card gateway services, wireless data
services and real time alarm notifications, for a fee of$60 per meter, per month. Cale
will not be liable to City for any damages for loss of profits, revenue or any loss of
data arising from the use of the equipment and services during the trial period.
4. Shipment and Installation - Cale, at its expense, will be responsible for the
shipment and installation of the Trial Products and will work with the City to
coordinate ground preparation and necessary signage to be installed prior to
installation of the Trial Products.
5. Help Desk Services — During the trial, and at no cost to the City, Cale will establish
a local, dedicated 912 phone number that will be used to answer customers'
questions about the Tybee Island parking policies and to assist patrons with
operation of the parking meters. Live call answering will be available during normal
parking hours of operation 7 days a week. Complimentary decals or display
programming will be provided with the local phone number for questions or
assistance and Cale will work with the City to develop a comprehensive call script.
All calls will be logged in real time and available online or via email notification by
City staff during trial. Optionally, Cale can also provide decals for existing Duncan
and IPS meters and create alternative call scripts to handle calls from patrons using
these meters also, if desired, as part of the trial and evaluation of Cale's services.
6. Use of Products - The City shall use and operate the Trial Products for the
purpose of collecting parking revenues in City-owned public parking areas.
7. Removal - The City shall not at any time temporarily or otherwise remove the
Trial Products from the initial installation site, without Cale's prior written consent,
which consent shall not be unreasonably withheld.
8. Merchant Account - The City shall open or provide a merchant account for credit
card processing with a merchant services provider designated or approved by Cale
prior to equipment shipment from Cale. Any credit card service charges will be
borne by the City.

9. Training - Cale will provide training to city staff along with a PDF version of the
meter Installation and Maintenance Manual at no cost to the City.
10. Maintenance - Excluding the costs associated with the City performing the basic
meter maintenance during the trial, the City shall not pay any costs related to the
maintenance, servicing and repair of the Trial Products.
11. Permits and Licensing - Although not anticipated, the City is responsible for the
cost of permits, licensing, and electricity if applicable.
12. End of Trial Period - At the end of the trial period, the City will have the option
to:
(a) Have Cale remove and return the Trial Products within ten (10) business
days following the end of the trial period, and have Cale restore the trial area
to its original condition; or
(b) Continue to use the trial equipment for a monthly, all-inclusive rental fee to be
agreed upon by the City and Cale; or
(c) Purchase the pay station equipment and enter into an agreement for ongoing
services with Cale at costs to be agreed upon by City and Cale; and
(d) Continue to utilize Cale's Help Desk Services based on rates quoted by Cale
to City at the conclusion of the trial based on average call volumes, call
durations and number of City staff who need online access to the call data.
13. Ownership of Trial Equipment - During the trial, the City agrees that Trial
Products shall remain the sole and exclusive property of Cale, unless fully paid
for by the City. The City assumes and shall bear the entire risk of loss, theft and
damage to or destruction of the Trial Products (partial or otherwise) at all times
during the trial period. The City agrees to pay for any damaged or vandalized
equipment, such as a vandalized meter.
14. Terms and Conditions - Should the City choose to purchase or rent at the
expiration of the Trial Period, the City agrees to abide by Cale's standard terms and
conditions.
