Presentation of District's Classification and Compensation Study Results and Recommendations
by Koff& Associates and Board Study Session
GENERAL MANAGER'S RECOMMENDATION
The General Manager recommends that the Board review and discuss the District's
Classification and Compensation Study recommendations made by Koff& Associates.
SUMMARY
This report presents the final results and recommendations of Koff& Associates' District
Classification and Compensation Study and summarizes key recommended changes. The intent
of this study session is to provide the Board with the opportunity to ask questions about the
survey results in preparation for a subsequent meeting where the Classification and
Compensation Study will be brought before the Board for approval and future implementation.
DISCUSSION
On June 9, 2010, the District Board of Directors (Board) approved a professional services
contract with Koff& Associates (Koff) for a District-wide classification and compensation study
and, on August 11, 2010, approved an amendment to the contract to include a benefits study for a
comprehensive classification and compensation analysis (Board Report 10-90). At its meeting of
October 27, 2010,. the Board approved Koff& Associates' recommendation of thirteen (13)
benchmark agencies (Board Report 10-113).
During summer and fall 2010, Koff collected information regarding staff position
responsibilities, developed position descriptions, revised some classification titles, researched
and recommended appropriate comparator agencies, and completed salary and benefit
comparisons for each position in the District. At the January 12, 2011 Board Meeting, Katie
Kaneko, President of Koff& Associates, presented the progress on the District's Classification
and Compensation study including methodologies, findings, and recommendations.

details of Koff& Associates' District Classification and Compensation Study recommendations
are included in the attachments to this report.
The classification section is presented in Volume I and includes all newly created or updated
class descriptions to ensure they are consistent with current position duties and responsibilities
and properly reflect the required knowledge, skills, and abilities. Key changes included in the
recommendation are:
1. Title changes are recommended for fifteen (15) classifications to accurately reflect the actual
job responsibilities and duties performed by class incumbents and to be consistent with
industry terminology;
2. Six positions are recommended for reclassification due to level and scope of work and/or job
functions that have been added to the positions over time; and
3. Four positions are recommended to change from non-exempt(hourly) to exempt(salaried) to
comply with Fair Labor Standards Act (FLSA) rules.
The compensation study contains information for the 32 of the District's 47 classifications that
were selected for comparison to compensation data from other agencies. Each position selected
from the comparator agencies had to match approximately 70% of the duties and responsibilities
of the corresponding position at the District. Other job classifications not surveyed were aligned
in the compensation plan using internal equity principals. Each comparator agency was
interviewed to understand their organizational structure and possible classification matches. The
top step salary median data is used for comparison because it is the exact midpoint of all the
market data and is not skewed by extremely high or low salary values, unlike the mean (average)
data. The differences between market base salaries and total compensation indicate that the
District's benefits package, in terms of cost, is less than that of the market median, although not
significantly less. Salary recommendations are based on top monthly salary and the benefits
recommendation is that the District address benefits separately. The current District
Classification and Compensation Plan is a point-based system and contains various ranges with
minimum and maximum salaries assigned to each classification and is based on a total of 6 steps
with 5 points in between each step. Staff recommends using Koff& Associates proposed model
that has 65 salary ranges, each range contains ten steps that are 2.5% apart from the next higher
step which will facilitate calculating salaries for multiple purposes including analysis,
forecasting, and budgeting processes. It will also ensure that internal salary relationships are
preserved and that the salary schedule remains structured and easy to administer.
After completing the study session, Administration staff will provide their classification and
compensation recommendations to the Administration and Budget Committee. In their Report,
Koff&Associates states this market survey is a tool to be used by the District to analyze data
and internal relationships within class series as well as across the organization, and make
adjustments to salary range placements as necessary based on the needs of the organization.

FISCAL IMPACT
The fiscal impact of implementing the study's compensation recommendations has not yet been
determined and the purpose of this Study Session is to inform subsequent Board action regarding
approval and implementation of the survey. Based on discussion and the outcome of the Board
Study Session, implementation of any proposed compensation changes will be evaluated as part
of the FY2012-13 budget development process to determine the fiscal impacts on District budget
guidelines and operating expense forecasts.

CEQA COMPLIANCE
No compliance is required as this action is not a project under the California Environmental
Quality Act (CEQA).
NEXT STEP
After Board review and comment regarding the proposed District Classification and
Compensation Plan, Administration staff and the General Manager will review the opportunities
and constraints involved in implementing any recommended market adjustments identified in the
study with the Administration and Budget Committee prior to bringing them to the full Board for
approval.

Thank you for your letter of June 2. 2O11. /\a you are aware, the Board has directed the �
General Manager Steve Abboreto meet with you regarding the road agreement for the driveway �
at the end of Prospect Road that accesses your property and Fremont Older Open Space �
Preserve. I understand that you met with Mr. Abbors and other District staff on June 27, 2011. �
We appreciate your coming in to meet with District staff oo that the District could better
understand your request. By the time you receive this letter you should have already received �
o| least on initial response from Mr. AbbVrs. This letter will not address the specifics ofyour �
request since staff is in the process of responding to your concerns you have raised.
The Board has a policy entitled "Policies for Road Maintenance Agreements" that will guide staff �
in responding to your request. The primary guideline in the policy ie that the District's
contribution to road agreements shall be proportional to the District's and public's vehicle use �

remember that the District is just one of four parties that are bound by the signed "Prospect �

RE: Road Easement—Fremont Older Open Space Preserve
Dear Board of Directors,
This letter is a request to put on the MPOSDBoard agenda for the meeting June 22,2011,. items
concerning:
1. Request for MPOSD to accept a Quit Claim Deed from Linda Houston(formerly Linda Stuckey)
from the uppermost of her property line to the property line of Denise and Joel Harris. This
"Houston"easement runs across MPOSD land and has not been used by Houston since 1971 (date
property purchased)as this portion of the easement is a dead end road. Linda Houston will be
responsible for hiring a civil engineer to legally describe this portion of the easement for recording.
Attached is a map showing that portion of road is cross-hatch.
In hindsight,Houston should have done a Quit Claim Deed to this portion of the road while the
ownership was under Bank of America for Cora Older or Dorothy and Jack Lyddon, owners
previous to District. The Older House and Adobe(National Historical Registry) are owned by
District and rented out. The Harris property has a First Right of Refusal by District. Why should I
be paying for road maintenance and repairs for a dead end road,public owned road which services
patrol and emergency vehicles, with one private land holding(District ownership option-Harris)at
best? If this portion of road was in private ownership,I could just record a Quit Claim Deed. The
law states that a public agency has to accept a Quit Claim Deed;thus,my request to you.
The Road Agreement for the easement on land of District for Fremont Older Preserve is 17 years old
(Attached). A Quit Claim Deed will affect this financial obligation portion of the Road Agreement.
The existing agreement has shares:

As the road usage by District has increased by a large increment and there is a Ranger Residence,
my request is for District to increase their share of costs by amending the Road Agreement signed
September 29, 1994.

The visitor parking lot located at the entrance of the Preserve has 160 linear ft. of common easement.
I request that District pay 100%of road maintenance of the 160 lineal feet as this parking lot is used
by visitors 365 days of the year.
That portion of the road between the parking lot and the ranger's residence,the hillside slippage has
caused the road to be approx. 10 ft. wide for about 70 feet. I request that District use their
equipment to remove the dirt to widen the road.
I request that part of the current road maintenance and repair proposal/contract is to install a 3 ft.
high retaining wall in this area. Currently no vehicles can pass in this portion of road. I have
watched many times emergency vehicles having to stage in/out for this portion of road. District has
built a small retaining wall to keep open the culvert in this area.
I request that District approve a change to Item#6 Soliciting Bids. "If a single installment of work
under this agreement is estimated to exceed$ 989$8,000 total,the parties agree that a formal bid
process shall be undertaken to obtain a contractor by or under the auspices of District. If the work
agreed to is estimated to be under$5,000$8,000,three estimates shall be obtained and the contractor
shall be selected with the unanimous concurrence of the parties."
I request that District approve a Road Agreement Amendment to reflect different cost percentages,
to reflect the increase of District vehicular use in the last 17 years to Houston upper property line
AND second percentage formula from Houston upper property line to Harris property.
The road has had no maintenance in 12 years.
Elaine and Mort Levine,renters of Older House,have stated that they intend to live there 3-5 more
years. Mr. Levine has told me that he is not interested in modifying the road agreement in any way.
He wants the road repaired....and then talk about a new road agreement. What incentive is there for
Levine's to sign an amendment to the agreement when they are"short timers"?If I were in their
shoes, I would be saying the same thing. Mr. Levine has stated that he is agreeable to paying$5,000
toward road maintenance and badly needed repairs.He said that I would not be included in the cost
of road maintenance/repair above my property. I applaud the Levine's,using their own money,
lovingly restored and cared for the Fremont Older home(and gardens)and it is now on the National
Historic Registry. The Levine's have a unique relationship with District,as they should. This is
not the same relationship of a private land holding such as mine and Harris.
I have a Note to File dated December, 1981: "A year ago,Nov. 28th in the emergency discussions
with Steve Sessions, old land mgr it was agreed to get a formula established and he verbally agreed
to PD 79%,Harris 7%,Levine 7%and Stuckey 7%."
I have a Note to File dated August 22, 1994 (Attached): Talked to John Escobar(District)about
repair of the road and he says that Harris is getting ready to sell their home. Park District has to help
them get top dollar for their house. Harrises(sic)had been good neighbors to Park District over the
years and they owed this to Harrises(sic)." The Harris' did not move; however,this repair was done
in the most rapid of manner.
Request for Bid due by August 31, 1994,Twenty-two (22)days after my conversation with Mr.
Escobar, September 13, 1994, Annette Coleman,District, is signing a Purchase Authorization/
Purchase Order for base rock. The Road Agreement is signed September 29, 1994. by Stuckey;
October 5 by Harris and signatures not dated by Levine or L. Craig Britton,General Manager.
Dr.Hope Rugo, Oncologist,UCSF, "Ms. Houston has high grade,very aggressive invasive breast
cancer..." I had surgery Nov. 2004, approximately 70 chemo to date and I am in a clinical trial. As
a result of my surgery, I have lymphodema.
I am going to be selling my home. I do not want the stress of tensions,arguments over this road
situation. I do not want the stress of being told by District personnel that"things"get sent to
"Legal"where they sit...and sit. I have heard from District("send to Legal"for years on end
including May,2011)I have found a residence that I want to buy. Who would buy my home,at any
price,with the current easement situation and current condition of the road?
I request the same kind of treatment that Harris received in regard to"help them get top dollar for
their house." The road condition is a huge issue: the same that it was for Harris in 1994. The road
is in terrible condition and Levine,Harris and Houston strongly support immediate attention to this
problem. If the work is agreed upon and commences before Amendment to Road Agreement,I am
(all of us)are held to a 17 year old dated contract. This would not be right.
As of today,this is where the road situation stands: In October,2010,there was a"road meeting"to
walk the road. Present was Joel Harris,Mort Levine,Michael Newburn(MPOSD)and myself. We
walked and talked about repair from below the Adobe to the entrance of the Preserve. One Proposal
(District initiated)was submitted by Bay Area Asphalt and Cement Works. The cost was$34,085

Mr. Levine submitted a Proposal from Graham Contractors for$19,850 for"chip seal". I submitted
a Proposal,April 7,2011, from Asphalt Surfacing, Inc. for patch repairs of specific large potholes
for$13,800. These three proposals are"Apples and Oranges."There was a"road meeting"on May
13,2011, at the Levine home with Denise&Joel Harris,Mort Levine,Michael Newburn(District)
and myself. I provided the name of a"road consultant"and suggested his involvement of
evaluation. I now feel that a road decision can be made without a"consultant". However I have
had no contact with District since October, 2010,and May 13,2011 other than one three sentence
email from District with Bay Area Asphalts Proposal attached and no telephone or person to person
contact.
Has this road been targeted to be ignored whereas the trails and parking lot get unlimited attention/
more funding?

No communication from District from October, 1999,until October,2010 (11 years),
Road Agreement states that District is to call and hold a yearly road meeting.
October, 2010,Walk the road and have discussions for repairs and.....
Five months later,one communication(meeting)and one Proposal/Contract from District. Where
are the other two estimates as per the road agreement?

This agreement made at Lo Altos, California, this .._ day of 1994, by
•and between Linda and Stun Stuckey, (hereinafter called"Stuckey"), 22600 Prospect Road; Mort
and Elaine Levine, (hereinafter called "Levine"), 22800 Prospect Road; Earl and Donna Harris,
(hereinafter called ".Harris"), 22902 Prospect Road; and Midpeninsula Regional Open Space.District
(hereinafter called "District").
WHEREAS, each of the above parties has access to or has easements running over a portion of the
extension of Prospect Road an the District's Fremont Older Open Space Preserve, running from its
junction with the public portion of Prospect Road westward for approximately 2,500 feet to the
junction with a driveway to the adjacent "Harris" property,
WHEREAS, the parties desire to mutually maintain and repair the access road (hereinafter called "
the road") and to be chargeable for same upon the terms and conditions described below,
NOW, THEREFORE, the parties agree as follows;
1. The area described as the road is shown in attached Exhibit "A".
2. Condition of„b,e Road. The parties acknowledge that the road is presently an oiled baserock
surface road in good condition.
3• NI&= _e of the Road. The parties agree to repair and maintain the mad to a conto don that
will guarantee permanent year-round vehicular passage. The parties agree mutually
methods and materials that will be used to repair and maintain the road, and to keep the road in
its current condition, and that all local government codes, regulations and permit procedures
will be observed.

reasonably usable condition during normal weather cnditewners of record of
respective successors in interest, shall notify in writing �tich of he other o

the portion of the road requiring maintenance or repairs and the estimated cost of affecting such
maintenance or repairs. All parties will then meet and confer within 30 days and attempt to
agree as to the need for such repairs, including costs, extent, and time period of repair. Upon
such agreement, payment shall be made in advance to the party administering such repairs and
the repair will be completed as soon as practicable. It is also agreed that all parties will confer
at least once a year, during the months of March or April, to ascertain the condition of and
need for normal repairs of the road. The District will be responsible for calling the annual
meeting. However, any party may call the annual meeting if the District fails to do so during
the months of March or April.
6. SQUdfinZjaLda. If a single installment of work under this agreement is to be $5,000 or more,
the parties agree that a formal bid process shall be undertaken to obtain a contractor by or
under the auspices of District and the contractor shall be selected with the unanimous
concurrence of the parties. If the work agreed to is estimated to be under $5,000, three
estimates shall be obtained and the contractor shall be selected with the unanimous concurrence
of the parties. Contracts shall be awarded to the lowest responsible bidder.
7. EW�p&of Aareem t. This agreement shall be in force for a period of five (5) years and shall
automatically renew for an additional five (5) years at the end of each five-year period, unless
any party gives written notice of cancellation of the five-year extension period 30 days before
the beginning of the extension. Any party at any time may request in writing a conference of
all parties to review road usage figures and individual cost shares. It is understood that this
would normally occur, however, at the annual conference stipulated in paragraph 5.
8. Fntire AereemeM. This instrument contains the entire agreement between the parties. Any
modifications hereof shall be in writing and signed and executed by all the parties.
9. AttgMey Fees. If there is any controversy, claim, or dispute relating to this instrument or the
breach thereof, the prevailing party or parties shall be entitled to recover from the other(s), as
determined by the court, reasonable attorney's fees and costs.
10. Hers r Successors. This agreement shall be binding on and inure to the benefit of heirs,
personal representatives, successors, and assigns of the parties hereto.

Authorization to Establish District Bank Account for the Hawthorns (Woods Trust) Fund at
Torrey Pines Bank and Authorization of District Signatories
CONTROLLER'S RECOMMENDATION
Adopt the attached Resolution of the Board of Directors of the Midpeninsula Regional Open
Space District authorizing the establishment a separate bank account for the Hawthorns (Woods
Trust) Fund at Torrey Pines Bank and the corresponding Financial Instrument Signatories.
SUMMARY
The Hawthorns (Woods Trust) gift is comprised of both real property located in Portola Valley
and monetary assets. The most efficient and effective way to complete the transaction conveying
the Hawthorns (Woods Trust) assets to the Midpeninsula Regional Open Space District(District)
is to open a separate bank account for the monetary assets. This report provides the necessary
authorizations to allow this account to be established and administered.
DISCUSSION
The 78.71-acre Hawthorns (Woods Trust)property is located in the Town of Portola Valley
between Alpine and Los Trancos Roads. On April 26, 2006, the District Board approved the
property acquisition and authorized the General Manager to sign the donation agreement
accepting the gift from the Woods Trust(see Report R-06-53).
The donor's estate plan specifies, in essence, that the trustees distribute the Portola Valley
property and any remaining monetary assets to the District. The purpose of the monetary assets
is to pay for the District's cost and expenses associated with the donated real property and
improvements thereon. Approximately $1,900,000 is expected to be transferred for this purpose.
Since the transfer of the gift is imminent, the District needs to put in place the appropriate
financial structures to administer the gifted funds. The District Controller and staff recommend
that the most efficient and effective way to administer the Hawthorns (Woods Trust) Fund in
keeping with the donor's intent is to place the monies in a separate bank account. The
Hawthorns (Woods Trust) Fund will not be co-mingled with District funds, nor will expenditures

appear in the District's budget. A separate Hawthorns (Woods Trust) Fund capital improvement
and expenditure plan will be prepared for District Board review and approval at a later date.
For consistency, District policies will apply to the use of the Hawthorn (Woods Trust) Fund
monies, including the Public Contract Bidding, Vendor and Professional Consultant Selection,
and Purchasing Policy. The District's Rules of Procedure will apply to bank account
administration, following the established protocol for financial instrument signatories.
In order to recommend the bank most suitable to hold the trust's cash account, District staff
conducted research on banks with Bay Area offices. The bank which offers the highest interest
rate on deposits, meets District Investment Guidelines and is convenient to District staff is
Torrey Pines Bank. The bank is headquartered in San Diego with a branch in Los Altos, and is a
subsidiary of Western Alliance Bancorporation, a$6 billion holding company. The intention is
to invest cash not needed in the near term in Torrey Pines Bank's higher"Elite Money Market"
rate at 0.7%, and a smaller(generally about$25,000)balance in their"regular" interest bearing
checking account currently at 0.25%. The Investment Guidelines do not allow investments,
except for bond reserves, with maturities beyond six months.
FISCAL IMPACT
There are no unbudgeted fiscal impacts associated with this item.
PUBLIC NOTICE
Public Notice was provided as required by the Brown Act. No additional notice is required.
CEQA COMPLIANCE
This proposed action is not a project under the California Environmental Quality Act(CEQA)

NEXTSTEP
The next step is to complete the account application and signatory forms and provide them to the

Trust escrow directly to the District's Hawthorns property bank account.

Recruitment and Selection Process for the Midpeninsula Regional Open Space District
Ombudsperson
GENERAL MANAGER'S RECOMMENDATION
The General Manager recommends that the Board approve the recruitment and selection process
for the District's Ombudsperson as outlined in this report.
SUMMARY
The San Mateo County Local Agency Formation Commission's (LAFCo) conditions of the
District's expansion to the San Mateo Coast in 2004 included appointment of a District
Ombudsperson to work as a liaison between the District staff and the public to resolve citizen
inquiries and concerns. The Board appointed Carol Joyce as its first volunteer Ombudsperson in
October 2004 and extended her contract through December 31, 2011. On May 24, 2011,
Ms. Joyce notified the District that she is moving out of the area and can no longer fulfill the
responsibilities of the Ombudsperson. It is therefore necessary for the Board to approve a
recruitment and selection process for a new Ombudsperson.
DISCUSSION
At its May 26, 2004 Board meeting(see Report R-04-57), the Board adopted Resolution No. 04-
13 establishing a process for appointment of a District Ombudsperson in conformity with
LAFCo's conditions of approval. District Resolution No. 04-13 assigned responsibility for
developing the recommendations for a selection and recruitment process to the Legislative,
Funding and Public Affairs Committee (LFPAC).
On July 28, 2004, the Board approved the following LFPAC recommendations for appointing a
District Ombudsperson (See Report R-04-74):

On September 22, 2004, the Board delegated the responsibility for screening the District
Ombudsperson applications to LFPAC (See Report R-04-20). LFPAC was directed to screen
applicants and select the top eight applicants for Board interviews.
After receipt and screening of applications for this volunteer position, the Board determined that
it was in the best interest of the District to interview candidates that did not live within the
District's boundaries. Some of the top candidates were not residents,but were highly qualified
in the skills necessary to perform this function and familiar with the District. Accordingly, on
October 13, 2004, the Board further amended Resolution No. 04-13 to delete the provision
requiring District residency for the Ombudsperson to give the Board the flexibility it needed to
select the best candidate(See Report R-04-140). The Board then appointed Carol Joyce to serve
as the District's Ombudsperson on October 27, 2004 (See Report R-04-112).
With the resignation of Carol Joyce, it is now necessary to begin recruitment to fill this volunteer
position. The Board's process can now be informed by seven years of experience with an
Ombudsperson position. The Ombudsperson selection and recruitment process worked well.
The Ombudsperson workload has been fairly light and the process has been successful.
The General Manager recommends following the same selection criteria, roles and duties, and
application established by the Board in 2004. However, given the District's experience with this
position, the General Manager recommends streamlining the original selection process.
The original process adopted in May 2004 required three Special Meetings of the Board. This
level of scrutiny was felt merited at the time since the Board had no prior experience with an
Ombudsman function. Given the passage of time, this level of review—comparable to that used
to select an appointed Director—is no longer needed. Therefore, the General Manager
recommends streamlining the process as follows:
After the Board's approval of the selection and recruitment process, staff will begin the
advertisement process. After applications have been submitted, LFPAC will screen the
applications and return to the Board with the top four applicants. The Board will then schedule
interviews and appointment of an Ombudsperson either at an upcoming Regular or Special

Meeting. If the Board desires to re-interview applicants, it can decide to hold another round of
interviews as needed.

WHEREAS, by adoption of Resolution No. 04-13 on May 26, 2004, the Board of
Directors of the Midpeninsula Regional Open Space District established a plan for appointment
of an Ombudsperson in conformity with San Mateo County Local Agency Formation
Commission Resolution No. 960; and
WHEREAS, by adoption of Resolution No. 04-34 on September 22, 2004, the Board of
Directors of the Midpeninsula Regional Open Space District delegated responsibility for
screening the District Ombudsperson applications to the Legislative, Funding and Public Affairs
Committee; and
WHEREAS, by adoption of Resolution No. 04-37 on October 13, 2004, the Board of
Directors of the Midpeninsula Regional Open Space District deleted the requirement that the
District Ombudsperson be a District resident; and
WHEREAS, the District Board and staff is strongly committed to establishing and
maintaining good relationships with all residents and neighbors of the District and desires to
appoint a skilled successor Ombudsperson;
NOW, THEREFORE,THE BOARD OF DIRECTORS OF THE DISTRICT DOES
HEREBY RESOLVE AS FOLLOWS:
Section One. The District shall advertise in local newspapers and on the District's website for the
Ombudsperson position within two (2) weeks of Board approval of a selection and recruitment
process for this position. Applications must be received within thirty(30) days of date of
publication of the first announcement for this position.
Section Two. Within thirty(30) days of close of the application period, LFPAC shall hold a
public meeting for the purpose of screening applications for the position of Ombudsperson to
reduce the number to the four(4)best qualified applicants for interview by the full Board.
LFPAC shall also be tasked with contacting the finalists' references on behalf of the Board.
Section Three. The Board shall promptly hold a special or regular meeting for the purpose of
interviewing the recommended applicants and appointment of an Ombudsperson. Directors may
request that applicants not selected by LFPAC also be in the interview group. Directors will
receive a copy of all applications.
Section Four. The public shall be invited to submit questions to the Board that they suggest be
asked during the interview process.
Section Five. Legal counsel shall thereafter promptly prepare an appointment agreement for
signature by the District and Ombudsperson based upon the duties and conditions of
appointment.

OMBUDSPERSON PROGRAM
Role of Ombudsperson
The Ombudsperson is an appointee of the Board of Directors who follows up on resident and
neighbor inquiries or complaints for the purpose of attempting to resolve misunderstandings or
conflicts that have not been resolved satisfactorily by District staff. The Ombudsperson works
independently and objectively to assist in maintaining positive relations with District residents
and neighbors.
Duties of Ombudsperson

purpose or effect

Scope of Duties
The Ombudsperson would assist residents in their interactions with the District and facilitate
conflict resolution when needed. The Ombudsperson would not handle issues that are
privileged or confidential, or which involve personnel, labor relations, legal matters, or Board
decisions. The Ombudsperson would present facts that may lead the Board or staff to
improve operations or better address citizen needs, as opposed to advocating either for or
against a resident, staff or Board policy. The Ombudsperson would not establish or
recommend District policy, or affect or make fiscal or budgetary decisions.
Assignment and Reporting Responsibilities
If the initial contact from a citizen is the Ombudsperson, the Ombudsperson will contact the
General Manager before taking further action. If the General Manager is not able to resolve
the concern/complaint to the citizen's satisfaction, the Ombudsperson will follow-up with the
citizen for further resolution efforts. If the initial contact from a citizen were a Board
Member, the Board Member would immediately contact the General Manager. If the
General Manager is not able to resolve the concern/complaint to the citizen's satisfaction,the
General Manager shall inform the citizen of the District's Ombudsperson process and shall
request the Ombudsperson contact the complainant to offer further assistance.
After completing inquiry and resolution efforts the Ombudsperson would then report back to
the General Manager and provide a written summary report for the Board at least quarterly.

GENERAL MANAGER'S RECOMMENDATIONS
1. Determine that the recommended actions are categorically exempt from the California
Environmental Quality Act(CEQA) as set out in this report.
2. Adopt the attached Resolution authorizing purchase of the Stanton Trust(Crites)property.
3. Adopt the Preliminary Use and Management Plan recommendations contained in this report
and name the property as an addition to the Mount Umunhum Area of Sierra Azul Open
Space Preserve.
4. Withhold dedication of the property as public open space at this time.
SUMMARY
The Midpeninsula Regional Open Space District(District) is proposing to approve a purchase
agreement for the 175.87-acre Stanton Trust(Crites)Property, at a price of$1,432,000. The
following report presents a description of the Stanton Trust(Crites)Property, a Preliminary Use
and Management Plan,the environmental review, the purchase terms and conditions, and the
financial considerations.
DISCUSSION
Property Description
The 175.87-acre Stanton Trust(Crites)property is located four miles east of the Town of Los
Gatos, in the vicinity of Guadalupe Reservoir and Almaden Quicksilver County Park. Mount El
Sombroso towers above, one half mile southwest, and north is the former Rancho de Guadalupe
property. The property is surrounded by the Mount Umunhum Area of Sierra Azul Open Space
Preserve on all sides. It is approximately one-half mile east of the Woods Trail, the designated

Bay Area Ridge Trail, which passes through Sierra Azul Open Space Preserve on its way from
Lexington Reservoir County Park to Almaden Quicksilver County Park.
Prominent natural features of the Stanton Trust(Crites)property include diverse oak woodlands,
creeks, and rugged hillsides. The steeply sloping property is perched on the edge of the Santa
Clara Valley,with elevations ranging from 1,400 feet at the lowest point along Hicks Creek to
2,300 feet at the top. Spectacular eastward views of the Almaden Valley, San Jose, and Mount
Hamilton unfold below. Located high on the northeast-facing forested slope, the scenic qualities
of the property itself are most evident from Almaden Quicksilver County Park to the north and
from the District's Newhagen Meadows(Guadalupe Land Company)property to the east.
The property comprises a portion of the upper headwaters of Hicks Creek, which conveys flows
from Cherry Springs and the Mount El Sombroso watershed to Guadalupe Creek. Several year-
round springs and a man-made spring-fed pond on the property contribute to the lushness of the
creek corridor. Hicks Creek is regarded as potential steelhead habitat, it being the last available
tributary on Guadalupe Creek below the reservoir dam, and is also potential habitat for the
California Red-Legged Frog.
The southern three quarters of the Stanton Trust(Crites)property is densely wooded with a
mature California Bay/Canyon Live Oak forest. The northern quarter is more varied, dominated
by Bay/Coast Live Oak woodland with pockets of Manzanita and Mountain Mahogany
Chaparral on serpentine soil outcrops and Big Leaf Maples in the drainages. All improvements
are located in the northern quarter of the property.
Access to this irregularly shaped property is via Reynolds Road, a County-maintained paved
road ascending steeply from Hicks Road. Deeded vehicular access from Reynolds Road is via an
existing private road that travels through District lands to the north. The access road is in good
condition. Generally, the existing internal ranch roads are in good condition, although certain
sections are steeper than the District standard. A well-maintained road climbs up the ridge into
the Preserve and connects to the Bay Area Ridge Trail at Mount El Sombroso at an elevation of
2,999 feet.
Improvements on the lower property affect about six acres,reflecting use since the late 1940s for
I residential purposes. Three graded flats are present; the lowest flat is improved with a two
bedroom, two bath main residence built in the early 1950s. The residence has a substandard
septic tank with no leach fields and the springs are minimally improved. A garage,non-
operational vehicles and several outbuildings are associated with the main residence. The
remains of an unpermitted second residence and several storage containers used as horse stalls
are located on a flat above the main residence. Other improvements include electrical power, a
spring-fed water system, water piping and old fence remnants.
Although 60 to 70 years old, the structures are of a utilitarian nature and do not appear to have
any unique historic or architectural merit. The Stanton Trust(Crites)property does not have any
mining history or association with the New Almaden mines. No evidence was found indicating
that the property contains significant historic resources.

Modern residential development of the property would be highly visible from the surrounding
open space and parklands, severely impacting the scenic qualities. As well as eliminating a
substantial inholding within Sierra Azul Open Space Preserve and securing valuable trail use
connections for the future, this purchase is also vital for protecting watershed, biodiversity, and
wildlife linkages.
The District's Regional Open Space Study identifies the property as having potential major trail
connections from the Rancho de Guadalupe and Newhagen Meadows areas of Sierra Azul Open
Space Preserve to the Bay Area Ridge Trail(Woods Trail)near Mount El Sombroso. The Bay
Area Open Space Council's Conservation Lands Network, the result of their Upland Habitat
Goals Project, identifies the Stanton Trust(Crites)property as"Essential to Conservation Goals",
indicating that it is an essential component of a network of conservation lands for biodiversity
preservation. The property is also part of draft Santa Cruz Mountains to Hamilton Range
Linkage Network being prepared by the Moore Foundation-funded Bay Area Critical Linkages
Project, a collaborative, interagency effort to identify and protect critical functional linkages
within the San Francisco Bay Area eco-region and connections to adjacent eco-regions.
USE AND MANAGEMENT
Planning Considerations
The Stanton Trust(Crites)property is located just outside of the Los Gatos Sphere of Influence
within unincorporated Santa Clara County and is zoned HS (Hillside),requiring a 20-to 160-
acre minimum lot size based upon a slope density formula. The property consists of one legal
parcel with one residential site allowable. Further residential development would be feasible
given the existing access road and two existing level building pads.
The property is subject to a Land Conservation(Williamson Act)Contract dated February 20,
1974, which is in nonrenewal status and is slated to terminate on January 1, 2020. Pursuant to
Government Code Section 51291,the District has notified the State Department of Conservation
of the proposed purchase of land subject to Williamson Act contract.

Although not proposed for Board consideration at this time,the property could be used in the
future for low intensity recreation, eventually using the existing roads to connect between the
future recreational opportunities available in the Preserve's Rancho de Guadalupe Area and the
Bay Area Ridge Trail (Woods Trail) near Mount El Sombroso.

District staff has concluded that numerous costly improvements would be required to bring the
residence and associated structures up to the standards of the District's rental program.
Moreover, unoccupied properties in this vicinity can quickly become an attractive nuisance. For
this reason, staff recommends removal of the residence and outbuildings, and re-vegetating the
building pads for erosion protection.
As an acknowledgement of the family's long history in the area, the purchase agreement permits
designated members of the Stanton and Crites families.to obtain a District hiking permit to visit
the property while it is closed. Standard District permit procedures would be followed.

Preliminary Use and Management Plan (Next Steps)
The Preliminary Use and Management Plan will take effect at the close of escrow and remain
effective until the Plan is amended or a Comprehensive Use and Management Plan or Master
Plan is approved for Sierra Azul Open Space Preserve. The Preliminary Use and Management
Plan represents a status quo approach to management, including securing the site,posting signs,
conducting resource management activities, and removing structures that are not necessary for
management, as described more fully below. The property will be maintained in a natural
condition. If changes to land use or the physical environment are proposed in the future, the plan
would be subject to further environmental review and public input.
Public Access: Closed to public use at this time. Consistent with the purchase agreement
and District procedures,permit designated members of the seller's family to
obtain a short-term visitor permit to hike or picnic on the property.
Signs and Site Install Preserve gates, as well as boundary and closed area signs where

CEQA COMPLIANCE
Project Description
The project consists of the acquisition of a 175.87-acre property as an addition to the Mount
Umunhum Area of the Sierra Azul Open Space Preserve and the concurrent adoption of a
Preliminary Use and Management Plan for the property. The land will be permanently preserved
as open space and maintained in its current natural condition. Minor road maintenance and
resource management activities are proposed to reduce erosion potential and control invasive
plants. The residence, along with associated infrastructure, is proposed for demolition.
No decisions are being made now about future changes to use,management, or improvements
proposed. Ultimately, the property will be included in the Master Plan for the Sierra Azul Open
Space Preserve, currently under preparation and subject to further public input and subsequent
environmental review. The outcome of this future decision making process is speculative at this
time.
CEQA Determination
The District concludes that this project will not have a significant effect on the environment. It is
categorically exempt from CEQA under Sections 15301, 15316, 15317, 15325 and 15061(b)(3)
of the CEQA Guidelines as follows:
Section 15301 exempts the repair, maintenance, or minor alteration of existing public or private
structures, facilities,or topographical features, involving negligible or no expansion of use
beyond that existing at the time of the lead agency's determination, including the demolition of
individual small structures and site restoration. The project proposes demolishing a residence
and ancillary structures and improvements, and performing minor resource management work
including re-vegetation for erosion control purposes.
Section 15316 exempts the acquisition of land in order to create parks if the site is in a natural
condition, and the management plan proposes to keep the area in a natural condition. The
Preliminary Use and Management Plan specifies that the land will not be developed and will
remain in a natural condition.
Section 15317 exempts the acceptance of fee interests in order to maintain the open-space
character of an area. The District will acquire fee interest and maintain the open-space character
of the area. No new development is proposed as part of this project.
Section 15325 exempts transfers of ownership of interests in land in order to preserve open
space. This acquisition will transfer fee ownership to the District and ensure that the property
will be preserved as public open space by incorporating it into the Mount Umunhum Area of
Sierra Azul Open Space Preserve.
The actions proposed are also exempt under Section 15061(b)(3), as there is no possibility the
actions may have a significant effect on the environment.

TERMS AND CONDITIONS
The 175.87 acre Stanton Trust(Crites)property is proposed for purchase at a price of$1,432,000
,I on an all-cash basis at the close of escrow. The property consists of one residential building site
improved with an older single family residence in poor condition with panoramic views of the
Santa Clara Valley, Almaden Quicksilver County Park and Mount Umunhum. It was originally
listed on the open real estate market at$3,700,000 in 2004, and reduced to $2,700,000 at the
beginning of 2011. Ongoing negotiations with the property owner resulted in the agreed upon
purchase price of$1,432,000, which is well supported by recent sales and property purchases by
i the District in this area.
As a condition of the purchase agreement, the seller has agreed to remove personal property and
debris by the close of escrow including the remains and foundation of the unpermitted second
residence that burned down in March, 2006. The District is withholding$4,500 in escrow to
ensure that these items are cleaned and removed to the District's satisfaction. Staff has also
reviewed disclosure documents provided by the seller, conducted several site inspections with a
licensed demolition contractor, staff has also contacted Santa Clara County's Planning, Building
and Environmental Health Departments and is satisfied that no underground storage tanks or
hazardous wastes exist on the property.
The purchase agreement also provides that the seller's immediate family members may request a
permit to enter from the District to visit the property in the future for hiking or picnicking.

Upon approval by the Board of Directors, staff will proceed with close of escrow for the
purchase of the Stanton Trust(Crites)property. The District's Foothills Field Office will
manage the property as an addition to the Sierra Azul Open Space Preserve in accordance with

The Board of Directors of Midpeninsula Regional Open Space District does resolve as follows:
Section One. The Board of Directors of Midpeninsula Regional Open Space District does
hereby accept the offer contained in that certain Purchase Agreement with William T. Crites,
Successor Trustee of the Stanton Revocable Trust dated March 4, 1986, and the Midpeninsula
Regional Open Space District, a copy of which purchase agreement is attached hereto and by
reference made a part hereof, and authorizes the President or other appropriate officer to execute
the Agreement on behalf of the District to acquire the real property described therein("the
Stanton Trust Property").
Section Two. The General Manager, President of the Board of Directors or other appropriate
officer is authorized to execute Certificate of Acceptance for the Grant Deed on behalf of the
District.
Section Three. The General Manager or the General Manager's designee shall cause to be given
appropriate notice of acceptance to the seller and to extend escrow if necessary.
Section Four. The General Manager is authorized to expend up to $40,000 to cover the cost of
title insurance, escrow fees, demolition and site cleanup and other miscellaneous costs related to
this transaction.
Section Five. The General Manager and General Counsel are further authorized to approve any
technical revisions to the attached Agreement and documents which do not involve any material
change to any term of the Agreement or documents, which are necessary or appropriate to the
closing or implementation of this transaction.
Section Six. The purpose of this Section is to enable the District to reimburse its general fund
for the cost of certain land acquisitions. The District wishes to finance certain of these real
property acquisitions and expects to use tax-exempt debt, such as bonds,but a tax-exempt
financingis not cost-justified for the District unless theprincipal amount of the financing is large

enough to justify the related financing costs. Consequently, it is the District's practice to buy

property with its general funds and,when a tax-exempt financing is cost justified based on the
aggregate value of acquisitions, to issue tax-exempt obligations to reimburse itself for previous

GENERAL MANAGER'S RECOMMENDATION
Authorize the General Manager to enter into a professional services contract with Minh Le of the

SUMMARY

organizational development. The two finalists were Judy Levy and Wilfred Jarvis Institute and
Judy Levy was selected. Judy Levy's services were used to accomplish some preliminary team-
building work with staff and that scope of services has been completed. To move the District
forward and prepare senior staff for the challenges of organizational change that will necessarily
accompany the shift in priorities associated with the nearly complete District Strategic Plan, the
Administration Department is now requesting Board approval to enter into a two-year
professional services contract with the other finalist, Wilfred Jarvis Institute.
DISCUSSION
In 2009, the General Manager and the Department Managers identified a need for organizational
consulting services to provide team-building and leadership development for the District's
Management Team. Three consultants were considered: Judy Levy and Judith MacBrine, Minh
Le of the Wilfred Jarvis Institute, and Jan Schroeder. The District selected and entered into an
agreement with Judy Levy and Judith MacBrine. Several workshops with the Management
Team were held in the fall and winter of 2009 to initiate team-building and the contracted scope
of services has been completed.
The District is continuing to experience significant changes, driven both internally and
externally, which are having impacts throughout the organization including: reduced revenues
which necessitated a zero cost-of-living-adjustment (COLA) for staff this fiscal year; new
organizational processes and procedures; development and implementation of a new District

Strategic Plan; a comprehensive Classification and Compensation Study and implementation of a
new Integrated Accounting and Financial System.
Given the magnitude of these changes on the entire District, the General Manager and
Management Team recently re-visited the desire for organizational consulting services.
Strengthening the Management Team with organizational consulting will enable the entire
Management Team to optimize its leadership effectiveness during this important period of
organizational transition. Additionally, with all Department Manager positions and the District
Clerk now filled with permanent appointments, the Leadership Team is in place and thus ready
for team-building to maximize its ability to work together.
The General Manager was impressed by Minh Le in 2009, subsequently re-interviewed him
twice during May 2011, and recommends retaining him for leadership and organizational
consulting services for a two year contract totaling $50,000.
FISCAL IMPACT
The cost of this two-year contract will be split over two fiscal years with $25,610 paid out of the
FY2011-12 budget and $24,390 from the FY2012-13 budget. As part of the FY2011-12
Adopted Budget, $10,000 was budgeted for organizational consulting services. The remaining
$15,610 is proposed to be covered by the General Manager's contingency which was budgeted at
$55,000 and has a remaining balance of$49,901. The second year of the contract will be
contingent upon Board approval of funding as part of the FY2012-13 budget.

Notice has been provided as required by the Brown Act. No additional notice is required.
CEQA COMPLIANCE
The proposed action is not a project under the California Environmental Quality Act (CEQA)
and no environmental review is required.

USE AND MANAGEMENT COMMITTEE RECOMMENDATIONS
1. Review and provide feedback on the conceptual design for the proposed Audrey Rust
Commemorative Site (Commemorative Site) as commissioned by POST to be placed at the
former POST (Silva) Property at Russian Ridge Open Space Preserve.
2. Approve Design Guidelines to ensure POST Commemorative Site design development
aligns with District goals and expectations;
3. Authorize the General Manager to issue a Statement of Support to POST to proceed with
development of the conceptual design for the Commemorative Site based on the Board-
approved Design Guidelines and with the incorporation of any recommendations issued by
District Board; and
4. Determine that the recommended actions are categorically exempt from the California
Environmental Quality Act as set out in this report.
SUMMARY
POST is seeking review and support from the District to complete the design of the Audrey Rust
Commemorative Site at the former POST (Silva)property at Russian Ridge Open Space
Preserve. Staff has previously reviewed and supports the conceptual design of the
Commemorative Site, which will blend well into the surrounding landscape and provide a
designated vantage point for enjoyment of beautiful views towards Mindego Hill and the Pacific
Ocean beyond. On June 28, 2011, District staff met with the Use and Management Committee,
who reviewed and support the Commemorative Site conceptual design, and recommend that the
Board approve a set of proposed design guidelines to guide its ongoing design development.

DISCUSSION
Background
The Midpeninsula Regional Open Space District (District) Board of Directors approved the
purchase of the POST (Silva) Property from Peninsula Open Space Trust (POST) in May 2011
(see Report R-I 1-14) and on June 28, 2011, the District took title to the property. In the
purchase agreement, POST reserved the right to recognize its outgoing President, Audrey Rust,
at a Recognition Site to be located on the property, at its own cost. POST and District agreed to
collaborate through the District's Use and Management Planning Process on the proposed
design, nature, and location of such Recognition Site. POST acknowledged that the District
could not at that time precommit to implementation of POST proposal for the Recognition Site,
since District approval is contingent upon fulfillment of all applicable regulatory requirements
such as obtaining any required governmental approvals, completing any environmental review
required under the California Environmental Quality Act (CEQA), and incorporating any
mitigation measures that may be associated with such review.
The District Board-adopted Amendment to the Preliminary Use and Management Plan for the
former POST (Silva) property includes the following reference to the Audrey Rust
Commemorative Site:
Working collaboratively with POST, study the feasibility of a POST-sponsored
recognition site landscape feature potentially including a public staging area and
trail. Implementation of such a feature is contingent on future environmental
review and regulatory requirements.
Consistent with the Purchase Agreement, POST has now stated the intention to exercise its right
to a Recognition Site. POST has also continued to express a strong interest in expediting public
access to the Mindego area of Russian Ridge Open Space Preserve by partnering with the
District to facilitate implementation of public access infrastructure, such as additional trails and a
staging area. At this time, the only item before the Board is the Commemorative Site conceptual
design. District staff is beginning to evaluate the feasibility and potential design for a new
staging area and trail(s), which would first require Use and Management Committee review
before presenting these items to the full Board at a later date.
Commemorative Site Conceptual Design
The proposed location for the Commemorative Site is reflected in Attachment 2. The proposed
conceptual design of the Commemorative Site is illustrated in Attachment 3. Major components
of the design include the following:
• Approach Path (American Disabilities Act Accessible)
• Accessible Gathering Area(includes signage, bench seating)
• Lower Path and Steps
• Plein-Air Painting Deck and Seating
On June 28, 2011, the Use and Management Committee met to review the conceptual design and
proposed design guidelines for the Commemorative Site. The Use and Management
Committee's review of the Conceptual Design included the following specific comments
regarding the proposed materials:

0 The preliminary proposal to use pervious concrete was praised for its green
qualities, which includes a reduction in runoff, as well as its high durability and
ease of maintenance;
• To the extent possible, Commemorative Site design team should select materials
derived from local sources.
In order to further guide the design process, the Use and Management Committee recommends
that the Board endorse the following Design Guidelines as the basis for POST design
development and on-going staff review of the Commemorative Site, to clearly communicate the
District Board's intention of preserving the rural and scenic character of the POST(Silva)
property and to meet District general standards for new construction:
1. Preserve native vegetation and natural landforms to the maximum extent possible;
2. Design improvements shall integrate with and enhance natural setting, preserve existing
views, and minimize visibility from Alpine Road (County Scenic Road);
3. Select materials and colors that blend with surrounding natural environment and minimize
reflective surfaces;
4. Prioritize durability, longevity and sustainability in selection of materials;
5. Maximize accessibility to people of all ages and abilities; and
6. Design should be "timeless"— inspiring appreciation for years to come.
FISCAL IMPACT
POST's design of the Commemorative Site at the Silva Property will not result in any direct
fiscal impacts to the District. Per the purchase agreement, "POST will be responsible for all
design, construction and maintenance costs associated with the construction, installation, repair
and maintenance of the proposed recognition site". In order to further formalize this agreement,
District staffwill develop a long-term maintenance agreement for this site that will specify the
expected standard of care and long-term maintenance responsibility of the commemorative site
improvements.
PUBLIC NOTICE
Public notice was provided as required by the Brown Act. POST was also notified of this item.
CEQA COMPLIANCE
This project consists of Board review, approval of design guidelines, and indication of general
support for the conceptual design of the Commemorative Site at the former POST (Silva)
Property at Russian Ridge Open Space Preserve, so that POST can continue to explore the
schematic design and the feasibility of such a project. This review, setting of design guidelines,
and indication of support has no legally binding effect, nor does it affect the physical
environment.

CEQA Guidelines Section 15262 statutorily exempts a project involving only feasibility or
planning studies for possible future actions, which the agency has not approved, adopted, or
funded. The project calls for further planning studies and subsequent Board consideration of
whether to approve the potential POST recognition site, a public staging area, and additional
trail. No commitments are being made now about future physical changes to use, management
or public access improvements proposed for the property, and the District retains future
discretion on these improvements.
NEXT STEPS
If authorized by the Board, the General Manager will issue a letter in general support of the
conceptual design proposed by POST for the commemorative site at the Silva Property. This
will allow POST to proceed with final feasibility studies, schematic design, and renderings for
the commemorative site. In the coming months, staff will evaluate the potential environmental
impacts and environmental constraints, if any, of the proposed project as required under CEQA,
prior to returning to the District Board to consider approval of the Commemorative Site together
with a Use and Management Plan Amendment for Russian Ridge Open Space Preserve.

THE AUDREY RUST COMMEMORATIVE SITE AT RUSSIAN RIDGE
The commemorative site for Audrey Rust will provide a serene place for gathering,
resting, sketching and painting at one of the most beautiful vista points on the Russian
Ridge. It is intended as a minimal intervention -a brushstroke on the land -to orient
visitors'attention to the stunning view beyond. The elements of the site - path,
benches, steps, interpretive signage and a deck-will be constructed with minimal site
disturbance. The path leading to the commemorative site from the parking area will
also connect to 'Audrey's Way', a trail leading north to the adjacent Russian Ridge Open
Space Preserve and connecting trails to Mindego Hill and the Council Circle site.

The Midpeninsula Regional Open Space District is in strong support of Senate Bill 436 which would
authorize nonprofits to hold the endowments for mitigation properties.
Throughout California, businesses are sometimes required to set aside land or conservation easements to
mitigate for the impact of their projects upon natural resources. Public agencies impose these mitigation
requirements, but they do not wish to assume the long-term responsibilities of owning and managing
these lands and easements. In response, nonprofit organizations and local agencies have stepped forward
to assume long-term stewardship of the lands and easements. It's a public-private partnership that works
to the benefit of the public by assuring that the natural resources are protected by locally-based
organizations whose sole purpose is conservation and management. The partnership works by having
capable and cost-effective organizations assume the necessary responsibilities that we are neither
allowed or equipped to do.
However, long-term stewardship requires a dedicated investment for these purposes— a fund that earns
sufficient return to pay for the annual costs of management. Typically, each mitigation project must
have a dedicated fund for long-term management purposes, and in the vast majority of cases, the fund is
held by the entity that holds the land. However, in a few cases, the public agency chooses to hold the
endowment although it does not hold the land or the associated stewardship responsibility. This often
creates challenges in sustaining a healthy find that range from reimbursement delays to reasonable rates
of return.

SB 436 permits and authorizes the mitigation property and its long-term management fund to remain
joined, thus avoiding the historic problems with separation. This is the preference and common practice
by nearly every agency in California and at the federal level but it is not codified in state law. By
endorsing this simple principle of allowing the funds and property to remain together, the state takes an
important step in strengthening public-private partnerships— an increasingly critical tool for moving
California forward.

The Midpeninsula Regional Open Space District opposes AB 1036 unless amended for the
following reasons.
This bill would eliminate the authority of the general managers of approximately 16 regional
park and open space districts in California established under Public Resources Code 5500 to i
appoint employees of the district. This would disrupt the efficient operation of such districts,
conflict with long-adopted personnel systems, and create an anomaly in governance. j
The bill in its current form is unnecessary to accomplish the goals of the author and sponsor. The
Floor Analysis states that the purpose of AB 1036 is to eliminate the provision of Public
Resources Code Section 5549 (a) (2) establishing the employment status of District employees as
"serving at the pleasure of the general manager" for the Sonoma County Agriculture and Open
Space Preservation District and the amendment expands the bill to all districts.
The vast majority of cities, counties, and special districts in California have the same governance
structure, i.e. the manager is the appointing authority in terms of employment, subject to such
personnel or civil service system established by the legislative body. This bill in its current form
would relegate general managers of open space districts to supervision, while passing on the
decisions on individual employment of a wide array of employees to elected officials.
Attached is a simple amendment that will achieve the goals of the bill without stripping
managers of the authority they need to carry out their chief executive duties.

It has long been a fundamental principle of governance that the legislative body sets policy and
the manager implements it. There is a bright line in local agency governance and this bill crosses
it, i.e. the legislative body's role is to set policy and not to interfere with the manager's day to
day administration of the agency. If the manager does not administer the agency according to the
policies and systems adopted by the district, the district board has the duty and authority to
terminate the managers employment.

SUBJECT: FYI—Update on Mount Umunhum Environmental Restoration and Public
Access Plan
Staff has been working with their consultant, Ascent Environmental, on two successive versions �
of the Draft Environmental Impact Report (EIR) for the above-referenced project. The
Screencheck Draft EIR is currently under review by the County of Santa Clara to focus on
potential impacts the project may have on specific elements such as cultural resources, traffic
and circulation, and public services like fire protection. This early review is beneficial because it
provides an early indication of concerns that may require more attention, research, or
documentation for inclusion in the Public Draft EIR, which is scheduled for release in July.
Following its release, the Public Draft EIR will remain open for comment for 45-days to give the
Board of Directors and the public time to review the document and submit their comments. Staff
will work with Ascent Environmental to review and address any comments for inclusion in the
Final EIR.
Staff anticipates that the Final EIR will be brought before the Board for consideration and CEQA
certification at a public meeting before the end of the 2011 calendar year.
Once the EIR has been certified by the Board, a second public meeting will be scheduled for
consideration of a final site plan that includes staff recommendations regarding which buildings
should remain, most significantly the radar tower. Previous discussions with the Sierra
AzulBear Creek Redwoods Ad Hoc Committee indicate that the Committee would like to have
the full Board discuss the fate of the buildings instead of coming to the Board with a Committee
recommendation.

SUBJECT: Notification of Use of Emergency Exception for over $25,000 Bidding
Requirements for South Area Outpost Septic System Replacement
The South Area Outpost (SAO) is currently without a septic system and without the ability to
provide running water and showers to District staff. Due to the threat to health and safety this
creates, and the need to immediately correct this situation in order to continue to provide
essential public services, the General Manager has authorized the Operations Manager to secure
bids for repair of this system at the lowest obtainable price in order to respond to this emergency
in conformity with Section III.A. "Emergency Conditions" of the Board's "Public Contract
Bidding, Vendor and Professional Consultant Selection, and Purchasing Policy". This Policy is
discussed in further detail below.
The existing system failed when staff moved in and upon investigation of the septic system, it
was found to be un-repairable. The only option is to install an entirely new system. The SAO is
currently staffed with five patrol staff that use the facility as their primary reporting office. The
District has provided staff with a mobile restroom facility,but since there is no place for waste
water to go, staff has no running water or shower facilities. The District is currently providing
them drinking water that has to be delivered to the site. Given the essential need for this facility,
its status as a primary reporting facility for five staff, the heat of the summer season in this area,
and the essential services to the public that this facility provides, the General Manager has
authorized the use of the emergency exception to standard bidding requirements.
Staff was not able to anticipate the need for this project. The Board approved the purchase of the
former Slaght property on October 13, 2010. At that meeting, the Board approved the
establishment of a SAO in one of the residences on the Slaght property. When the District
acquired the Slaght property, the septic system was believed to be in good working order since
there was a resident using the system up until approximately a year before purchase. In
February, staff prepared the house for use and Patrol started reporting to and working out of the
SAO on March 7, 2011. For the first month that staff was using the facility on a full time basis,
there were no problems. In May staff discovered a sewage leak. After extensive investigation, it
was determined that the system was not functioning and was not repairable. The contractor that
worked on the system described the system as a"1920s era, homeowner installed system". The
house was constructed in 1932 and the septic system was probably installed at the same time.
Maintenance Supervisor Michael Jurich has secured engineered specifications for the septic
system replacement and a permit. Real Property has agreed to cover the project costs as a cost
associated with the purchase of the former Slaght property as a mid-year budget amendment in
the Miscellaneous Site Acquisition Expenses category of its Fiscal Year 2011-12 budget. A
preliminary estimate from one septic service was $40,000. In staffs opinion, the District may be
able to get lower bids and will obtain the lowest price from a qualified responsible contractor.
Planning Manager Ana Ruiz estimated that the noticing and time posting requirements for the
standard bidding procedures for projects over $25,000 would take at minimum 10 to 12 weeks.
The bidding Policy approved by the Board recognizes that there may be circumstances that
require an emergency exception. Given the urgent nature of this project, the General Manger
authorized field staff to solicit bids for the project. The contract will still be brought before the
Board for approval.
This memo serves as the written explanation required by Section III.A. of the Policy which
states:
"An emergency is defined as a breakdown in machinery or equipment resulting in
the inability of the District to provide services, or a threat to public health, safety, or
welfare, including, but not limited to, threatened damage to natural resources. In
the case of an emergency requiring an immediate purchase, the General Manager
may authorize the Assistant General Manager or Department Manager or his/her
designee to secure in the open market, at the lowest obtainable price, any services,
supplies, material or labor required to respond to the emergency, regardless of the
amount of the expenditure. The General Manager shall, as soon as possible, provide
a full written explanation of the circumstances to the Board."

DISCUSSION
The Bank, Bates, Baldwin, and Gill families have offered the above listed properties to the
Midpeninsula Regional Open Space (District) as a gift. It is recommended that these properties
be accepted by the District under General Manager's authority in accordance with the District's
Rules of Procedure, Section 2.60 (2) as amended on October 8, 2003 (see Report R-03-103).

On May 13, 2009, the District Board of Directors adopted amendments to the Open Space Use
and Management Planning Policy (see Report R-09-61). Section I includes the following
statement:
"When the General Manager is authorized to accept a gift of or acquire low value
real property, the General Manager is also authorized to approve the Preliminary
Use and Management Plan for the property. The Board ot'Directors shall be
notified in writing of any Preliminary Use and Management Plan so approved at
the next regular Board meeting following the acquisition."
Property Description
These four gift parcels consist of four assessor parcels with five undeveloped lots totaling 0.24-
acres within the Redwood Park "paper" subdivision, which is located in an unincorporated area
of San Mateo County. The Bank parcel represents a gift of an undivided half interest. The
District received the other half interest for this parcel as a gift in 2004. The properties are
located in the Kings Mountain area of the Santa Cruz Mountains. The primary access is off
Skyline Boulevard and Ridge Road to the west. The land is surrounded by existing District land
with a few neighboring private parcels. There are no improvements on the properties.
USE AND MANAGEMENT
Planning Considerations
These properties are located in an unincorporated area of San Mateo County, within existing
District jurisdictional boundaries. All of these lots are part of the Redwood Park Subdivision,
generally located within the Kings Mountain area along Skyline Boulevard. The primary access
is off Skyline Boulevard to the west, connecting with Ridge Road along the Southerly boundary
of this "paper" subdivision. All of these parcels adjoin, istrict
Join, or are surrounded by, existing Di i
lands. The parcels received a low to medium rating for suitability as open space in the District's
master plan, and were identified in the Regional Open Space Study as an area where the District
owns some but not all of the parcels.
Preliminary Use and Management Plan (Next Steps)
The Preliminary Use and Management Plan will take effect at the close of escrow and remain
effective until the Plan is amended or a Comprehensive Use and Management Plan or Master
Plan is approved for Purisima Creek Redwoods Open Space Preserve. The Preliminary Use and
Management Plan represent a status quo approach to management. The property will be
maintained in its current condition, with no changes anticipated. If changes to land use or the
physical environment are proposed in the future, the plan would be subject to further
environmental review and public input.

CEQA COMPLIANCE
Project Description
The project consists of the acquisition of approximately 0.24-acres of land within the Redwood
Park paper subdivision as an addition to the Purisima Creek Redwoods Open Space Preserve,
and the adoption of a Preliminary Use and Management Plan for the property. The land will be
permanently preserved as open space and maintained in a natural condition.
CEQA Determination
The District concludes that this project will not have a significant effect on the environment. It is
categorically exempt from CEQA (California Environmental Quality Act) under Article 19,
Sections 15301, 15316, 15317, 15325, and 15061(b)(3) of the CEQA Guidelines as follows:
Section 15316 exe►npts the acquisition of land in order to create parks if the site is in a natural
condition and the management plan proposes to keep the area in a natural condition. The
Preliminary Use and Management Plan specify the property will be operated and maintained in a
natural condition and there will be no expansion Of use. The property will be closed to the
public.
Section 15317 exempts the acceptance of fee interests in order to maintain the open space
character of an area. The District will acquire fee interest and maintain the open space character
of the area. No development is proposed as part of this project.
Section 15325 exempts transfers of ownership of interests in land in order to preserve open
space. This acquisition will transfer fee ownership to the District and ensure it will be preserved
as public open space by incorporating it into the Redwood Park Area of Purisima Creek
Redwoods Open Space Preserve.
The project qualifies under all three sections. The project is also exempt Linder Section
15061(a)(3), as there is no possibility the actions may have a significant effect on the
environment.

TERMS & CONDITIONS
The Current owners propose to gift the property to the District at no cost. Property transfer will
become effective upon acceptance of Gift Deed and recordation ot'said Deed.
BUDGET CONSIDERATIONS
The acceptance of the Bank, Bates, Baldwin, and Gill Gift property gifts and inclusion of the
property into Purisima Creek Redwoods Open Space Preserve is expected to have a nominal
impact on the District's operating budget. The District will pay to record an Affidavit Change of
Trustee for the Bates family. Al property taxes are current and the District will cancel San
Mateo County property taxes immediately after assuming ownership of all the gift properties.
PUBLIC NOTICE
Since no board action is being taken, this is not subject to the Brown Act.
NEXT STEPS
The District's Operations Department will manage the former Bank, Bates, Baldwin, and Gill
properties as an addition to the Purisirria Creek Redwoods Open Space Preserve, in accordance
with the Preliminary Use and Management Plan.

eradicate the spread of the plant pathogen Phytophthora Ramorum, which causes certain oak tree species
to die from the disease"Sudden Oak Death,"the Midpeninsula Regional Open Space District (MROSD)
will begin removing approximately 250 bay trees growing within 15 feet of 49 large,healthy oak trees in
Los Trancos, Long Ridge, Saratoga Gap, Skyline Ridge and Monte Bello Open Space Preserves with the
help of a talented,young California Conservation Corps(CCC)work crew. Oak trees play an important
role in a thriving ecosystem. Research has shown that removing bay trees within 15 feet of oak trees
substantially reduces their chances of becoming infected and dying from Sudden Oak Death as bay trees
are a host species that transmit the pathogen to nearby oaks.
Funded by a proposition 84 grant, this project will occur from July I Itf-28tf 2011. Media is
welcome to come out and visit the sites where work is taking place. District staff identified
the oak trees designated for protection and will guide the CCC crew each work day, providing
workers with valuable job training skills on chainsaw and tree felling techniques in dense forest
environments and sanitation protocols in Sudden Oak Death infested areas. The project will help
prevent the buildup of dead trees and protect the scenic and recreational benefits of these public open
space lands.

Dear Governor Brown:
I am writing to request your signature on AB 612. This bill would enable the Midpeninsula
Regional Open Space District(MROSD) to optimize the effectiveness of taxpayer money used to
purchase and preserve vital public natural open space lands by increasing our debt from 20 years
to 30 years. The bill passed both houses of the legislature and the respective committees
unanimously. Not a single no vote was cast. Please consider the following information about
the bill's benefits:
0 Borrowing and paying back money over 30 years rather than 20 years will allow MROSD to
spend more funds on saving land. By issuing 20-year notes the District could spend $64.6
million but with an additional 10 years to pay back the notes we could protect open space
worth an additional $24 million over the next twenty years.
• The bill to extend the notes by 10 years will not add any additional burden to the taxpayer but
will simply enable MROSD to use its existing property tax revenue, which was approved by
the voters in 1972, much more effectively and efficiently.
• MROSD promissory notes are secured by a pledge of the District's share of property tax
revenues.
• Because of the rise in Bay Area land values, MROSD land is now worth more than twice the
original price - which shows the financial prudence of long-term borrowing for open space
land purchases.

Circuit Geo-Challenge program launch event brought out eager bay area geocachers of all ages
and experience levels this weekend. From extreme geocachers with established alias names and
countless caches under their belts, who set off in search of the District's new circuit of 22 caches
as soon as the points went live Saturday morning, to curious families who participated in a
beginner level geocaching clinic to explore new ways of enjoying the outdoors this summer,
there was something for everyone at the event and excitement for the District's new program was
contagious.

Wood, whose geocaching alias is workerofwood, taught clinic participants what geocaching is,
how to use a handheld GPS device, and how to geocache safely in nature. He led the groups
through a 4 cache challenge in Skyline Ridge Open Space Preserve. Participants caught a
beautiful view of Horseshoe Lake from a trail lined with blooming Farewell-to-Spring flowers
and learned to identify and avoid poison oak, respect wildlife, and strategically plan their
geocaching adventures. "GPS devices can only tell you so much," Wood explained when
participants quickly encountered the challenge of not being able to follow their handheld units
`as the crow flies' to reach caches. "GPS is there to guide you,but you cannot follow it blindly.
You have to be conscious of your steps and plan your routes."
"We had so much fun," said Ellen Moore, 28, an Engineer from Menlo Park who participated in
the first clinic of the day with her mentee Jiana Schnabeo, 13, of San Francisco. "My coworkers
are really into it and I thought it would be a fun activity to do with Jiana."The two proved a
great team and were the first to find the final cache of prizes. "We'll definitely do this again,"
Moore said. The two get together one weekend a month as members of the Adoptee Mentor
Program. "I never really knew this place existed. Geocaching is a lot of fun because it takes you
places you otherwise might never see."
Participants who began the Preserve Circuit Geo-Challenge on Saturday picked up a `preserve
passport' to carry while using a handheld GPS device to search for a designated circuit of
geocaches located throughout 22 open space preserves. Each geocache contains a stamp and
participants can earn unique collectables as they fill their up their passport. Geocaching is an
exciting way to combine technology and outdoor adventure. To participate in the challenge,

Misc.Notes: I. The District was awarded a grant in the amount of$500,000 from the California Coastal Conservancy for this
purchase. As part of the grant agreement,the District is to implement a sign plan that acknowledges the
Coastal Conservancy funding of this purchase.
2. Rental Residence Maintenance items are being completed before soliciting tenant under a month to month
rental agreement as part of the Property Management program.
3. The Purchase Agreement includes a five year covenant with POST for POST to propose a recognition sight
