Home My Public Portal About2017-23 Authorizing to lease-purchase computer aided dispatch, records management, software licenses and mobile software solutioRESOLUTION NO. 2017-23 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF KEY BISCAYNE, FLORIDA, AUTHORIZING AND PROVIDING FOR THE VILLAGE TO LEASE/PURCHASE COMPUTER AIDED DISPATCH, RECORDS MANAGEMENT, SOFTWARE LICENSES AND MOBILE SOFTWARE SOLUTION FOR THE POLICE DEPARTMENT, IN AN AMOUNT NOT EXCEEDING $497,343; ACCEPTING TERMS FROM CITY NATIONAL BANK TO PROVIDE FINANCING; AUTHORIZING THE VILLAGE MANAGER AND OTHERS TO PREPARE AND EXECUTE DOCUMENTS; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the Village Council as the governing body of the Village of Key Biscayne (the "Village") desires to obtain a computer aided dispatch, records management, software licenses and mobile software solution for the Police Department, as further described in the Project Cost Supplement attached as Exhibit "A" hereto (the "Software"); and WHEREAS, the Software is essential for the Village to perform its governmental functions; and WHEREAS, the Village recently sought proposals through a competitive bidding process for financing the cost of vehicles for the Police, Fire, Code Enforcement/Building and Zoning/Public Works and Parks and Recreation Departments; and WHEREAS,pursuant to Resolution 2017-10 adopted by the Council on February 27, 2017, the Village accepted a proposal (the "Proposal") from City National Bank (the "Bank"), to provide lease -purchase financing for the vehicles; and WHEREAS, on March 2, 2017, the Village entered into a Master Lease Purchase Agreement (the "Master Lease") with the Bank, and closed on the financing for the vehicles for the Police and Parks and Recreation Departments; and WHEREAS, the Village anticipates closing on the financing for the vehicles for the Fire and Code Enforcement/Building and Zoning/Public Works Departments on or about April 19, 2017 (the "Fire/PW Equipment Closing"); and WHEREAS, the Bank has offered to include the lease/purchase of the Software under the Master Lease, with a closing simultaneous with the Fire/PW Equipment Closing, upon the same terms and conditions offered for the those vehicles as set forth in the Proposal, namely financing for four (4) years at an interest rate of 1.53%; and WHEREAS, the Village Council desires to lease/purchase the Software for an amount not exceeding $497,343 in substantial accordance with the terms set forth in the preceding paragraph; and WHEREAS,the Village desires to obtain lease/purchase financing from the Bank without utilizing a new request for proposals for the following reasons: (I) the Village received proposals for lease financing close in time to the date of this Resolution, and therefore it is unlikely that the rates offered in connection with a new request for proposals will be significantly different; (ii) the Bank is willing to apply to the Software lease the same interest rate previously offered in the Proposal; and (iii) the ability to move quickly is critical in a rising interest rate environment in order to achieve the lowest interest rate; and WHEREAS,for the reasons stated above, the Council hereby determines that award of the financing for the lease/purchase of the Software pursuant to competitive bid received through a request for proposals process is impracticable; and 2 WHEREAS, the Village Council desires to authorize the Village Manager to execute, in connection with the lease/purchase of the Software, the documents required under the Master Lease and other related documents in substantial accordance with the terms set forth above, subject to the approval of the Village Attorney as to form and legal sufficiency; and WHEREAS, the Village Council finds that this Resolution is in the best interest and welfare of the residents of the Village. NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF KEY BISCAYNE, FLORIDA, AS FOLLOWS: Section 1. Recitals Adopted. Each of the recitals stated above is hereby adopted, confirmed and incorporated herein. Section 2. Acceptance of Bank Terms. The Village Council hereby accepts the terms offered by the Bank, as set forth above, to provide lease -purchase financing for the Software. The total cost of the Software shall not exceed $497,343. Section 3. Village Manager and Others Authorized. The Village Manager is hereby authorized to execute, in connection with the lease/purchase of the Software, the documents required under the Master Lease and other related documents, consistent with the terms set forth above, after approval by the Village Attorney for legal sufficiency. The Village Attorney and Bond Counsel to the Village are hereby authorized to draft documents and to do all other things necessary to accomplish the lease -purchase financing. The Village Clerk of the Village is authorized to affix the official seal of the Village to the documents required under the Master Lease and such other documents and attest the same. The proper officers of the Village are, and each of them hereby is, authorized and directed to execute and deliver any and all papers, instruments, opinions, certificates, 3 affidavits and other documents and to do or cause to be done any and all other acts and things necessary or proper for carrying out this Resolution and the documents required under the Master Lease and other related documents, subject to the approval of the Village Attorney as to form and legal sufficiency.
