A CAPITAL PROJECT AUTHORIZING RESOLUTION OF
THE VILLAGE COUNCIL OF THE VILLAGE OF KEY
BISCAYNE, FLORIDA, SELECTING ECONOLITE SYSTEMS,
INC. FOR THE VILLAGE'S TRAFFIC SIGNALIZATION
PROJECT; PROVIDING FOR A WAIVER OF COMPETITIVE
BIDDING; PROVIDING FOR AUTHORIZATION;
PROVIDING FOR IMPLEMENTATION; AND PROVIDING
FOR AN EFFECTIVE DATE.
WHEREAS' pursuant to Section 3.07(b) of the Charter of the Village of Key Biscayne,
Florida (the "Village"), the Village Council desires to authorize the expenditure of Village funds
for the capital project consisting of implementing new traffic signal technologies to enable
adaptive traffic signal controls and traffic management within the limits of the Village along
Crandon Boulevard from Harbor Drive to V/est Mashta Drive (the "Traffic Signalization
Project"); and
WHEREAS, the Traffic Signalization Project entails the Village's purchase and
installation of Caltran 2070LX controllers, video detection systems, and blue tooth traffic data
collection devices to upgrade the six (6) traffic signals on Crandon Boulevard from Harbor Drive
to V/est Mashta Drive to allow the implementation of adaptive traffic signal technologies that
will interface with Miami-Dade County's existing and future traffic systems; and
WHEREAS, Econolite Systems, Inc. (the "Contractor") submitted a proposal for the
Traffic Signalization Project, which is attached hereto as Exhibit "A" ("Proposal"); and
WHEREAS, the Village Manager recommends that the Contractor be selected to
perform the Traffic Signalization Project as the Contractor is the sole vendor capable of
providing, installing, configuring, and integrating the equipment and software needed for the
Traffic Signalization Project, and ensuring that the equipment and software is capable of
integration with Miami-Dade County's existing and future traffic systems; and

\ryHEREAS, the Village Council desires to select Contractor to perform the Traffic
Signalization Project and authorize the Village Manager to negotiate and execute a contract with
the Contractor consistent with the Proposal in an amount not to exceed $235,058.96 (the
"Contract"); and
WHEREAS, the Village Council finds that it is in the best interest of the Village to
authorize and award a Contract for the Traffic Signalization Project to Contractor; and
\ryHEREAS, the Village Council finds that this Resolution is in the best interest and
welfare of the citizens of the Village.
NO\ry' THEREFORE' BE IT RESOLVED BY THE VILLAGE COUNCIL OF
THE VILLAGE OF KEY BISCAYNE, FLORIDA AS FOLLOWS:
Section 1. Recitals. Each of the above-stated recitals are hereby adopted, confirmed,
and incorporated herein
Section 2. Selection. The Village Council hereby approves and selects the Contractor
for the Traffic Signalization Project.
Section 3. Waiver of Competitive Biddine. The Village Council hereby finds that,
pursuant to Section 2-85 of the Village Code of Ordinances, it is impractical to apply the
competitive bidding procedures within the Village Code, given that Contractor is the sole vendor
capable of providing, installing, configuring, and integrating the equipment and software needed
for the Traffic Signalization Project, and ensuring that the equipment and software is capable of
integration with Miami-Dade County's existing and future trafftc systems.
4.Authorization. The Village Council hereby authorizes the Village
Manager to negotiate and execute a Contract consistent with the Contractor's Proposal in an
amount not to exceed $235,058.96, and execute any related or necessary documentation on

behalf of the Village, subject to approval by the Village Attorney as to form, content, and legal
sufficiency
Section 5.Implementation. The Village Council hereby authorizes the Village
Manager to take any action which is reasonably necessary to implement the purpose of this
Resolution.
Section 6. Effective Date. This Resolution shall be effective immediately upon
adoption.
