MINUTES OF THE MEETING OF THE CITY COUNCIL, LYNWOOD INFORMATION INC., AND THE CABLE TV ACCESS ADVISORY BOARD MAY 31, 1983 convened to order the,Board of Directors of ation, Inc. on the above date at 7 p.m. City Clerk, then called roll of those pre - on the Board of Directors. Mayor Thompson, City Manager, and Andrea Hooper each answered Assistant City Attorney Lewis Feldman stated that the first order of business was to amend Section 4.02 of the Lynwood Information, Inc. by -laws to provide that the authorized number of directors be five (5) rather than the current three (3). Charles Gomez moved to amend Section 4.02 accord- ingly; Andrea Hooper seconded the motion, and the motion then carried. Assistant City Attorney Feldman then stated that the second order of business was to amend Section 2.01 of the Lynwood Information, Inc. by -laws to provide for five (5) members rather than the current three (3). Charles Gomez made a motion to that effect, which motion Andrea Hooper seconded. The Motion then carried. As the third order of business;- Charles Gomez and Andrea Hooper tendered their resignations, which Mayor Thompson accepted and provided to Assistant City Attorney Feldman. Mayor Thompson then appointed Councilmen Byork, Green, Morris-, and Rowe as members and directors of Lynwood Information, Assistant City Attorney Feldman explained that such appoint- , ments were conditioned upon approval by the City Council of the City of Lynwood. Such approval must be made by resolu- tion at a subsequent City Council meeting. Mayor Thompson then adjourned the meeting at 7:11 p.m. Mayor Thompson reconvened the Board of Directors of Lynwood Information, Inc. at 7:30 p.m. Roll call followed. Council- men Byork, Green, Morris and Mayor Thompson answered. Council- man Rowe was absent. Mayor Thompson was instructed by Assistant City Attorney Feldman to amend the Articles of Incorporation of Lynwood Information, Inc. to provide for cable television activities. Mr. Green moved to prepare such necessary amendments and to ratify the $15 compensation per month to be paid to the individuals serving on the Lynwood Cable TV Access Advisory Board that had been authorized previously by the City Council of the City of Lynwood. Mr. Byork seconded the motion. All members and directors present approved the motion; Mr. Rowe was absent. 4„ Mr. Green then moved to appoint the following individuals as members of the Cable TV Access Advisory Board: C. C. Coleman, Robert Downs, Carmen Hernandez, Randy Williams, and Mary ' Wright. Mr. Morris ried. All members and seconded the directors motion, and the motion car- present approved the motion;, Mr. Rowe was absent. Mr. Green then moved to direct the City Attorney's office to prepare all resolutions and by -laws necessary to implement all factual business discussed and approved during -the meet- ing. Mr. Morris seconded the motion. The motion carried unanimously; Mr. Rowe was absent. J �1 002 Mayor Thompson then led a discussion with the members of the Cable TV Access Advisory Board and the Board of Directors of Lynwood Information, Inc. about the length of the Cable TV Access Advisory Board members' terms of office. Mayor Thompson recognized Charles Gomez to speak. Mr. Gomez suggested that three members should serve for four years and two members should serve for two years. The Mayor then directed the members of the Cable TV Access Advisory Board to discuss terms of office at their first meeting and to choose a chair- person at that time. Following such meeting, the Advisory Board will report to the Board of Directors of Lynwood Informa- tion, Inc. about such terms of office and their elected chair- person. ` Mr. Green then moved to adjourn the meeting until June 13, 1983, at 7:00 p.m. Mr. Morris seconded the motion and the meeting was adjourned at 8:00 p.m. Secretary 11 ayor 003 M_LNUTES OF JOINT MEETING OF THE CABLE TV ACCESS ADVISORY BOARD AND LYNWOOD CITY COUNCIL MAY 31, 1983 Mayor Thompson called to order a joint meeting between the Cable TV Access Advisory Board and the Lynwood City Council on the above date at 7:12 p.m. Mayor Thompson and Council- men Byork, Green and Morris answered the roll call. Council- man Rowe was absent. Councilman Green moved that Councilman Rowe be excused. Councilman Byork seconded the motion, and it carried. Mayor Thompson instructed the City Clerk, Andrea Hooper, to call roll for the Cable TV Access Advisory Board, which consists of C. C. Coleman, Robert Downs, Carmen Hernandez, Randy Williams,and Mary Wright. All members were present. Mayor Thompson then recognized the City Manager, Charles Gomez, to speak. Mr. Gomez explained that the purpose of the meeting was to enable the City Council to address: (a) the role of the Advisory Board, (b) the need to draft a set of rules and regulations governing the responsibilities of the Board, and to set dates and times for Board meetings, and (c) terms of office. Mr. Donald Fraser was then recog- nized by the Mayor to discuss the above topics. After some discussion, the Advisory Board chose June 13, 1983, at 7:00 p.m. for its first meeting. Councilman Byork then moved that the Advisory Board members should receive $15 per month compensation for their services. Following Councilman Morris' seconding, all Councilmen pre- sent approved the motion. Councilman Rowe was absent. The Assistant City Attorney, Lewis Feldman, then explained to the Council that because the compensation to be paid to the Advisory Board members was to come from Lynwood Informa- tion, Inc. had to approve the compensation. Mr. Feldman stated that the Council's desires could be ratified by Lynwood Information, Inc.'s Board of Directors, and therefore recommended that Lynwood Information, Inc. reconvene to pass upon the issue of compensation. In addition, Mr. Feldman pointed out that Lynwood information, Inc. and not the City Council must appoint the members of the Advisory Board. Councilman Byork then moved to adjourn the meeting until June 6, 1983 at 9:30 a.m. Councilman Green seconded the motion, and it carried. . M a yor
