RESOLUTION NO. 21-9916
A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF OPA-
LOCKA, FLORIDA, AUTHORIZING THE APPROPRIATE CITY
OFFICIAL TO ENTER INTO AN AGREEMENT FOR A ONE-YEAR
RENEWAL OF THE RMPK FUNDING CONTRACT FOR GRANT
WRITING SERVICES WITH THE OPTION OF AN ADDITIONAL
ONE-YEAR RENEWAL PERIOD; PROVIDING FOR
INCORPORATION OF RECITALS; PROVIDING FOR AN EFFECTIVE
DATE
WHEREAS, the City of Opa-locka entered into an agreement with RMPK Funding,
Inc. to provide grant writing services through September 30, 2021, and
WHEREAS, this service has resulted in application for four grants for FY 21 with total
potential value of nearly $26 million, including one application now approved for a grant
up to $150,000, and
WHEREAS, the agreement with RMPK Funding, Inc. has a provision for the renewal
of this agreement, and
WHEREAS, RMPK Funding, Inc. and the City of Opa-locka have both indicated a
preference to renew this contract.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF OPA- LOCKA, FLORIDA:
SECTION 1. The recitals to the preamble herein are incorporated by reference.
SECTION 2. AUTHORIZATION
The City Commission of the City of Opa-locka, Florida hereby authorizes the City
Manager to renew the agreement with RMPK Funding, Inc. for a one-year period starting
October 1, 2021 with the option for a subsequent one-year renewal period.
SECTION 3. SCRIVENER'S ERRORS
Sections of this Resolution may be renumbered or re -lettered and corrections of
typographical errors, which do not affect the intent of this Resolution may be authorized
by the City Manager, or the City Manager's designee, without need of public hearing, by
filing a corrected copy of same with the City Clerk.

SECTION 4. EFFECTIVE DATE
This Resolution shall take effect upon the adoption and is subject to the approval of the
Governor or Governor's Designee.

Renewal Of Grant Writing Services With RMPK Funding
Staff Summary:
Issue / Recommendation: Staff recommends the City Commission authorize the appropriate City Official to
to sign a renewal agreement with RMPK Funding to have this firm continue to provide grant writing services
for FY 22.
History: Earlier this year Staff recognized the need for the City to obtain effective grant writing services to
leverage the funding available to the City to restore its infrastructure and otherwise enhance the services the
community needed and expected. After research, Staff identified RMPK Funding as a firm providing these
services very successfully to several municipalities in South Florida. RMPK Funding had a contract with the
City of Oakland Park which both parties agreed would be permissible for the City to utilize as the basis of a
piggyback contract.
On December 9, 2020, Staff recommended the City Commission approve a contract with RMPK Funding, which
the Commission did with the adoption of Resolution 20-9824. This relationship has proven very beneficial to
the City. The first grant application was submitted this spring with the City receiving a grant up to a $150,000
for the enhancement of the Ingram Park trail with the City required to fund 20% of the project. Three grant
applications were submitted in August and September, including a Parks Community Gardens application for
up to $12,000 (25% City match in cash or in -kind services), a dredging grant application for $7.0 million (no
match) and a stormwater grant application for $16.0 million (no match). Additionally, discussions have begun
on new FY 22 opportunities. RMPK Funding fees for the four grant applications submitted for this fiscal year
are $12,500.
Current Activity: The current contract expires as of September 30, 2021. Section it provides for the renewal
of this contract for two additional two-year terms. Mr. Ryan Ruskay, President of RMPK Funding, submitted a
letter on August 25, 2021, attached, indicating his interest in continuing the contract. The City is equally
interested in renewing the contract.
However, it is recommended that one modification be made to the renewal contract. The City's Procurement
Code, part of the City's Code of Ordinances, Section 2-321 (a) (6) indicates "Where applicable, a provision
specifying that the contract may be renewed on a yearly basis for a maximum of two (2) years after the initial
contract.......".
The current contract indicates "if mutually agreed upon, the contract may be renewed for two additional two-
year terms ..... _". Two-year terms are inconsistent with the City's Procurement Code, which requires annual
renewals of contract extensions. Therefore, it is recommended that the renewal contract be modified to reflect
one additional one-year term beyond the first year renewal.
Financial Impact: For the current year, the City has submitted four grant applications. One application was
approved with a grant of up to $150,000. Results for the remaining three additional grant applications, totaling
nearly $23 million, are pending. Preparation fees for these four grant application are $12,500.
Proposed Action:
Staff recommends that the City Commission authorize the appropriate City Official to enter into agreement
with RMPK Funding to extend the current contract for an additional year with a provision that the contract
can be extended for one additional year beyond the first renewal year.

CITY OF OPA-LOCKA AGREEMENT
FOR
GRANT APPLICATION SERVICES
THIS AGREEMENT is made and entered into this 9th day of December, 2020, by and
between the City of Opa-locka, FL, a municipal corporation of the State of Florida, hereinafter
referred to as "City", and RMPK FUNDING, INC., a Florida corporation, hereinafter referred to
as "Contractor".
IN CONSIDERATION OF THE MUTUAL COVENANTS SET FORTH IN THIS
AGREEMENT, THE PARTIES AGREE, AS FOLLOWS:
I. SCOPE OF SERVICES.
A. The Contractor shall perform the grant application, compliance and related
professional consulting services ( the " Services"), as described in and in accordance with the
attached outline of tasks ( as set forth in Attachment " A " ) for potential grants for City
improvements and programs and this Agreement. The Agreement shall prevail over any
conflicting provision of Attachment "A".
B. Ryan A. Ruskay shall serve as the project coordinator for Contractor for the
performance of the Services. The City Manager shall designate a City employee who shall
serve as the City's Project Manager for the administration of this Agreement. Contractor shall
perform the Services in coordination with the City's Project Manager and at a schedule approved
by the City's Project Manager.
II. COMPLETION OF SCOPE OF SERVICES; TERM
Contractor shall complete the Services to City's satisfaction in accordance with this
Agreement. The term of this Agreement shall commence on the date of execution hereof and
shall remain in full force and effect until September 30, 2021, unless sooner terminated , with or
without cause, upon twenty (20 ) days written notice by either party. If mutually agreed upon,

the contract may be renewed for two additional two-year terms, subject to necessary funding
being appropriated for each year.
III. FEE FOR SERVICES
For satisfactory performance of Services, Contractor shall be paid a total compensation of
not to exceed Twenty Five Thousand Dollars ($25,000) Dollars (the "Fee"), which shall be due
and payable in partial monthly payments pursuant to proper monthly invoices in accordance with
the portion or items of work completed by Contractor in the performance of the Services or as
otherwise approved in writing by the City Manager .
IV. INDEPENDENT CONTRACTOR STATUS. Contractor and its employees, and
agents shall be deemed independent contractors and not agents or employees of the City, and
shall not attain any rights or benefits generally afforded City employees; further, Contractor, its
employees and agents shall not be deemed entitled to the City's worker's compensation
insurance benefits.
V. INSURANCE.
A. Contractor shall at all times carry comprehensive general liability insurance,
comprehensive automobile liability insurance, workers' compensation insurance, employers
liability insurance, each in an amount and type which is approved by City's Risk Management
Director , including the requirement to name the City and its officers, employees and agents as
additional insured on all insurance except for workers' compensation.
B. Contractor agrees to defend, indemnify and hold harmless the City, its officers,
agents and employees, from liabilities, damages, losses and costs, including, but not limited, to
reasonable attorney's fees and costs, to the extent caused by the acts, omissions, negligence,
recklessness or intentional wrongful misconduct of the Contractor and persons employed or
utilized by Contractor in the performance of the Agreement.

VI. ASSIGNMENT.
This Agreement shall not be assignable by the City or Contractor.
VII. PROHIBITION AGAINST CONTINGENT FEES.
The Contractor warrants that it has not employed or retained any company or person,
other than a bona fide employee working solely for the Contractor, to solicit or secure this
Agreement, and that it has not paid or agreed to pay any person(s), company, corporation,
individual or firm, other than a bona fide employee working solely for the Contractor , any fee,
commission, percentage, gift, or any other consideration, contingent upon or resulting from the
award or making of this Agreement.
VIII. ENTIRE AGREEMENT.
The parties hereby agree that this is the entire Agreement between the parties. This
Agreement cannot be amended or modified without the express written consent of the parties.
The City Manager shall act for City hereunder.
IX. WARRANTIES OF CONTRACTOR.
The Contractor hereby warrants and represents that at all times during the term of this
Agreement it shall comply with all applicable laws and maintain in good standing all required
licenses, certifications and permits required under federal, state and local laws necessary to
perform the Services.
X. NOTICES.
All notices and communications to the City or Contractor shall be in writing and shall be
deemed to have been properly given if transmitted by registered or certified mail or hand
delivery. All notices and communications shall be effective upon receipt. Notices shall be
addressed as follows:

XI. GOVERNING LAW.
This Agreement shall be construed in accordance with the laws of the State of Florida.
Venue for any litigation hereunder shall be in Palm Beach County, Florida. The parties hereby
waive any right to trial by jury for any litigation between the parties which in any way arises out
of this Agreement.
XII. PALM BEACH COUNTY INSPECTOR GENERAL.
In accordance with Palm Beach County ordinance number 2011-009, RMPK Funding
acknowledges that this Agreement may be subject to investigation and/or audit by the Palm
Beach County Inspector General. RMPK Funding has reviewed Palm Beach County ordinance
number 2011-009 and is aware of its rights and/or obligations under such ordinance.
XIII. PUBLIC RECORDS.
RMPK Funding shall comply with Florida's Public Records Laws, and specifically
agrees to:
A. Keep and maintain public records that ordinarily and necessarily would be
required by the City in order to perform the service.
B. Provide the public with access to public records on the same terms and conditions
that the City would provide the records and at a cost that does not exceed the cost provided in
this Chapter 119, Florida Statutes, or as otherwise provided by law.

C. Ensure that public records that are exempt or confidential and exempt from public
records disclosure requirements are not disclosed except as authorized by law.
D. Meet all requirements for retaining public records and transfer, at no cost, to the
City all public records in possession of the RMPK Funding upon termination of the Agreement
and destroy any duplicate public records that are exempt or confidential and exempt from public
records disclosure requirements. All records stored electronically must be provided to the City in
a format that is compatible with the information technology systems of the City.
XIV. PUBLIC RECORDS; AUDIT .
A. Contractor acknowledges that the public shall have access, at all reasonable times,
to certain documents and information pertaining to City contracts, pursuant to the provisions of
Chapter 119, Florida Statutes. Contractor agrees to maintain public records in Contractor's
possession or control in connection with Contractor's performance under this Agreement and to
provide the public with access to public records in accordance with the record maintenance,
production and cost requirements set forth in Chapter 119, Florida Statutes, or as otherwise
required by law. Contractor shall ensure that public records that are exempt or confidential from
public records disclosure requirements are not disclosed except as authorized by law.
B. Unless otherwise provided by law, any and all reports, surveys, and other data and
documents provided or created in connection with this Agreement are and shall remain the
property of City. In the event of termination of this Agreement by either party, any reports,
photographs, inventories, schedules, surveys and other data and documents and public records
prepared by, or in the possession or control of Contractor, whether finished or unfinished, shall
become the property of City and shall be delivered by Contractor to the City Manager, at no cost
to the City, within seven (7) days of termination of this Agreement. All such records stored
electronically by Contractor shall be delivered to the City in a format that is compatible with the

City's information technology systems. Upon termination of this Agreement, Contractor shall
destroy any duplicate public records that are exempt or confidential and exempt from public
records disclosure. Any compensation due to Contractor shall be withheld until all documents
are received as provided herein.
C. Contractor agrees to permit the City to examine all records, and grants City the
right to audit any books, documents and papers that were generated during the course of the
administration of this Agreement and the provision of Services hereunder.
D. Contractor's failure or refusal to comply with the provisions of this section shall
result in the immediate termination of this Agreement by the City.

Agreement upon the terms and conditions above stated on the day and year first above written.

E -VERIFY FORM
Definitions:
"Contractor" means a person or entity that has entered or is attempting to enter into a contract with a public
employer to provide labor, supplies, or services to such employer in exchange for salary, wages, or other
remuneration.
"Subcontractor" means a person or entity that provides labor, supplies, or services to or for a contractor or
another subcontractor in exchange for salary, wages, or other remuneration.
Effective January 1, 2021, public and private employers, contractors and subcontractors will begin required
registration with, and use of the E -verify system in order to verify the work authorization status of all newly
hired employees. Vendor/Consultant/Contractor acknowledges and agrees to utilize the U.S. Department
of Homeland Security's E -Verify System to verify the employment eligibility of:
a) All persons employed by Vendor/Consultant/Contractor to perform employment duties within
Florida during the term of the contract; and
b) All persons (including sub-vendors/subconsultants/subcontractors) assigned by
Vendor/Consultant/Contractor to perform work pursuant to the contract with the Department. The
Vendor/Consultant/Contractor acknowledges and agrees that use of the U.S. Department of
Homeland Security's E -Verify System during the term of the contract is a condition of the
contract with the City of Opa-locka; and
Should vendor become successful Contractor awarded for the above -named project, by entering into this
Contract, the Contractor becomes obligated to comply with the provisions of Section 448.095, Fla. Stat.,
"Employment Eligibility," as amended from time to time. This includes but is not limited to utilization of
the E -Verify System to verify the work authorization status of all newly hired employees, and requiring
all subcontractors to provide an affidavit attesting that the subcontractor does not employ, contract with,
or subcontract with, an unauthorized alien. The contractor shall maintain a copy of such affidavit for the
duration of the contract. Failure to comply will lead to termination of this Contract, or if a subcontractor
knowingly violates the statute, the subcontract must be terminated immediately. If this contract is
terminated for a violation of the statute by the Contractor, the Contractor may not be awarded a public
contract for a period of 1 year after the date of termination.

AGREEMENT for GRANT MANAGEMENT SERVICES
This AGREEMENT, made this day of , / z0L L/ . 2017. by and between the City of Oakland
Park, acting herein through its City Manager, ' hereinafter called "OWNER", and RMPK Funding,
hereinafter called "CONTRACTOR".
WITNESSETH, that the parties hereto do mihially agree as follows:
ARTICLE I
That for, and in consideration of, the payments and agreements hereinafter mentioned, to be made
and performed by the OWNER, the CONTRACTOR hereby agrees with the OWNER to
commence and complete the work described as follows:
The Contractor will provide services as identified in CONTRACTOR' s proposal submission
for RFP #030917 (copy attached)
All terms, conditions and provisions of RFP #030917 are incorporated herein by reference
and made specific part hereof.
ARTICLE II
In accordance with the Proposal. the Contractor shall furnish at his own expense all labor,
vehicles, materials, tools and equipment needed to perform the services required.
Annual management fees and per -application fees shall be made in accordance with the terms of
the Proposal. For grant applications not contemplated in the proposed pricing, a cost will be
negotiated prior the issuance of a work authorization.
The Contractor shall also disclose to the Owner should the Contractor be engaged to provide
grant writing, application support services, or any other paid services to another jurisdiction or
entity in pursuit of the same grant funding as the Owner.
ARTICLE III
The initial term of this Agreement shall be for a period of two (2) consecutive years. If mutually
agreed upon, the contract may be renewed For two additional two (2) year terms for a total
maximum contract period of six (6) years.
ARTICLE [V
If it is determined that it is in the best interest of either party of the Agreement to terminate this
Agreement prior to the expiration date, for cause, a thirty (30) calendar day written notice shall be
given by the party wishing to terminate this Agreement.
ARTICLE V
Contractor agrees to indemnify and save CITY, its public officials, agents. servants and
employees harmless from and against any and all claims arising out of or in any way connected
with the willful misconduct or negligence of the contractor, or its employees, to protect the CITY
and its interests from such actions of the contractor or sub -contractors. Contractor further agrees
to reimburse CITY for any and all court costs and other expenses, including reasonable attorney's
fees incurred by CITY in defending any action. at both the trial and appellate levels, including
paralegal expenses associated therewith, brought against CITY for injury or damage claimed to
have been suffered as a result of or in any way connected with contractor's willful misconduct or
negligence or that of its employees.
ARTICLE VI
Nondiscrimination Equal Employment Opportunity and Americans With Disabilities Act:
Contractor shall not unlawfully discriminate against any person in its operations and
activities or in its use or expenditure of funds in fulfilling its obligations under this Agreement.
Contractor shall affirmatively comply with all applicable provisions of the Americans with
Disabilities Act (ADA) in the course of providing any services funded by this Agreement,
including Titles I and Il of the ADA (regarding nondiscrimination on the basis of disability), and
all applicable regulations, guidelines, and standards. In addition, CONTRACTOR shall take
affirmative steps to ensure nondiscrimination in employment against disabled persons. Such
actions shall include, but not be limited to, the following: employment, upgrading, demotion,
transfer, recruitment or recruitment advertising, layoff, termination, rates of pay, other forms of
compensation. terms and conditions of employment, training (including apprenticeship) and
accessibility.
Contractor's decisions regarding the delivery of services under this Agreement shall be made
without regard to or consideration of race, age, religion, color, gender, sexual orientation,
gender identity, gender expression, national origin, marital status, physical or mental disability,
political affiliation, or any other factor which cannot be lawfully used as a basis for service
delivery.
Contractor shall not engage in or commit any discriminatory practice in violation of the Broward
County Human Rights Act (Broward County Code, Chapter 162) in performing any services
pursuant to this Agreement

ARTICLE VII
Public Records
The City of Oakland Park is a public agency subject to Chapter 119, Florida Statutes. The
Contractor shall comply with Florida's Public Records Law. Specifically, the Contractor shall:
1. Keep and maintain public records that ordinarily and necessarily would be required by the City in
order to perform the service;
2. Provide the public with access to such public records on the same terms and conditions that the
City would provide the records and at a cost that does not exceed that provided in chapter 119,
Fla. Stat., or as otherwise provided by Iaw;
3. Ensure that public records that are exempt or that are confidential and exempt front public record
requirements are not disclosed except as authorized by law; and
4. Meet all requirements for retaining public records and transfer to the City, at no cost, all public
records in possession of the contractor upon termination of the contract and destroy any duplicate
public records that are exempt or confidential and exempt. All records stored electronically must
be provided to the City in a format that is compatible with the information technology systems of
the agency.

12 WHEREAS, the City Commission deems it to be in the best interests of the City
13 to approve the renewal of the Agreement for Grant Management Services between the
14 City and RMPK Funding for an additional two (2) year term.

16 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
17 OF THE CITY OF OAKLAND PARK, FLORIDA THAT:

19 SECTION 1. The foregoing "WHEREAS" clauses are true and correct and
20 hereby ratified and confirmed by the City Commission. All exhibits attached hereto are
21 hereby incorporated herein.

23 SECTION 2. In accepting the recommendation of City staff, the City
24 Commission of the City of Oakland Park, Florida, hereby approves the renewal of the
25 Agreement for Grant Management Services between the City and RMPK Funding for an
26 additional two (2) year term commencing on April 4, 2019 and ending on April 4. 2021
27 in accordance with Article III of the original Agreement dated April 5, 2017.

29 SECTION 3. All Resolutions or parts of Resolutions in conflict herewith, be
30 and the same are repealed to the extent of such conflicts.

32 SECTION 4. If any clause, section or other part of this Resolution shall be held
33 by any court of competent jurisdiction to be unconstitutional or invalid, such
34 unconstitutional or invalid part shall be considered eliminated and will in no way affect
35 the validity of the other provisions of this Resolution.

37 SECTION 5. This Resolution shall become effective immediately upon its
38 passage and adoption.

2021 Land and Water Conservation Fund
The U.S. Department of the Interior provides funds, administered by the Florida
Department of Environmental Protection (DEP), for the acquisition or
development of recreational facilities.
GRANT CATEGORIES:
Acquisition: This program funds the acquisition of land for open space, park sites
conservation areas and trails.
Development: Eligible facilities include but are not limited to waterfront access, picnic areas,
trails, pools, ballfields, soccer fields, tennis, basketball and volleyball courts,
playgrounds, outdoor theatres and boating and fishing features. Associated
support facilities such as lighting, parking, restrooms, concessions, and
landscaping are eligible, but may not account for more than 50% of the project
cost.
