I, the District Clerk of the Midpeninsula Regional Open Space District, hereby certify that
the above is a true and correct copy of a resolution duly adopted by the Board of Directors of
the Midpeninsula Regional Open Space District by the above vote at a meeting thereof duly
held and called on the above day.

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
APPROVING A SALARY ADJUSTMENT FOR DISTRICT
CONTROLLER AND APPROVING THE DISTRICT
CONTROLLER'S EMPLOYMENT AGREEMENT
WHEREAS,the Board of Directors of the Midpeninsula Regional Open Space District entered
into a District Controller Employment Agreement("Agreement"),dated August 25,2004, with Michael
L. Foster,employing him as the District's Controller; and
WHEREAS,the Agreement provides for an annual review of District Controller's performance
and an annual compensation review;and
WHEREAS,the Board desires to adjust the Controller's compensation to include a 2.5 point cost
of living adjustment increasing his salary to$17,994.08 per calendar year retroactive to April 1, 2007;
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Midpeninsula
Regional Open Space District does hereby authorize the President of the Board of Directors or other
appropriate officer to execute the attached District Controller Employment Agreement on behalf of the
Midpeninsula Regional Open Space District to increase the Controller's salary to$17,994.08 per calendar
year based upon a 2.5 point annual salary adjustment retroactive to April 1,2007.
