RESOLUTION NO. 07-31
RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING THE PRESIDENT OR APPROPRIATE OFFICER
TO EXECUTE THE GRANT OF AN OPEN SPACE EASEMENT
TO THE COUNTY OF SAN MATEO, AND AUTHORIZING THE
GENERAL MANAGER TO EXECUTE ANY AND ALL OTHER
DOCUMENTS NECESSARY OR APPROPRIATE TO CLOSING
OF THE TRANSACTION (LA HONDA CREEK OPEN SPACE
PRESERVE— FORMER LANDS OF PENINSULA OPEN SPACE
TRUST)
The Board of Directors of the Midpeninsula Regional Open Space District does resolve
as follows:
Section One. The Board of Directors of the Midpeninsula Regional Open Space District
does hereby grant a ten (10) year Open Space Easement to the County of San Mateo
under the terms contained in that certain Open Space Easement Agreement between the
County of San Mateo and the Midpeninsula Regional Open Space District, a copy of
which is attached hereto and by reference made a part hereof.
Section Two. The General Manager or the President of the Board of Directors or other
appropriate officer is authorized to execute the Open Space Easement Agreement
granting real property interests being conveyed by the District.
Section Three. The General Manager of the District or the General Manager's designee
is further authorized to execute any and all other documents necessary or appropriate to
the closing of the transaction. The General Manager and General Counsel are authorized
to approve minor technical revisions to the transactional documents that do not change
any material terms of the Open Space Easement.
Section Four. The Board of Directors finds that the granting of this real property interest
is in accordance with the Basic Policy of the District and is not detrimental to the open
space character of the La Honda Creek Open Space Preserve, and will further the
purposes of the District.

PASSED AND ADOPTED by the Board of Directors of the Midpeninsula Regional Open Space
District on November 14, 2007 at a Regular and Special Meeting thereof, by the following
vote:
AYES: Jed Cyr, Mary Davey, Nonette Hanko, Larry Hassett, Curt Riffle,
Ken Nitz, Pete Siemens

the above is a true and correct copy of a resolution duly adopted by the Board of Directors of
