A CAPITAL PROJECT AUTHORIZING RESOLUTION OF
THE VILLAGE COUNCIL OF THE VILLAGE OF KEY
BISCAYNE, FLORIDAO SELECTING THE BID OF LEED
CONSTRUCTION GROUP, LLC. FORTHE CONSTRUCTION
OF THE CALUSA PARK TRAIL PROJECT; AUTHORIZING
THE VILLAGE MANAGER TO EXECUTE THE CONTRACT
AND RELATED DOCUMENTS FOR SUCH PROJECT;
PROVIDING FOR IMPLEMENTATION; AND PROVIDING
FOR AN EFFECTIVE DATE.
WHEREAS, pursuant to Section 3.07(b) of the Charter of the Village of Key Biscayne,
Florida ("Village"), the Village Council desires to authorize the expenditure of Village funds for the
capital project consisting of the construction of a limestone path leading to Calusa Park referred to
as the Calusa Park Trail (the "Project"); and
IVHEREAS, the Project involves work to be performed within the Calusa Park, and is
subject to the terms and conditions of the Letter Agreement with Miami-Dade County dated January
28,2016 and attached hereto as Exhibit "A"; aîd
WHEREAS, on March 21,2016, the Village of Key Biscayne ("Village") issued lnvitation
to Bid No. 2016-03-21 ("Bid") for the Project; and
\THEREAS' in response to the Bid, Leed Construction Group, LLC ("Contractor")
submitted a bid for the Project; and
WHEREAS' after review and evaluation of the bids submitted in response to the Bid, the
Village Manager recommends that the Contractor be selected to perform the Project as the lowest,
responsive and responsible bidder; and
WHEREAS, the Village Council desires to select and award the contract to Contractor to
perform the Project in the amount of $56,600.00, and authonze the Village Manager to execute the
Contract for Construction (the "Contract") in substantially the form attached hereto as Exhibit "8";
and
WHEREAS, the Village Council finds that it is in the best interest of the Village to authorize
and award the Contract for the Project to Contractor, and proceed as indicated in this Resolution.
NO\üO THEREFORE' BE IT RESOLVED BY THE COUNCIL OF THE VILLAGE
oF KEY BISCAYNE, FLORTDA, AS FOLLO\ilS:
Section 1. Recitals Adopted. Each of the recitals stated above is hereby adopted and
confirmed.
Section 2. Selection of Bidder and Award of Contract. The selection and award of
the Contract to the Contractor for the Project is approved.
Section 3. Capital Project Authorizing Resolution. Pursuant to Section 3.07(b) of the
Village Charter, this Resolution shall constitute a Capital Project Authorizing Resolution. The
capital project is the implementation of the Project in the amount of $56,600.00.
Section 4. Letter Agreement and Contract Approved. The Letter Agreement with
Miami-Dade County in the form attached hereto as Exhibit "4", and the Contract substantially in
the form attached hereto as Exhibit "B" between Contractor and the Village for the Project, are
hereby approved. The Village Manager is hereby authorized to execute the Letter Agreement and
Contract, and related or necessary documentation on behalf of the Village, once approved as to form,
content and legal sufficiency by the Village Attorney.
Section 5. Implementation. The Village Manager is hereby authorized to take any and
all action necessary to implement the Project and the purposes of this Resolution.
Section 6. Effective Date. This Resolution shall be effective immediatelyupon adoption
hereof.

referred io os "Villoge"), ond IEED CONSTRUCTION GROUP, L[C, o Florido limited liobilíty

refened to os "Controcto/').
WITNESSETH
WHEREAS, in response to the Villoge's lnvitotion to Bid No. 20ì 6-03-21 issued on
Morch 21, 2O1ó, Controctor submitted o proposol for the Project {os hereinofter
defined);
WHEREAS, the Project involves work within Coluso Pork, o Miomi-Dode County Pork,
ond is subject to oll requirements ond conditions imposed by Míomi-Dode County

WHEREAS, Controctor ond Villoge, for the considerotions hereinofter nomed, the

SCOPE OF WORK

(the "Work" or "Project") in qccordqnce with ond os described in the Plons

2015 (hereinofter the "Controct Documents" os defined in Section 4.11

ARTICTE 2
CONTRACT TIME
2.1 Controctor sholl be instructed to commence the Work by written instructions in the
form of o Notice to Proceed providing q commencement dote ond issued by the
Villoge Monoger. The Notice to Proceed will noi be issued until Controctor's
submission to Villoge of oll required documents, including permits(s), ond ofter
execution of this Contrqct.

The Controclor sholl prosecute the Work with foithfulness ond diligence ond the
Work sholl be substqntiolly completed within Forty-Five (45) colendor doys from the
dote specified in the Notice to Proceed ("Substontiol Completion") so thot the
Villoge moy occupy ond use oll or o portion of the Project for its intended purpose.
Achievement of Substontiol Completion requires occeptonce by the Villoge thot
the Work is complete qnd in occordonce with the Controct Documents so thot ihe
Villoge moy occupy ond use the Project for the purpose ond use for which it wos
lntended, ond the permitting governmentol outhorities shqll hove issued finol
inspection ond opprovol. The Work shqll be fully completed in occordonce wíth
the Controct Documents within Sixty (ó0) colendor doys from the dote specified in
the Notice to Proceed ("Finol Completion"), ond on the dofe ogreed to by Villoge
when oll Work hos been completed in occordonce wiih the Coniroct Documents,
including the sotisfoction of oll requírements in Section 3.3 of thís Controct for finol
poyment.
Time is of the essence fhroughout this Controct ond there will be moneiory
domoge to the Villoge in the eveni thot the Work is not completed within the time
fixed for completion in this Controct. ln os much <:s the qctuol domoges for such
deloy of performonce Ís impossíble to exocily determine, Controctor ogrees thot it
sholl be lioble for ond sholl poy Villoge liquidoted domoges for qll deloy domoges
os set forth herein. Upon foílure of Controctor io ochieve Substontiol Completion of
the Controct withín Forty-Five (45) colendor doys from the dote specified in the
Notice to Proceed, Controctor sholl poy to Villoge the sum of Five Hundred Dollors
($500) for eoch colendor doy thot the Contrqclor foiled to ochieve Substontiol
Completion. After Substontiol Completion, should Controctor fqil to complete the
remoining Work ond ochieve Finol Completion wíthin Sixty (ó0) colendor doys from
the dqte specified in Ìhe Notice io Proceed, Controcior shqll poy to Villoge the
sum of Five Hundred Dollors ($500) for eoch colendor doy offer Substontiol
Completion thot the Project hos not ochieved Finol Completion ond reqdiness for
fínol poyment. Ihese omounts ore not penolties but ore liquídoied domoges
poyoble by Controctor to Villoge for the foilure to provide full beneficiql
occuponcy ond use of the Project os required. Llquidoted domoges ore hereby
fixed ond ogreed upon between the porties who hereby ocknowledge the
dífficulty of deiermining the qmounl of domoges thot will be sustoined by Villoge
os o consequence of Controcfor's deloy qnd foilure of Controctor to complete the
Work on time.
Villoge sholl inspect the Work ond prepore ond deliver to the Controctor q
punchlist for the Work or portion thereof ("Punchlist'), which wos inspected. This
Punchlist sholl lisi oll items thot Villoge hos identified for correction or completion.
When oll items listed on the Punchlist hove been conected or completed to the
sotisfqction of Villoge, Villoge moy certify Finql Compleiion. Controctor understonds
ond ogrees thot Finol Completion connot occur until such tíme os the Punchlist
Work hos been completed so thot the Project con be occupied ond used by
Villoge for its intended purpose wiihout disruption to Villoge.
Villoge is outhorized to deduct the liquidoted domoges from monies due to
Controctor for the Work under this Controct. ln cose the liquidoted domoge

CONTRACT PRICE
3.t Villoge sholl poy to Controctor for the performonce of the Controct, the tolol lump
sum of Fifiy SÍx Thousqnd, Six Hundred Dollors ond No/100 ($5ó,ó00.00) (the
"Controct Price"). The Controct Price sholl be full compensqiion for oll servíces,
lobor, moteriols, equipment ond costs, including overheod ond profit, qssocioted
with completion of oll the Work in full conformity with the Controct Documenis ond
odjusted only by wrítten chonge orders signed by both porties ond opproved os
required by locol low.
3.2 Villoge sholl poy the Controct Príce obove pursuont to the following schedule:
The Controct Price sholl be poid to Controctor upon Finol Completion of the Work
ín occordqnce with the Controct Documents ond occeptonce by the Villoge
ond upon certificotion by ihe Villoge's Project Consultont thqf the Work is
complete ond in occordonce with the Controct Documents ("Certificotion of
Finol Completion").
3.3 Upon Certificotion of Finol Completion by the Vílloge, ihe Controct Price sholl be
due ond poyoble to Controctor wifhin thirty (30) doys ofter the following
conditions ore sqtisfied :
(o) lnspection ond submíssion of evldence of opprovol of oll the Work
requiring inspection by the Villoge ond ony governmentol body,
inspection orgonizotion, bureou or ossociqtion hoving jurisdiction over the
Work, withín Controctor's responsibilities under this Controct;
(b) Owner's opprovol of Controctor's finol Applicotion for Poymeni;
(c) Assignment of oll mqnufqcturer's worronties or ossignment of
subcontrqctor's worronties on moteriol or equipment instolled;
(d)Finol disbursements which ore reloied to the performonce of the Work by
Contrqctor or its subcontrqctors, sub-subcontroctors, loborers or moteriql
suppliers;
Finol woivers of lien from the Contrqctor ond oll vendors ond
subconirocfors which hove provided lobor ond/or moteriols for
performonce of the Work which sholl occompony Controctor's
opplicotion for finol poyment;

It is mutuolly ogreed thot no poymeni mode under thís Contrqct sholl be

3.4 Any poyment by Villoge, includíng the finol request for poyment, does not
constitule opprovol or occeplonce by Villoge of ony item of the Work nor sholl it
be construed os o woiver of ony of the Villoge's rights hereunder or qt low or in
equity.
3.5 This Controct is subject to ihe condition precedents thot: (i) Villoge funds qre
ovoiloble ond budgeted for the Controct Price; (ii) the Villoge secures ond obtoins
ony necessory gronts or loons for the occomplishment of this Project pursuont to
ony bonowing legislotion odopied by the Villoge Council relotive to the Project;
ond (iii) Villoge Council enocts legislotion which owords ond outhorizes the
execuiion of this Controct, if such is required.

CONTRACT DOCUMENTS
4.1 The Controct Documents, which comprise the entire ogreement between fhe
Villoge ond the Controctor concerning the Work consist of (o) this Controct for
Construction (including ony chonge orders ond omendments thereto), (b) the
Letter Agreement doted Jonuory 28, 201ó between Villoge ond Miomí-Dode
County ottoched hereto os Exhibit "4" (c) Plons ond Specificotions ond lhe Project
Monuol ond oll biddíng documents or procurement documents for the Project, (d)
the Conlroctor's bid or proposol for the Project, (e) lnsuronce Certificotes, (f)
Performonce ond Poyment Bonds. (g) the Notice of Aword, ond (h) the Notice to
Proceed, oll of which ore deemed incorporoted into ond mode o porl of this
Contrqct by this reference ond govern this Project. ln the event of ony conflict
omong the foregoing, the documents sholl govern in the order listed herein.
Controctor is reminded ond hereby recognízes thot oll Work under this Controct
must comply with oll opplicoble federol, stote ond locol low. Any mondotory
clouses which ore required by opplicqble low sholl be deemed to be incorporoted
herein.
4.2 This Controct incorporotes ond includes oll prior negotiotions, correspondence,
conversotions, ogreements, or underslondings opplicoble to the motters contoined
herein ond ihe porties ogree ihot lhere ore no commitments, ogreements, or
understondings concerning the subject motter of these Controct Documenis thot
ore not contoined herein. Accordingly it is ogreed thqt no deviotion from the terms
hereof sholl be predicoted upon ony prior representotions or ogreements, whether
orol or wriiten.

ïhe Controct Documents sholl remoin ihe property of the Villoge. The Controctor
sholl hove the right to keep one record set of the Controct Documents upon
completion of the Project; however in no circumstonces sholl the Controctor use, or
permit to be used, ony or oll of such Controct Documents on other projects without
the Villoge's prior written outhorizoiion.
ART¡CTE 5
INDEMNIFICATION
Controctor ond its sub-controctor(s) sholl indemnify ond hold hormless the Villoge
ond Miomi-Dode County ond its officers, employees, ogents qnd inslrumentolities
from ony ond oll liobility, losses or domoges, including ottorneys' fees ond costs of
defense, which the Villoge or Miomi-Dode County or its officers, employees, ogents
or instrumentqlities moy incur os o result of cloims, demonds, suits, couses of octions
or proceedings of ony kínd or noture orising out of, reloting to or resulting from the
performonce of the Work or this Controct by the Controctor or its employees,
ogents, servonts, portners principols or subcontroctors. Controctor shqll poy oll
cloims ond losses in connection therewíth ond sholl investÍgote ond defend qll
cloims, suits or octions of ony kind or noture in the nome of the Villoge ond Miomi-
Dode County, where opplicoble, includíng oppellote proceedings, ond sholl poy
oll costs, judgments, ond ottorney 's fees which moy issue thereon. Controctor
expressly undersfonds ond ogrees thot ony insuronce protection required by this
Controct or otherwise províded by Controcfor shqll in no woy limit the responsibiliiy
to indemnify, keep ond sove hqrmless ond defend the Villoge ond Miomi-Dode
County or its officers, employees, ogents ond insirumeniolities qs herein
provided. The provisíons of this Section sholl survive terminotion of this Controct.
ARTICTE 6
INSURANCE
Controctor shqll secure ond moíntoin throughout the durotíon of this
Controct insuronce of such types ond in such omounts not less thon those
specified below CIs sotisfoctory to Villoge, noming the Villoge os on
Additíonol lnsured, underwritten by on insuronce compony roted A-X or
better by A.M. Best ond quolified to do business in the Stote of Florído. The
insuronce coveroge sholl be prímory insuronce with respect to the Villoge,
its officiols, employees, ogents ond volunteers noming ihe Villoge os
odditionol insured. Any insuronce mqintoined by the Villoge sholl be in
excess of the Controctor's insuronce ond sholl not contribute to the
Controctor's insuronce. The insuronce coveroges sholl include of o
minimum the omounts set forth ín this Section ó ond moy be increosed by
the Villoge os it deems necessory or prudeni.

o) Commerciol Generol Liobility coveroge with limíts of liobility of
not less thon o $1,000,000 per Occurrence combined single limit
for Bodily lnjury ond Property Domoge. This Liobility lnsuronce
sholl olso include Completed Operolions ond Product Liobility
coveroges ond eliminote the exclusion with respect to property
under the core, custody ond control of Controctor. The Generol
Aggregote Liobility limÍt ond the Products/Completed Operotions
Liobility Aggregote limit sholl be in the omount of $2,000,000 eoch.
b) Workers Compensotion ond Employer's Liobility insuronce, to
CIpply for oll employees for stotutory limits os requíred by
opplicoble Stote ond Federol lows. The policy(ies) must include
Employer's Liobility with minimum limits of $1,000,000.00 eoch
occident. No employee, subcontroctor or ogent of the
Controctor sholl be ollowed to provide Services pursuont to this
Controct who is not covered by Worker's Compensotion
insuronce.
c) Business Automobile Liobílity with minimum limits of $1,000,000 per
Occurrence, combined single limit for Bodily lnjury ond Property
Domoge. Coveroge must be offorded on o form no more
restrictive thon the lotest editíon of the Business Automobile
Liobility policy, withoui restrictive endorsements, os filed by the
lnsuronce Service Offíce, ond must include Owned, Hired, ond
Non-Owned Vehicles.
d) Cerliflcote of lnsuronce. Certificofes of lnsuronce sholl be
provided to the VILLAGE, reflecting the Villoge os on Additionol
lnsured, no loter thon ten (10) doys ofter oword of this Controct
ond príor to the execution of this Coniroct by Villoge ond prior to
commencing ony Services. Eoch certificote sholl ínclude no less
thon (30) thirty-doy odvonce written notice to Villoge prior to
concellotion, terminotion, or moteriol olterotion of soid policies
or insuronce. The Controctor sholl be responsible for ossuring
thot the insuronce certificotes required by this Section remoin in
full force ond effect for the durotion of this Controct, íncluding
ony extensions or renewols thot moy be gronted by the Villoge.
The Certificotes of lnsuronce sholl not only nqme the types of
policy(ies) provided, but olso sholl refer specificolly to thís
Controct ond sholl stote thot such insuronce is os required by this
Controct. The Villoge reserves the right to inspect ond return o
certified copy of such policies, upon written requesf by the
Vílloge. lf o policy is due to expire prior to the completion of the
Services, renewol Certificotes of lnsuronce sholl be furnished

thiriy (30) colendor doys pr¡or to the dote of their policy
expirotion. Eoch policy certificote sholl be endorsed with o
provision thot not less thon lhirty (30) colendor doys' written
notice sholl be provided to the Villoge before ony policy or
coveroge is concelled or restricted. Acceptonce of the
Certificote(s) is subject to opprovol of the Villoge.
e) Additionol lnsured. The Villoge is to be specíficolly included os
on Addítionol lnsured for the liobility of the Villoge resulting from
Services performed by or on beholf of the Controctor in
performonce of this Controct. The Controctor's insuronce,
including thot opplicoble to the Villoge os on Additionol lnsured,
sholl opply on o primory bosis ond ony other insuronce
mointoined by the Villoge sholl be in excess of ond sholl not
conÌribute to the Controctor's insuronce. The Controctor's
insuronce sholl contoín o severobility of interest provision
providing thot, except with respect to the totol limits of liobility,
the insuronce sholl opply to eoch lnsured or Additionol lnsured
(for opplicoble policies) ín the some monner os if seporote
policíes hod been issued to eoch.
f) Deduclibles. All deductibles or self-insured retentions must be
declored to ond be reosonobly opproved by the Vílloge. The
Controctor sholl be responsible for the poyment of ony
deduciible or self-insured retentions in the event of ony cloim.
g) The provisions of this section sholl survive terminotíon of this
Controct.
h) ln odditionol to the foregoing insuronce requirements,
Controctor sholl comply with oll insuronce requiremenïs of
Miomi-Dode County, Florido, ond submittol of oll required
certificotes of insurqnce to Miomi-Dode County, os set forth in
the Letter Agreement ottoched hereto os Exhibit "A".

CONTRACTOR'S REPRESENTATIONS AND WARRANTIES

7.1.3 Controcior is fomilior with qnd is sotisfied qs to oll federol, stote ond locol
lows, regulotions ond permiis thot moy offect cost, progress, performonce
ond furnishing of the Work. Contrqctor ogrees thot it will of oll iimes
comply with oll requirements of the foregoing lows, regulotions ond
permits.
Controctor hos mode, or coused to be mode, exominoiions,
investigotions, tests ond/or studies qs necessory to determine surfoce ond
subsurfoce conditions of or on the Project site. Conlroctor ocknowledges
thot the Villoge does not ossume responsibílity for lhe occurocy or
completeness of informotion ond doto shown or indicoted in the Controct
Documents with respect to underground or ground focilitíes ot,
contiguous or neqr the Projeci site or for existing improvements of or neqr
the Project siie. Controctor hos obtqined qnd corefully studied (or
ossumes responsibility for hoving done so) oll such odditionql
supplementory exominotions, investÍgotions, exploroiions, tests, studies
ond doto concerning conditions (surfoce, subsurfoce ond underground
focilities ond improvements) ot, contiguous or neor lo the Project site or
otherwise which moy offect cost, progress, performonce or furnishing of
the Work or which relote to qny ospect of the meons, methods,
techniques, sequences qnd procedures of construction to be employed
by Controctor ond sofety precoutions ond progrqms incident thereto.
Controctor does not consider thot ony odditionol exominotions,
investigotions, explorotions, tests, studies or dqto ore necessory for the
performonce qnd furnishing of the Work of the Controct Price, wilhin the
Controct Time os specified in Artícle 2 of thís Controct ond in occordonce
with the other terms ond conditions of ihe Controct Documents.
7.1.5 Contrqctor ís qwore of the generol noture of Work to be performed by the
Villoge ond others of the Project site thot relotes to the Work os indicoted
in the Controct Documents.
7.1.6 Controctor hos correloted the informotion known to Controctor,
informotion ond observqtions obtoined from visits to the Project site,
reports ond drowings identified in the Controct Documents ond oll
qdditionol exominotions, investigotions, explorotions, tests, studies ond
doto with the Contrqct Documents.
7.1.7 Controctor hos given Villoge written notice of oll conflicts, errors,
ombiguities or discreponcies thot Contrqctor hos discovered in the

Controct Documents ond the written resolution thereof by Villoge is
occeptoble to Contocior, ond the Controcl Documents ore generolly
sufficient to indicote ond convey understonding of oll terms ond
conditions for performonce ond furnishing of the Work.
7.1.8 The Controctor ogrees ond represents thot it possesses the requísite skills to
perform the Work ond thot the Work sholl be executed in o good ond
workmonlike monner, free from defects, ond thot oll moteriols sholl be
new ond opproved by or occeptoble to Villoge, except os oiherwise
expressly provided for in the Controct Documents. The Controctor sholl
cquse oll moteriols ond other ports of the Work to be reodily ovoiloble os
ond when required or needed for or in connection with the construct¡on,
furnishing ond equipping of the Project.
7.2 Controctor worronts the following

finonciolly or otherwise, in the Project. For breoch or violotion of this
worronty, the Villoge sholl hove the right to onnul this Contrqct wifhout
liobility or, in iis discreiion, to deduct from ihe Controct Prlce or
considerqtion, the full omount of such commission, percentoge,
brokeroge or contingent fee.
7.2.3 Licensing ond Permits: Controctor worrqnts thot ít sholl hqve, prior io
commencement of Work under ihis Controct ond qt qll times during soid
Work, oll required licenses ond permits whether federol, stote, County or
Villoge for performonce of the Work. Controctor ocknowledges thot it is

Controct Time, or if the Controctor sholl foil to perform ony moteriol term set forih in
the Controct Documents, or if Controctor sholl become insolvent or be declqred
bonkrupt, or commit ony oct of bonkruptcy or insolvency, or sholl moke on
ossignment for the benefít of creditors, or from ony other couse whotsoever sholl
not corry on the Work in on qcceptoble mqnner, Villoge moy, upon seven (/) doys
wriTten Notíce of Terminotion, terminote the services of Controctor, exclude
Controctor from the Project site, provide for olternote prosecution of the Work,
oppropriote or use ony or oll moteriols ond equipmeni on the Project site os moy
be suitoble ond occeptoble, ond moy finish the Work by whotever methods it moy
deem expedíent. ln such cose, Controcior sholl not be entitled to receive ony
further poyment until the Project ís completed. All domoges, costs ond chorges
incuned by Villoge, together with the costs of completing the Project, sholl be
deducted from ony monies due or which moy become due to Controctor. ln cose
the domoges ond expenses so íncuned by Villoge sholl exceed monies due

omount of soid excess promptly upon demqnd therefore by Villoge. ln the event it
is odjudicoted thot Villoge wos not entitled to terminote lhe Controct os described
hereunder for defqult, the Controct sholl outomoticolly be deemed ierminoted by
Villoge for convenience os described below.
This Controct moy be terminoted by the Villoge for convenience upon seven (Z)
colendor doys' writlen notice to the Confrqctor. ln the event of such o
terminotion, the Controctor sholl incur no further obligotions in connection with
the Project ond sholl, to the extent possible, terminoie ony outstonding
subconiroctor obligotions. The Controctor sholl be compensoted for oll services
performed through the dote of terminotion to the sqtisfoction of the Villoge. ln
such event, the Controctor sholl promptly submit to the Villoge its Applicotion for
Poyment for finol poyment which sholl comply with the provisions of the Controct
Documents.
Notwithstonding the provisions of Article ló of ihe Generol Conditions ond Article
1B of the Supplementory Conditions of the Controct Documents, the Villoge sholl
hqve the rights of terminotion set forth in this Section 8 without ony requirement or
condition precedent thot o cloím or dispute be subject to dispute resolution
procedures or mediotion. The Villoge sholl hove ihe right to terminote the Controct
os set forth in this Section I wíthout ony requirement for dispute resolution or

9.1 No Assiqnment.
Neither porty sholl ossign the Controct or ony sub-controct ín whole or in port
without the written consent of the other, nor sholl Controclor qssign ony monies due or to
become due to it hereunder, without the prevÍous written consent of the Villoge Monoger.
9.2 Conlroctor's ResponsÍbilily for Domoqes ond Accidenls.
9.2.1 Controctor shqll occept full responsibility for the Work ogoinst oll loss or
domoge of ony noture sustoined untilfinol occeptonce by Villoge, ond sholl
promptly repoir ony domoge done from ony couse.
9.2.2 Controctor sholl be responsible for oll moteriols, equipment ond supplíes
perfoining lo ihe Project. ln the event ony such moteriols, equipment ond
supplies ore lost, stolen, domoged or destroyed prior to finol occeptonce by
Villoge, Controctor sholl reploce some without cost io Vílloge.
9.3 Defeclive Work: Wqrrontv ond Guoronfee.
9.3.r Unless otherwise províded for in the Contrqct Documents, oll moteriqls ond
equipment incorporoted inio ony Work covered by this Controcl sholl be
new ond of the most suitoble grode of their respectíve kinds for their
intended use, ond ollworkmonshîp shqll be in occordonce with construction
proctices occeptoble to Villoge. Controctor wononts to Villoge oll lobor,
equipment ond moteriols furnished or performed under this Controct
ogoinst defects in moteriols ond workmonship. Villoge sholl hove the
outhority to rejecl or disopprove Work which the Villoge finds to be
defective. lf requíred by the Villoge, Contrqctor sholl promptly either conect
oll defective Work or remove such defective Work ond reploce iÎ with
nondefeciíve Work. Controctor sholl beor oll direct, indirect ond
consequentiol costs of such removol or corrections, including the cost of
testing loborotories ond personnel.
9.3.2 Should Controctor foil or refuse to remove or conect ony defective Work or
to moke ony necessory repoirs in occordonce with the requirements of the
Controct Documents within the time indicoted in writing by Villoge's Project
Consultont, Villoge sholl hove the outhority to cquse the defectíve Work to
be removed or corrected, or moke such repoirs os moy be necessory, ot
Controctor's expense. Any expense incurred by Villoge in moking such
removols, conections or repoirs, shqll be poid for out of ony moníes due or
which moy become due to Controctor. ln the event of fqilure of Controctor
to moke oll necessory repoirs promptly ond fully, Villoge moy declqre

Completion os required by Florido low, unless longer wonontees or
guorontees ore provided for elsewhere in the Coniroct Documents, in which
cose the longer periods of time sholl prevoil. If, within one (l) yeor ofter the
doie of substontíol completion, ony of the Work is found to be defective or
not in occordonce wiih the Controct Documents, Controctor, ofter receipt
of written notice from Villoge, sholl promptly conect such defective or
nonconforming Work within the time specified by Villoge without cost io
Villoge. Nothing contoined herein sholl be construed to estoblish o period
of limitotion wíth respect to ony oiher obligotion which Controctor might
hove under the Controct Documents íncluding but not límited to ony cloim
regording lotent defects. Controctor sholl provide ond ossign to Villoge oll

9.3.4 Foilure to reject ony defective Work or moteriol sholl not in ony woy prevent
loter rejection when such defect is discovered.
9.4 leool Reslriclions qnd Hours of Work.
Conlrqctor sholl conform io ond comply with oll opplícoble lows, regulqtions, or
ordinonces with regord to the Work, lobor employed, hours of Work ond Contrqctor's
generol operotions, including ony requirements of Miomi-Dode County for Work within
Coluso Pork. Controctor sholl conduct its operotions so os not to interfere with or close
ony rood, right-oÊwoy or occess oreo, without the wriiten consent of the Villoge or
governing jurisdíction. Work is onticípoted to be performed Mondoy through Fridoy in
occordonce with the requíremenis ond limitotions of opplicoble low including, without
limitotion, Chopter 17 of the Villoge Code. The Controctor sholl not perform Work
beyond the time ond doys provided herein without the prior written opprovol of the
Villoge.
9.5 Public Records Acl ComolÍqnce.
9.5.1 Controctor ogrees to keep ond mqintoin public records in Contrqcfor's
possession or control in connection with Controctor's performonce under this
Controcf. Controctor odditionolly ogrees to comply specificolly with the provisions
of Section I 19.0201, Florido Stotutes. Controctor sholl ensure thot public records
thot ore exempt or confidentiol ond exempt from public records disclosure
requirements qre not disclosed, except os outhorized by low, for the durotion of the
Agreement, ond following completion of the Agreement until the records ore
trqnsferred to the Villoge.
9.5.2 Upon request from ihe Villoge custodion of public records, Controctor sholl
provide the Villoge with o copy of the requested records or ollow the records to be

9.5.5 Any compensolíon due to Controctor sholl be withheld until oll records ore
received os provided herein.

extension of iime by reoson of ony deloys. Controctor sholl not be entitled to on increose
in the Controct Price or poyment or compensotion of ony kind from Villoge for direct,
indirect, consequentiol, impoct or other costs, expenses or domoges, including but not
limited to, lost profits, overheod, costs of occelerotion or inefficiency, orising becouse of
deloy, disruption, interference or hindronce from ony couse whotsoever, whether such
deloy, disruption, interference or hindronce be reosonoble or unreosonoble, foreseeoble
or unforeseeoble, or ovoidoble or unovoidoble or whether or not coused by Villoge.
Controctor sholl be entitled only to extensions of the Controct Time os the sole ond
exclusive remedy for such resulting deloy. Notwíthstonding the obove, Controctor moy be
gronted on extension of time ond suspension of liquidoted domoges for'ony deloy
beyond the reqsonqble control of the Controctor. Should ony deloy, disruption,
interference or hindronce be solely ond intentionolly coused by the Villoge, for o
continuous period or cumulotive period of thirty (30) doys, the Controctor moy terminote
the Controct upon fifteen (15) doys written notice to the Villoge.
9.7 AulhorizedRepresenlotive.
9.7.1 Before commencing the Work, Controctor sholl designote o competent,
outhorized representotive ("Authorized Representotive") occeptoble to
Villoge to represent ond oct for Controctor ond shqll inform Villoge, in
writing, of the nome ond oddress of such representqtive together with o
cleor definition of the scope of his outhority to represent ond oct for
Controctor. Controctor sholl keep Villoge informed of ony subsequent
chonges in ihe foregoing. Such representotive sholl be preseni or duly
represented of the Project site of oll times when Work is octuolly in
progress. All noiices, determinotions, instructions ond other
communicotions given to the outhorized representotives of Controctor
shqll be bindíng upon the Controcior.
9.7.2 The Authorized Representotive, project monogers, superintendents ond
supervisors for the Project ore oll subject to prior ond continuous opprovol
of Villoge. lf, of ony time during the term of this Controct, ony of the
personnel either functionolly or nominolly performing ony of the positions
nomed obove, ore, for ony reosonoble couse whotsoever, unocceptoble
to Villoge, Controctor sholl reploce the unocceptoble personnel with
personnel occeptoble to Villoge.
9.8 Toxes.
Contrqctor sholl poy oll toxes, levíes, duties ond qssessments of every noture
which moy be opplicoble to ony Work under this Controct. The Controct Price ond ony
ogreed voriotions thereof sholl include oll tqxes imposed by low of the time of this
Controct. Controctor sholl moke ony ond oll poyroll deductions required by low.

9.9 Utilities.
Controctor sholl, of its expense, orronge for, develop ond mointoin oll utilities ot
the Project to perform the Work ond meet ihe requirements of this Coniroct. Such
utilities sholl be furnished by Coniroctor ot no odditionol cost to Villoge. Prior to finol
occeptonce of the Work, Controctor sholl, of its expense, sotisfoctorily remove ond
dispose of oll temporory utilities developed to meet the requirements of thís Controct.
9.10 Sofetv.
Controctor sholl be fully ond solely responsible for sofety ond conducting oll
operotions under ihís Controct of oll times in such o monner os to ovoid the risk of
bodily horm io persons ond domoge to property. Controctor sholl continuolly ond
diligently inspect oll Work, moteriols ond equipment to discover ony conditions which
might involve such risks ond sholl be solely responsible for discovery ond correction of
ony such conditions. Controctor sholl hove sole responsibility for implementing its sofety
progrom. Villoge sholl not be responsible for supervising the implementoiion of
Conlroctor's sofety progrom, ond sholl not hqve responsíbílity for the sofety of
Controctor's or its subcontroctor's employees. Controctor sholl mointoin oll poriions of
the Project site ond Work in o neot, cleon crnd sonitory condition of oll times. Controctor
sholl ossure thot subcontroctors performing Work comply with the foregoing sofety
requirements.

ond sofe condition. Upon completion of ony portion of the Work, Controctor sholl
promptly remove oll of íts equipment, construction moteriols, temporory structures ond
surplus moteriols not to be used of or neor ihe some locotion during loter stoges of
Work. Upon completion of the Work ond before finol poyment is mode, Controctor
sholl, of its expense, sotisfoctorily dispose of oll rubbish, unused mqteriols ond other
equipment ond moteriols belonging to it or used in the performqnce of the Work ond
Controctor sholl leqve the Project in o neot, cleqn ond sofe condition. ln the event of
Contrqctor's foilure to comply with the foregoing, the some moy be occomplished by
Villoge of Controctor's expense.
9.12 Riohts qnd Remedies.
The duties ond obligotions imposed by the Controct Documents ond the ríghts

responsibilities, sociol security ond heolth insuronce, employee benefits, purchosíng
policies ond other similor odministrotive procedures, opplicoble to services rendered
under the Controct sholl be those of the Controctor.
9.16 Poymenl fo Sub-Conlrocfors.
Certificotion of Poymenl to Subcontrqclors: The term "subcontroctor", os used
herein, includes persons or firms furnishing lobor, moteriols or equipment incorporoted into
or to be incorporoted into the Work or Projeci. The Controctor is required to poy oll
subcontroctors for sotisfoctory perlormonce of their controcts os o condition precedent to
poyment to Controctor by the Villoge. The Controctor sholl olso return oll retoinoge
withheld to the subcontroctors within 30 doys ofter the subcontroctor's work is sotisfoctorily
complete ond occepted by the Villoge.
9.17 [íens.
Controctor sholl not permil ony mechonic's, loborer's or moteriolmen's lien to be
filed ogoinst the Project site or ony port thereof by reoson of ony Work, lqbor, services or
moteriols supplied or cloimed to hove been supplied to the Project. ln the event such o
lien is found or cloimed ogoinst the Project, Controctor sholl within ten (10) doys ofter
notice of the lien dischorge the lien or liens ond couse o sqtisfoction of such lîen to be
recorded in the public records of Miqmi-Dode County, Florido, or couse such lien to be
irqnsferred to q bond, or post o bond sufficienl to couse the Clerk of the Circuit Court of
Miomi-Dode County, Florido, to dischorge such lien pursuont to Chopter 713.24, F.S. ln
the event Controctor fqils to so dischorge or bond the lien or liens wÍthin such period os
