HomeMy Public PortalAboutAddendum No. 1 to Contract No. 92-2017 - Fire - Sound & Silent Films - TrainingADDENDUM THIS ADDEND M, (Number 1 to Contract No. 92-2016) is made and entered into this lv day of /Ud, , 2017, by and between Richmond, Indiana, a municipal corporation acting through its Bo d of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Sound and Silence Films, 317 North Dunn Street, Apt. North, Bloomington, Indiana, 47408 (hereinafter referred to as "Contractor"). WHEREAS, City and Contractor entered into Contract No. 92-2016 on August 18, 2016, which Agreement retains Contractor to provide services in connection with the production and delivery of a promotional video for the Fire Department's Cadet Program for the Richmond Fire Department; and WHEREAS, City wishes to increase the amount of compensation to be paid to Contractor for Phase 1 of the Agreement due to additional costs that have been and will be incurred, which additional costs include, but are not limited to, costs in connection with rescheduling the project twice (through no fault of the Contractor), planning changes, and returns of equipment rental, in order that Phase 1 of the Agreement can be satisfactorily completed and a final product can be produced and completed for the Richmond Fire Department as set forth within the scope of Contract No. 92-2016. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: The City and Contractor executed and entered into Contract No. 92-2016, on January 28, 2016. Pursuant to Contract No. 92-2016, Section X (Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both Parties. 2. The City wishes to increase the amount paid to Contractor for Phase 1 of said Agreement in the amount of Two Thousand Seven Hundred Twenty-five Dollars and Zero Cents ($2,725.00) which will result in a total amount not to exceed Five Thousand Seven Hundred Twenty-five Dollars and Zero Cents ($5,725.00) for satisfactory completion of Phase 1 of said Agreement. Said increase will result in a final Contract amount not to exceed Eight Thousand Seven Hundred Twenty-five Dollars and Zero Cents ($8,725.00) for satisfactory completion of the Agreement. Contractor has submitted its explanation of said additional costs for Phase 1, which explanation is attached hereto as Exhibit A. Such services shall be performed in a manner consistent with Contract No. 92-2016, which is hereby incorporated by reference and made a part hereof. 3. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 92-2016, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. Both parties hereby agree that with the exception of the increase of the payment amount for Phase 1, Contract No. 92-2016 shall remain intact and unchanged and in full force and effect. 5. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum. You're right, the $2725 would cover the current overage, as well as the estimated overage for the planning that still needs to happen during this 1st phase that we're still in. Currently, we are $1225 over budget, as you mentioned. The additional $1500 was a conservative amount that was based on estimating the amount of planning that remain in this 1st phase. In my email, I estimated that 20 hours of planning would still be needed for us to confidently move to the next phase (production, post -production). So, just to clarify, we are $1225 over budget now, and I estimate that 20 hours of planning is still required within the 1st phase, which is $1500. This totals $2725. There would be no budget increase for the 2nd phase, I probably made that sound more confusing than it is! The 2nd phase is probably going to technically go over a bit, but I'm not concerned about that, and I will not be requesting additional cost for the 2nd phase. So, all this overage is only for the 1st phase. And yes, I am absolutely committed to this project, and have no intention of not fulfilling the contract. If the additional budget is approved, I have no problem signing some kind of guarantee, etc. As always, if you have any questions at all, or need verbal clarification, please feel free to call me anytime.
