RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
APPROVING A GRANT OF EASEMENTS, ACCEPTING A
QUITCLAIM OF EASEMENTS TO DISTRICT,
AUTHORIZING THE BOARD PRESIDENT OR OTHER
APPROPRIATE OFFICER TO EXECUTE THE GRANT OF
EASEMENTS AND A CERTIFICATE OF ACCEPTANCE
OF THE QUITCLAIM OF EASEMENTS, AND FURTHER
AUTHORIZING THE GENERAL MANAGER TO
EXECUTE ANY AND ALL OTHER DOCUMENTS
NECESSARY OR APPROPRIATE TO CLOSING OF THE
TRANSACTION (BEAR CREEK REDWOODS OPEN
SPACE PRESERVE—BRUSH & OLD WELL MUTUAL
WATER COMPANY)
The Board of Directors of Midpeninsula Regional Open Space District does resolve as follows:
Section One. The Board of Directors of Midpeninsula Regional Open Space District does
hereby approve a Grant of Easements to Brush& Old Well Mutual Water Company ("Water
Company"), a copy of which is attached hereto and by reference made a part hereof.
Section Two. The President of the Board of Directors or other appropriate officer is authorized
to execute the Grant of Easements on behalf of the District for the real property interests being
conveyed by the District to the Water Company.
Section Three. The Board of Directors of Midpeninsula Regional Open Space District does
hereby accept a Quitclaim of Easements to the District from the Water Company, a copy of
which is attached hereto and by reference made a part hereof.
Section Four. The President of the Board of Directors or other appropriate officer or the General
Manager is authorized to execute a Certificate of Acceptance for the quitclaim of real property
interests being conveyed by the Water Company to the District.
Section Five. The General Manager with the concurrence of the General Counsel is authorized
to approve any technical revisions to the attached Grant of Easements and the attached Quitclaim
of Easements which do not involve any material change to any term of these documents, and
which are necessary or appropriate to the closing or implementation of this transaction.
Section Six. The General Manager is authorized to expend up to $2,000.00 to cover title,
escrow, or recording costs or other miscellaneous costs related to this transaction. The General
Manager is further authorized to execute any and all other documents necessary or appropriate to
the closing or implementation of this transaction.

PASSED AND ADOPTED by the Board of Directors of the Midpeninsula Regional Open Space
District on February 27, 2008 at a Special and Regular Meeting thereof, by the following
vote:
