L CLINICAL AND PRECEPTOR AFFILIATION AGREEMENT THIS CLINICAL AND PRECEPTOR AFFILIATION AGREEMENT (this "Agreement") is effective as of the 2nd day of March, 2017 (the "Effective Date"), between City of Richmond Fire Department ("Ambulance Service") and Community Health Network, Inc. and its subsidiaries ("CHNw"). WITNESSETH: WHEREAS, Community desires educational experiences for students in its EMT and Paramedic programs; and WHEREAS, Ambulance Service is willing to make available its facilities and to provide preceptor instruction to said EMT and paramedic students for said educational experiences, which experiences will necessarily include some tasks performed by the students in learning the techniques of the specialty of EMT and Paramedic. NOW THEREFORE, in consideration of the foregoing and the mutual covenants and agreements hereinafter set forth, it is agreed by and between the parties hereto as follows: DUTIES OF CHNw: a. Assume responsibility for teaching and general supervision for each group of students. b. Provide the anticipated number, type of schedule planned, the kind of educational experiences desired and the academic status of students prior to the time they are placed for the program. Provide the Ambulance Service with a list of students' names, dates of assignments and other information specified by the Ambulance Service at a mutually agreed upon time. c. Provide Ambulance Service with names of CHNw EMS Instructors responsible for each group of students. d. Send only such students as are believed to be in good health as far as can be determined by examination, by a licensed physician. Provide proof that each faculty member and student has immune status for Rubella and Rubeola and a skin test or chest x-ray for Tuberculosis. While not required, students are strongly urged to be vaccinated against Hepatitis B. Any student acquiring Mumps, Rubella or Rubeola during the course of their rotation must inform their EMS Clinical Instructor and Ambulance Service. e. Provide proof of liability insurance coverage for its students. Such liability insurance shall be adequate to qualify for coverage of students as health care providers under the Indiana Medical Malpractice Act. f. Designate an appropriate liaison person. g. Function within Ambulance Service's policies and procedures which are furnished to CHNw. h. Instruct students on the importance of and their responsibility of respecting the confidential and privileged nature of all information which may come to their attention about patients and the records of CHNw and the Ambulance Service. i. Make available to the Ambulance Service's employees current audit and review educational sessions at no charge. Contract No. 38-2017 j. Make available to approved preceptors affiliated with the Ambulance Service a discounted course fee of fifty percent (50%) for any continuing educational offering (i.e. ACLS, PALS, PHTLS) in exchange for the Ambulance Service's provision of quality preceptorships for all EMS students within the program. Discounted rate applies to tuition fees only. Preceptors are responsible for all additional program fees, textbooks, and testing fees. k. CHNw EMS Director will randomly conduct preceptor evaluations by direct observation, scene assessments, ride -a -longs, or other mutually agreed upon evaluation tools for all clinical field preceptors to meet all course standards and CoAEMSP standards. 2. DUTIES OF AMBULANCE SERVICE: a. Accept students for educational experiences in those areas for which placement has been mutually reviewed, planned, and arranged. b. Make available to CHNw EMT and Paramedic students ride time on an Ambulance Service's ambulance consistent with the needs of the students' educational program at no charge. c. Provide orientation to the Ambulance Service for the supervising clinical faculty of CHNw including the philosophy, policies, and procedures for providing care; the physical facilities and equipment; and all other pertinent aspects. d. Designate an appropriate liaison person. e. Provide clinical scheduling person to work with CHNw Clinical Coordinator to schedule and monitor clinical rotations. f. Provide students with the necessary emergency treatment for illness or accident. The cost of such care is the responsibility of the student. g. Retain the responsibility for the care of its patients and patient outcome. h. Maintain professional liability insurance coverage in such minimum amounts necessary to qualify itself and its employees as qualified health care providers under the Indiana Medical Malpractice Act(Ind. Code § 34-18, et. seq.), as amended from time to time, or any successor legislation. 3. AMBULANCE SERVICE AND CHNw MUTUALLY AGREE THAT: a. The types of clinical experiences to meet course objectives and the number of students assigned to Ambulance Service will be mutually agreed between CHNw and Ambulance Service. b. The number of students who will participate in the program, the dates of the program and the length of the programs will be mutually agreed upon by CHNw and Ambulance Service. c. The wearing apparel of the student will be within CHNw's clinical course standards and Ambulance Service's dress code. All students will wear appropriate name badges at all times. d. CHNw reserves the right to withdraw any student from the program whose work or conduct is not satisfactory to CHNw. 2 e. The Ambulance Service reserves the right to remove any student from its facility whose work or conduct may reflect discredit to the program or whose progress is not satisfactory to Ambulance Service. f. A member of the CHNw EMS program faculty may visit Ambulance Service and shall have access to the student's and clinical instructor's records of this program upon request, providing prior notice has been given. g. A member of Ambulance Service or a designee, may visit CHNw and shall, in accordance with the Family Educational Rights and Privacy Act of 1974, as amended, have access to the student's and EMS Instructor's records of this program upon request, providing prior notice has been given to the CHNW EMS Director and Medical Director. h. Accept as herein provided, the students are not agents, employees, or servants of CHNw or Ambulance Service for any purpose whatsoever, and said individuals participating in the EMT and Paramedic program are students and are not acting on behalf of CHNw or Ambulance Service. The parties hereto agree, however, that students, who are employed by Ambulance Service, may participate from time to time and be subject to this Agreement so long as prior arrangements have been made and agreed upon by CHNw's EMS Director and the EMS Director of the Ambulance Service. i. A member of the Ambulance Service may appoint a representative (educational/operational background) to the CHNw EMS Advisory Board to assist in the overall quality control of the EMS programs and to assist with the requirements of accreditation. j. This Agreement does not alter the responsibilities and authorities of the governing bodies of the participating organizations. k. None of the parties shall discriminate in the execution of this Agreement on the basis of race, creed, color, sex, sexual orientation, national origin or physical handicap. 4. HOLD HARMLESS: The parties mutually agree to promptly notify the other of any claim made by or expected from a claimant against a parry to this Agreement, which claim relates to the subject matter of this Agreement. The parties agree to cooperate to dispose of such claim. Each party to this Agreement ("Indemnitor") agrees to indemnify and hold harmless the other party ("Indemnitee") (together with Indemnitee's successors, assigns, directors, officers, employees, and any other person for whom any of them or Indemnitee may be legally responsible) from and against any loss, cost, claim, or expense, including reasonable attorney fees, arising from any breach of this Agreement or any act of negligence or other breach of duty by Indemnitor, its successors, assigns, directors, officers, employees or agents. 5. MODIFICATION AND TERMINATION: 5.1 This Agreement may be revised or modified only by mutual written consent of the parties. 5.2 This Agreement shall be in effect for one (1) year from the Effective Date and it shall continue thereafter on a year to year basis unless terminated or modified as herein provided. 5.3 Either party may terminate this Agreement, without cause, provided however, that such termination shall not prejudice the rights of the currently enrolled students, by a ninety (90) day written notice deposited in the U.S. Mail, certified and return receipt requested, as follows: CHNW: John R. IN WITNESS WHEREOF, the parties hereto have executed this Clinical and Preceptor Affiliation Agreement as of the Effective Date and warrant that they are officially authorized to so execute for their respective parties to the contract.
