THIS ADDS D.0 , (Number 2 to Contract No. 6-2016) is made and entered into this
Indiana
day of 2017, by and between Richmond, a municipal
corporation acting through its Board of Public Works and Safety with its office at 50 North 5ch
Street, Richmond, Indiana, (hereinafter referred to as "City"), and Wallace Heating and Air, Inc.,
111 Melody Lane, P.O. Box 3, New Paris, Ohio, 45347 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 6-2016 on January 21, 2016, and
Addendum No. 1 to said Agreement on November 21, 2016; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services of
necessary maintenance for the heating and air conditioning (HVAC) systems
located at the Richmond Fire Stations for the City of Richmond Fire Department,
as set forth within the scope of Contract No. 6-2016.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 6-2016, on
January 21, 2016, which Contract is incorporated herein by reference and City
and City and Contractor also entered into Addendum No. 1 to said Agreement on
November 21, 2016. Pursuant to Contract No. 6-2016, Section IV Term of
Agreement, the City has an option to renew the Agreement for the 2018 calendar
year, which option is exercised pursuant to this Addendum. Contractor shall
continue to provide services of the necessary maintenance for the heating and air
conditioning (HVAC) systems for the City of Richmond Fire Department as
identified within Contract No. 6-2016 for the 2018 calendar year. Such services
shall be performed in a mariner consistent with Contract No. 6-2016, which is
hereby incorporated by reference and made a part hereof.
2. City and Contractor expressly agree that all other terms, conditions, and
covenants contained in Contract No. 6-2016, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum Number 2, in which case this Addendum Number 2
shall be controlling.
3. Both parties hereby agree that with the exception of the extension of the contract
date of termination pursuant to the exercise of the option to renew the contract for
the 2018 calendar year, Contract No. 6-2016 shall remain intact and unchanged
and in full force and effect.

4. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
IN WITNESS WHEREOF, this Addendum is executed and approved by the undersigned
representatives of the City and Contractor this Zq�— day of , 2017, to be
effective in accordance with its terms as of January 1, 2018.
