SECTION 1. STATEMENT AND SUBJECT OF WORK WHEREAS, City and Contractor previously entered into an Agreement memorialized as Contract 28- 2017 for services to be rendered by Contractor for good and valuable consideration. WHEREAS, Contract 28-2017, to which this Amendment is attached and incorporated and hereby modifies the same as is permitted by Section XI of the original Agreement. WHEREAS, City has identified that is has become necessary for Contractor to evaluate handrails, grating, and cement tunnels throughout the Richmond, Indiana Wastewater Treatment Plant as is generally set forth on the Contract Request Form identifying this Amendment, which is attached hereto and incorporated by reference herein as Exhibit A . Contractor has responded by issuing its response to the above -referenced request by tendering "Amendment No. 1 to Engineering Services Agreement" which is attached hereto and incorporated by reference herein as Exhibit B . WHEREAS, the Board of Sanitary Commissioners approve this Amendment, allowing for the consideration to be paid to Contractor to be modified to an increase of a not -to -exceed amount of one hundred fourteen thousand dollars and 00/100 ($114,000.00), with the foregoing sum being within the permissible twenty percent (20%) increase as contemplated by the City's governing rules and procedures. NOW THEREFORE, for valuable consideration and passage by majority vote of City, the parties hereto now hereby amend Contract 28-2017 by incorporating the following described Exhibits which specifically amend Contract 28-2017, and these Exhibits are incorporated into this Amendment as though the same are fully set forth herein, to wit: Exhibit B, Part I — A. PROJECT DESCRIPTION The description of the proposed WWTP systems and evaluation tasks that the facility planning effort is to focus upon has been modified to include the following additional WWTP systems and evaluation tasks: 17. Inspect all walkway and stairway grating and handrail at the WWTP that were listed in the July 2017 WWTP Grating and Handrail Inspection Report that CONTRACTOR received from the City of Richmond on August 3, 2017. a. Prepare a report on inspection findings containing recommendations for replacement and opinion of the probable construction cost. 18. Outside grating for the Primary Pump Building. e. Distribution Box for Primary Clarifiers 8 and 9 (revisions and additions that may be required to initial grating replacement). f. Distribution Box for Primary Clarifiers 10 and 11 (revisions and additions that may be required to initial grating replacement). g. Additional supports for new fiberglass peripheral grating on Primary Clarifiers 8, 9, 10 and 11 in order to eliminate excessive deflection. h. Final Clarifier Distribution Box. 19. Bid Phase Engineering Services for the selected grating and handrail Improvements as identified in Exhibit B, Part 1— A.18 of this agreement amendment. 20. Construction Phase Engineering Services for the selected grating and handrail improvements as identified in Exhibit B, Part 1— A.18 of this agreement amendment. EXHIBIT B, PART 1— B. SCOPE OF SERVICES The engineering scope of services have been modified to include the following additional activities: 9. Grating and Handrail Evaluation Services a. Review applicable available studies, reports, and drawings regarding the CITY's existing facilities. b. Visit site to assess the items listed under Exhibit B, Part 1 — A.17 of this agreement amendment. CONTRACTOR's structural engineer is to perform non-destructive assessments of handrail and grating in A.17. c. At the conclusion of site assessment, conduct a debriefing meeting with the CITY to discuss general findings and to determine which items will proceed to full design versus items to be included in the analysis report. Prepare an analysis report summarizing findings, including repair and/or replacement recommendations and estimated construction cost opinions. e. Perform an internal quality review of the analysis report, and incorporate quality review comments. f. After incorporation of review comments, submit up to seven (7) printed copies and/or a PDF copy of the final analysis report to the CITY for review and comment. 10. Grating and Handrail Design Services a. Utilizing available facility drawings and mapping, field notes and observations, and discussions with CITY, develop final layout drawings for final layout review and approval. b. Conduct an internal quality control review of the final layout drawings. c. Prepare an opinion of the probable construction cost based on the final layout drawings. d. After incorporating the quality control review comments in the final layout drawings, submit up to seven (7) printed sets and/or a PDF copy of the final layout drawings (half-size) and opinion of the probable construction cost to the CITY for review and comment. e. Conduct a final layout review workshop with the CITY. Prepare workshop notes documenting proposed changes to the final layout drawings. f. Prepare construction drawings incorporating final layout meeting comments. Page 4 of 11 g. Prepare construction specifications. Front-end bidding and contract documents will be prepared using applicable Engineers Joint Contract Documents Committee (EJCDC) documents for Division 0. Technical specifications will be prepared using the Construction Specifications Institute (CSI) 3-part format for 16 Divisions. h. Perform an internal designer review of the construction drawings and specifications, and then incorporate review comments. i. The opinion of probable construction cost will be updated based on the prepared construction drawings and specifications after designer review comments are incorporated. Also, revise the opinion of probable construction cost if necessary after the quality review comments are incorporated. j. Perform an internal quality review of the construction drawings and specifications after designer review comments are incorporated. Incorporate quality review comments. k. After incorporation of quality review comments, submit up to seven (7) printed sets and/or a PDF copy of the construction drawings (half-size), specifications, and updated opinion of the probable construction cost to the CITY for review and comment. I. Conduct a final construction drawings and specifications review workshop with the CITy's representatives to obtain review comments and input on any necessary changes for the Project design. Prepare workshop notes documenting proposed changes to the construction drawings and specifications. m. Incorporate review comments received from the CITY to finalize the drawings and specifications for bidding. Bid documents will be electronically distributed. The Bid Documents will be signed and sealed by a registered Professional Engineer in the State of Indiana, and will be prepared for the designed improvements to be bid as one project. n. It is assumed no regulatory agency construction permits will be required for this Project. 11. Grating and Handrail Bid Phase Services a. Prepare a Notice to Bidders and submit it to the CITY to publish twice in a local newspaper. The cost of publication will be paid by the CITY. b. A website-based document distribution service will be utilized to distribute bidding documents and addendums in digital format. This website service will be utilized to post the notice to bidders and the bid amounts for the received bids. Provide up to five (5) printed sets and a PDF electronic copy of the Bid Documents (drawings at half-size or full-size) to the CITY for display to potential bidders (two copies) and for the CITY's reference (up to three copies). Page 5 of 11 c. Conduct a pre -bid conference to describe Project work and answer prospective bidder questions. Prepare and issue meeting minutes. d. Prepare addenda as appropriate to interpret, clarify or expand the bidding documents and issue the addenda to prospective bidders. e. Consult with CITY concerning the acceptability of substitute materials and equipment proposed by contractors when substitution prior to the award of a contract is allowed. f. Assist CITY in the bid opening, perform analysis and tabulation of bids, prepare recommendations for contract award, prepare notice of award, and submit to the CITY for adoption of a contract award resolution or rejection of bids. g. Assist the CITY in preparing a notice of award and construction agreement. Advise CITY on the acceptability of subcontractors and material suppliers proposed by the Contractor for this Project. 12. Grating and Handrail Construction Phase Services a. Genera! Administration of Construction Contract. Consult with CITY and act as CITY's representative as provided in the General Conditions of the Contract Documents included in the Project Manual. The extent and limitations of the duties, responsibilities and authority of the CONTRACTOR (Engineer) as assigned in said General Conditions shall not be modified, except as CONTRACTOR and CITY may otherwise agree in writing. All of CITY's instructions to the construction contractor will be issued through CONTRACTOR, who shall have authority to act on behalf of CITY in dealings with construction contractor to the extent provided in this Agreement and said General Conditions except as otherwise provided in writing. Contract Documents Distribution. Furnish to construction contractor up to four (4) printed copies of the Project Manual and half -scale or full-scale Drawings plus one copy of the Project Manual and Drawings in electronic portable document format (PDF) that incorporate all issued addenda during the bid phase. Additional printed copies will be furnished to the construction contractor upon request at the cost of reproduction. These sets of contract documents are in addition to the set to be given to construction contractor to be annotated with record document information. Print and furnish up to another three (3) sets of the Project Manual and half -scale or full-scale Drawings plus one PDF copy of the Project Manual and Drawings that incorporate all issued addenda for use by the CITY. If requested by the construction contractor, one set of drawings in AutoCAD electronic format will be provided to the contractor. Electronic files will be delivered upon receipt of a signed disclaimer form by the construction contractor and signed CITY release. c. Pre -Construction Conference and Progress Meetings. Attend and conduct a Pre -Construction Conference for the Project prior to commencement of work at the Project site. Attend up to four (4) monthly construction progress meetings when construction work is progressing on site, to be conducted by the construction contractor. CONTRACTOR is to prepare and Page 6 of))11 13 distribute minutes for Pre -Construction Conference, and construction contractor is to prepare and distribute all progress meeting minutes. d. Visits to Site and Observation of Construction. Perform the following services in connection with observations of construction contractor's work in progress when attending construction progress meetings: 1) Make visits to the Project Site at intervals appropriate to the various stages of construction, as CONTRACTOR deems necessary, in order to observe as an experienced and qualified design/construction professional the progress and quality of the Work. Such visits and observations by CONTRACTOR are not intended to be exhaustive or to extend to every aspect of construction contractor's work in progress or to involve detailed inspections of construction contractor's work in progress beyond the responsibilities specifically assigned to CONTRACTOR in this Agreement and the Contract Documents, but rather are to be limited to spot checking, selective sampling, and similar methods of general observation of the Work based on CONTRACTOR's exercise of professional judgment. Based on information obtained during such visits and such observations, CONTRACTOR will determine In general if construction contractor's work is proceeding In accordance with the Contract Documents, and CONTRACTOR shall keep CITY informed of the progress of the Work. 2) The purpose of CONTRACTOR's visits at the project site will be to enable CONTRACTOR to better carry out the duties and responsibilities assigned to and undertaken by CONTRACTOR during the Construction Phase; and in addition, by the exercise of CONTRACTOR's efforts as an experienced and qualified design/construction professional, to provide for CITY a greater degree of confidence that the completed Work will conform in general to the Contract Documents and that the integrity of the design concept of the Project as a functioning whole as indicated in the Contract Documents has been implemented and preserved by construction contractor. CONTRACTOR shall not, during such visits or as a result of such observations of Contractor's work In progress, supervise, direct, or have control over construction contractor's work, nor shal I CONTRACTOR have authority over or responsibility for the means, methods, techniques, sequences, or procedures of construction selected by construction contractor, for safety precautions and programs incident to contractor's work, or for any failure of construction contractor to comply with Laws and Regulations applicable to contractor's furnishing and performing the Work. Accordingly, CONTRACTOR neither guarantees the performance of construction contractor nor assumes responsibility for construction contractor's failure to furnish and perform its work In accordance with the Contract Documents. e. Defective Work. Recommend to the CITYthat construction contractor's work be disapproved and rejected while it is in progress, if on the basis of such observations, CONTRACTOR believes that such work will not produce a completed project that conforms generally to the Contract Page 7 of 11 1'6? 13 -�t) 8 �1 Documents or that it will prejudice the integrity of the design concept of the completed Project as a functioning whole as indicated in the Contract Documents. f. Clarifications and Interpretations, Request for Information Forms, and Field Orders. Issue necessary clarifications and interpretations of the Contract Documents as appropriate to the orderly completion of construction contractor's work. CONTRACTOR may issue Field Orders authorizing minor variations from the requirements of the Contract Documents. g. Change Orders, Work Change Directives and Request for Proposals. Prepare Change Orders, Work Change Directives and Requests for Proposals and recommend Change Orders and Work Change Directives to CITY for approval by CITY as required. In addition, CONTRACTOR shall prepare all documentation that appropriate governmental authorities having jurisdiction over the project may require for review and approval of the Change Orders. h. Shop Drawings and Samples. Review and approve or take other appropriate action in respect to Shop Drawings and Samples and other data that construction contractor is required to submit, but only for conformance with the information given in the Contract Documents and compatibility with the design concept of completed project as a functioning whole as Indicated in the Contract Documents. Such reviews and approvals or other action.will not extend to means, methods, techniques, sequences or procedures of construction or to safety precautions and programs incident thereto. I. Substitutes and "or -equal," Evaluate and determine the acceptability of substitute or "or - equal" materials and equipment proposed by construction contractor. j. Disagreements between CITY and construction contractor. Render formal written decisions on all claims of CITY and construction contractor relating to the acceptability of contractor's work or the interpretation of the requirements of the Contract Documents pertaining to the execution and progress of contractor's work. In rendering such decisions, CONTRACTOR shall be fair and not show partiality to CITY or construction contractor, and shall not be liable in connection with any decision rendered in good faith in such capacity. k. Applications for Payment. Based on CONTRACTOR's observations as an experienced and qualified design professional and on review of applications for payment and accompanying supporting documentation from construction contractor, CONTRACTOR shall: 1) Determine the amounts that CONTRACTOR recommends that construction contractor be paid. Such recommendations of payment will be in writing and will constitute CONTRACTOWs representation to the CITY, based on such observations and review to the best of CONTRACTOR's knowledge, information and belief, that construction contractor's work has progressed to the point indicated, the quality of such work is generally in accordance with the Contract Documents (subject to an evaluation of the Work as a functioning whole prior to or upon Substantial Completion, to the results of any subsequent tests called for in the Contract Documents and to any other qualifications stated in the recommendation), and the Page 8 of 11 ,?d-C /4 conditions precedent to Contractor's being entitled to such payment appear to have been fulfilled in so far as it is CONTRACTOR's responsibility to observe construction contractor's work. In the case of unit price work, CONTRACTOR's recommendations of payment will include final determinations of quantities and classifications of construction contractor's work (subject to any subsequent adjustments allowed by the Contract Documents). 2) By recommending any payment, CONTRACTOR shall not thereby be deemed to have represented that observations made by CONTRACTOR to check the quality or quantity of construction contractor's work as it is performed and furnished have been exhaustive, extended to every aspect of construction contractor's work in progress, or involved detailed inspections of the work beyond the responsibilities specifically assigned to CONTRACTOR in this Agreement and the Contract Documents. Neither CONTRACTOR's review of Contractor's work for the purposes of recommending payments nor CONTRACTOR's recommendation of any payment including final payment will impose on CONTRACTOR responsibility to supervise, direct, or control construction contractor's work in progress or for the means, methods, techniques, sequences, or procedures of construction or safety precautions or programs incident thereto, or construction contractor's compliance with Laws and Regulations applicable to construction contractor's furnishing and performing the work. It will also not impose responsibility on CONTRACTOR to make any examination to ascertain how or for what purposes construction contractor has used the moneys paid on account of the Contract Price, or to determine that title to any portion of the work in progress, materials, or equipment has passed to the CITY free and clear of any liens, claims, security interests, or encumbrances, or that there may not be other matters at issue between the CITY and construction contractor that might affect the amount that should be paid. Priorto recommending payment requests from construction contractor to the CITY for payment, the CONTRACTOR shall require lien waivers from prior payment applications from construction contractor. I. Construction Contractor's Completion Documents. 1) Receive and review maintenance instructions, schedules, and guarantees. 2) Receive bonds, certificates, or other evidence of insurance not previously submitted and required by the Contract Documents, certificates of inspection, tests and approvals, Shop Drawings, Samples and the annotated record documents, which are to be assembled by construction contractor in accordance with the Contract Documents to obtain final payment. 3) CONTRACTOR shall transmit these documents to CITY. m. Substantial Completion. Promptly after notice from construction contractor that the contractor considers the entire Work ready for its intended use, in company with CITY and Page 9 of 11 construction contractor, conduct an inspection to determine if the Work is Substantially Complete. CONTRACTOR shall prepare a list of any observed deficiencies during the inspection. At the direction of the CITY, CONTRACTOR shall prepare and deliver a certificate of Substantial Completion to CITY and the construction contractor. Final Notice of Acceptability of the Work. Conduct a final inspection to determine if the completed Work of construction contractor is acceptable so that CONTRACTOR may recommend, in writing, final payment to construction contractor. Accompanying the recommendation for final payment, CONTRACTOR shall also provide a notice that the Work is acceptable to the best of CONTRACTOR's knowledge, information, and belief based on the extent of the services provided by CONTRACTOR under its Agreement with the CITY. o. Record Documents. Receive and review annotated record documents from construction contractor, which are to be assembled by construction contractor in accordance with the Contract Documents to obtain final payment. Prepare Record Drawings showing appropriate record information based on the project annotated record documents received from the construction contractor. The completed Record Drawing deliverables for Project shall include up to two (2) full-size or two (2) one-half size printed -paper sets and an electronic set in PDF format. p. Limitation of Responsibilities. CONTRACTOR shall not be responsible for the acts or omissions of construction contractor, or of any of its subcontractors, suppliers, or of any other individual or entity performing or furnishing any of the Work. CONTRACTOR shall not be responsible for failure of construction contractor to perform or furnish the Work in accordance with the Contract Documents. q. Because the CONTRACTOR's Project Engineer will be visiting the Project Site on a monthly basis to attend up to four (4) Progress Meetings when field work is progressing to observe the progress and quality of the work, no Resident Project Representative Services are proposed for this portion of the Project. Page 10 of 11 a,-Lir 13 law 11 Exhibit B, Part 1— C. Project Timing 1. CONTRACTOR shall be authorized to commence the Services set forth herein upon execution of this Agreement Amendment. The project schedule in weeks after Agreement Amendment execution are as follows based on an anticipated start date of November 14, 2017: Richmond WWTP Facility Plan Amendment 1 Project Schedule Weeks after Amendment 2 Execution Task Description Start Complete Handrail and Grating Evaluation 0 4 Handrail and Grating Report 4 8 Handrail and Grating Design 8 16 Handrail and Grating Bidding 17 22 Handrail and Grating Construction Substantial Completion (30 weeks after issuance of a notice to proceed to construction contractor) 0 (NTP issuance to construction contractor) 30 (after const. NTP Issuance) 2. Project schedule listed is considered independent of schedule listed in original Agreement. PART III —A.
