RESOLUTION NO. 21-9929
A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF OPA-LOCKA, FLORIDA, AUTHORIZING THE CITY
MANAGER TO PIGGYBACK THE STATE OF FLORIDA
CONTRACT WITH TOSHIBA AMERICA BUSINESS
SOLUTIONS, INC. FOR QUALIFIED PROFESSIONAL
SERVICES TO PROVIDE TEN (10) COPIER MACHINES FOR
USE WITHIN THE CITY; AUTHORIZING THE CITY
MANAGER TO ENTER INTO AN AGREEMENT FOR SAME,
FOR AN AMOUNT NOT TO EXCEED NINETEEN THOUSAND,
SEVENTEEN DOLLARS ($19,017.00), IN A FORM ACCEPTABLE
TO THE CITY ATTORNEY; TERMINATING ALL ACTIVE
CONTRACTS AND LEASES WITH TOSHIBA AMERICA
BUSINESS SOLUTIONS, INC.; PROVIDING FOR
INCORPORATION OF RECITALS; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, on October 10, 2018, the City Commission of the City of Opa-Locka
approved Resolution 18-9557 to piggyback a State of Florida contract for eleven copier
machines from Toshiba America Business Solutions, Inc. ("Toshiba") for use throughout
the City of Opa-Locka ("City"), and as described in attached Exhibit "A". The current
contract was set to expire on November 30, 2021 and upon review of certain invoices, it
was discovered that the lease portion was missing from invoices; and
WHEREAS, the City and Toshiba agree that any existing contracts between the
parties shall be terminated and the City shall have no further obligations under said
contracts; and
WHEREAS, the lease portion of the copiers had been included in the FY 20 and
FY 21 budgets, but was not included in the FY 22 budget due to Toshiba's continued
insistence that its bills had been correct. Consequently, it will be necessary to bring in
$19,017, in the FY 22 Budget Amendment #1. Additionally, the pricing per copy has
changed slightly; and
WHEREAS, the State of Florida previously awarded a contract to Toshiba America
Business Solutions, Inc. (Florida Agreement No. 44000000-NASPO-19-ACS), which
covers the NASPO ValuePoint Master Agreement for Copiers and Managed Print
Services led by the State of Colorado, for use by state agencies and other entities located
in the State of Florida and authorized by Florida's statutes to utilize state contracts with

the prior approval of the State's Chief Procurement Officer (attached as Exhibit "B"), for
one year and ten months commencing March 9, 2020 through December 31, 2021, with an
opportunity to renew; and
WHEREAS, the City has agreed to terminate the existing contract and piggyback
the current State of Florida contract pertaining to the services set forth in Exhibit "A";
and
WHEREAS, pursuant to Section 2-318(3) of the City's Purchasing Code (as
approved by Ordinance 2020-07), the City may purchase and acquire under contracts
with the federal government, the State of Florida or its political subdivisions and also
municipal co-operative purchasing organizations and programs and when the City
Manager has determined that the prices of the original contract are competitive and
reasonable; and
WHEREAS, the City's Department of the Information Technology recommends
approving this resolution which will remove liability of any unbilled lease payments
while benefiting from the updated State of Florida contract; and
WHEREAS, the City Commission finds that it is in the best interest of the City to
piggyback the State of Florida contract with Toshiba America Business Solutions, Inc. in
order to benefit from already negotiated rates and enter into an agreement, in a form
acceptable to the City Attorney, for ten copier machines, pursuant to the proposal
attached hereto as Exhibit "C", in an amount not to exceed Nineteen Thousand,
Seventeen Dollars ($19,017.00).
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF OPA LOCKA, FLORIDA:
Section 1. RECITALS ADOPTED.
The recitals to the preamble herein are incorporated by reference.
Section 2. AUTHORIZATION
The City Commission of the City of Opa-Locka, Florida hereby authorizes the City
Manager to piggyback the State of Florida contract with Toshiba America Business
Solutions, Inc. and enter into an agreement, in a form acceptable to the City Attorney, for
ten (10) copier machines for use within the City, pursuant to the proposal attached
hereto as Exhibit "C", in an amount not to exceed Nineteen Thousand, Seventeen

Dollars ($19,017.00).
SECTION 3. SCRIVENER'S ERRORS.
Sections of this Resolution may be renumbered or re -lettered and corrections of
typographical errors which do not affect the intent may be authorized by the City
Manager with review of the City Attorney and without need of public hearing, by filing
a corrected copy of same with the City Clerk.
Section 4. EFFECTIVE DATE.
This Resolution shall take effect upon the adoption and is subject to the approval of the
Governor or Governor's Designee.

The City Commission approved resolution 18-9557 on October 10, 2018 for ten copier machines for use
throughout the City. Upon review of the first few invoices, it was discovered that the lease portion was missing
from each invoice. Invoices only contained the cost per page for each machine. Staff from Finance and
Information Technology sent numerous emails and had phone calls with Toshiba Business Solutions, who
stated that the invoices were correct, and the billing was accurate. Staff continuously reported these billing
errors via email and phone calls through FY 21. During the most recent discussions, Toshiba Business
Solutions finally confirmed that the City has never been billed the lease portion of the agreement for any
machine. Toshiba Business Solutions offered to waive any unbilled lease payments for the contract if the City
agreed to terminate the existing contract and piggyback the current State of Florida contract
Financial Impact
The lease portion of the copiers had been included in the FY 20 and FY 21 budgets, but was not included in the
FY 22 budget due to Toshiba Business Solutions continued insistence that its bills had been correct
Consequently, it will be necessary to bring in $19,017, spread over ten divisions, in the FY 22 Budget
Amendment #1. Additionally, the pricing per copy has changed slightly.

NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY
OF OPA LOCKA, FLORIDA:

hundred and nine dollars and two cents ($2109.02) monthly for forty-eight (48)
months, in a form that is acceptable to the City Attorney.

1. Scope: This Addendum covers the NASPO ValuePoint Master Agreement for Copiers and
Managed Print Services led by the State of Colorado, for use by state agencies and other entities
located in the State of Florida and authorized by that state's statutes to utilize state contracts with
the prior approval of the state's Chief Procurement Officer.
2. Order of Precedence:
a) This Participating Addendum and all Amendments;
b) State of Florida Additional Special Contract Conditions;
c) State of Florida Special Contract Conditions;
d) NASPO ValuePoint Master Agreement Terms & Conditions, including all Exhibits;
e) An Order issued against the Master Agreement;
f) The Solicitation, RFP-NP-18-001, Copiers and Managed Print Services;
g) The Contractor's response to the Solicitation, as revised (if permitted) and accepted by the
Lead State; and
h) The Contractor's Supplemental Documents, including all Attachments.
3. Term of the Participating Addendum:
a) Initial Term: The initial term of this Participating Addendum will become effective on the last
date the document is signed by all Parties, whichever is later, and shall be effective through
December 31, 2021, unless terminated earlier, in accordance with the Special Contract
Conditions.
b) Renewal: Upon agreement of the Parties, the Department and the Contractor may renew this
Participating Addendum in accordance with section 287.057(13), Florida Statutes, and Rule
60A-1.048, Florida Administrative Code. Renewals must be in writing and are subject to the
same term, conditions, and modifications set forth in this Participating Addendum. The
Contractor and Purchasing Entities may negotiate renewal term pricing, which shall not
exceed the pricing provided during the initial term as set forth in the Master Agreement.

5. Service Offerings: The Contractor is authorized to provide Services listed below:
• Managed Print Services - Attachment F (Toshiba MPS Statement of Work
Template), of the Master Agreement, provides a framework for any ensuing MPS
engagement. Prior to any commencement, all MPS engagements must be agreed to
and signed by both Customer and Contractor.
• Maintenance Agreements:
■ Automatic renewals are not permitted under the Master Agreement
■ Contractor shall have the ability to blend the Service and Supply costs over a
large Equipment fleet
• Manual Meter Reads - As part of its Services, Contractor may, at its discretion
and dependent upon device capabilities, provide electronic remote meter
reading and equipment monitoring. This may allow for automated meter
reading and submission, automatic placement of low toner alerts, automatic
placement of service calls in the event of a critical Product failure and may
enable firmware upgrades
• Customer -Owned Equipment - Customers may elect to enter into a
Maintenance Agreement for Equipment they already own, or Equipment they
acquire through an up -front purchase. The Maintenance Agreement may be
priced on a flat rate fee, which shall include parts, labor, Preventative
Maintenance (if applicable) and Service calls. Supplies may or may not be
included. The Maintenance Agreement shall not be subject to automatic
renewals.
• Lease or Rental Equipment - Contractor shall be required to provide a
Maintenance Agreement on all Equipment that is leased or rented by a
Customer. The Maintenance Agreement shall be priced based on a cost per
click rate, or a monthly base charge.
Participating State or Entity must check one of the boxes below. These modifications or
additions apply only to actions and relationships within the State of Florida. A Participating
Addendum shall not diminish, change, or impact the rights of the Lead State with regard to its
contractual relationship with the Contractor under the Terms and Conditions of the State of
Colorado NASPO ValuePoint Master Agreement.

Opa Locka will no longer have any financial obligation on the prior

1. Scope: This Addendum covers the NASPO ValuePoint Master Agreement for Copiers and
Managed Print Services led by the State of Colorado, for use by state agencies and other entities
located in the State of Florida and authorized by that state's statutes to utilize state contracts with
the prior approval of the state's Chief Procurement Officer.
2. Order of Precedence:
a) This Participating Addendum and all Amendments;
b) State of Florida Additional Special Contract Conditions;
c) State of Florida Special Contract Conditions;
d) NASPO ValuePoint Master Agreement Terms & Conditions, including all Exhibits;
e) An Order issued against the Master Agreement;
f) The Solicitation, RFP-NP-18-001, Copiers and Managed Print Services;
g) The Contractor's response to the Solicitation, as revised (if permitted) and accepted by the
Lead State; and
h) The Contractor's Supplemental Documents, including all Attachments.
3. Term of the Participating Addendum:
a) Initial Term: The initial term of this Participating Addendum will become effective on the last
date the document is signed by all Parties, whichever is later, and shall be effective through
December 31, 2021, unless terminated earlier, in accordance with the Special Contract
Conditions.
b) Renewal: Upon agreement of the Parties, the Department and the Contractor may renew this
Participating Addendum in accordance with section 287.057(13), Florida Statutes, and Rule
60A-1.048, Florida Administrative Code. Renewals must be in writing and are subject to the
same term, conditions, and modifications set forth in this Participating Addendum. The
Contractor and Purchasing Entities may negotiate renewal term pricing, which shall not
exceed the pricing provided during the initial term as set forth in the Master Agreement.
4. Product Offerings: The Contractor is authorized to provide the Products listed below:
• Group A — MFD, A3
• Group C — Production Equipment
• Group D — Single -function Printers
• Group E — Large/Wide Format Equipment
• Group F - Scanners
• Managed Print Services (MPS)

5. Service Offerings: The Contractor is authorized to provide Services listed below:
• Managed Print Services - Attachment F (Toshiba MPS Statement of Work
Template), of the Master Agreement, provides a framework for any ensuing MPS
engagement. Prior to any commencement, all MPS engagements must be agreed to
and signed by both Customer and Contractor.
• Maintenance Agreements:
■ Automatic renewals are not permitted under the Master Agreement
■ Contractor shall have the ability to blend the Service and Supply costs over a
large Equipment fleet
■ Manual Meter Reads - As part of its Services, Contractor may, at its discretion
and dependent upon device capabilities, provide electronic remote meter
reading and equipment monitoring. This may allow for automated meter
reading and submission, automatic placement of low toner alerts, automatic
placement of service calls in the event of a critical Product failure and may
enable firmware upgrades
■ Customer -Owned Equipment Customers may elect to enter into a
Maintenance Agreement for Equipment they already own, or Equipment they
acquire through an up -front purchase. The Maintenance Agreement may be
priced on a flat rate fee, which shall include parts, labor, Preventative
Maintenance (if applicable) and Service calls. Supplies may or may not be
included. The Maintenance Agreement shall not be subject to automatic
renewals.
■ Lease or Rental Equipment - Contractor shall be required to provide a
Maintenance Agreement on all Equipment that is leased or rented by a
Customer. The Maintenance Agreement shall be priced based on a cost per
click rate, or a monthly base charge.
Participating State or Entity must check one of the boxes below. These modifications or
additions apply only to actions and relationships within the State of Florida. A Participating
Addendum shall not diminish, change, or impact the rights of the Lead State with regard to its
contractual relationship with the Contractor under the Terms and Conditions of the State of
Colorado NASPO ValuePoint Master Agreement.
