THIS ADDEN UM, (Number 1 to Contract No. 123-2018) is made and entered into this
day of L, 2018, by and between Richmond, Indiana, a municipal
corporation acting t rough its Board of Public Works and Safety with its office at 50 North 5ffi Street,
Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Bellefeuil, Szur & Associates, Inc.
(aka "BSA"), 14965 Abbey Lane, Bath, Michigan, 48808 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 123-2018 on July 26, 2018, which
Agreement retains Contractor to provide professional and other services to furnish,
provide, and implement a Financial Management and Personnel Management
integrated software products suite for the City of Richmond, Indiana as more fully
described in the Agreement, and which services include within the data conversion
and management component of the City's financial data; and
WHEREAS, The Parties wish to amend said Agreement to allow for the conversion of additional
archived financial data contemplated within the scope of the Agreement at an agreed -
upon increased cost for conversion of said data.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 123-2018, on July
26, 2018, which Agreement is incorporated herein by reference. Pursuant to
Contract No. 123-2018, Section XI (Miscellaneous), the Parties may alter or amend
the Agreement in whole or in part at any time by filing with the Agreement a written
instrument setting forth such changes signed by both Parties.
2. The parties have agreed to add additional data conversion services to the Project, as
contemplated within the scope of the Agreement, in order that additional archived
financial data may be converted by Contractor for City, which additional conversion
services shall be performed in a manner consistent with Contract No. 123-2018. The
agreed cost increase for said services is as set forth on Contractor's proposal dated
November 21, 2018, which proposal is attached hereto and incorporated herein by
reference as Exhibit A. Contractor agrees to abide by the same. The payment
made to Contractor for said additional services shall be increased by a sum not to
exceed the amount of Three Thousand Dollars and Zero Cents ($3,000.00), resulting
in a new Compensation sum not to exceed the total amount of Two Hundred
Seventy-eight Thousand Three Hundred Seventy-three Dollars and Twenty-one
Cents ($278,373.21). The remainder of the terms and conditions set forth in the
Agreement shall remain unaltered and shall continue to apply.
3. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 123-2018, shall be applicable to this Addendum, unless
such term, condition or covenant conflicts with this Addendum Number 1, in which
case this Addendum Number 1 shall be controlling.

4. Both Parties hereby agree that with the exception of the additional services for the
conversion of the archived financial data, and with the exception of the corresponding
increase in the total Compensation amount, Contract No. 123-2018 shall remain
intact and unchanged and in full force and effect.
5. Both Parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.
