No in-person meeting attendance will be permitted. If the Town is unable to live broadcast this meeting, a record of the proceedings will be provided on the Town website as soon as possible. The Town has established specific email addresses for each board and committee so the public can submit comments either before or during the meeting. Box 1305 Brewster, MA 02631 RE: Crosby Barn Phase 2 Historic Preservation Project Award Letter/Grant Agreement amendments Dear Ms. Perry: This letter is to inform you that on October 22, 2020 the Brewster Community Preservation Committee (CPC) voted to amend your original award letter dated November 9, 2018 and grant agreement dated as follows: Project Description in both award letter and grant agreement has been amended to include this paragraph: On 9/16/20, Cape Rep Theater sent a proposal to the CPC to divide the Crosby Barn Phase 2 project into Phase 2A and Phase 2B. Through this amended application, Cape Rep. seeks to use the 2018 CPC award funding towards Phase 2A, which is a complete historical restoration of the barn, including the reproduction and installation of the cupola and on the interior, the patching and replacing of the damaged portions of the floor and reinforcement from underneath, and complete restoration of all architectural elements. The interior panelling will not be reinstalled until Phase 2B, after the energy envelope and other infrastructure is complete and ready to be closed in. Phase 2A also includes bringing in utilities to the building and capping them off inside (electrical, gas, and water lines) and also includes the completion of the shell of the bathroom addition and passageway between it and the restored barn. (Attach 9/16/20 memo from Cape Rep) Grant Award Terms and Conditions of the Award Letter have been amended as follows: Items 1,2,3,4,5,7,8,9,10,and 12 are unchanged. Item 6 has been amended to read: Prior to the release of any CPA funds, Cape Rep must submit a final Phase 2A project funding sources and uses budget, including documentation that all projected revenue sources have been received or have binding commitments for an additional Five hundred thirty nine thousand and seventy-two dollars ($539,072). Cape Rep must provide all funding information to the CPC liaison in writing prior to release of the Award. pg. 2 of 6 Item 8 has been amended to read: The CPC will withhold $40,000 of the award until all of the work in Phases 2A and 2B has been completed. Project completion will be certified by the project architect and the CPC’s historic preservation consultant. Item 11 has been amended to read: The Project must be completed no later than December 30, 2022, which is a two year extension from the original award letter. The Project term may be extended for good cause shown, but such extension must be in writing signed by both parties hereto. Item 13 has been added: The award is subject to approval from Massachusetts State Building Inspector allowing limited public access to the building after completion of Phase 2A. The public access will include visits to the barn as part of the walking tours of the historic site or visits at other times by appointment only conducted and supervised by Cape Rep staff and trained volunteers. However, with just a few weeks to go, the informatio= n we have available points to a fairly healthy match on November 15th. Monthly collections data from the state is only available throu= gh June of this year, but so far, the CPA Trust Fund revenue has been in a = healthy state. The month of June alone brought in a record-high of $9 milli= on to the Trust Fund. And while we don't have collections data beyond June = yet, DOR's own periodic updates seem to indicate that this year's match wil= l almost certainly be higher than last year's - even without any budget sur= plus funds available. Janine said she brought with her the current President of the Board, Marion Hobbs; and Jack Fracasso, former Board President and long-time member of the Barn Project Committee in charge of individual grants and donations. Janine hopes that they will speak to specific questions the CPC might have regarding their respective expertise. She said after the last meeting, she got in touch with the state building inspector, and he has agreed to allow us to provide some public access after the completion of Phase 2A. He is allowing people under staff supervision to bring in tours or individuals on request to see the interior of the barn by reservation for up to 12 people in addition to staff. They can also mount some exhibits on the history and artistic accomplishments and art of the theater and Brewster itself. Making sure that all the protocols for COVID-19 be in place as well. She also submitted a proposed budget on what it might look like going forward. Jack Fracasso said he had a chance to view the September 24th meeting and thought perhaps some fundraising for the project might not be clear. Cape Rep has secured gifts and pledges from 14 donors of $375,000 – 2 of which are 6-figure gifts and 6 of which are 5-figure gifts. 2nd, when combined with grants pledged by CPC and MA Cultural Facilities Fund, they total 57% of total projected cost of the project. And lastly, with any good campaign, they identified 130 prospective donors for the project. This is a big part of the heavy lifting for a campaign like this. He said they feel they are well along in the process and in a strong position to go forward. Bruce asked about the idea of an exhibit in the barn and if it would just be a temporary thing to get through the pandemic. Janine answered yes and no, they agreed that in 1991 they would always preserve this as a historic site. She has spent many hours researching and collecting historic pieces. It is more than just an interest, they have put up many exhibits throughout the years. It will always be a part of what they do on this property. In the interim, there may be some construction, and in that event we will coordinate with the building inspector and the contractor if that happens. They don’t have exhibit space right now, but she plans to make that happen during and after any construction or pandemic with appropriate approvals. Paul asked about the MA Council Grant, will you bill any work for the soft costs with spending $210,000 already. Janine Perry answered that all of it is eligible. The bills just have to be turned in by December 16, 2020, and once we sign a contract we will have the remainder. Paul also asked for a copy of the plan and felt it would be important to have as a condition. He asked if the state inspector has to sign off on a public access plan. Janine answered, no, he has already signed off on our plan. As a courtesy, we will invite him over just for this purpose, but he doesn’t need to sign off on anything further to her knowledge. Faythe said she is very comfortable with what has been presented and thinks it achieves what we would want for historic preservation and is supportive of the request from Cape Rep. Faythe said the Committee needs to look at and make a motion on whether we are supportive of breaking this into Phase 2A and 2B with the award money being allocated toward the expenses for Phase 2A. Paul brought up the issue with the hold back which wouldn’t be released until the end of Phase 2B. Community Preservation Committee Minutes of October 22, 2020 Page 3 of 5 The current award letter requires that $40,000 be held back until the entire project is completed. So, if we do not change that, it means $360,000 would be available for phase 2A with $40,000 available when entire project is completed. Peggy said that because originally the town voted to have the holdback, she recommends continuing with what was voted on until donations are in hand. We are going to approve this on a plan to raise over $300,000 and believes we should be consistent with other major projects that have a holdback. Paul agreed. Sharon agreed. Elizabeth said she would have liked to see the holdback reduced, but as that is how it was presented at Town Meeting, it looks like we need to stay with the original agreement. Motion to amend number 6 on the award letter, be changed to read, prior to the release of any CPA Funds, Cape Rep must submit a Phase 2A Project Funding Sources and Uses Budget, including documentation that all projected revenue sources have been received or have binding commitments for an additional $539,000. The request came up as we went through the financing process through the MA Housing Partnership (MHP) with the State. The bank Community Preservation Committee Minutes of October 22, 2020 Page 4 of 5 sizes their loan based on all of the subsidy going away, which is a really unrealistic situation, but is what they use for their underwriting. To not create a funding gap is to state that all units are affordable in perpetuity. In the event of foreclosure, MHP is able to reassess their financial affordability commitments. In this case, we have agreed 8 units at 80% and 6 units at 60% AMI would remain and survive any situation, but MHP would be able to adjust rent levels to keep the property continuing to operate in the event there is no more operating subsidy and it’s foreclosed upon. DHCD uses same language in their grant-making and lending to affordable housing. This has never happened to POAH or MHP in the history of their lending and is incredibly unlikely. Donna Kalinick added that POAH’s legal counsel, the Town’s legal counsel and MHP were all involved in this language change. Faythe said she has sat in on multiple meetings regarding this change and is supportive of it. The 4 low builds were all local contractors. We are able to do all the work within our budget. We are awarding the bid to a local contractor tomorrow. We expect construction work beginning around November 15th. We are sending a letter to abutters next week. Faythe offered congratulations on all their hard work to get this started. 5.Financial Update Sharon said they met with Mimi Bernardo a number of times. We are confident our numbers are good numbers to work with even though they don’t correspond with the Towns records at this point, but they do with the total numbers. We ended FY20 $1,877,863 for all funds, we received town funding of $1,035,075 which is the 3% tax match, from the state $292,896. Open Space ended with $792,316 including a $400,000 contribution from the State, Housing ended with $34,932, Historic ended with $332,819, and the 30% budgeted Reserve ended with $717,794 for a total of $1,877,863 subsequently carried forward for FY21. For FY21, we are projecting a Town contribution from local tax revenue of $1,058,000, an estimated state contribution of $118,496 representing an 11.2% match from the State. The State has increased their contribution to 17.7%. We are projecting ending balances in Open Space $378,165, Housing $88,082, Historic $450,469, and in the 30% budgeted Reserve $561,918. In addition, for Open Space, we have a check for $377,663 not included in the ending balance. 6.10/28 Public Hearing planning update Faythe said the Hearing has been advertised in the Cape Codder, information is on the Town website, and email blasts to anyone with interest and to Town Committee Chairs for a quite robust reach out to everyone. We asked for people to pre-register to help us plan the webinar. To date, we have had 9 responses from folks who want to speak. Her plan is to include a copy of the application, agenda, project listing. Faythe asked if there were any other recommended documentation to be included in the Public Information Packet. Paul recollected the latest financial figures should be included. Faythe said her comments would include an overview and history of the committee, going over the application process and timelines for workflow and how to find the application, and then open up for public comments.
