HomeMy Public PortalAboutAddenmdum No. 2 to Contract No. 140-201...ng and maintenance of turnout gearADDENDUM THIS ADDENDUM, (Number 2 to Contract No. 140-2016) is made and entered into this day of , 2019, by and between Richmond, Indiana, a municipal corporation acting through its Board of Public Works and Safety with its office at 50 North 5111 Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Phoenix Safety Outfitters, LLC, 1619 Commeree Road, Springfield, Ohio, 45504 (hereinafter referred to as "Contractor"). WHEREAS, City and Contractor entered into Contract No. 140-2016 on November 17, 2016; and WHEREAS, City wishes to continue to retain Contractor to continue to provide services in connection with the cleaning, repair, and maintenance of turnout gear for the Richmond Fire Department as set forth within the scope of Contract No. 140- 2016. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 140-2016, on November 17, 2016, and into Addendum No. 1 to said Agreement on November 16, 2017. Pursuant to Contract No. 140-2016, Section IV Term of Agreement, the City has an option to renew the Agreement for the 2019 calendar year, which option is exercised pursuant to this Addendum. Contractor shall continue to provide services in connection with the cleaning, repair, and maintenance of turnout gear for the Richmond Fire Department as identified within Contract No. 140-2016 for the 2019 calendar year. Such services shall be performed in a manner consistent with Contract No. 140-2016, which is hereby incorporated by reference and made a part hereof, at the same rates as set forth within said Agreement. 2. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 140-2016, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 2, in which case this Addendum Number 2 shall be controlling. 3. Both parties hereby agree that with the exception of the extension of the contract date of termination pursuant to the exercise of the option to renew the contract for the 2019 calendar year, Contract No. 140-2016 shall remain intact and unchanged and in full force and effect. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
