Home My Public Portal AboutAddendum No. 2 to Contract No. 123-2018...es - financial management productsADDENDUM T* THIS ADDEN (Number 2 to Contract No. 123-2018) is made and entered into this day of W/11 , 2019, by and between Richmond, Indiana, a municipal corporation acting through its Board of Public Works and Safety with its office at 50 North 5t" Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Bellefeuil, S:iur & Associates, Inc. (aka "BSA"), 14965 Abbey Lane, Bath, Michigan, 48808 (hereinafter referred to as "Contractor"). WHEREAS, City and Contractor entered into Contract No. 123-2018 on July 26, 2018, which Agreement retains Contractor to furnish, provide, and implement a Financial Management and Personnel Management integrated software products suite for the City of Richmond administration; and WHEREAS, City and Contractor entered into Addendum No. I to said Agreement on November 29, 2018, to allow for the conversion of additional archived financial data; and WHEREAS, The Parties wish to amend said Agreement to allow Contractor to assist with the implementation of (Phase 11) related applications for the Community Development components of the software suite, as identified and set forth within the scope of said Agreement and as identified within Contractor's proposal. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: The City and Contractor executed and entered into Contract No. 123-2018, on July 26, 2018, which Agreement is incorporated herein by reference. City and Contractor also entered into Addendum No. I to said Agreement on November 29, 2018. Pursuant to Contract No. 123-2018, Section XIII (Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both Parties. 2. The parties have agreed that Contractor shall perform additional services to furnish, provide, and implement the (Phase 11) related applications for the Community Development components of the software suite as identified and set forth within the scope of Contract No. 123-2018, which services are more specifically described on the attached Exhibit A, and which additional services shall be performed in a manner consistent with Contract No. 123-2018. The agreed cost increase for said services is as set forth on Contractor's additional quote, dated February 13, 2019, which quote is attached hereto and incorporated herein by reference as Exhibit A. Contractor agrees to abide by the same. The payment made to Contractor for said additional services shall be increased by a sum not to exceed the amount of One Hundred Twenty-one Thousand Eight Hundred Thirty Dollars and Zero Cents ($121,830.00), resulting in a new total Compensation sum not to exceed the total amount of Four Hundred Thousand Two Hundred Three Dollars and Twenty- one Cents ($400,203.21). The remainder of the terms and conditions set forth in the Agreement shall remain unaltered and shall continue to apply. Addendum No. 2 to Contract No. 123-2018 Page 1 of 2 City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 123-2018, shall be applicable to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 2, in which case this Addendum Number 2 shall be controlling. 4. Both Parties hereby agree that with the exception of the additional services to furnish, provide, and implement the (Phase 11) related applications for the Community Development components of the software suite as identified and set forth within the scope of said Agreement, and the corresponding increase to the Compensation under the Agreement, Contract No. 123-2018 shall remain intact, and unchanged and in full force and effect. Both Parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum. Additional Training-- Building Department Report Designer Most of our Building Department customers heavily use our Report Designer, which is included free with the program. Report Designer Training is not included in the training quoted on this proposal and is highly recommended. You may attend a class at our office in Bath Township, or we can train at your location. Report Designer Training is typically completed in one day. Please check the option you are interested in. Report Designer Training will be scheduled after successful implementation and training of your Building Department software.
