to CONTRACT No. 172--2018
THIS ADDENDUM, Addendum No. 1 to Contract No. 172-2018, is made and entered
into this 1/0 day of tQ LJ 20195 by and between Richmond, Indiana, a
municipal corporation acting through its Board of Sanitary Commissioners of the Richmond
Sanitary District and its Stormwater Management Board, with its office at 50 North 5t' Street,
Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Commonwealth Engineers,
Inc., 7256 Company Drive, Indianapolis, IN 46237 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 172-2018 on November 29, 2018,
in which Contractor was retained for professional services related to the Short
Creek Interceptor Collection System Characterization and Evaluation, a
Combined Sewer overflow Long Term Control Plan (CSO LTCP) Project. City
contracted with Contractor for its assistance of a professional engineering
consultant to complete preliminary engineering investigation, characterization and
capacity analysis and then recommend rehabilitation and/or improvement designs
related to the Short Creek Interceptor, including the Short Creek Lift Station, as
required by the Richmond Sanitary District's (hereinafter referred to as the
"District"); and
WHEREAS, In consideration for the services described above, and more particularly described
in Contract No. 172-2018, the City agreed to pay to Contractor as set forth in
Exhibit "B" in Contract No. 172-20185 in an amount not to exceed Two Hundred
Fifteen Thousand Five Hundred Ninety -Eight Dollars and Zero Cents
($215,598.00); and
WHEREAS, City is in need of additional professional services from Contractor relating to the
additional characterization and evaluation of the Short Creek Interceptor
Collection. System because of the Short Creek basin being identified as having a
high rate of inflow and infiltration, resulting in wet weather capacity issues.
Currently, multiple proposed hotel developments on Richmond's East side are
being proposed and there is a need to evaluate sewer capacity further upstream
than what was originally proposed; and
WHEREAS, City and Contractor agree that Contract No. 172-2018 should be amended to
enable the City to obtain the necessary professional services from Contractor for
additional characterization and evaluation of the Short Creek Interceptor
Collection System as set forth above. The cost of the additional professional
service work is a sum not to exceed Thirty -One Thousand Five Hundred Seventy -
Three Dollars and No Cents ($31,573.00).
Addendum No. 1 to Contract No. 172-2018
NOW, THEREFORE, for valuable consideration, including the recitals stated above and which
recitals are incorporated into this Addendum No. 1 to Contract No. 172--2018, and passage by
majority vote of City, City and Contractor now agree to amend Contract No. 172-2018, by
Amendment No. I to Contract No. 172-2018, as follows:
I. The City and Contractor executed and entered into Contract No. 172-2018, on
November 29, 2018. Pursuant to Contract No. 172--2018, Section xI
(Miscellaneous), Contract No. 172--2018 may be altered or amended in whole or
in part at any time by filing with the Agreement a written instrument setting forth
such changes and signed by both parties.
2. Section I. Statement and Subject of work.
Contract No. 172-2018 provides that City retained Contractor for professional
services related to the Short Creek Interceptor Collection System Characterization
and Evaluation, a Combined Sewer Overflow Long Term Control Plan (CSO
LTCP) Project. City contracted with Contractor for its assistance of a professional
engineering consultant to complete preliminary engineering investigation,
characterization and capacity analysis and then recommend rehabilitation and/or
improvement designs related to the Short Creek Interceptor, including the Short
Creek Lift Station, as required by the Richmond Sanitary District's (hereinafter
referred to as the "District").
The City and Contractor now agree that Contract No. 172-2018 should be
amended for additional professional services from Contractor relating to the
additional characterization and evaluation of the Short Creek Interceptor
Collection System because of the Short Creek basin being identified as having a
high rate of inflow and infiltration, resulting in weather capacity issues. Because
of proposed development projects on Richmond's East side there is a need to
evaluate sewer capacity further upstream than what was originally proposed. The
analysis and cost of this project is set forth in Exhibit "A", attached hereto and
incorporated herein.
3. Section III. Compensation.
City shall pay now Contractor a total additional sum not to exceed Thirty -One
Thousand Five Hundred Seventy -Three Dollars and No Cents ($31,573.00), as set
forth in Exhibit "A" and as set forth below:
Additional Surveying and Field Work $ 27,280.00 (hourly)
Additional Collection System Modeling $ 4,293.00 (lump sum)
Total Additional Cost $ 31,573.00
This cost of $31,573.00, is in addition to, and supplemental to, the compensation
of $215,598.00 as set forth in Section III of Contract No. 172-2018 and as set out
in the second WHEREAs in the above recitals, for a total sum of $247,171.00.
4. Both City and Contractor acknowledge and agree that, other than what is set forth in
paragraph 2 and 3 above, the remainder of the terms, conditions and covenants in
Contract No. 172--2018, shall remain intact and unchanged and shall continue to be in
full force and effect.
5. Both City and Contractor acknowledge and agree that any person executing this
Addendum in a representative capacity for Contractor hereby represents and warrants
that he or she has been duly authorized, in writing, by Contractor to execute this
Addendum on behalf of Contractor and this signature is binding upon Contractor and
its assigns, and that such authorization has not been rescinded or revoked.

Dear Mr. Welch:
For your consideration, Commonwealth Engineers, Inc. requests an amendment of $31,573 to assist the
Richmond Sanitary District with additional surveying, field work, and collection system modeling for the Short
Creek Interceptor Collection System Characterization and Evaluation, a Combined Sewer Overflow Long
Term Control Plan (CSO LTCP) Project. The following is breakdown of costs.
o Professional Service Agreement 172-2018 dated 10/13/2018
Planning Services ' $ 215,598
o Requested Amendment #1 to Contract 172-2018
Additional Surveying and Field Work $ 27,280 (Hourly)
Additional Collection System Modeling w _ $ 4,293 (Lump Sum)
TotalProject Costs Including this Amendment $ 2473171
The scope associated with Amendment #1 is described in Appendix A to this letter. For purposes of this
Amendment, it is assumed that the Contractor will proceed on a standard hourly, reimbursable expense, and
sub -consultant +15% administrative basis for the additional surveying and field work in accordance with
Contract Number 172-2018. It is assumed that the Contractor will proceed on a lump sum basis for the
additional coIIection system modeling in accordance with Contract Number 172-2018. Except to the extent
modified herein, all terms and conditions of the Professional Services Agreement shall continue in full force
and effect.
